Message from the President and CEO

“Geography has made us neighbours, history has made us friends, economics has made us partners and necessity has made us allies.”

Kennedy while addressing the Canadian Parliament his issue of insights magazine not only celebrates Canadian success in biotechnology, of which there are many examples, but it also takes a look at Canada–U.S. relations and the excellent international work our scientists are involved in.

Universities have entire courses on Canada–U.S. relations. Libraries devote entire sections to the issue and the media thrive on pointing out our differences. The reality is, for the biotech community in Canada to continue to grow and sustain itself, we need to take advantage of the opportunities available to us with our largest trading partner and the world leader in biotechnology so close by.

Forming relationships outside Canada is essential to sustaining our industry. We have achieved a lot in a relatively short time.

We’re number two in the world in terms of number of companies, and we are rated as one of the best places to work by scientists.1 Biotech in Canada is mostly comprised of small- to medium-sized companies with less than 18 months of cash on hand; now is the time to start looking outside our borders for funding, regulatory approvals and market access that will sustain a made-in-Canada industry and encourage commercialization of Canadian products.

In biotech, the U.S. is like a big brother—it’s been around longer, it’s bigger than us, it has more money, and we want its approval. Canadian companies not only must seek approvals through Health Canada, Environment Canada or the Canadian Food Inspection Agency, but must also work through the FDA for access to U.S. markets.

BIOTECanada is opening doors for our members to do so. We are working with the Canadian government as they maintain a safe and more efficient regulatory system in which, where applicable, Health Canada and other jurisdictions can work together to enhance the rigorous testing process all biotech products are subject to. We work closely with BIO in the U.S. to give Canadian companies increased opportunities to speak at and attend international conferences, and network with American venture capitalists and officials. In addition, we partner with key federal departments to increase the profile of Canadian companies in the U.S. and international marketplaces. Last year, we also invited senior FDA officials to update Canadian companies on FDA practices.

We are also seeing increased foreign investment Canada. According to Macdonald & Associates, last year foreign financial capital investors accounted for 27 percent of the total capital invested here, up seven percent over 2003. Never before has the promise of Canadian biotech been so great. With increased international investment and a commitment from our federal government to bring ideas to fruition, we are going to make a difference.

Our legal perspective contributor this issue outlines the benefits and ways to overcome challenges U.S. venture capital investors may face when looking north. These hints can be utilized to bring even more investment to Canada. This issue also looks at some of the partnerships Canadian scientists have forged to advance the science of improving our lives, and some of the work we’re doing, such as the science behind non-browning apples, that will benefit the North American market.

Canada has a successful biotech industry, and by working with others, we can strengthen that industry and ultimately grow biotech in North America.

Serono Globally The Third Largest Health Biotechnology Company Serono is consolidating its position as a global leader in biotechnology while improving the lives of patients by developing both proteins and small molecules that focus on specialized therapeutic areas associated with serious medical conditions. 2004 was a successful year for Serono, with total revenues up 22% to $2.5 billion and net income up 27%.

Raptiva™, a biological drug with a unique mechanism of action, was approved in many countries in 2004—for the treatment of a subgroup of moderate to severe chronic plaque psoriasis (pending approval in Canada). It is Serono's vision to make Raptiva™ the leading therapy for moderate-to-severe psoriasis and to further strengthen this position by adding other products to the portfolio.

Multiple Sclerosis Rebif®, Serono's treatment for relapsing forms of MS, reached blockbuster status by achieving sales of $1.1 billion and maintaining its market leadership outside the U.S., with 36% market share in terms of sales. The MS market is forecast to grow to between $5 and $6 billion by 2006. Serono is on track to achieve global market leadership by 2006.

Growth and Metabolism Serono's commitment to innovation in this area has given rise to indications for growth hormone products: growth disorders in children; growth hormone deficiency in adults; AIDS wasting; and short bowel syndrome. Serono is the only company in the growth hormone market to offer a family of customer-focused injection devices (not all indications and devices approved yet in Canada). A next generation e-device is in development, with launch planned in 2005.

Serono has a long-term commitment to find novel therapies that could lead to a new treatment paradigm for MS. Previous Phase 2 and 3 clinical trials demonstrated the positive effect of low dose injectable cladribine in MS patients. To further support couples with fertility health concerns, the comprehensive fertility.com website was developed and launched worldwide. Serono is sponsoring the Assisted Conception Taskforce (ACT), a group of healthcare professionals and patients; their objective is to empower couples that are having difficulty conceiving, and their healthcare providers, through education and support. Psoriasis Psoriasis is a chronic disease which affects one in every 50 people. About 25% of patients suffer from a moderate to severe form of the disease, which is often life-ruining.

With Micromet, Serono is collaborating on the development of a fully human monoclonal antibody adecatumumab.

The product is currently being tested in two Phase 2 trials for the treatment of prostate and metastatic breast cancer.

Canvaxin™, a specific, active immunotherapy (a collaboration with CancerVax), is being tested in a Phase 3 study for the treatment of Stage III malignant melanoma. With these substantial additions to our development pipeline, Serono is poised to enter into the oncology therapeutic area.

CHALLENGES AND BENEFITS OF INVESTING IN CANADIAN BIOTECH FOR THE U.S. VENTURE CAPITAL INVESTOR

Private Canadian biotech businesses face challenges in attracting U.S. venture capital investment. However, there are benefits as well as strategies to minimize the challenges.

This article discusses some of these issues from a Canadian legal perspective.

Significant tax benefits are available if a business qualifies as a “Canadian-controlled private corporation” (CCPC). “Control” will generally result from holding sufficient voting shares to elect a majority of the board of directors (subject to residency requirements), taking into account most rights to acquire shares, including pre-emptive rights. Control may also arise from actual influence on the management of the corporation, such as through protective provisions in the articles of incorporation or agreements. As U.S. control can affect CCPC status, U.S. investors’ rights may have to be limited, which may cause investors discomfort.

a) Investment Tax Credits

A significant benefit of CCPC status is the enhanced investment tax credits (ITCs) that are available under the Scientific Research and Experimental Development (SR&ED) program. Qualifying CCPCs receive a federal ITC of 35 percent of qualified SR&ED expenditures (versus 20 percent for non-CCPCs) up to $2,000,000 annually, and may be entitled to a cash refund up to the ITC amount. Provincial refundable ITCs may also be available. This can be an important source of cash flow for biotech companies, which typically have heavy SR&ED expenses.

Investors may wish to maintain CCPC status to benefit the founders. Individual shareholders residing in Canada can access a lifetime exemption from tax on up to $500,000 of capital gains arising on a disposition of qualifying CCPC shares. Capital gains can also be deferred if the proceeds are reinvested in another CCPC.

by CCPCs can defer the tax on the “in the money” value of the shares until the taxation year in which the employee disposes of the shares. A CCPC employee may also be able to access a tax deduction on the amount of any option benefit triggered. Only limited tax deferrals and deductions are available for non-CCPCs.

2. Other Sources of Capital Biotech companies typically require significant resources to execute their business plans. Sources of capital complementary to private venture fund investments include the Business Development Bank of Canada and public labour-sponsored venture capital funds, which provide venture capital financing only to Canadian small- and medium-sized businesses. Also, Technology Partnerships Canada provides substantial funding for strategic Canadian research and development projects.

3. The Dollar Advantage The cost of day-to-day business and professional services tends to be lower in Canada. The 2004 KPMG international business cost study Competitive Alternatives, for the fifth consecutive time, ranked Canada the lowest-cost G-7 country in which to do business.1

Challenges 1. Withholding Tax on Reorganizations and Exits On a disposition or reorganization (e.g. a share exchange or conversion of debt) of a U.S. investor’s investment in a Canadian private company, the U.S. investor may be required to obtain tax clearance certificates from Canadian federal and provincial tax authorities in order to avoid statutory tax withholding. The withholding requirements apply even if a disposition or reorganization does not trigger tax in Canada as a result of a tax treaty exemption or a tax deferral under Canadian domestic law. U.S. tax consequences may also arise. Additionally, other corporate events (e.g. dividends) could trigger other Canadian tax withholdings.

The clearance certificate process can be onerous, and may delay the completion of the transaction.

a) IPO issues Generally speaking, the resale and escrow restrictions imposed on shares of Canadian companies going public continue to be more onerous than their U.S. counterparts. There is also some perception that a U.S.-incorporated business is more marketable than a Canadian corporation, particularly in a U.S. offering. Reconstituting a Canadian corporation in the U.S. may trigger significant tax liabilities.2 2. Issues for Limited Liability Companies U.S. Limited Liability Companies (LLCs) are a common structure for U.S. venture funds. However, Canada considers LLCs to be taxpayers separate from their members and does not allow LLCs to access treaty benefits available to other U.S. residents. Therefore, LLCs are potentially exposed to Canadian tax on the disposition of Canadian company investments as well as higher tax withholding rates. LLCs investing in Canada may wish to consider creative restructuring prior to investment.

3. Canadian Corporate Law Issues Under the Canada Business Corporations Act, shareholders holding different classes or series of shares are entitled to vote separately, as a class, on certain fundamental changes like amending rights attaching to their shares or creating new preferential shares. Shareholders also have dissent rights, which entitle them to dissent and to be paid the fair market value of their shares, if the corporation resolves to do certain fundamental things like changing certain share provisions, or amalgamating, or selling all or substantially all its property. Furthermore, shareholders are entitled to apply to court for relief, including an order directing the corporation or another person to purchase the complainant’s shares, if any action or omission of a corporation is oppressive or unfairly prejudicial, or unfairly disregards the interest of the shareholder. U.S. investors are typically unfamiliar with these various rights, which can impose a significant impediment to future financings of the company.

Making it Work A number of the challenges discussed above can be addressed through creative deal structuring and the provisions of investors’ rights and other agreements.

For example, a Canadian corporation may establish a U.S. “parent” to act as the investment vehicle for the U.S. investor. Founders and Canadian investors invest in economically equivalent exchangeable shares of the Canadian operating “subsidiary.” It may be possible to maintain the Canadian company’s CCPC status with this structure, while providing the U.S. investor with a greater degree of control and flow-through treatment. However, such structures are complex and can result in extra expense to implement and maintain compliance with both U.S. and Canadian tax and securities regulations. Nevertheless, it is a workable solution with which most cross-border practitioners are familiar. LEGAL MATTERS, continued on page 40

Canada has a well-earned reputation for excellence in science, and our government has shown its commitment to sustaining excellence in Canadian science through vehicles such as the federal granting councils and Genome Canada.

We need to build upon these investments in research by doing everything we can to get the revolutionary products being developed in Canadian labs to market.

The commercialization of research into products and services is the means by which many of the benefits of research are brought to economies, the environment and society. It’s here where I want to see Canadian-based firms as leaders, not only in our own market, but in the global market as well. We are committed to creating the conditions necessary for firms in the fields of advanced technologies— including biotechnology— to prosper.

Q: As Prime Minister you have expressed a strong understanding of the biotechnology sector, and in fact at one point suggested if you were starting your career over again, it would be a field you might pursue. What is it about the sector that captured your attention?

I think it’s the great promise of biotechnology that is so compelling to me. We know that biotechnology can change our lives for the better in dramatic yet fundamental ways, and it is this potential for progress that makes this field so exciting. Dr. Henry Friesen, Chair of Genome Canada, has, for example, spoken eloquently on the potential of biotechnology and other health innovations to contribute to Canadians’ health and prosperity. This need to capture fully the benefits of Canadian science is one of the reasons for my appointing a National Science Advisor, Dr. Arthur Carty.

Q: A lot of effort is being put by your government into modernizing the regulatory regimes in Canada. Can you outline for us the goals of this exercise and how it will benefit small emerging technologically based companies like those in the biotechnology sector?

Biotechnology presents us with new processes, new services and new products, and we must ensure we have a regulatory system that can respond to these and other innovations in a timely manner. If we cannot, our competitors will get ahead of us. At the same time, we must not lose sight of the Government of Canada’s obligation to protect the health and safety of Canadians and Canada’s environment.

This is the challenge we have set for ourselves, but we are addressing it across government through the Smart Regulation initiative. This initiative will allow us to strike that balance of ensuring safety AND enabling greater innovation and competitiveness. I think that in the end, emerging technology companies will be significant beneficiaries of our approach.

Q: In Canada’s growing biotech sector, there is an ongoing need for highly skilled workers from technicians to managers. What is Canada doing to improve the skill base of our workforce and to encourage youth involvement in biotechnology?

A highly skilled workforce is important to many sectors of the economy—not only biotechnology-based firms—and that is why one of our key commitments in the last Speech from the Throne was investing in people. Through our fiscal transfers to the provinces and territories, we provide significant support to higher education in Canada. In this regard, it is encouraging to see that our institutes of higher learning are recognizing the growing significance of biotechnology and are developing specifically tailored programs, such as some of the universities that have developed biotechnology graduate programs.

Q: KPMG ranks Canada the lowest-cost G-7 country in which to do business. It also ranks Canada as the most competitive country in 9 of 17 sectors, including biomedical research. How is the federal government encouraging Canada to take a global leadership role in developing life-saving technologies using biotechnology and show ourselves as an excellent place in which to do research? THE FEDERAL PERSPECTIVE, continued on page 40

By Gail Garland International Trade Canada hosted a Canadian Trade Mission to China from January 18–26, 2005. I had the pleasure of representing Bioniche Life Sciences as a delegate and thus became one of more than 350 participants from a variety of Canadian businesses.

It was amazing to meet so many people representing such a vast array of business sectors (biotech, agri-food, fish and seafood, technology, transportation, financial), all with a common goal of identifying new business opportunities in China.

Biotech companies looking to establish research relationships, to commercialize or to form some sort of joint venture will find attending a Trade Mission well worth the time and money. It is also a great opportunity to meet people who can assist with financing, consulting, local laws, and business practices. All of these relationships can be continued once back in Canada, and organizations like the Canada–China Business Council are available to further support your efforts.

The program for the January mission was similar for each of the three stops. In Shanghai, a city of more than 16 million people, I attended the first day with two invited guests from that city who will be integral to Bioniche’s Chinese business development.

The Honourable James S. Peterson, Minister of International Trade Canada, made a presentation, followed by welcoming addresses from two other dignitaries. Other Canadians involved in the mission included Dr. Arthur Carty, National Science Advisor to the Prime Minister, who gave an overview of the biotech industry in Canada to an interested audience. Mr. Paul Stinson, Director General, HUPO, and Mr. Marc Lepage, Executive Vice President of Corporate Development at Genome Canada, also spoke in Shanghai.

The next stop was Beijing with a population of 13 million.

Once again, local biotech companies were invited to attend a session with Canadian representatives for the purpose of understanding, exploring and collaborating on new opportunities. The highlight of this stop was a visit to the Beijing Genomics Institute (BGI), the largest genome research institute in China.

China was one of six countries that jointly announced the completion of the draft sequence of the human genome in 2000 and then the successful completion of the project in 2003. The BGI is also credited with producing the first draft sequence of the rice genome.

The final stop was Hong Kong, where the largest number of potential investors and business partners came to learn about the biotech industry in Canada. My presentation on Bioniche’s science, international strategy and corporate overview generated considerable interest. In fact, people

La deuxième destination était Beijing, où vivent 13 millions de personnes. À nouveau, des sociétés de biotechnologie locales ont été invitées à assister à une assemblée en présence de représentants canadiens à des fins de compréhension, d’exploration de nouvelles possibilités et de collaboration en ce sens. Le moment fort de cette étape a été la visite au Beijing Genomics Institute (BGI), le plus important institut de recherche en génomique de la Chine.

La Chine compte parmi les six pays à avoir conjointement annoncé en 2000 la réalisation de la séquence préliminaire du génome humain, puis la réussite complète du projet en 2003. On attribue également au BGI la création de la première séquence préliminaire du génome du riz.

Enfin, le dernier arrêt a eu lieu à Hong-Kong et a attiré le plus grand nombre d’investisseurs et de partenaires commerciaux potentiels venus se renseigner sur l’industrie de la biotechnologie au Canada. Ma présentation sur la science, la stratégie internationale et le survol de Bioniche a suscité un intérêt considérable. En fait, après mon exposé, des personnes ont attendu pour me parler, et je suis revenu avec une poignée de cartes de visite ainsi que plusieurs bons contacts, ce qui met en évidence la valeur de ce type de missions.

Depuis presque la totalité de ses 26 années en affaires, Bioniche adopte une vision mondiale. Elle a en effet établi des bureaux en Irlande, en Australie et aux États-Unis.

Canada–Taiwan partnership

Le partenariat Canada–Taïwan

fficials from the Canadian Trade Office in Taipei signed a Guideline for Scientific Cooperation in the field of Agriculture and Agri-Food April 11, 2005, with Taiwan’s Council of Agriculture.

The guideline serves as a foundation for cooperation in agricultural research between the two countries, and it strengthens research and development projects related to biotechnology.

The main focus of the cooperation will be on the protection of plant varieties, using plants for health care and medical purposes, introducing genetically modified organisms testing technology, and preventing the spread of infectious diseases affecting livestock and crops.

The guidelines resulted from a 2002 memorandum of understanding on agricultural cooperation with Canadian agriculture officials. Canada now joins the U.S. as the two countries to have signed an agricultural partnership agreement with Taiwan.

FROM THE CLASSROOM TO THE CONFERENCE FLOOR Future biotech leaders attend BPNA IOTECanada, BioAlberta, BC Biotech and Technology Vision Group (TVG) partnered to create a Student Bursaries program for BioPartnering North America (BPNA) 2005. Thirteen students were selected by a panel of judges out of over 35 applicants looking to attend BPNA in Vancouver February 6 to 8.

The winners chosen represented all regions across Canada and received expenses and registration to the conference.

he Ottawa Life Sciences Council announced its Top 10 Life Science Companies award winners at its BioNorth conference last November. The companies were selected based on their status as quality investment and partnership opportunities. Previous finalists of the competition have proven to be highly successful in attracting funding and partnerships. Since the award’s inception in 1999, its winners have raised a total of over $440 million in venture capital or public market financing.

anada has made a lot of progress in disease prevention among the global community, but now we also need to focus these efforts on Canada’s public health system to develop standards that match or surpass the best national programs of other developed nations. Canadians deserve nothing less.

e Canada a fait beaucoup de progrès dans la prévention de maladies sur la scène internationale mais désormais, nous avons aussi besoin de nous concentrer sur le système canadien de santé publique afin d’élaborer des normes qui correspondent aux meilleurs programmes nationaux d’autres pays industrialisés, ou qui les surpassent. Les Canadiens ne méritent pas moins.

Canada is recognized internationally for its immunization efforts. In January, for example, a Cobourg, Ontario, man was among four Canadians honoured by the United Nations Foundation for his role in working to eradicate polio.

Dr. Bob Scott led a campaign to raise over $130 million from Rotary Club members around the world in one year as part of the Polio Plus initiative.

After the 2005 federal budget, the World Health Organization praised Canada’s commitment to researching a vaccine for the avian flu virus and the potential benefits to the international community. Budget 2005 also allocated $342 million in additional funding to combat diseases in developing countries.

Canada’s commitment to international initiatives is something to be proud of, but we should also be able to be proud of our national system. The federal government needs to strengthen its current $300 million investment in Canada’s vaccine programs and not lose the momentum built toward making our National Immunization Strategy (NIS) a reality. In recent years, we have invested equal amounts abroad and at home. This emphasizes the need for a national program with sustained funding to ensure the health and safety of Canadians as well as the international community.

The NIS has five core components: to establish national goals and objectives; to implement immunization planning; to monitor and evaluate vaccine safety; to establish

En janvier, par exemple, un Ontarien de Cobourg se trouvait parmi les quatre Canadiens honorés par la Fondation des Nations Unies pour son travail dans le but d’enrayer la polio. En une année, le Dr Bob Scott a mené une campagne pour récolter plus de 130 millions de dollars auprès des membres du Club Rotary de partout dans le monde, dans le cadre de l’initiative Polio Plus.

Après l’annonce du budget fédéral de 2005, l’Organisation mondiale de la santé a louangé le Canada pour son engagement à mettre au point un vaccin contre le virus de la grippe aviaire et pour les bienfaits éventuels que celui-ci pourrait avoir pour la communauté internationale. Le budget de 2005 contenait également une allocation de 342 millions de dollars additionnels pour combattre les maladies dans les pays en voie de développement.

Nous devons tous être fiers de l’engagement du Canada dans des projets internationaux, mais nous devrions aussi pouvoir être fiers de notre système national. Le gouvernement fédéral a besoin de renforcer son investissement actuel de 300 millions de dollars dans des programmes de vaccination canadiens et ne pas perdre de vue l’objectif de faire de notre Stratégie d’immunisation nationale (SIN) une réalité. Au cours des dernières années, nous avons investi autant d’argent en vaccination à l’étranger qu’au pays. Cela démontre le besoin d’un programme national accompagné d’un financement soutenu pour assurer la santé et la sécurité des Canadiens et de la communauté internationale.

a better vaccine procurement process; and to develop a national immunization registry network.

We also recently created our first Public Health Agency with Dr. David Butler-Jones as Canada’s first-ever Chief Public Health Officer. All the partners in public health and the Vaccine Industry Committee of BIOTECanada in particular see the political will for creating a truly national immunization strategy and the appointment as very positive for Canada. Dr. Butler-Jones is the right man in the right place at the right time.

As the NIS points out in its preamble, collaboration between federal, provincial and territorial public health representatives and the other relevant stakeholders led to the development of the strategy. Collaboration between these stakeholders and others is what will lead to effective national implementation of the strategy. The strategy is the blueprint, but we are the ones who have to build it and we can’t build it right if we don’t work together.

These stakeholders and the Vaccine Industry Committee of BIOTECanada, among others, must work together, rise to the challenge and be part of the dialogue, part of the collaboration and part of the solution.

Infectious diseases such as SARS, the West Nile virus and the threat of pandemic influenza have been a wake-up call to Canadians, to our politicians and to all of us involved

d’immunisation, surveiller et évaluer l’innocuité des vaccins, établir un meilleur processus d’approvisionnement en vaccins et développer un réseau national d’enregistrement de l’immunisation.

Nous venons tout juste de créer l’Agence de santé publique du Canada, dirigée par le Dr David Butler-Jones, spécialiste en chef en matière de santé publique au Canada. Tous les partenaires en santé publique ainsi que le Comité de l’industrie des vaccins de BIOTECanada, en particulier, voient la volonté politique de créer une vraie stratégie d’immunisation et son implantation comme étant très positives pour le Canada. Au bon endroit au bon moment, le Dr Butler-Jones est l’homme de la situation pour mener à bien ce programme.

Comme la stratégie nationale d’immunisation le souligne dans son préambule, la collaboration entre les représentants en santé publique du fédéral, des provinces et des territoires et les autres parties prenantes a mené à l’élaboration de la stratégie. C’est cette collaboration entre les divers intervenants qui permettra la mise en oeuvre efficace de la stratégie à travers le pays. La stratégie est un plan d’action, et nous sommes ceux qui doivent le bâtir. Nous ne pouvons le faire correctement que si nous travaillons ensemble. Ces parties prenantes et le Comité de l’industrie des vaccins de BIOTECanada, entre autres, doivent travailler

ensemble, relever le défi et participer aux échanges. Ensemble, ils doivent collaborer et tous faire partie de la solution.

Yet public health, and immunization programs in particular, have too often taken a back seat in our country’s overall health care system. According to the Canadian Institute for Health Information, public health accounts for less than seven percent of the national health expenditure, and the cost of vaccines alone represents less than one-half a percent.

As a nation and as provinces and territories, we have to learn from the past and seize the day. Our country, our provinces and territories, and our citizens cannot afford penny-wise, pound-foolish implementation of a sound national immunization strategy.

Canada has made a lot of progress in the area of public health since the early 1900s. Measles, mumps and rubella no longer present the dangers they once did. New vaccines are in development now that are bringing new hope for prevention and treatment against influenza, human papillomavirus, HIV, chlamydia, gonorrhea, rotavirus, herpes zoster, hepatitis C and a range of other infectious and non-infectious diseases.

Let’s put all Canadians first and treat them equally. Let’s make the latest and most advanced vaccines now and in the future available to every Canadian who needs them regardless of where they live. Canada’s health care system is still regarded as one of the most advanced and effective in the world. So now it is time to live up to that image with the successful and efficient implementation of the national immunization program.

Or maybe you love apples in your salad, but don’t bother putting them in because they change colour so quickly.

There are ways to stop apples from browning, such as dipping the cut area in lemon juice or several commercial solutions, but Summerland, B.C.’s Okanagan Biotechnology Inc. (OBI) has a better way.

OBI is a young Canadian agricultural biotechnology company that is making a difference. It focuses on bringing new tree fruit varieties to market that have obvious benefits to the consumer and can be identified with unique and healthy fruit products. Their next generation of genetically modified (GM) fruits and foods will address consumer and anti-GMO advocates’ food safety concerns by using only tree fruit genes to manipulate and introduce novel traits into fruit trees.

stage, whereby non-browning apple varieties have been developed and the non-browning phenotype well characterized. It was one thing to talk about a non-browning apple during its development, but quite another to see it in reality! The non-browning characteristic is quite dramatic and one can see benefits to all participants in the apple industry value-chain.

The company’s platform non-browning apple project targets the development of apple varieties well suited to the fresh-cut apple market. Tree fruits have not benefited from the expansion of the fresh-cut produce market, currently a $20 billion industry in the North America. This is largely due to enzymatic browning and the difficulty in controlling this oxidation process and rendering the fruit suitable for fresh-cut manufacturing. This process can also include added health benefits. Not only will consumption of apples rise, but by inhibiting the browning reaction, you conserve the phenolic compounds in the fruit—these being the antioxidant compounds.

Fresh-cut apple slices are now being produced by a few firms in Canada and the U.S. using anti-oxidants to control browning. Having a fruit that does not go brown, through the inhibition of polyphenol oxidase (PPO), will reduce the cost of producing fresh-cut slices and avoid some of the off-flavouring that occurs when one uses anti-oxidant food additives.

It is our belief that fresh-cut apples will act as a consumption trigger for the apple industry and increase per capita consumption. With all of the information available on the health benefits of apples, plus the slow shift to healthier eating habits, a fresh-cut apple is well situated to benefit from these new market dynamics. The firm cites the freshcut carrot product as an excellent example. In 1988 cut, tumbled, dried and bagged carrots were introduced. This product has had a tremendous impact on the carrot industry and the per capita consumption of carrots in North America.

This same increase is predicted for apple and other tree fruits.

Facing challenges head on Being a small agricultural biotechnology company—there are 10 people currently working on OBI initiatives—means facing many challenges. In response to those that say agricultural biotechnology is only for multinational companies, OBI’s success lies in the fact it is working in a minor crop area where there is less competition from multinationals, it has the support and an intimate knowledge of the tree fruit industry, and it is gaining support through many partnership and collaborative relationships.

The ability to achieve freedom to operate within the various transformation technologies and access to enabling intellectual properties are two areas where the company has had to expend considerable resources. The firm has an exclusive, worldwide license for the use of PPO technology in temperate tree fruits from the Commonwealth Scientific and Industrial Research Organization (CSIRO) in Australia.

La caractéristique qui freine le changement de couleur revêt une importance capitale, et l’on peut concevoir les avantages qu’elle représente pour tous les participants de la chaîne de valeur de l’industrie de la pomme.

Ce projet central de l’entreprise tend vers la création de variétés qui conviendront parfaitement au marché des pommes fraîches en morceaux. Les fruits provenant des arbres n’ont pas profité de l’expansion qu’a connue le marché des produits fraîchement coupés, secteur qui rapporte actuellement 20 milliards de dollars en Amérique du Nord, et ce, en raison surtout du brunissement enzymatique et de la difficulté à maîtriser ce processus d’oxydation ainsi qu’à rendre les fruits convenables pour leur préparation comme produits frais en morceaux. Empêcher les pommes de changer de couleur peut également comporter des effets bénéfiques sur la santé. En effet, en plus d’augmenter la consommation de pommes, l’inhibition de la réaction de brunissement permettra aux fruits de conserver leurs composés phénoliques, c’est à dire leurs antioxydants.

Aujourd’hui, quelques entreprises du Canada et des ÉtatsUnis qui utilisent des antioxydants pour lutter contre le brunissement préparent des pommes fraîches en tranches.

La création de fruits qui ne brunissent pas grâce à l’inhibition de la polyphénol oxydase permettra de réduire les coûts de préparation des tranches fraîches ainsi que d’éviter l’altération du goût qui survient lorsqu’on emploie des additifs alimentaires antioxydants.

Nous croyons que les pommes fraîches en morceaux stimuleront la vente dans l’industrie de la pomme et que la consommation par habitant augmentera. Avec tous les renseignements dont on dispose sur les effets bénéfiques des pommes pour la santé et dans le contexte de la lente transition vers une alimentation plus saine, les pommes fraîches en morceaux occupent une place de choix pour bénéficier de la nouvelle dynamique de marché. OBI cite un excellent exemple : les carottes fraîches coupées.

En 1988, on a lancé sur le marché des carottes coupées, façonnées, séchées et mises en sacs. Ce produit a considérablement transformé l’industrie de la carotte ainsi que la consommation de ce légume par habitant en Amérique du Nord. On prévoit cette même augmentation dans le cas des pommes et autres fruits poussant dans les arbres.

Benefits for your future The non-browning apple offers benefits throughout the value-chain. This means there is a recognizable benefit from this product for the grower, packer, retailer and consumer. We have yet to have a genetically modified food product able to offer such benefits. A great example of this is the uniqueness of the apple juice. Non-browning apples result in a juice that is pale green; hence, something unique and new to the market. But other benefits such as light-coloured fruit leathers or fruit bars should also benefit the industry, given that these are currently a dark brown and unattractive colour due to enzymatic browning.

OBI does not plan to stop at the commercialization of the nonbrowning apple project. It has recently achieved success in developing transformation protocols for sweet cherries and peaches.

Work is now underway to inhibit the mealiness characteristic in peaches and to develop non-browning cherries.

Future research and development aspires to introduce fire blight resistance in apple and pear cultivars and rootstocks; scab resistance in apples; plum pox virus resistance in peaches; and nutritional enhancement in all tree fruit species.

Des avantages pour l’avenir La pomme qui ne brunit pas offre des avantages à toutes les étapes de la chaîne de valeur. Ainsi, ce produit représente un atout visible pour le cultivateur, l’emballeur, le détaillant et le consommateur. Encore faut-il obtenir un produit alimentaire génétiquement modifié capable d’offrir ces avantages. Un bon exemple de cela est le caractère unique du jus de pomme. Les pommes qui ne brunissent pas donnent un jus vert pâle, soit quelque chose d’unique et de nouveau sur le marché. Par ailleurs, l’industrie pourrait également exploiter d’autres aliments améliorés, tels que des tablettes de fruits déshydratés ou autres tablettes aux fruits de couleurs pâles, celles-ci étant actuellement d’un brun foncé peu attirant en raison du brunissement enzymatique.

La société OBI n’a pas l’intention de s’arrêter à la commercialisation de son projet sur les pommes sans brunissement.

Elle a récemment réussi à mettre au point des protocoles de transformation des cerises douces et des pêches. Elle travaille en effet actuellement à l’inhibition de la texture farineuse des pêches ainsi qu’au développement de cerises qui ne brunissent pas. THE GREEN KITCHEN: TASTE AND TOUCH THE FUTURE

anada is now obliged to meet its commitments under the Kyoto Protocol, but the question of the day is, How? The good news is that agricultural biotechnology, in addition to giving us more and better food, is playing a major role in developing annually renewable bioproducts that have the potential to significantly reduce Canada’s current greenhouse gas emissions. And they’re fully compostable too!

To showcase these trends, the Council for Biotechnology Information (CBI), in partnership with BioProducts Canada, has built an interactive consumer exhibit to highlight the role that agricultural biotechnology plays in producing our food, fibre and fuel. It’s called the Green Kitchen and it was launched at Toronto’s Good Food Festival in April with follow-up engagements including Toronto’s Fall Home Show.

Just imagine a kitchen that gets composted in your garden the next time you renovate!

The Green Kitchen is ideally suited to help celebrate the 10th anniversary of growing biotech crops in Canada. Although farmers understand and embrace the advantages of ag biotech, planting approximately 13 million acres worth about $2 billion dollars in 2004, consumers have yet to fully understand the role and benefits of plant biotechnology in today’s food, whether it’s canola oil, cornstarch or soy proteins. From breakfast cereals to cookies and crackers, biotechnology is supporting improved diets in developing and developed countries alike.

Demystifying biotech foods in the Green Kitchen while serving up some tasty treats will be author and dietitian Lois Ferguson.

Using snack food samples such as chocolate-covered soybeans and canola-splashed popcorn to create added interest, Lois will communicate current ag biotech benefits with her typical conviction and enthusiasm. She’ll also talk about future foods benefits like extended shelf life and improved nutrition and taste.

Of course, a desire by consumers for factual information about their food does not necessarily make a news story. The novelty of a modern kitchen made from bioproducts, however, does.

The Green Kitchen will feature countertops, cutlery, fabrics and carpets—all with a biotechnology story. In fact, one of CBI’s own

La Cuisine Verte cadre particulièrement bien dans la célébration du 10e anniversaire des cultures biotechnologiques au Canada. Mais la cuisine moderne fait aussi appel à des bioproduits qui constituent une véritable révolution. La Cuisine Verte présentera des comptoirs, des ustensiles, des tissus et des tapis issus de la biotechnologie. De fait, l’un des membres du CIB est à l’avant-scène de ces formidables nouveautés.

Leading the textile side is DuPont and their Sorona® product.

In place of petroleum-based polymers, DuPont has pioneered a manufacturing technology using fermentation to process corn sugar into biopolymers that can be spun into fibres. The result is a “smart” fabric that has a memory for resilience and c o m f o r t stretch while maintaining softness and easy-to-dye characteristics.

Sorona will be commercially available in 2006. Biotechnology plays a dual role in Sorona through the use of genetically modified (GM) corn as a feedstock and GM bacteria developed to produce exactly the right enzymes for the most efficient fermentation process.

Corn has proven to be a flexible common ingredient in many of the enzyme processes used to produce bioproducts today. Take, for example, Cargill’s invention of polylactic acid (PLA), a polymer 44 basic resins that can be used in a basket of goods, from carpet fibres marketed under the Ingeo* brand to food containers marketed under the NatureWorks* brand. The PLA polymers have unique properties of breaking down under composting conditions without compromising day-to-day features of flexibility and strength.

In short, the promise of the Green Kitchen is to communicate to consumers that biotechnology has broad applications within our society, from sophisticated genetic engineering that has improved food crops through to simple bacteria that are turning low-value commodity crops into high-value industrial inputs. Think of functional oils like soybean and canola that virtually eliminate trans fatty acids and designer crops like high-fermentation corn that produces just the right starch for making renewable, ethanol fuel. Today’s biotechnology is transforming Canadian agriculture, both in the field and in the kitchen.

DuPont réaffirme sa position de chef de file du textile avec son produit Sorona®. En remplacement des polymères à base de pétrole, DuPont a mis au point une technologie industrielle faisant appel à la fermentation pour transformer le sucre de maïs en biopolymères pouvant être tissés pour former des fibres. Il en résulte un tissu « intelligent » aux propriétés uniques de résilience et d’élasticité, tout en conservant douceur et aptitude à la teinture. Le Sorona sera commercialisé à compter de 2006.

Il est intéressant de noter que la biotechnologue joue un double rôle dans la fabrication du Sorona puisque l’on utilise du maïs génétiquement modifié (GM) comme matière première, ainsi que des bactéries GM mises au point en vue de produire exactement les bonnes enzymes pour l’optimisation du processus de fermentation.

Le maïs s’est aussi révélé un ingrédient courant d’une grande souplesse dans de nombreux procédés enzymatiques utilisés pour la production de bioproduits. Prenons par exemple l’invention de Cargill, l’acide polylactique (PLA), un polymère dérivé de la fécule de maïs. Avantagée par son prix concurrentiel face aux hydrocarbures, cette résine de base peut être utilisée dans la fabrication de multiples produits, des fibres de tapis commercialisées sous la marque Ingeo* aux contenants alimentaires de marque NatureWorks*. Les polymères PLA possèdent des propriétés distinctives qui font qu’ils se décomposent dans les conditions de compostage sans que cela ne compromette leurs caractéristiques essentielles telles que la flexibilité et la solidité.

En bref, la Cuisine Verte a pour but de faire savoir aux consommateurs que la biotechnologie a dans notre société des applications vastes et diversifiées, comme le génie génétique sophistiqué qui a permis l’amélioration de cultures vivrières ou les simples bactéries qui transforment une culture de faible valeur en matériaux industriels à haute valeur ajoutée. Il suffit de penser aux huiles fonctionnelles comme le soja et le canola, qui éliminent virtuellement les acides gras trans de l’alimentation et aux cultures hautement spécialisées comme le maïs à fermentation accélérée qui produit un amidon idéal pour la fabrication d’un combustible d’éthanol renouvelable. La biotechnologie telle qu’elle se pratique aujourd’hui est en voie de transformer l’agriculture canadienne, aux champs comme dans la cuisine.

BIOGRAPHY Patricia John is a Business Law Partner in the Ottawa office of Borden Ladner Gervais LLP. She practises in the areas of corporate, commercial and securities law, with particular emphasis on venture capital financings and mergers and acquisitions of technology and biotechnology companies, including cross-border transactions, and on labour-sponsored venture capital corporations.

Q: As a signatory of the Kyoto Protocol, and through the creation of new programs announced in the 2005 budget, Canada is exploring the potentials of the bio-industrial sector. How will the federal government promote the benefits of bio-industries such as bioremediation, bio-fuels, and the use of bio-products to meet the goals of these programs?

Budget 2005 identifies the importance of a long-term approach to environmental investments that will support a sustainable environment. Clearly, bio-industrial products and processes are part of this equation as well as being a means to address climate change. And returning to the earlier question of why biotechnology captures my attention, here is a good example. In bio-industrial products and processes, we can see a convergence of Canadians’ science expertise and investments, and the natural resources of the country, all to the benefit of our environment and the economy.

Q : Comme signataire du Protocole de Kyoto et par la création de nouveaux programmes annoncés dans le budget de 2005, le Canada examine le potentiel du secteur de la biotechnologie. Comment le gouvernement fédéral fera-t-il la promotion des avantages de bioindustries comme la biorestauration, les biocarburants et l’utilisation de bioproduits pour atteindre les objectifs de ces programmes?

Le budget de 2005 reconnaît l’importance d’une approche à long terme pour les investissements environnementaux à l’appui d’un développement durable. Il est clair que les produits et les procédés bio-industriels font partie de l’équation, en plus d’être un moyen de remédier au changement climatique. Pour revenir à la question précédente sur la raison pour laquelle la biotechnologie retient mon attention, en voici un bon exemple. Les produits et procédés bio-industriels sont la convergence des compétences et investissements scientifiques des Canadiens, ainsi que des ressources naturelles du pays, au bénéfice de notre environnement et de l’économie.
