iotechnology is a fast-growing industry in Canada. It has the potential to improve the way we live, the food we eat, the jobs we do, and the environment we live in. And although the industry has faced challenging financial times this past year, Canadian biotech companies have weathered the storm.

Whether it be mapping genomes, sequencing chromosomes or building world-renowned laboratories, Canada has made a name for itself in the biotechnology industry. Canada has the third highest amount of revenue generated internationally, the second highest number of companies and the most R&D expenditures per employee.

But like any actor that makes it to the big screen, you have to start small and grow from there. At the pinnacle of success in this industry, it’s not the Oscar you’re after, but the rewards from entering the final phase of the life cycle of a biotech company: commercialization.

In this edition of insights, we bring you a look at commercialization in Canada and its importance to the industry. We’ll take you from the community theatre stage to a supporting role in a Hollywood blockbuster by examining university research and the legal “need-to-knows” to help you reach commercialization.

The life cycle of a biotech company is a long one, and at many points in time scientists are left with few good opportunities to finance critical stages of their research. As biotech companies move from the research and discovery, through proof of concept and patenting stage, they enter clinical trials. It is at this stage the cost of business skyrockets and companies either succeed or fail on the back of these great ideas.

Government incentives act as strong facilitators, much like producers, opening a door to securing the research element of innovation by allowing a greater pool of resources to be accessed at critical points in biotech discovery, but the regulatory process needs to ante up. Reaching commercialization should be a faster, less costly, and a more efficient process.

All biotech products are subject to an especially vigorous regulatory approval process. Achieving greater efficiency does not have to occur at the expense of public safety, but we need to improve the system.

For example, the cost of getting to Phase III trials and the length of time it takes to get there is what draws out the clinical trial phase of a company’s life cycle. It’s here, before the first big blockbuster weekend, where all the money is spent. In Canada, it costs upwards of $750 million and takes 10–12 years to bring a product to market. Comparatively, in the United States, it takes 7–10 years and US$200–$350 million to bring a product to market. With the majority of Canadian biotech companies having between a one- and two-year burn rate, reaching and succeeding at this stage is very important.

The majority of Canadian companies are also small, with less than 50 employees. At times, the ability to commercialize a product is the only way a company can survive.

This year, BIOTECanada met with government officials to encourage public policy changes on behalf of our growing membership base to make it easier not only for companies to obtain funding as they develop through their life cycle, but also to help them reach the commercialization stage earlier.

As Canada’s national association, we are working to ensure commercialization is an issue we continue to focus on and help federal regulators be aware of its importance. BIOTECanada has over 150 members and we’re still growing to better represent the biotechnology industry and research community in Canada. As a leading technology association, BIOTECanada strives to build a broader understanding of the industry’s importance and the many ways in which biotechnology contributes to a better quality of life for all.

a biotechnologie est une industrie en pleine croissance au Canada. Elle a le potentiel d'améliorer la façon dont nous vivons, la nourriture que nous mangeons, le travail que nous faisons et le milieu où nous vivons. Et même si l'industrie a fait face à une période financière difficile cette année, les entreprises de biotechnologie l’ont surmontée.

L

Que ce soit en établissant la carte génétique des génomes ou la séquence des chromosomes, ou en construisant des laboratoires de renommée mondiale, le Canada s'est taillé une réputation enviable en biotechnologie. Nous arrivons troisième au monde au chapitre des revenus générés, deuxième par le nombre de nos entreprises et premier en regard des dépenses en R.-D. par salarié.

Mais comme tout acteur qui parvient à jouer au grand écran, il faut commencer petit et ensuite grandir. Lorsqu'une société de biotechnologie arrive au faîte de la gloire, elle ne recherche pas à obtenir un Oscar, mais bien les récompenses qu'apporte la phase finale de son cycle de vie : la commercialisation.

Dans cette édition de insights, nous vous offrons un aperçu de la commercialisation au Canada et de son importance pour l'industrie. Nous vous transportons de la scène d’un théâtre communautaire jusqu'à un rôle de soutien dans une superproduction hollywoodienne en étudiant la recherche dans les universités et les « besoins de connaître » légaux qui vous aideront à atteindre l'étape de la commercialisation.

Le cycle de vie d’une société de biotechnologie est assez long et souvent, les chercheurs ont très peu d'occasions de financer les phases critiques de leur recherche. Après avoir franchi les étapes de la recherche et de la découverte et avant d'arriver à celles de la justification du concept et de l'obtention de brevets, les sociétés de biotechnologie commencent celle des essais cliniques. C'est ici que les coûts d’exploitation grimpent en flèche, et que les sociétés réussissent ou échouent selon la valeur de ces idées formidables.

Les incitatifs gouvernementaux servent de catalyseurs puissants, et à la façon des producteurs de cinéma, ils garantissent l'élément de la recherche de l'innovation en donnant accès à un plus grand bassin de ressources aux moments critiques de la découverte biotechnologique. Mais le processus réglementaire doit être accéléré. L’étape de la commercialisation devrait être franchie plus tôt, être moins coûteuse et se faire selon un processus plus efficace.

Tous les produits biotechnologiques sont soumis à un processus d’approbation réglementaire particulièrement vigoureux. Une efficacité supérieure ne doit certes pas s'obtenir au détriment de la sécurité du public, mais il nous faut améliorer le système.

Par exemple, dans le cycle de vie d'une entreprise, les coûts et le temps requis pour se rendre à l'étape III drainent les ressources allouées à l'étape des essais cliniques. C’est là, avant la fin de semaine du lancement de la superproduction, où tout l’argent est dépensé. Au Canada, amener un produit sur le marché coûte plus de 750 millions de dollars et prend de 10 à 12 ans. En comparaison, aux États-Unis, amener un produit sur le marché prend de 7 à 10 ans et coûte de 200 à 350 millions $US. Étant donné que la plupart des sociétés canadiennes de biotechnologie ont un taux d’absorption situé entre un ou deux ans en ce moment, atteindre et réussir cette phase est très important.

Comptant moins de 50 salariés, la plupart des sociétés canadiennes sont trop petites. La capacité de commercialiser un produit est parfois le seul moyen qu'elles ont de survivre.

Cette année, BIOTECanada a rencontré des représentants du gouvernement en vue d'amener des changements dans les politiques publiques au nom de nos membres, dont le nombre ne cesse d’augmenter. Ces changements faciliteraient l’obtention de financement par les entreprises pendant leur cycle de vie, mais ils les aideraient aussi à atteindre l'étape de la commercialisation plus rapidement.

En tant qu’association nationale du Canada, nous travaillons à ce que le problème de la commercialisation continue de retenir l'attention et à ce que les autorités réglementaires fédérales prennent conscience de son importance. BIOTECanada compte plus de 150 membres, et continue de grandir pour mieux représenter l’industrie de la biotechnologie et le milieu de la recherche du Canada. A recent analysis of U.S. patents revealed that more than 70 percent of biotechnology citations were for research papers originating at public science institutions (OECD, Science, Technology and Innovation in the New Economy). Clearly, scientific progress directly propels the commercialization process. Government-sponsored research is critical to advancing that scientific knowledge.

Une récente analyse des brevets aux États-Unis a révélé que plus de 70 p.100 des citations en biotechnologie portaient sur des documents de recherche issus d’institutions scientifiques publiques (OCDE, Science, technologie et innovation dansla nouvelle économie). Il est clair que les progrès scientifiques contribuent directement au lancement de la commercialisation. La recherche sous l’égide du gouvernement est essentielle à la progression des connaissances scientifiques.

Canada in several different ways: • funding the research that is at the start of the pipeline of innovation; • taking research to the market; and • ensuring competitiveness on the world stage.

Funding innovative research at the start of the pipeline The contaminated water crisis in Walkerton, Ontario, shocked Canadians and public health professionals worldwide and highlighted the dangers of E. coli 157-H7. This bacterium is also the leading cause of “hamburger disease,” which affects 50,000 North Americans each year and kills 500 people annually. Beyond the human toll, the cost to meat producers has also been staggering – as much as $5 billion annually.

All of this may change if Dr. Brett Finlay’s research proves to be successful. With the help of CIHR funding, Dr. Finlay, of the University of British Columbia (UBC), has developed a vaccine to protect cows against this strain of E. coli 157-H7. It has been effective in pilot evaluation studies, and is now being tested in more than 70,000 animals. If successful, Dr. Finlay’s vaccine is expected to dramatically reduce the economic and health costs associated with E. coli.

Dr. Molly Shoichet, a CIHR-funded researcher from the University of Toronto, has helped rats with injured spinal cords regain movement. Dr. Shoichet developed a flexible tube for the rats that imitates the structural flexibility of a spinal cord. Its architecture allows nutrients to pass through so that nerves can grow inside. Dr. Shoichet’s work falls under CIHR’s cross-cutting initiative in regenerative medicine and aims to develop innovative, cost-effective, and ethically validated approaches to diagnosis and treatment of diseases which vary from juvenile diabetes to heart failure to spinal cord injuries.

Taking research to market The CIHR/Rx&D Research Program brings together pharmaceutical companies and government. With the recent international outbreak of Severe Acute Respiratory Syndrome (SARS), CIHR responded with a three-pronged approach to battling the disease, which included the creation of the Canadian SARS Research Consortium (CSRC). The CSRC will develop and coordinate the implementation of a national research agenda on SARS in five broad research areas: diagnostics; vaccine development; therapeutics; epidemiology and databases; and public health and community impact. Voluntary participants of this Consortium include CIHR, Health Canada, Michael Smith Foundation for Health Research, Ontario Research and Development Challenge Fund, Fonds de la recherche en santé du Québec, Protein Engineering Network of Centres of Excellence, Canadian Network for Vaccines and Immunotherapeutics of Cancer and Chronic Viral Diseases, GlaxoSmithKline, Aventis Pasteur, and the Canadian Lung Association.

Financement de la recherche innovatrice à la source de la découverte La crise de l’eau contaminée à Walkerton (Ontario) a consterné les Canadiens et les professionnels de la santé publique du monde entier, et mis en évidence les dangers de la bactérie E. coli 157-H7. Cette bactérie est aussi la cause première de la « maladie du hamburger », qui touche 50 000 Nord-Américains et tue 500 personnes par année.

En plus des coûts humains, le coût pour les producteurs de viande a aussi été énorme, atteignant 5 milliards de dollars par année.

Tout cela pourrait changer si les travaux de recherche du Dr Brett Finlay réussissent. Grâce au financement des IRSC, le Dr Finlay, de l’Université de la Colombie-Britannique, a mis au point un vaccin pour protéger les vaches contre cette souche de la bactérie E. coli 157-H7. Ce vaccin a montré son efficacité lors des études pilotes d’évaluation et il est l’objet de tests chez plus de 70 000 animaux. Si les études réussissent, on s’attend à ce que le vaccin du Dr Finlay réduise de façon importante les coûts économiques et les coûts pour la santé associés à la bactérie E. coli.

La Dre Molly Shoichet, une chercheuse de l’Université de Toronto que les IRSC financent, a aidé des rats dont la moelle épinière était blessée à recouvrer la capacité de mouvement. La Dre Shoichet a mis au point un tube flexible pour les rats qui imite la flexibilité de la structure d’une moelle épinière. Sa conception permet aux éléments nutritifs de passer d’une telle façon que les nerfs peuvent grandir à l’intérieur de ce tube. Le travail de la Dre Shoichet s’inscrit dans le cadre de l’initiative transectorielle des IRSC en médecine regénérative et vise à élaborer des méthodes innovatrices, rentables et éthiques validées pour effectuer le diagnostic des maladies, du diabète juvénile aux blessures à la moelle épinière, en passant par l’insuffisance cardiaque, et traiter ces maladies.

La commercialisation de la recherche Le programme de recherche et développement des IRSC rassemble les compagnies pharmaceutiques et le gouvernement. À la suite de la récente flambée du syndrome respiratoire aigu sévère (SRAS), les IRSC ont adopté une approche en trois temps pour combattre la maladie, approche qui comprend la création d’un nouveau consortium canadien pour la recherche sur le SRAS. Ce consortium élaborera et coordonnera la mise en œuvre d’un programme national de recherche sur le SRAS axé sur cinq grands

The CIHR/Small and Medium-Sized Enterprises (SME) Research Program is jointly funded by CIHR and Canadian biotechnology companies. The program strengthens Canada’s technology transfer by supporting research commercialization in start-up companies, university spin-offs and SMEs. Thanks to this program, Dr. Michel Tremblay, Director of the McGill Cancer Centre, and his colleague Dr. Morag Park are partnering with Kinetek Pharmaceuticals Inc. in Vancouver to validate novel targets for the development of new cancer-gene inhibitors. This project has potential benefits for thousands of cancer patients in Canada alone.

Industry-partnered POP grants provide opportunities for biotechnology companies to partner with researchers in the early development of technologies.

The Intellectual Property Management (IPM) Program strengthens the ability of universities and hospitals to recognize, protect and manage intellectual research

L’initiative de démonstration des principes des IRSC facilite et améliore l’efficacité de la diffusion commerciale des connaissances et de la technologie résultant des recherches. Les subventions issues de la démonstration des principes en partenariat avec l’industrie donnent aux sociétés de biotechnologie la possibilité d’établir des partenariats avec les chercheurs dans les premières étapes de la mise au point des technologies.

Le Programme de gestion de la propriété intellectuelle (GPI) accroît la capacité des universités et des hôpitaux à reconnaître, à protéger et à gérer la propriété intellectuelle en matière de recherche, à attirer des utilisateurs potentiels et à promouvoir le développement professionnel du personnel du GPI. Le programme est géré conjointement par les IRSC, le CRSNG et le CRSHC.

Competing on the world stage Unravelling the structure of hundreds of human proteins is the ambitious goal of a partnership that brings together health researchers from Canada, the United Kingdom and the global pharmaceutical industry. For example, Canadian scientist Dr. Aled Edwards, a world-leading expert in proteomics and structural genomics, is leading the Structural Genomics Consortium. The Consortium’s work will lay the groundwork for significant medical discoveries and enable scientists to better understand our genetic information and to put the genome to practical use.

CIHR is also supporting the Blueprint Initiative research program led by Dr. Christopher Hogue from Mount Sinai Hospital’s Samuel Lunenfeld Research Institute. By entering 80,000 molecular interaction records into a database that researchers can freely access we will be better able to understand the molecular complexity of cells—the true blueprint of life.

hat is the first thing you think of when someone mentions Alberta? Oil and Gas? Agriculture? Cattle?

Forestry? It’s unlikely that the answer is biotechnology.

Biotechnology is the jurisdiction of Toronto, Montréal, and Vancouver. Perhaps there’s good science in that vast region called the Prairies, but certainly the focus is agricultural, and the industry is unsubstantial. If these are your thoughts, then please, read on.

“There is no royal road to anything.

Holland) What you read here about Alberta’s biotech industry may surprise you, and it will hopefully provoke thought about the true diversity of the Canadian biotechnology opportunity.

Alberta’s biotech industry has been taking measured steps since the early 1980s; one of Canada’s first publicly traded biotech companies was an Alberta company. The University of Alberta has historically been a major force in establishing a biopharmaceutical industry in the province, and companies have spun out of that University and the University of Calgary year after year. Alberta’s industry, like that of the rest of the country’s, is still early stage, but its growth, persistence, and strength are becoming increasingly evident.

Six things about Alberta you may not know …

1. Alberta is the country’s fourth largest biotech centre.

The province has 58 core biotech companies, bolstered by more than 100 service, support, research, and government organizations.

2. Alberta’s biotech industry grew from 11 companies in 1997 to 35 companies in 2001, representing a staggering average annual growth rate of 55 percent per year.

According to a recent TD Bank Financial Group study, Alberta is Canada’s “western tiger.” The CalgaryEdmonton Corridor “is the only Canadian centre to amass a U.S. level of wealth while preserving a Canadian-style quality of life. At nearly US$40,000, GDP per capita in the region is about 10 percent above the average of U.S. metropolitan areas, and a striking 40 percent above its Canadian colleagues. And these gaps have widened over the past decade, as the corridor has chalked up one of the strongest gains in both real

Alberta’s business climate is without a doubt one of the most attractive in North America: – The lowest overall taxes in Canada – No provincial sales tax (the only province in Canada without one) – No general capital or payroll taxes prevalent in other provinces and U.S. states – A highly entrepreneurial and competitive business community – A fiscally responsible government that has eliminated its net debt – Some of the lowest business costs in North America 6. Alberta’s companies and research organizations are creating new opportunities in bioinformatics, biopharmaceuticals, genomics and proteomics, nanobiotechnology, nutraceuticals, and agricultural biotechnology. Here are a few examples: CyberCell Technologies Inc is working on techniques to simulate life on a computer. This technology would allow scientists to examine and predict cell physiology in silico, resulting in an accelerated rate pace of discovery.

BioTools Inc. has established itself as a provider of state of the art bioinformatics software, and ChenomX Inc. has developed an innovative metabonomic technology, using nuclear magnetic resonance (NMR) spectroscopy to provide analysis of compounds in biological fluids.

Celonex Inc. is using microarrays for gene analysis; and Micralyne Inc. is a pioneer in the field of microfluidics.

Agricultural biotechnology and agrifood opportunities are also being capitalized on in Alberta. SemBioSys Genetics Inc. is producing proteins in plants, helping companies overcome cost and volume issues in the production of biologics. CV Technologies is developing nutraceuticals for disease prevention and health management. Ceapro Inc. is developing plant derived biotechnology therapeutics and Agrigenomics Inc. is working to develop crops with improved plant nutrient-use efficiency and disease resistance.

Industry leaders Bayer Crop Sciences Canada and Dow Agro Sciences Canada are both headquartered in Alberta.

The majority of Alberta companies are biopharmaceutical companies. Isotechnika Inc. is developing immunosuppressive technologies with reduced toxicity effects. Cytovax Biotechnologies Inc. is developing novel anti-adherence approaches to treat infectious diseases. Oncolytics Biotech Inc. is using human reovirus to treat cancer. ViRexx Research Inc. is developing an antigen-directed therapy to treat viral infections, including hepatitis, HIV, and herpes.

KMT Hepatech Inc. has produced the first robust small animal model for replication of and true infection by hepatitis C, allowing quick and efficient evaluation of hepatitis C therapies in an in vivo setting.

Can you outline the reasons why Canada has chosen to pursue action before the WTO with regard to the EU moratorium on approvals of GM products? Why was the WTO challenge regarded as the best option for Canada at this time? Do you foresee a possible settlement with the EU prior to a WTO ruling?

This was not a decision that was taken lightly. We have been working to resolve this issue bilaterally for more than five years. The issue of the moratorium on the approvals of genetically modified organisms has been raised at all levels, including by the Prime Minister at several Canada-EU summits. Along with my colleague, the Hon. Lyle Vanclief, I have raised this issue bilaterally at every opportunity.

Officials have undertaken regulatory cooperation with the European Union in an attempt to resolve the issue and have raised it during bilateral working groups. Despite all this, the moratorium remains in place.

In May, Canada requested formal WTO consultations in an effort to resolve the situation. The results were unsatisfactory and so the request for a dispute settlement panel was considered to be the next means of continuing to press the EU to fulfill its WTO obligations. We are asking the EU to lift the moratorium and to apply its regulatory system and to base its evaluation of products on scientific information.

Of course, if Canada sees meaningful and sustained progress – that is, if the moratorium is lifted and the EU starts to base its approval or rejection of products on scientific information – then we would reconsider our action.

Considering statements that we have seen from EU Member State leaders, I do not consider that this is likely.

As you know, Canada has experienced a virtual explosion in the biotechnology industry in the past five years. Do you have a sense of how our

Pourquoi le Canada estimait-il que la meilleure solution était une contestation devant l’OMC? Prévoyez-vous un règlement éventuel avec l’UE avant la décision de l’OMC? La décision ne s’est pas prise à la légère. Nous nous sommes efforcés de régler le problème au niveau bilatéral depuis plus de cinq ans. La question du moratoire sur l’approbation d’organismes génétiquement modifiés (OGM) a été soulevée à tous les paliers, notamment par le Premier ministre à plusieurs sommets Canada-UE. Tout comme mon collègue l’honorable Lyle Vanclief, j’ai soulevé cette question à chaque occasion de rencontre bilatérale. Nos porte-parole ont entrepris une collaboration réglementaire avec l’Union européenne dans le but de régler le problème et l’ont soulevé lors des travaux de groupes bilatéraux. Malgré tout, le moratoire demeure en vigueur.

En mai, le Canada a demandé des consultations officielles à l’OMC dans le but de régler le problème, mais les résultats ont été insatisfaisants, de sorte que la demande d’une commission de règlement du litige devenait, de l’avis de tous, le prochain moyen de continuer à faire pression afin que l’UE s’acquitte de ses obligations dans le cadre de l’OMC. Nous demandons à l’UE de lever son moratoire, d’appliquer son régime réglementaire et de fonder l’évaluation des produits sur des données scientifiques. Évidemment, si le Canada constate des progrès constants et appréciables – c’est-à-dire si le moratoire est levé et que l’UE commence à fonder l’approbation ou le rejet des produits sur des données scientifiques – nous reconsidérerions alors notre action. Compte tenu des déclarations faites par les dirigeants des États membres de l’UE, j’estime que cela est peu probable.

To enhance Canada’s international profile, we have developed a plan of action that will provide a comparative analysis of Canada and major biotech-producing countries’ (U.S., Germany, U.K., France, Japan, Korea, Taiwan, and Singapore) biotechnology strategies and policies that support the industry’s growth.

The information from this analysis will be compiled and made available to Canadian stakeholders.

It will also be used to further develop Canada’s bioscience communication policy, including a new standardized approach to raise awareness in target markets of Canada’s comparative strengths and opportunities.

As well, we collaborate with our embassies and consulates, other sciencebased departments and agencies and foreign industry associations to organize focused technology partnering and venture financing events. These assist Canadian biotechnology companies and venture financing organizations identify suitable foreign technology partners and access foreign venture capital to complement their Canadian venture capital financing pool.

What actions is DFAIT taking to enhance market access for Canadian biotech research and products?

On the market access side—and this gets back to our challenge of the EU GMO moratorium—we need to ensure that countries live up to their WTO obligations. Our message on the EU moratorium is a message to all trading partners that they must base their measures on science according to international rules. Over the years, we have made representations to many trading partners, including the EU, China and Japan, to protect our trade interests. We will continue to do so, as necessary.

A few years ago Canada launched a Trade Commissioner service to support the biotechnology industry. Could you outline their role and speak to some of their successes?

While the Trade Commissioner Service was created to serve all sectors, particular efforts have been made to ensure that our trade commissioners abroad have the capacity to provide excellent services to Canada’s biotechnology industry. For example, a series of capacity-building training modules were offered in various venues throughout Canada to provide officers with an opportunity to learn the basics of biotechnology and also to discuss the opportunities and methods for effectively promoting Canada’s excellent science capabilities in the international marketplace.

ONTARIO “ROCK-ITS” TO THE SCIENCE SCENE

t’s not Star Trek’s Enterprise, but the new Rock-It Science Bus will be the flagship to Ontario’s traveling science and technology program.

In July 2003, the Ontario government unveiled its new school bus aimed at promoting science, primarily biotechnology, to students in Grades 7–9.

The bus allows students access to equipment school labs may not have, such as gel electrophoresis kits to separate DNA, and pipettes, a precise measuring tool too expensive for most schools to stock.

“Biotechnology is a growing industry in Canada and encouraging our youth to get involved helps build a strong future for the industry,” says Janet Lambert, President of BIOTECanada.

The five-year program will visit 185 communities in Ontario. Approximately 33,000 of the 430,000 students in Grades 7–9, plus 500 teachers will have the opportunity to use the mobile science lab.

Teachers are provided with materials to prepare their students for their two-hour session on the bus, and teachers will do the experiments first. “It makes them less apprehensive if they know what’s going to happen,” says Rick Sleaver, the project’s interim manager.

The $6.5 million project was founded by the Ministry of Enterprise, Opportunity and Innovation, the University of Ontario Institute of Technology (UOIT), Pfizer Canada Inc. and IBM Canada Ltd. They will form the Board of Directors of an independent not-for-profit corporation, with Maxim Jean-Louis, President and Chief Executive Officer of Contact North, as the Founding Chair.

Ontario’s bus was modeled after Connecticut’s BioBus which has seen over 10,000 participants since its inception in 2001. Other biobuses have been introduced in Massachusetts, Maryland and Virginia.

The Rock-It Science Bus is anticipated to hit the highways in late fall. Teachers can request a visit from the bus online.

En juillet 2003, le gouvernement de Ontario a dévoilé son nouvel autobus scolaire destiné à promouvoir la science, principalement la biotechnologie, auprès des élèves de la 7e à la 9e année.

CELEBRATING IN STYLE BIOTECanada hosted a successful Annual General Meeting and Awards Gala following a full conference day in Toronto, May 29th.

The conference day was the first of its kind for BIOTECanada and gave attendees the opportunity to meet one-on-one with government representatives and company CEOs and participate in interactive workshops.

The Awards Gala was a celebration of the day and award recipients.

With guest speakers Dr. Mark Poznansky, President and Scientific Director of The John P. Robarts Research Institute, and Chris Rudge, CEO of the Canadian Olympic Committee, the evening was a night to remember.

Brian Kerslake, Senior Marketing Manager of VWR International Ltd., received the Contribution to the Association Award for his efforts in bringing about the discount program with VWR International and our members.

We also honoured three Promising Early Stage Companies. The award, sponsored by Marsh Canada and VWR International, included a one-year membership in BIOTECanada. The recipients were Zelos Therapeutics Inc., a National Research Council spin-off company formed to commercialize patented analogues of parathyroid hormone (PTH) for the treatment of osteoporosis and other bone-related diseases; Zinc Therapeutics Canada Inc., a company that is harnessing the therapeutic potential of zinc in the cardiac, stroke and neurological fields; and GB Therapeutics Inc. who is at the forefront of developing drugs relating to the cell-protecting properties of Smart Nitrates™.

The Biotech Company of the Year for 2002 was ProMetic Life Sciences Inc., an international biopharmaceutical company engaged in the development, manufacture and commercialization of products for the biopharmaceutical industry.

And the final award of the evening honoured outgoing Chair of BIOTECanada’s Board of Directors, J. Mark Lievonen, President of Aventis Pasteur Limited. Lievonen received the Contribution for Advancing the Benefits of Biotech for Canadians Award for his work in the biotechnology community.

UNE CÉLÉBRATION QUI A DE LA CLASSE BIOTECanada a tenu une assemblée générale annuelle et un Gala des prix réussis à la fin d’une journée de conférence bien remplie à Toronto le 29 mai. Cette journée de conférence était une première du genre pour BIOTECanada et a donné aux participants l’occasion de rencontrer en personne des représentants du gouvernement et des PDG de sociétés, et de participer à des ateliers interactifs.

Le Gala de remise des prix a couronné la journée en célébrant les récipiendaires. La soirée a été mémorable, avec les conférenciers invités Dr Mark Poznansky, président et directeur scientifique de l’Institut de recherche John P. Robarts, et Chris Rudge, PDG du Comité olympique canadien.

Brian Kerslake, directeur principal du marketing chez VWR International Ltd., a reçu le prix de la Contribution à l’association pour ses efforts dans l’application du programme de rabais à VWR International et à nos membres.

BPN amène l’idée de biopartenariat Europe sur notre continent. Il offre aux sociétés l’occasion de rencontrer des cadres du développement des affaires et de faire valoir leurs sociétés. Avec plus de 600 délégués représentant plus de 350 sociétés de 20 pays, le premier congrès annuel BPN s’est rapidement positionné comme un lieu de rencontre important pour les leaders mondiaux en biotechnologie.

There is a large demand for medication in developing regions of the world, and Canadians are finding themselves at the forefront of helping to bring affordable drugs to Africa, the Middle East and Europe.

Large scale transfers of technologies needed for developing countries to manufacture biopharmaceuticals are important achievements, and Montréal-based ProMetic Life Sciences is making it happen through a project announced in October 2003.

Des transferts de technologies d’envergure sont requis en vue d’aider les pays émergents à fabriquer des produits biopharmaceutiques, et c’est ce que fait l’entreprise montréalaise ProMetic Sciences de la Vie par le biais d’un projet annoncé en octobre 2003.

The partnership between ProMetic, the Institut Pasteur de Tunis and the Tunisian state corporation, La Pharmacie Centrale de Tunisie, will create a biopharmaceutical company in Tunisia to manufacture and commercialize much-needed drugs for 500 million people, at an affordable price.

L’alliance stratégique établie entre ProMetic, l’Institut Pasteur de Tunis et la société d’État La Pharmacie Centrale de Tunisie donnera lieu à la création d’une société biopharmaceutique en Tunisie, qui fabriquera et commercialisera des médicaments indispensables pour un territoire de 500 millions d’habitants, et ce, à un prix abordable.

The Canadian pharmaceutical community is also active in helping alleviate the challenges of HIV/AIDS. For example, GlaxoSmithKline reduced the not-for-profit prices of its HIV/AIDS medicines for qualifying countries and organizations and extended the voluntary license granted to Aspen Pharmacare, sub-Saharan Africa’s largest generics company, for the manufacture and sale of the antiretrovirals.

There has been much debate in the area of Life Sciences on how to make many of the world’s most fascinating biological discoveries into a viable product. Technology-assisted research efforts to map the human genome and similar projects in proteomics research have swamped scientists under a tsunami of new and exciting biological data. But at the same time, these research efforts have created a new challenge: How can Canadian companies quickly and cost-effectively leverage this data to develop marketable, commercial products?

tools as well as research and development resources to small and mid-sized biotechs. Under the ASP, or bio-utility model, health care professionals and Life Sciences companies get pay-per-use access to tools and resources that they couldn't afford to purchase on their own. This could result in savings of billions of dollars across the Life Science sector. They also could result in the faster commercialization of products created by Canadian biotechnology companies.

ASPs are generally known in the technology world for things such as customer relationship management, supply chains and help desk applications. In Life Sciences the possibilities of bio-utilities may seem sketchy at first, but when you think about it, they are endless. Bio-utilities could enable biotechs to “rent” software to help capture data, or provide access to large databases of information mined by other companies, all on a monthly fee or pay-per-use basis.

Under this model, health care professionals and life sciences companies get access to tools and resources that they could not afford to develop on their own.

Another example of a bio-utility is a biomechanical assessment system that was developed by Montréal-based Biotonix Inc. and rolled out to health care professionals and trainers in the U.S., Canada, Europe and Asia. One of the first health services that applies the bio-utility model to the field of Life Sciences, Biotonix has developed a sophisticated online biomechanical assessment system to help the more

Un autre exemple d’application du bio-utilitaire est un système d’évaluation biomécanique conçu par Biotonix Inc. de Montréal et déployé auprès de professionnels des soins de santé et d’entraîneurs au Canada, aux États-Unis, en Europe et en Asie. Biotonix worked to develop a system that lets health care professionals submit digital photographs of areas of the body that affect musculoskeletal form and function to a data centre. The postural assessment of the body is linked to a knowledge database capable of identifying all of an individual’s deviations and recommends corrective exercises to gradually bring the posture back into alignment.

After high profile successes with some well-known athletes, such as hockey player Mario Lemieux and Atlanta Braves pitcher John Smoltz, the service has been picked up by sports medicine clinics, physiotherapists, chiropractors and fitness trainers, who offer it to an increasing number of health conscious baby boomers, weekend warriors, and others, who want to improve their biomechanics.

IBM and many other observers of the sector have identified bio-utility-based online services for the Life Sciences sector as an enormous growth opportunity to help small Canadian companies advance the commercialization of their products.

It is expected that small and mid-sized biotech, pharmaceutical and health care companies will have access to a range of research and development, diagnostic and treatment tools over the Internet that they could never afford to develop on their own.

Biotonix, itself a small company, was able to attract some significant partners because of the promise of its offering and its bio-utility business model. Investissement Desjardins, the venture capital arm of Mouvement Desjardins, and Cadence Communications invested $10 million.

IBM Canada signed on as Biotonix’ technology partner because the Biotonix system provided an excellent opportunity to demonstrate how the concept of e-business on demand could be applied to the Life Sciences sector using the bio-utility model. The company’s application showcases all the capabilities that Life Sciences companies must have access to in order to grow and succeed in today’s challenging environment. With literally hundreds of health care providers around the world using the Biotonix application over the

Intellectual Property (IP) has always carried value and been guarded by its owners. It encompasses materials created by the mind such as designs, symbols, images and inventions. Industrial property, a subset of IP, includes trademarks, patents and industrial designs, but what would happen if IP wasn’t shared?

Canola growers know better than most what benefits have accrued from biotech products. According to the Canola Council of Canada, growers reported in 2001 an average $5.80 in net return for Ag-biotech varieties compared to conventional. This is due to higher yields, less dockage, lower herbicide costs and lower tillage costs. Reduction in tillage alone equated to 31 million litres less fuel used, a savings of $13 million.

Without IP protection and the sharing of great ideas, would we be experiencing new uses of plants? And not just new uses of biotech seed products, but using plants to produce fuels, pharmaceuticals, even clothes. The applications of plant biotechnology aren’t just in the agriculture sector. If the IP of scientists, whose great idea of using biotechnology to create alternative fuels, biofuels, wasn’t shared, would the technology exist today?

New varieties of seed and plant use continue to come to the marketplace providing Canadian farmers with timely access to innovative and leading-edge products.

Africa is a prime example to show how IP is being shared for mutual benefit. American universities, foundations and non-profit research institutions initiated the Public-Sector Intellectual Property Resources for Agriculture (PIPRA) to provide agricultural technology in the form of staple crops to the third world. With support from plant science companies donating patent rights, seed varieties and scientific know-how, the partnership between public and private sectors has evolved into a local voice called the African Agricultural Technology Foundation (AATF). AATF identifies African crop problems that may be solved with technology and works with companies and local governments to put better crops in the hands of small subsistent farmers.

and the world. The big companies have decided to donate their non-competitive IP so Africa can develop its own crops.”

Africans want to eat their local crops: cassava, sweet potatoes, sorghum and bananas, not North American food aid such as corn and wheat.

Florence Wambugu’s African voice offers a fresh perspective on the benefits of intellectual property to agriculture within a global context. By adopting technology here, Canadian farmers ensure that the wheel of innovation continues to move the plant science industry into the future.

Critics raise the fear that protecting IP will only benefit the developed world, helping the rich get richer while the poor get poorer. This outlook neglects the fact that there are many ways of bringing technology to growers around the world, with farms of all sizes.

One multinational company uses a three-tiered strategy. Where it makes sense to make profit is with Bt cotton in China and hybrid corn in Mexico. In other geographies such as India and Africa, it makes sense to offer transitional assistance to smallholders and those with conservation tillage projects. In yet other locales, there is simply no commercial transaction whatsoever. Access is given to the rice genome. Licenses are given for golden rice. IP is offered for virus resistance in sweet potatoes and papaya – subsistence crops which do not compete with other markets.

Although IP is costly to develop, plant science companies recognize that it is necessary to share knowledge in order to build agricultural capacity in developing regions of the world.

o-development and co-marketing agreements are an important aspect of commercialization and could be the most important and strategic agreements entered into by a growing biotechnology company as one way to bring a product to market. What is involved is the partnering of a small and large biotechnology company to carry out joint development or marketing. Before entering into an agreement, many legal issues need to be considered. This article looks at those key issues and need-to-knows of co-development and co-marketing agreements.

Negotiating and drafting effective co-development and co-marketing agreements is very difficult because of the uncertainty around the science or technology, market potential, competitive activity and third-party patent positions. Another reason these agreements are difficult to negotiate and draft is that they tend to combine aspects of intellectual property (IP) licenses, joint ventures, research agreements and clinical trial agreements. To effectively conclude a co-development or co-marketing agreement requires very specific knowledge of how these various topics interrelate and integrate with each other.

The following are listed in priority of “need-to-know” importance; however, the priorities may vary depending on the context of the deal.

Governance and Control of Joint Activities It often requires more than 10 years to bring a new biotechnology product or compound to market. As such, there is often a great deal of uncertainty around particular tasks that must be carried out and the priority of various activities. Often the parties establish a committee or series of committees to deal with the governance of joint activities.

For example, it is common to establish an executive committee (also referred to as a management committee or steering committee) and a number of subcommittees that may include a research committee and a marketing committee. The responsibility of these committees and the areas over which they are entitled to make decisions are usually set out in some detail. The discretion of the parties is constrained because the agreements specify that certain decisions must be made by certain committees. Various types of approaches can be used to determine how the committees will make or vote on decisions.

Intellectual Property Rights Issues surrounding IP rights are both critical and complex.

been made available to the other party, and they may want to address the extent of their right to take technology created under these agreements and use these rights for other purposes. Typically, to take biotechnology products to market requires anywhere from three to nine enabling patents. The parties may want to determine how the requirement or any necessity to pay royalties for enabling patents will affect the underlying economics of the deal they are making.

Rights to Technology Generated during Co-development There is a great deal of uncertainty about the compounds or products that will be developed during joint research activities. Most research projects generate more targets or potential compounds than can be taken through all stages of development. Smaller biotech companies will want to retain some rights to develop or market targets or compounds on its own. A key issue that the parties must address is the basis on which the different parties will have a right to select or exploit the targets or compounds arising from joint research. Sometimes this is done by giving the large pharmaceutical or biotech company the right to the first number of compounds that arise from the research. In

A related issue is whether the smaller biotech company will ever have rights or options to develop or market technology or products of the larger party to the agreement. This often provides the smaller company with a way to fill out its pipeline of commercial opportunities.

Scope of Licence and Product Rights Rights under these agreements are often allocated by indication, such as a specific disease or symptom. For example, for inflammatory diseases, this could mean the clinical symptoms of inflammation, or specific inflammatory diseases symptoms such as inflammation arising from infection, osteoarthritis, rheumatoid arthritis, or autoimmune diseases. Finally, this indication could refer to specific biological pathways that lead to inflammatory responses.

These different definitions will lead to broader or narrower rights under the agreements.

• Under what circumstances should a target or compound be dropped from the agreement? If parties perform some development work on a compound and then one of them loses interest, the other may want the right to deal with it. Parties therefore need to address the criteria and process for dropping a target and the economics behind reclaiming dropped targets.

The federal government has a number of programs designed to enhance our export development in the biotech field. How do DFAIT’s export programs (CCC, PEMD and EDC) assist biotechnology companies?

DFAIT’s Program for Export Market Development for Trade Associations (PEMD-TA) assists Canada’s national associations, on behalf of member companies, enter and increase their presence in important markets around the world.

Our current comparative analysis initiative, as discussed earlier, will meet many of the industry’s needs by improving the quality of information available to policy makers on biotechnology initiatives and strategies being developed around the world. Then, as a result of new intelligence obtained, Canada can effectively alter and create new multi-disciplinary policies to take advantage of new opportunities and identify future challenges. It is clear that through high quality information, enlightened policy makers, knowledgeable international representatives, and effective communication tools, Canada’s role as a responsible global leader in biotechnology will be strengthened.

Under the “Going Global Program” Canadian biotechnology companies and research institutions may apply for funding support to further their efforts in seeking international R&D collaborations.

Au début de 2003, le gouvernement du Canada lançait un plan d’action pour éclaircir les ambiguïtés du protocole et obtenir sa modification et sa mise en œuvre.

Depuis l’adoption du protocole en janvier 2000, le Canada a travaillé durement pour s’assurer qu’il sera pratique et efficace pour répondre à ses objectifs ou protéger la diversité biologique tout en veillant à ce qu’il n’ait pas d’effets indus sur le commerce.

The Government of Canada also provides a range of services for Canadian exporters through the Canadian Commercial Corporation (CCC) and Export Development Canada (EDC). The CCC can help Canadian companies sell to foreign governments and private sector buyers. EDC provides Canadian exporters with financing, insurance and bonding services as well as foreign market expertise.

On June 13, 2003, the Cartagena Protocol on Biosafety received its 50th ratification and entered into force on September 11, 2003. What is DFAIT doing to address the ambiguous provisions in the Biosafety Protocol, especially as they pertain to Canadian export interests?

The Protocol is designed to address the potential adverse effects of transboundary movements of living modified organisms (LMOs). LMOs are genetically modified organisms generated through the use of modern biotechnology that are capable of replicating and passing on their genetic material to subsequent generations. The Protocol was negotiated to provide a framework within which LMOs could be traded in a safe and responsible manner with due regard for the protection of biodiversity.

During our multi-stakeholder consultations held in September 2002, agricultural and biotechnology industries identified concerns with the ambiguities in the Protocol and questions on implementation.

In early 2003, the Government of Canada launched an action plan to address the ambiguities in the Protocol and to look at the evolution and implementation of the Protocol.

Since the Protocol was adopted in January 2000, Canada has worked very hard to make sure that it will be both workable and effective in meeting its objective of protecting biodiversity while ensuring it does not have an unjustified impact on trade.

What are your views on the recent CGSB vote on the development of a voluntary labelling standard for GM products? How is Canada reacting to the EU 0.9 percent labelling levels?

Q

The Department supports the voluntary standard developed through the CGSB. We participated actively in its development. We support a market-driven, voluntary labelling approach to provide information about how a product was made. We believe that this approach is consistent with our trade obligations.

Canada has been working bilaterally to register our concerns over the 0.9 percent threshold. Canada commented on the proposed regulations through the WTO notification process indicating that we were concerned that a threshold lower than 5 percent would not be workable. We will continue to monitor the implementation of the EU regulations for traceability and labelling and will respond accordingly through bilateral and multilateral channels.

As you know the Canadian biotech community is faced with important issues related to their longterm sustainability. Part of the solution will be successful partnerships and alliance building with international partners. How can biotech companies get more involved in trade missions, trade fairs and international delegations?

Q

Companies in the biotechnology sector can increase their visibility internationally by working with such associations as BIOTECanada to identify new markets and events to focus on in future PEMD-TA applications. Additionally, companies should establish close relationships with Trade Commissioners in target markets to help identify potential partnerships and alliances.

Le Ministère appuie la norme volontaire préparée par l’entremise de l’ONGC. Le Ministère a participé de près à sa préparation. Nous appuyons une approche d’étiquetage volontaire, issue du marché, permettant de fournir de l’information sur les modalités de fabrication d’un produit.

Nous croyons que cette approche est conforme à nos obligations commerciales.

Le Canada a œuvré à l’échelon bilatéral pour faire connaître ses préoccupations concernant le seuil de 0,9 p. 100. Le Canada s’est prononcé sur le projet de réglementation par l’entremise du processus de notification de l’OMC, faisant savoir son inquiétude, estimant qu’un seuil inférieur à 5 p. 100 ne serait pas utilisable dans la pratique. Nous continuerons à surveiller la mise en œuvre de la réglementation de l’UE concernant la traçabilité et l’étiquetage et réagirons en conséquence par les voies bilatérales et multilatérales.
