Beaver Courie Sternlicht Hearp & Broadfoot: David Taft Courie (DUI/ DWI defense, 2016) is representing a soldier stationed at Fort Bragg who was detained by authorities after he brought his assault rifle to the Cross Creek Mall in Fayetteville. The infantryman, who was by all accounts cooperative with the police, said he is pursuing an acting and modelling career and was at the mall to have professional head shots taken to send to the casting director of a new Captain America film.

Womble Carlyle Sandridge & Rice: Debbie W. Harden (banking and finance law; commercial litigation; employee benefits [ERISA] law; mergers & acquisitions law; trusts and estates, 2005) is part of a team representing Pepsi in a dispute with a company that operates 50 Wendy’s fast-food franchises in the Carolinas. These 50 Wendy’s restaurants are among the last in the country to serve Pepsi products, after the national franchise decided to switch to Coke in 1998. The local franchise operator is seeking to kill its agreement with Pepsi to purchase a total of 10 million gallons of soft drink mix; the soft drink giant says it is still owed $8.8 million.

Six Lawyers of the Year for estate planning help navigate the complicated and sensitive terrain of their practice area. Federal Transfer Tax Considerations in a Client’s Estate Plan The traditional emphasis on minimizing a client’s estate tax liability has decreased significantly as a result of tax law changes in 2012. Currently, a married couple must have assets in excess of approximately $11 million to incur federal estate tax at the death of the surviving spouse. Portability of estate tax exemption between spouses has caused many clients to simplify their estate plan and leave assets outright to the surviving spouse, as an exemption/ family trust share is not required to preserve the decedent spouse’s federal estate tax exemption. However, unlike the estate tax exemption, any Generation Skipping Transfer Tax (“GST”) exemption which is not used by the decedent spouse may not be used later by the surviving spouse. The GST is a separate penalty tax that may be imposed on assets that pass to individuals in a client’s grandchildren’s generation or below. Maximizing a client’s GST exemption is a powerful tool that can create multigenerational legacy planning for clients who may not incur a federal estate tax liability. Incorporating GST-exempt trust shares into a client’s estate plan will permit the trust assets to grow over multiple generations without being subjected to transfer tax while remaining in trust. An individual has a GST tax exemption of $5.45 million in 2016; therefore, with proper planning significant assets can be preserved transfer tax free for future generations. Although the focus of estate planning has shifted away from minimizing estate tax for a majority of clients, there are still opportunities to minimize transfer taxes that will greatly benefit future generations of a client’s family.

Defending Your Client’s Intent The primary focus for any estate planning attorney has always been to accurately express the client’s intent regarding the disposition of their assets. Of course, it is the practitioner’s obligation to ensure that this is done in a practical and tax-efficient manner. Working with the client during his or her life to formulate the appropriate plan is only one half of the client relationship. Estate planning practitioners have to be prepared to work with the survivors and the client’s personal representative to ensure that the plan is respected and properly implemented after the death of the former client. Estate planning lawyers frequently face disgruntled or disappointed family members that had different expectations than those expressed in the client’s documents. Often this is where the challenging work begins for the attorney—to defend your client’s intentions (and your own documents) against any challenge of incapacity or undue influence. For these clients, it is important for the estate planning attorney to fully understand the potential challenges that can be asserted through a caveat or declaratory judgement action. Where appropriate, some resolutions can consider competing needs and subsequent facts to reach compromise through a family settlement agreement. This useful tool allows the attorney to use his or her creativity to preserve the testator’s intent and still find some accommodation to resolve a dispute. A recent tax court case confirms that these resolutions can be reached through a settlement agreement without negative tax consequences where there is a legitimate underlying controversy. Estate of Redstone vs. Commissioner, 145 T.C. 11 (October 30, 2015). In addition to these traditional tools, as of August 2015, estate planning lawyers in North Carolina can formally establish the validity of a will before the testator’s death. This new “living probate” provision is found in N.C.G.S. 28A-2B-1, and while it offers unique relief in the right situations, it must be considered with caution. This new provision requires notice to all interested parties and full disclosure of the terms of the proposed will. Not all clients will want to fully disclose their intentions to all family members during their lifetime.

A succession plan helps facilitate the orderly transfer of a business from the current owners to the next generation of family members or to other parties, such as employees. Most business owners are reluctant to face the challenge of developing an effective succession plan because it forces them to confront their own retirement, and because it is a time consuming process. However, it is important for business owners to plan for the future of their businesses in order to monetize their investments and secure the continuation of their business. In contrast, the absence of a succession plan leaves much to chance, as disputes between heirs of a deceased owner or between heirs and employees can lead to unintended and disappointing results. Due to the complexities involved in developing a comprehensive estate and succession plan, it is essential for business owners to seek professional advice. Business owners should look to estate planning or business attorneys experienced in business succession planning. An attorney experienced in succession planning can provide valuable personal, business, and legal advice. Succession planning involves negotiating with the chosen successor, as well as drafting simple but effective legal documents. Important questions for the business owner to ask an attorney include business valuation, financing terms, possible earn-out, employment agreement including non-compete provision, buy-sell agreement terms, and keyman and purchase price funding insurance. These issues are essential considerations when structuring an effective succession plan.

The Final Chapter of Estate Planning

Trust planning requires advising clients regarding their options for structuring trusts to best meet the non-tax needs of their family. Trusts are an oft-used estate planning tool largely because of their flexibility to meet a variety of changing circumstances. Some common scenarios in which trusts are considered to be the best planning option include: 1. How to provide support for a surviving spouse without threatening the inheritance by children of a deceased spouse who are not the children of the surviving spouse. Suggestion: a Qualified Terminable Interest Property (QTIP) Trust 2. How to protect an inheritance from the creditors of a beneficiary who has, or may have in the future, creditor issues. Suggestion: a Discretionary Trust (Asset Protection Trust) 3. How to avoid suddenly distributing a substantial inheritance to a beneficiary, usually a child or grandchild, who has no knowledge or experience investing large sums and is vulnerable to those who are motivated to convert assets to fees and commissions. Suggestion: a Co-Trusteeship for a period of time to allow mentoring by an experienced Co-Trustee 4. How to provide for beneficiaries who are not yet adults. Suggestion: Trusts to provide time and opportunities for maturing and learning by beneficiaries—distribution in stages at different ages. 5. How to provide an inheritance in a form that motivates beneficiaries rather than demotivates, i.e., avoids creating “trust babies.” Suggestion: Incentive Trusts 6. How to insure that children and grandchildren inherit and not a controlling spouse of a beneficiary? Suggestion: a Discretionary Trust to or for the benefit of children and grandchildren exclusively.

While there are many charitable giving techniques available to a client, the right fit, whether outright gift, charitable trust, charitable gift annuity, or private foundation, can be determined by considering the following:

Eventually, estate planning becomes estate administration. The client dies, leaving his family to deal with his carefully crafted estate plan—or lack thereof. The process can be overwhelming for some family members and a nuisance to others, all occurring at an emotionally difficult time. The lawyer working with the family needs to understand the difficult situation the family is dealing with, and not add to the difficulty, while taking care of the estate administration mechanics and creatively solving the problems left by the decedent. First, estate administration is mechanics. The will is probated, putting in place an executor to wrap up the decedent’s affairs. The executor gives notice to potential creditors to time bar their claims and creates an inventory of assets for the court and accountings detailing funds coming in or out of the estate. The executor files all necessary income tax returns and, for larger estates, an estate tax return. Eventually, the assets are distributed to the beneficiaries and the estate closes: The mechanics of estate administration are done. But there is the other side of estate administration—even the most careful decedent will leave some “problems,” since, generally, people don’t plan up to the moment of death. The lawyer working with the estate has to solve those problems, which takes both knowledge and creativity. For example, a perfectly constructed tax plan done in, say, 2009 likely doesn’t maximize tax savings in 2015. An experienced estates lawyer can use many post-mortem techniques to improve a situation unintentionally left by a decedent. And even if the plan is perfect, there are decisions during estate administration, including many tax elections. For example, should portability be used to preserve a firstdeceased spouse’s estate tax exemption, or is that an unnecessary and, frankly, pretty painful exercise? Should the marital deduction be used and is alternate valuation appropriate? Again knowledgeable estates counsel needs to help determine the best options. There is an old saying that the best laid plans can often go astray—the estates lawyer, during estate administration, needs to make sure they don’t.

(i) the type of property the client wants to contribute and whether such property has built-in capital gain, (ii) the type of charity the client wants to make a contribution to—public charity or private foundation, (iii) whether the client has current income (this year and in the next five years) to utilize a charitable income tax deduction, (iv) whether the client’s estate will be potentially subject to estate taxes at death, (v) whether the client or a beneficiary of the client needs to utilize an income stream from the asset during lifetime or for a term of years, (vi) the impact of interest rates or a bear or bull market in determining if a charitable remainder trust is appropriate and how that trust should be structured, and (vii) whether the client has chosen a current charity to benefit or whether the client wants to benefit many charities which may change over time, or appoint family members or others to choose charities. Outright gifts remain the most popular with clients due to the ease of naming a charity in estate planning documents, but if a client has retirement accounts, naming the charity as beneficiary of the client’s retirement accounts yields a better income tax result for the client’s beneficiaries, as individual beneficiaries will pay income tax on distributions from retirement accounts (non-ROTH), and charities will not.

fter college, Rob Harrington considered divinity school and the ministry or a career in academia teaching history before he settled on the law. After completing his juris doctor at Duke and clerking for a New Orleans federal district court judge, Harrington jumped into practice in New Orleans, representing, he says, “mostly out of town business clients who were getting sued for whatever reason while doing business in Louisiana or along the Gulf Coast.” After about a decade in practice, Robert E. Harrington Harrington decided to join Robinson, Bradshaw & Hinson in Charlotte, home to Bank of America and the East Coast operations of Wells Fargo, and one of the nation’s hottest financial centers. Now, at the top of his game after 16 years in Charlotte, the banking and finance attorney humbly acknowledges that he’s had a happy path. “Looking back, mid-career—generously mid-career, anyway, since I don’t know if I’ll practice for 60 years—it’s been great to have a good practice that has been interesting, to do a bunch of things in and hopefully for the profession, and to have been fortunate enough to be pulled into doing a few good things in the community. That balance has been a real pleasure.” One thing bridging the legal profession and the community that Harrington has done is co-chair the board of the Lawyers’ Committee for Civil Rights Under Law for two years, working with lawyers in Washington, D.C., who are experts in employment, education, and housing discrimination, and voting rights law to find collaborators to fight civil rights cases around the country. Harrington continues his involvement with the Lawyers’ Committee and also works with Legal Aid of North Carolina, which does similar high-impact civil rights litigation on the state level. In his practice, too, as one might expect, Harrington excels. He speaks proudly of his role in a recently concluded multi-party banking case that had been almost seven years in litigation. After the marathon case was filed in 2007, one of the defendants—not Harrington’s client—took it on a detour to the North Carolina Court of Appeals over an arbitration clause. The case was held up in the appellate court for some time, then other factors, again not involving Harrington’s client, held the trial up even longer: “It was a very document intensive case,” Harrington says by way of explanation. Finally, when Harrington and his client had their shot in court, he successfully resolved the case for his client after two days of trial. “If there was one case over the last year that really distinguished my work,” Harrington says, “it was probably that case.”
