Ambassador’s Letter Dear Members of the Brazilian-American Chamber of Commerce of Florida:

I

t is challenging to think about countries that share so many historical, geographic, demographic, and economic similarities as Brazil and the United States: two continent-sized countries with vast mineral and agricultural resources, populated by diverse ethnic groups and economically driven by the most significant commercial, industrial and financial sectors of the world. The historical development of Brazil and the United States made them to be the two largest democracies and economies in the region today. It could not be otherwise that bilateral and strategic relations between both countries are reflected in such a dynamic way in political, economic and cultural terms. Thus, 2015 has proven to be a special year in the meaningful relationship between Brazil and the United States. The Presidential meeting this past June in Washington, D.C., had a special significance because it represented the resumption of a bilateral political dialogue in areas such as trade, the economy, energy, defense, and the environment, among other relevant issues of the international agenda. Photo: FABIANO SILVA On that occasion, Brazil had an opportunity to present to the business community the fiscal adjustment plan that the country has undertaken and the strengthening of its regulatory framework. Moreover, the Brazilian Government showcased its recently launched investment program in Brazilian infrastructure – which counts with a renewed focus on private sector participation. The areas of trade and investment are particularly fruitful for our bilateral relations. The United States is the largest foreign investor in Brazil and over the last years there has been a significant increase in Brazilian direct investment in the United States. In addition to being the main destination for Brazilian manufactured goods, the United States is the second largest commercial partner of my country. Concerning trade, it is important to highlight that the United States Generalized System of Preferences (GSP) was renewed, retroactive to July 31, 2013, through December 31, 2017, with regard to the exemption of import tariffs in the United States for a large number of Brazilian products. Despite the fact that tariff and non-tariff barriers continue to restrict the bilateral trade to and from Brazil, I welcome the ongoing efforts of trade facilitation and regulatory convergence, which certainly will enable significant opportunities for cooperation between both countries. The opening of the United States market to Brazilian beef is a clear example of direct gains from these ongoing negotiations. In this favorable scenario, Florida plays an important role for its geographical proximity to Brazil as well as for its substantial economic ties to the country I represent. In 2014, Brazil continued to be Florida’s number one international trade partner, with bilateral trade flows of US$ 20.8 billion. Florida also continues to be chosen for the establishment of major Brazilian multinational headquarters in the United States. And based on the increased expansion of economic development and international business exchanges between Brazil and Florida in the last decade, new investment opportunities on both sides have been consistently emerging. Thus, as the Brazilian presence in the state of Florida continues to expand, the potential to further investment and trade ties with Brazil is expected to increase over the long term. Therefore, due to its importance in fostering closer economic ties between Brazil and Florida, the Brazilian-American Chamber of Commerce of Florida has the full support of the Consulate General of Brazil in Miami in the creation of a friendly environment for Brazilian companies and investment opportunities. President’s Letter Dear Chamber Members:

I

am pleased and honored to be chosen for the second time to head this outstanding organization both in 2007 and again in 2015. The past year for the Brazilian-American Chamber of Commerce of Florida was epitomized by the quote, “It was the best of times, it was the worst of times.” The Chamber’s long-time mission to facilitate business relations between Florida and Brazil was, and is, being tested as never before. In Brazil, a very challenging economic operating environment requires an increasing level of guidance and expertise for businesses and investors to navigate. Here in South Florida, the levels of Brazilian investment are near their all-time highs, as everything from financial institutions to real estate ventures bulge from inflows of Brazilian equity and consumer purchasing power. In both good times and bad, the BACCF can and does play an ongoing and critical role in providing advice and direction. During 2014, bilateral trade between Florida and Brazil reached $20.8 billion, a record level representing a doubling of trade flows over the past decade. This stands as a clear testament to the large and growing relationship between Brazil and Florida, and firmly places the Chamber at the vanguard of facilitating and guiding the important business relationships that underpin bilateral trade. The Chamber continues to expand the scope and number of its activities for the benefit of its members. In the past year, we created the BACCF CEO Series, a lively forum bringing together CEOs of leading corporations to offer their perspectives and insights into doing business in Brazil. The Chamber also expanded the BACCF Road Show, which sends key members across Brazil to discuss doing business in the US. Over the past year, this successful project has reached over 800 individuals in eight Brazilian cities. Throughout the past year, the BACCF staff performed magnificently. One deadline after another was met because our staff gave their all to meet the needs and requirements of our 300-plus members. Their dedication to the Chamber is the backbone of this organization. The Chamber is committed to do more and achieve more in 2015 and beyond than we did in previous years. I convey my gratitude to each and every one of the Chamber’s members for making this success possible and for your continued support of our efforts.

he Brazilian-American Chamber of Commerce of Florida, Inc. This rapidly brought about the need for a Miami-based businessexchangeforumbetweenBrazilian

andAmericanfirms.TheBACCFalsomaintains closetieswithotherchambersofcommerce andbusinessassociationsacrosstheUSand Brazil. During the 1980s, the Chamber initiated monthly luncheons featuring prominent speakers involved in Brazilian-American business issues. The luncheons quickly becamepopularvenuesfortheexchangeof ideaswithintheBrazilian-Americanbusiness community.Throughoutits30-plusyearsof operation,theBACCFhasexpandeditsrange of activities to trade seminars, specialized workshops, sporting events, business card exchanges, and black-tie social events.

Multinationals such as British American Tobacco and Spanish construction conglomerate Abertis are among those taking advantage of depressed Brazilian asset prices to take publically-listed subsidiaries private. According to the Latin American Private Equity & Venture Capital Association, private equity investors stepped up their commitments to the tune of $2.3 billion in the first half of 2015, 20 percent more than the same period in 2014. Driving this growth are investors taking advantage of Brazil’s lower exchange rate and business ownerswhonowhaveagreaterincentive to work with private equity groups amid sharply weaker valuations. The outlook for the private equity industry in Brazil is promising due to its relative newness, limited competition, and the fact that managersarebecomingmoreexperienced, thus allowing for better performance. Another fund management entity, DGF Investimentos, currently operates four funds dedicated to venture and growth capital investments in Brazil, especially in the technology sector. The majority of companies in which these funds are investedareentitieswithrelativelystrong balancesheets,relativelylowsensitivityto exchangeratedepreciationandrelatively lower dependence on commodity prices – attributes which typically offer higher yields. Venture capital shows no signs of slowing. Brazil-dedicated private equity funds raised $4.1 billion in 2014, the largest amount since 2011, according to the Emerging Markets Private Equity Association. It is estimated that Brazil’s share of Latin American venture capital deals is on the rise, reaching 53 percent last year and is forecast to rise to 67 percent in 2015. A key reason cited is that Braziliansareamongthemostconnected citizens in the world, an incentive for tech companiesandinvestorsalike.Consulting companyA.T.Kerneyfoundthat71percent of Brazilians say they are connected to the internet at all hours of the day, the largest percentage of the 10 countries surveyed. Brazil has the fifth largest cell phone market globally, and the largest SmartphonemarketinLatinAmerica.The tech industry in Brazil is a favorite among investors because it is largely immune from the short term business cycle as consumersviewexpendituresoncoveted internet and cell phone service as largely nondiscretionary. Private equity is an importantdriverofmergerandacquisitions in Brazil with managers active in sectors rangingfromtechnologytotravel,energy and logistics. So-called “green field” investments – a form of FDI where a parent company startsanewventureinaforeigncountryby constructingnewoperationalfacilitiesfrom the ground up – totaled US$5.9 billion in Brazil during 2014. Over the past decade, total green field investment was nearly $160billionandrepresentedasignificant percentofcapitalexpenditures. Duringits peak year in 2011, data from the Financial Times show that green field FDI into Brazil totaledandestimated$50billion,whenit attractedmorethan500projects.Investing companiesenjoytaxbreaks,subsidiesand other types of incentives to set up green field investments while gains in jobs and technology accrue to the host country. China,despiteitsslowingeconomy,will be committing substantial investment in Braziloverthenextseveralyears.TheAsian powerhouse is set to spend $53 billion on an array of trade, finance and investment deals in energy, mining, aviation and sorely needed infrastructure upgrades. The agreement also includes a $1 billion purchase of passenger jets from Brazilian manufacturer Embraer,aliftingofChina’s import ban on Brazilian beef, and a long discussedplanto buildarailroadthrough the Andes to the Pacific. The injection of capital from China could not come at a better time for Brazil as it copes with recession and as China’s owneconomyslows,Chinesecompanies arelookingabroadfornewopportunities to invest and Chinese banks have begun to provide abundant financing. Chinese construction and steel companies are prepared to help Brazil overhaul its infrastructuretoreducetransportationcosts offortheexportofBraziliancommodities. Thiswillbesupportedbya$50billionfund setupatCaixaEconômicoFederalbyChina toinvestininfrastructureprojectsinBrazil. Meanwhile,Brazil’sgiantoilcorporation, Petrobras,signedtwofinanceagreements worth$7billionwithChinesestatebanks, a $5 billion credit accord with the China Development Bank and a $2 billion credit line with China’s Import-Export Banks. These substantial funds come at a critical time for Petrobras, which is reeling from a plungeinoilprices,yearsofhighspending, 28

Construction has already begun on a 2,800-kilometer transmission line by China’sStateGridCorporation,theworld’s largest utility that will supply power from Belo Monte hydroelectric dam under constructionintheAmazontotheenergyhungry industrial state of São Paulo. Meanwhile, Brazil and China have agreed to start feasibility studies on a railroad that will cross the Andes and link Brazil’s Atlantic coast to Pacific ports in Peru, allowingBrazilianexportstoChinatoavoid the Panama Canal. China’sTiajin Airlines has confirmed a previously announced purchase of a first batch of 22 E-190 passenger jets made by Embraer of 60 planes China pledged to buy in 2014. China is also extending its reach into Brazil’s banks with an 80 percent acquisition of Banco BBM SA by Bank of Communications Co. Ltd, China’s fifth biggest lender. China has also ended its embargo on Brazilian beef imports that had been in place since 2012. Eight Brazilianmeatprocessingplantshavebeen approved to ship to China, with more to come online this year. Finally, Brazilian mining companyVale has sold four large iron ore carriers to China Merchants EnergyShippingCo.,asitlookstoshoreup workingcapitalrequirementsinthemidst of an iron ore price slump. InvestmentinBrazil’shealthcaresector isanewvenueforforeigninvestorsthanks torecentlegislationtoallowforeigncapital investmentsinthecountry’spublichealth sector.Thischangeisexpectedtoincrease the attractiveness of Brazil’s health care sector over the long term. Investment in private health insurance has been legal since 1998, and the sector has received significant foreign interest in the past few years. Earlier this year, the Brazilian government began enforcing the new BrazilianHealthSectorLaw,whichwillallow for direct or indirect foreign investment into the industry, including acquisitions. This will boost inflows of foreign capital, accelerating the development of areas 29

Evenstrongerdemandiscomingfrominternal sources,thankstoprogressivelystrongerin-migration,recovering homeprices,andagreatlyimprovedlabormarket.Floridiansappear to be feeling better about the economy, with aggregate income gains strongly outpacing the national average and providing a furtherboosttoretailers,restaurantsandtheentertainmentsector. Constructionactivityisreviving,withdomesticdemandbeingthe primarydriveracrossmostofthestateandforeigninvestmentdriving gains in Miami. Transportation and logistics is growing in importance. Recent expansions to the state’s numerous port facilities, the addition of several new intermodal facilities and expansions at area airports highlightsomeoftherecentinvestment.Florida’seconomicbaseis alsomuchmorediversified.Someofthefastestgrowthisoccurring inhigh-techfields,includinglifescienceandhealthcare.Partnerships with research institutions and universities, along with the state’s highqualityoflife,arehelpingdrawmoreofthesebusinessestothe state.Florida’slong-runprospectsremainfavorable,asinvestments ineducationandworkforcedevelopmentproduceagrowingstream of skilled workers. In Miami and Fort Lauderdale,homepriceappreciationcontinuestooutpacethestate andnationalaverages,althoughpriceshaveyettoregaintheirprerecessionpeak.Thishasconstrainedsingle-familyconstruction,but burgeoningforeigninvestmenthasbuoyedconstructioninthemultifamilysector,andinMiamicondominiumsinparticular.Commercial real estate markets are also improving, but construction remains exceptionally modest compared with previous expansions. Florida’sgrossstateproduct(GSP)roseanestimated2.9percent during2014tototal$839billion.Thetri-countyregion,comprising Miami-Dade, Broward, and Palm Beach counties, represented approximately36percentoftheState’sGSP,or$297billionlastyear. BrazilismorecloselylinkedtoFloridathanwithanyotherUSstate intermsoftrade,tourism,andinvestment.During2014,$20.9billion inbilateralmerchandisetradewithBrazilpassedthroughFlorida’s ports, the bulk of which was shipped through the Miami Customs District, a vast group of seaports and airports stretching from Fort PiercetoKeyWest.TotalmerchandisetradethroughallFloridaports totaled$153.2billionin2014,withFlorida-Braziltraderepresenting 13.6 percent. ExportsfromFloridatoBrazilaredominatedbyelectrical andindustrialmachinery,andaircraft.Ontheimportside, Brazilian-made aircraft and parts dominated the list of goods delivered to Florida ports. Miami has one of the nation’s largest containerized ports in the US and is the largest in Florida. In 2015, it handled 7.7 million tons of cargo, more than half of it representing trade between Miami and Latin America and the Caribbean. Port Everglades, which handles containerizedfreightaswellasdryandliquidbulkcargo (especiallypetroleum)saw24milliontonsofgoodspass through the port in 2014. Miami International Airport handled 2.2 million tons of cargo last year and is the nation’slargesthubforinternationalfreightat1.9million tons in 2014. Brazilian investment continued to flow into the State during 2015 and remained robust through the first half of 2015. Nowhere has Brazilian investment dominated to such a large extent than in South Florida’s real estate sector. Brazilrankedasthetopforeigncountrysearching for real estate during 2014 and well into 2015. Brazilians accountedfor11percentofallpropertytransactionsinthe regionduring2014andpaidmoreonaverage-$149,000 perproperty–thananyotherinternationaldemographic. And although South Florida condo sales began to slow this year in tandem with a stronger US dollar, Brazilians continue to be key driver of demand locally. Indeed, the factthatMiamihomepriceshavesoaredtorecordhighsin termsofBrazilianreaisoverthepastyearhasdonelittleto thintheranksofbuyersasrealestatebrokeragescontinue to report strong Brazilian interest.

US-Brazil Trade USimportsofBraziliangoodsrose10.5percentin2014,their largestincreaseintwoyearsastheUSeconomicexpansion gainedstrength.Thelargestcontributorwasareboundin imports of Brazilian crude oil, which leapt 23.8 percent, representing58millionbarrelsofoil,andthefirstincreasein theimportsofthatcommoditysince2009,whenpurchasesof crude peaked at just below 113 million barrels. The bulk of Brazilian crude oil is refined in the US and exported back to Brazil,whichhasbecomeamajorimporterofUSpetroleum productsinrecentyears.Crudeoilimportscomprisednearly 17 percent of total US imports from Brazil during 2014. Also buoying US imports were Brazilian-made aircraft, which rose 28 percent in 2014 to $2.2 billion, a doubling of the level over the previous two years. Imports of semifinished iron and steel products rose to nearly $2.6 billion last year – a 27.4 percent increase over 2013 – in response totheUS’sreboundincommercialconstructionduringthe year. US imports of Brazilian grains, especially wheat, as wellassoybeandroppedsharplyby93.1percentin2014as US cropyieldsrecovered followingtwo years of shortages throughout North America. US exports of merchandise to Brazil slipped 3.8 percent in2014,theirfirstdeclineinfiveyears,asslowingeconomic growthlesseneddemandforUS-madegoods. Mostofthe decline occurred in the critical industry group of capital goods, which fell 9.9 percent, following a 4.1 percent decline in 2013, a direct consequence of the scaling back of capital spending by Brazilian businesses over the past two years. Weakness in exports was across all major categories of capital goods and especially for computer andrelatedequipment,andminingandoilfieldmachinery. Exportsofmilitaryaircraftweredownsharplyby44percent; commercialaircraftexportsfell9.1percentfollowingan8.3 percentdeclinetheyearbefore. Special Report: Brazilian Banking

I

n most countries of the world, a difficult economic operating environment would spelltroubleforanation’sbankingindustry, but not for Brazil where banks have ample experience – and success – in dealing with economic crises. One of the key strengths of Brazil’s banking sector is its absolute size, the largest in Latin America, with assets of US$2.06 trillion and possessing a high level of development and sophistication by international standards. Other key strengths includeastablecorecustomerdepositbaseand moderately deep and broad capital markets; banking regulation generally in line with internationalstandards;andlimitedexposure to risky lending. Brazil’s banking sector is dominated by domestic financial institutions comprised of bothstate-ownedandprivatebanks,whichare stock market listed. Among the state banks, BancodoBrasil,CaixaEconômicoFederal, and BNDES,whicharethelargest,haveconsiderable market share in part because they offer subsidized loans at lower interest rates, giving them a competitive edge over their private peers such as Itaú and Bradesco, a structure that is fairly common in emerging markets. In recent years, public bank loans in particular have driven the expansion of credit in Brazil’s economy. The market share held by the public banks has leapt by nearly a third from 2011 to 55 percent. Private banks’ market share has declined. Bycontrast,foreignowned banks have a smaller share of Brazil’s banking sector, just under a third, a share which has grown more modestly from about a 22 percentoverthepastdecade. The Banco Central do Brasil is the country’s banking sector regulator. Brazil has experienced a sustainedincreaseinlending to the private sector in recent years withlendingmore than doubling since 2003, rising from 24 percent of GDP to

56 percent today. Although many emerging economies experienced rapid credit growth, Brazil is among only a handful of major emerging economies that saw bank lending double as a share of GDP. Total bank credit is not unsustainably high compared to other emergingmarkets.Duringthecurrenteconomic downturn, net changes in lending to both consumers and business have been trending downwardintandemwithaslowingeconomy, butabsolutelevelsofcreditoutstandingremain at or near all time highs. Brazil’s corporate banking sector is adequately diversified with moderateleveragelevelsthatarebelowthose of most of its international peers. Corporate lendingrepresentsapproximatelyone-thirdof GDP. Intermsofthecompositionof banklending to the private sector, consumer credit has experienced the largest increase. Lending expansion in this segment was driven by rising domestic consumption, bankruptcy reform,andpayroll-deductionschemes,which has made banks more willing to lend. And although consumer interest rates are high by internationalstandards,borrowinghasbecome moreaffordableandwidespreadespeciallyas largeswathsofBrazil’spopulationareaccessing creditforthefirsttime. Indeed,Brazil’sgrowing

middle class provides significant opportunity for banking sector growth over the long term. In spite of the rapid growth in domestic bank lending, the substantial increase in riskier consumerlendingandthelengtheningofloan maturities,theBrazilianbankingsector,onthe whole, remains in solid shape. This is due to theindustry’shighcapitaladequacyratios,their large holdings of highly liquid assets, a low reliance on foreign funding (and thus global volatility) and high reserve requirements (far higher than other emerging economies). In addition,banks’liabilitiesandassetsarelargely denominatedinreaisandlocalforeign-currency lendingisprohibited. Assuch,banksfacestrict limitations in terms of foreign exchange risk they are allowed to run. Residentiallendinghasexpandedsignificantly in recent years rising from 4.8 percent of total loans a decade ago to around 13 percent currently.Followingthegovernment’seffortsto expandthehousingsectorthroughthe“Minha Casa, Minha Vida”program in 2009, housing credit grew at 42 percent per year during the period following its implementation. Caixa Econômico Federal, a government-owned bank, holds approximately three quarters of the country’s mortgages. As there is no subprime lending in Brazil’s housing market,

a price bubble event would have limited impactonthefinancialsystem.Residential lending growth should continue to be a rapidlyexpandingsegmentofbanklending overthelongtermaspent-updemandfor housing and banks’ willingness to lend drive home loan expansion. Brazil’s loan market is highly segmented. Loans are divided into so-called “earmarked” and “nonearmarked” credit. Earmarked credit referstocreditoperationswithcompulsory allocationand/orgovernmentresources. Specifically,thereexistsdirected-lending requirementsspecifyingthatafixedshare of deposit liabilities needs to be lent to the agricultural and housing sector at below-market interest rates. In addition, BNDES, the state-owned development bank, offers credit at below-market rates. Non-earmarked credit, by contrast and by definition, is not subject to directedlending requirements. Although Brazil’s banking industry is coming under increasing stress this year in terms of asset quality in tandem with the weak economy, it is expected to remain broadly stable as most major banks remain well capitalized. Moreover, Brazil’sfinancialleverage,asmeasuredby assets-to-capital ratio, remains generally in line with regional peers. Expected retrenchment by public sector banks will rein in loan growth this year to under 10 percent versus an annual average of 12.6 percent during the previous two years. Brazil’sloan-to-depositratioisexpected toremainnearcurrentlevelsoverthenear term,justbelowthe100percentthreshold asloangrowtheaseswhiledepositgrowth inchesaboveitslowssetinthefirstquarter of 2014. As such, the funding structure of thebankingsectorisanticipatedtoremain relativelystable. Additionally,theindustry is benefitting from the growing spread between what Brazilian banks charge for loans and what they pay depositors as a funding cost. As Brazil’s real has fallen versusthedollar,inflationhasincreasedto more than 9 percent. Interest rates have

risen, too. As such, the lending versus funding spread has increased markedly, to more than 30 percent, up 10 percentage points from two years ago and producing handsome returns for banks. However,non-performingloansasapercentoftotal loans are climbing from their recent lows. Given that public banks accounted for much of the loan growth in recent years, this bodes well for private banks who are not as heavily exposed. The private banksalsohavelowercost-to-incomeratios. Itaú’s is just 50 percent versus 55 percent for Banco do Brasil. As a result, return on equity, as well as its price-to-earnings multiple, are higher for Itaú. This year, Brazilian banks should benefit from

better spreads between their funding costs and lending rates. The key to defending the industry against the economic downturn will be the controlling of operating costs and credit quality. Theprivatebanks,withtheirlowercost-to-income ratios,relativetotheirpublic-ownedpeers,appear better positioned to achieve those ends. At the same time, the industry’s capital buffers at the systemiclevelappearadequatetocopewithrising default rates that typically accompany economic recession. All in all, Brazil’s banking industry appears well positioned to weather the current economic recession and some lenders could even prosper.

A popular choice: the EB-5 investor option By personally investing $500,000 in an EB-5 Regional Center project or business and creating U.S. jobs, the investor can first obtain conditional permanent residence, then full permanentresidency. Inaddition,theapplicant’s financialcommitmentmaybe$500,000,plusan administrationfee(estimatedat$45,000.00)and immigration attorney’s fees.The EB-5 Regional Centerandtheassociatedprojectwillinvolveits own management and project directors. Hence, the active management of the EB-5 project is clearly not by the Brazilian EB-5 Investor.The EB-5 Regional Center involves the Brazilianinvestormakingapersonalinvestment in a separate new commercial enterprise entity. Thatnewcommercialenterpriseentity,whichis the recipient of the investment funds, can make

a loan to the job-creating entity.This entity will receive the funds to finance the EB-5 project, and is managed by its directors and principals. The Brazilian investor takes more of a passive role in the management of the new commercial enterprise. After developing the professional attorney relationship with the investor and discussing one-on-one the EB-5 process to the investorandofferingimmigrationduediligence, one may predict there will be a commitment by Brazilian investors to an EB-5 regional center project. Choosing the US under EB-5 There are key reasons for pursuing the EB-5 investmentprocesstoobtainpermanentresidency in the U.S. These include a stable domestic economy; rising valuation of the U.S. dollar; a reliablelegalsystem;aqualityeducationsystemfor theirchildrenwithgoodprospectsforprofessional employment; and a high standard of living.

Several US immigration choices for Brazilians DIRECT OWN U.S. EB-5 BUSINESS Brazilians have been traveling to the U.S. both astouristsandbusinesspeopleengagedintrade andinvestmentsbetweentheU.S.andBrazilfor over 30 years. They recognize that Brazil and the U.S. both adhere to a legal system which enforcescontractsandthusaremorewillingto establishtheirownU.S.businessandpersonally direct their U.S. operations. In this context the Brazilian investor may wish to invest his or her EB-5personalinvestmentfundrequirementinto theirownU.S.businessandpersonallydirectthe operations. Althoughthismaybetheintentof theBrazilianinvestor,theywillnotbeabletolive, workordirecttheirU.S.EB-5operationuntilthe EB-5 investor’s I-526 petition and conditional permanentresidencyvisahasbeenapproved,a process that can take well over a year. Duringthisinterim,andwithsomeflexibility, investorscanhastentheirentryintotheU.S.by pursuingalternativenon-immigrationprocesses, allowingthemtodirecttheirnewU.S.operations possiblywithinafewmonths.Indeed,investors canpursuethesenon-immigrationprocesses concurrently, or before the filing of their EB-5 petitions. (PleasenoteasoftheendofSeptember2015,the EB-5RegulationsmaychangebyU.S.Congress, andtheminimuminvestmentrequirementmay increase) BRAZILIANS HAVE THREE CHOICES, NAMELY 1) To obtain a non-immigrant visa (L-1 or E-2) allowingthemtotemporarilydirectandoperate their U.S. business.This will allow the Brazilian owner, investor executive, spouse and minor childrentoobtainthesevisasinamatterofafew months, and with a lower level of investment. Brazilians who are dual nationals of a country that has a treaty with the U.S. (such as Italy, Spain,Germany,France,etc.)canapplyforthe E-2 visa. It should be noted that neither Brazil norPortugalhasanE-2treatywiththeU.S.The E-2 Visa is based upon the Brazilian investor whohasadualnationality,makingasubstantial investmentofpersonalfundsinaneworexisting U.S. commercial enterprise. Alternatively, a Braziliancompanywhichhasbeeninexistence for more than a year can open a subsidiary or affiliate U.S. office which is new or already in existence. The U.S. office can prepare and file anL-1intracompanytransfereepetitionforthe Brazilian executive, manager (or specialized employee)totheU.S.business. AnewL-1office

(e.g.,subsidiaryofparentBraziliancompany)the Brazilian will obtain a visa for one year while the E-2 visa can be granted for up to 5 years (sometimes less and possibly two years). 2)ToobtainpermanentresidencyintheU.S.through theEB-5Directprogram,orEB-5RegionalCenter projectinwhichotherexecutivesandmanagers operatetheU.S.EB-5project,theBrazilianinvestor willinvesthisorherpersonalfundsandauthorize other managers to direct the U.S. project. 3) To first obtain immigrant or permanent residency status through the L-1 process, followedbypermanentresidencythefollowing year (or at a time to be determined) as the U.S. L-1 business expands its revenues and employees.Braziliansmayalsoquicklyenterthe U.S. temporarily on a student visa status. EB-5 REGIONAL CENTERS In the EB-5 market, the majority of EB-5 petitions are filed with EB-5 regional center projectscomparedtoasmallminorityofdirect investments. However, there are hundreds of EB-5RegionalCenterprojectsandsometimes Direct EB-5 projects which need investors. Brazilians need to make a choice as to which EB-5RegionalCenterprojectismoresuitablefor investment of their personal funds. It is advisable the EB-5 investors retain an experiencedEB-5attorneywiththeexpertise to assist the Brazilian investor in making an immigration choice. The EB-5 immigration attorney will be able to offer immigration due diligenceandprovideadviceastowhetherthe projectisEB-5-compliantwithallregulationsand policies.TheEB-5Immigrationattorney’sopinion astowhethertheEB-5projecthasabasisforthe investortoobtainconditionalandunconditional permanent residency process becomes very important.TheEB-5immigrationattorneywill advisetheinvestortoseekprofessionalguidance from their own accountants, business and investmentadvisorsastothefinancialviability oftheproject.Inaddition,therepresentativesof theprojectwillbediscussingthebusinessand financialviabilityoftheprojectwiththepotential Brazilian investors. Effective and efficient relocation OncetheBrazilianinvestorsdecidetheydesireto liveandworkintheU.S., either onatemporary or permanent basis, their intent is to quickly establish binding ties to the U.S. Usually,BrazilianswillhaveB-1andB-2visas thatmayallowthemtospenduptosixmonths at a time in the U.S., while F-1 and F-2 student visasallowthefamilytoimmediatelyliveandgo to school in the U.S. If investors decide to pursue permanent residency through the EB-5 Regional Center projectortheEB-5DirectProject,theymayalso decide to obtain the L-1 and E-2 visas so as to quicklybeabletoliveandworkintheU.S.Once theirconditionalpermanentresidencyisobtained, 18monthslater,theinvestorsmaydecidenotto pursuetheE-2orL-1businesses.Thatis,theymay desiretocontinuetooperatetheirU.S.businesses not under the L-1 or E-2 regulations. Pre-immigration tax planning Currently, theEB-5processwilltakeayearand a half for the investors to obtain conditional permanentresidency.WithcertainEB-5regional center projects, approval may only take a few months.Onceinvestorsdecidetheywillobtain conditionalpermanentresidency,itisadvisable for them to immediately retain the services of anexperiencedinternationaltaxattorneyand financial advisor to direct and provide advice on legal processes to minimize their U.S. and Brazilian tax burdens. Now is the time for Brazilians to relocate Brazilians recognize the essential need of retaining experienced immigration and tax attorneysandaccordinglypayingforreasonable attorneyfees.Thechoicetoretainattorneysand otherbusinessprofessionalsshouldbebased upontheirparticularexpertiseandtheirability toprovideeffectiveduediligenceandguidance –andnotthattheymaychargethelowestfees. With best practices, Brazilian investors can receive immigration due diligence from the immigrationattorneyandalsoreceiveinvestment advice from independent sources, such as accountants or other financial advisors, and/ orcommunicationwithRegionalCenterIssuer principals, so as to decide on the best EB-5 RegionalCenterprojectfortheirimmediategoals.
