COMMUNITY SLA

This Service Level Agreement (SLA) outlines the terms and conditions under which Azure Voice, an Afrocentric community elevating VOICES of Africa globally, will provide publishing services.

The SLA outlines various aspects of its services, including but not limited to global pitching, rights management, monetisation and professional input following industry-based standards

In addition, the community shall provide strategy processes, industry-based advice, Afrocentric lifestyle, security, and collaboration opportunities The community is built on transparency, ethical business practices, and mutual respect.

Through this comprehensive SLA, the community reaffirms its dedication to the success of each IP Creator, fostering a partnership based on trust, integrity, and a shared vision

Introduction: This Service Level Agreement (SLA) outlines the services, responsibilities, and expectations between Azure Voice an “Afrocentric Community” and its "IP Creator" regarding repertoire publishing services

Criteria:

➔ Speak Afrikan Dialet

➔ Must be above the age of 3

➔ Demonstrate the ability to create User-Generated Content (UGC). Click here to see a sample on our YouTube channel

➔ Have a storyline.

IP Creators accepted within our network are onboard as ‘Afrocentric Creators’ and are not eligible for sponsorship until they meet the other terms of this agreement However, we have partnered with creative studios, acquiring 80% of checkout codes for our community members

All IP Creators within our network are advised to use recommended brand partners for material creation and the community DIY tool for submission. Afrocentric IP Creators who maintain industry standards and meet other terms of this agreement are referred to as ‘The African Passage” and are eligible for full project sponsorship.

Criteria for becoming an African Passage:

➔ The social footprint of 500k

➔ Release a minimum of 14 Repertoire.

➔ Actively engaging fans

➔ Be legally free

➔ Must spend a minimum of 6 months within the network.

➔ Maintain industry standards

All IP Creators who meet the above criteria will be designated as ‘The African Passage’ and are eligible for full project sponsorship.

➔ Branding Support: Professional branding services, including logo design, social media strategies, and brand partnerships, to strengthen the IP Creator’s public image

➔ Wardrobe Allowance: A wardrobe allowance to maintain a stylish public image for performances, shoots, and public appearances, supporting their visual identity.

➔ Private Security: Personal security services, including private escorts and bodyguards, ensure the Creator’s safety during public appearances, performances, and travels.

➔ Housing and Accommodation: Arrangements for comfortable and convenient housing during tours, events, or work-related purposes

➔ Lifestyle Support: Assistance with managing personal schedules, bookings, and overall well-being, enabling the Creator to focus on their creative work without distraction

➔ Scholarship: Opportunity to attend one of the Pan-African universities

➔ Future Union: Agrees to transition into the Future Union as part of their long-term career development This transition will provide access to the Afrocentric global network, resources, and industry expertise

➔ Advance Royalty: Eligible for advance payout

➔ Ads Placements: Physical Ads Placement, Digital Ads Place, In-place Ads placement

Community Policy

➔ Legendary can only join this network via invitation

Catalog Management

➔ Service Agreement Compliance: agrees to uphold the terms of this Service Level Agreement (SLA) and deliver services promptly as outlined

➔ Distribution Profile: under this SLA, Creators should not onboard a personal distribution account. If the Creator already holds an account before entering into this agreement, the Creator must provide proof of receipts.

➔ Third-Party Catalog Approval: does not operate third-party catalogues However, in special cases where approval is given (20% Split Sheet allocation must be sent within 74 hours)

➔ Third-Party Catalog Administration: If approved, both parties agree to act as administrators on the catalogue

➔ Sub-Catalogue Creation: give an exclusive right to create a sub-catalogue for global pitching

➔ Third-Party Administration Fee: agrees to pay a one-time engineering fee of 250 USD into the publisher's wallet

IP Creator's Catalog

➔ Archive Maintenance: agrees to maintain a comprehensive archive of all repertoire registered under this agreement

➔ Credit Information: provide accurate and proper credit information for all production sessions. This includes the song title, session credits, International Standard Recording Code (ISRC), and Universal Product Code (UPC).

➔ Collaboration Research: agrees to conduct thorough research before collaborating with other artists to be keen on industry standards

➔ Catalogue Admin Fee (CTF): agrees to the previously outlined Catalogue Transfer Fee.

➔ Eligibility Confirmation: must confirm their eligibility for third-party cataloguing

Catalog Sustainability

➔ Adoption of SoundCredit as the industry-standard tool.

➔ Catalogue Management: agrees to maintain a well-organized and updated catalogue that includes all repertoire properly grouped This includes, but is not limited to:

◆ STEMs (Stems): Isolated tracks for each instrument or vocal

◆ Instruments: Tracks or parts related to the instrumentation used in compositions

◆ Vocals: All vocal recordings, including lead vocals and harmonies

◆ Backup Elements: All secondary elements, such as audio tracks, backing vocals, or instrumental overdubs, must be stored on SoundCredit

➔ Security and Integrity: acknowledges the importance of securing repertoire and agrees to use the DIY tool and SoundCredit to maintain industry standards

➔ Compliance: agrees to regularly update catalogue and composition elements on SoundCredit, ensuring compliance with industry standards

➔ Non-Sharing of Catalogue Data: agrees not to share any repertoire from their catalogue with any individual, person, or company. This includes, but is not limited to, stems, tracks, compositions, or any other materials related to their music and creative works

➔ Media Requests: agrees to direct everyone to their discography page per industry standards.

➔ Asset Understanding: agrees that any repertoire added to the Community’s production library will remain a lifetime asset

➔ Ownership and Usage: maintain equal rights to ownership of the content, granting them exclusive rights to pitch globally

Future Cataloging Clause

➔ Future Cataloging Transition: agrees to transition into the future, ensuring long-term collaboration and support for their repertoire

➔ Administration: acknowledges that all repertoire will be clouded for global access and lifetime recovery.

➔ Dedicated Access: will maintain the same catalogue Identity for a lifetime, ensuring consistency and recognition across the global industry.

➔ Credit Information: provide all relevant details about recording sessions using the DIY tools

➔ Ensure transparency in the credit information

➔ Provide proper split sheet information for all musicians on projects.

Right Management

➔ Global representation with industry-standard compliance

➔ Provide accurate metadata information

➔ Facilitate projections

➔ Negotiate and enforce compliance with all music users

➔ Provide comprehensive data-driven insight

Royalty Management and Disbursement

● Global Royalty Collection: collect all types of royalties from all relevant entities

● Payment Processing: according to the agreed-upon split sheets

● Tax Compliance: handles all necessary taxes

● Payment Threshold: a minimum of 100 USD

● Transparency: publish the total earned royalty statement publicly

IP Creator on Tax Compliance

➔ Report any form of royalty to ensure an accurate reporting system

➔ To ensure compliance, anyone granted access to a third-party catalogue must complete the W8BEN US Tax Form with their distributor.

Projection Strategies

➔ Global Pitching: pitch content for global access

➔ Collaboration: facilitate co-writing opportunities and collaborations.

➔ Professional Input: tailored career guidance using data-driven insights

➔ Professionally Generated Content (PGC): create PGC to enhance the portfolio

IP Creator on (UGC)

● UGC Creation: create a UGC that resonates with the release

● Social Media Activity: keep social media active, including regular posts, updates, and stories, to ensure ongoing engagement with followers.

● Synergy on PGC: be available for PGC creation

● High-Resolution Standards: maintain a visually appealing and professional profile across all platforms

● Branded Profile Maintenance: agrees to consistently maintain a branded profile that reflects their identity and professionalism, ensuring their image aligns with the global standards of the Community

● Organic Approach: pitch the creator’s profile on all web directories for future establishment

● Data-Driven Optimization: use data-driven insight to route projection trajectory

● Playlist Pitching: pitch for editorial and curator playlist for a global audience

● Global Profiling: onboard with a reputable union body for international scaling

● Licensed Studio Requirement: produced in a reputable studio with a valid production license, ensuring compliance with industry standards.

● Session Credit Updates: provide accurate session credit

● Industry Standards: adherence to industry standards

● Promotion Input: The release still requires basic budgeting for whitelisting.

● Performance Monitoring: tracking milestones and providing detailed reports and insights for future decisions

Projection Clause

➔ Adherence to Industry Standards: certifies that if they fail to adhere to the above industry standards, they acknowledge the necessity of following the proper procedures to release their repertoire

➔ Exclusion from Authenticated Playlists: understand that non-compliance with these standards may result in their sound being excluded from authenticated playlists due to procedural discrepancies.

➔ Responsibility for Promotion Costs: certifies that if they did not follow industry release standards their repertoire requires social engineering to reach the right audience and they will bear all associated costs

➔ Social Engineering for Audience Sync: acknowledges that if they fail to follow the release plan, the repertoire may require social engineering to be synced with the right audience, which will necessitate financial budgeting

➔ Ad Placement and Digital Ads Budgeting: acknowledges that even if they follow industry standards for the release, physical ad placements and digital ads still require budgeting

➔ Playlisting Submission Fees: acknowledges that while it is not an industry standard to pay for playlisting, some media outlets may require a submission fee

➔ Retention of Royalty Rights:

Upon completing their journey at WITNESS, eligible African Passages will be considered as having reached the pinnacle of their career in the community Since WITNESS operates exclusively on an invite-only basis, African Passages shall be granted executive status, entitling them to VIP access to WITNESS and its future projects

Community Commitment to SLA

➔ Timely Response: certifies that all requests submitted via the Helpdesk will be acknowledged and attended to within 48 hours of receipt

➔ Resolution Timeframe: commits to resolving requests within 1-5 working days, unless in exceptional circumstances

Hierarchy of Command

➔ Respect for Hierarchy: acknowledges that the community operates under a clearly defined hierarchy of command and agrees to respect this structure at all times

➔ Adherence to Protocols: commits to following the established protocols for communication and decision-making, ensuring smooth operations

➔ Non-Breach Agreement: agrees not to breach the chain of command during their active engagement or after exiting the network

➔ Ethical Conduct: affirms their dedication to maintaining professional and ethical conduct in all interactions, both within and outside the community.

Creator's Assets

1 Domain Name as Primary Asset: confirms that they understand their domain name is their primary asset and must carry the same configuration as their Afrocentric name.

2 Domain Transfer: confirms configuration of the domain name to the community for monitoring, protection, and renewal.

3 Electronic Press Kit (EPK): acknowledges that their Electronic Press Kit (EPK) should be within our network

4. Bookings: maintain the same booking information across all landing pages.

5 IP and Repertoire Management: agrees that the Community has the right to handle their intellectual property (IP), repertoire, and other important assets, ensuring they are properly managed

Meet The VOICES

➔ Introduction to the VOICES: acknowledges that upon opting into this agreement, they were introduced to the VOICES and understand the roles of these individuals The VOICES are executives within the community.

➔ Respect and Professionalism: The IP Creator understands that respect for the VOICES is crucial even as the community grows.

➔ Acknowledgement of Voice Status: The IP Creator who successfully onboards this form, knows that they are one of the VOICES

Event & Networking

➔ Internal Event Planning: All event projections are planned and handled internally by all the IP Creators within the community This collaborative approach ensures that every participant adds professional input and contributes to the success of each event

➔ Profit Sharing: Profits from all events and tours shall be shared equally among all participants This ensures fairness and equal recognition of the efforts contributed by every IP Creator involved in the event or tour

SLA Clause

Non-Disparagement: agrees not to make any public or private statements, either directly or indirectly, that may harm, disparage, or tarnish the reputation, goodwill, or credibility of the Community, its affiliates, or its stakeholders This obligation shall remain in effect both during the term of this agreement and indefinitely after its termination

Conflict of Interest: agrees not to engage in any business activities, agreements, or collaborations that may conflict with the interests of the Community or its affiliates The Creator must disclose any potential conflicts of interest immediately, and the Community reserves the right to take appropriate action, including termination of this agreement if such disputes arise

Breach Penalty: In the event of a material breach of this agreement by the Creator, the Creator agrees to compensate the Community for all damages incurred, including but not limited to financial losses, legal fees, and loss of reputation The Community reserves the right to seek injunctive relief or other remedies to prevent further harm

Non-Solicitation: agrees not to solicit, hire, or otherwise engage any employees, contractors, clients, or partners of the Community for a period of the contract following the termination of this agreement. This includes attempts to divert business, clients, or resources from the Community

Cybersecurity and Data Protection: agrees to maintain strict confidentiality regarding access to the Community’s systems, data, or intellectual property Unauthorised use, sharing, or access of the Community’s systems, including attempts to introduce malware, disrupt operations, or extract sensitive information, will result in immediate legal action and termination of this agreement

Intellectual Property Misuse: agrees not to use, adapt, sublicense, or otherwise exploit the intellectual property created under this agreement in any way Any such actions will result in immediate legal action and financial penalties

Non-Competition: agrees not to establish, work for, or collaborate with any competing Community, platform, or organisation that operates within the same market or offers similar services as the Community during the term of this agreement and for 100 years thereafter

Fraud and Misrepresentation: warrants that all information provided to the Community is accurate and truthful Any fraud, misrepresentation, or concealment of material facts will constitute a material breach of this agreement, subject to immediate termination and legal action.

Asset Protection: acknowledges that all resources, tools, platforms, and networks provided by the Community remain the exclusive property of the Community. The Creator agrees not to assert ownership, claim, or misuse such assets for personal or external purposes, either during or after the term of this agreement

Whistleblowing and Internal Complaint: agrees to report grievances, disputes, or concerns to the Community’s designated representative or through the official complaint mechanism The Creator agrees not to publicise internal matters or pursue external remedies without exhausting the internal resolution process

Exit Strategy: In the event of termination or expiry of this agreement, the Creator agrees to assist the Community in transitioning all ongoing projects and ensuring no disruption to operations The Creator shall not withhold materials, assets, or information related to the Work or the Community’s business.

Sabotage: agrees not to engage in any actions, either directly or indirectly, that may disrupt, harm, or sabotage the Community’s business operations, reputation, or resources This includes but is not limited to defamation, interference with contracts, or dissemination of false information Such actions will result in immediate legal action and significant financial penalties

Ownership and Licensing: shall jointly own the intellectual property (IP), with each party having equal rights within their respective domains However, the Creator grants the Community the exclusive right to pitch the IP globally and utilise it as a lifetime asset within the Community's Network. The Creator certifies that this agreement reflects the Community's service level terms, which they have voluntarily entered without coercion or undue influence. The Creator further agrees that now or in the future, they will have a different level of interest or access to the Community's resources and network than the Community itself

Grant of Rights: grants the community exclusive access to act as a business manager globally

Revenue Sharing/Royalties: This shall be according to the configuration window.

Indemnification: warrants that the Work is original and does not infringe on third-party rights The Creator agrees to indemnify and hold the Community harmless against any claims, liabilities, damages, or legal expenses arising from alleged or actual intellectual property infringement or other violations associated with the Work

Termination: Either party may terminate this agreement with 90 days written notice Upon termination, all rights granted to the Community shall revert to the Creator, except for works already published, in production, or permanently integrated globally.

Confidentiality: Both parties agree to keep all business, financial, and proprietary information confidential This includes all unpublished work, economic terms, and strategic plans shared during the term of this agreement, except as required for execution or by law

Force Majeure: shall not be liable for delays or failures in fulfilling its obligations due to events beyond its control, including but not limited to natural disasters, government actions, or technological disruptions

Governing Law: shall be governed by and construed by the laws of Nigeria and other African communities Any disputes arising under this agreement shall be resolved within this jurisdiction

Dispute Resolution: Any disputes arising from this agreement shall first be resolved through mutual negotiation. If no resolution is reached, the parties agree to submit to binding arbitration under the rules of Nigeria and other African communities, with the decision being final and enforceable

Dispute Restriction: agrees that they shall not acquire, attempt to acquire, or hold any shares, assets, or other ownership interests within the Community, either directly or indirectly, during or after the term of this agreement. The Creator further agrees not to raise, initiate, or participate in any discussions, negotiations, or disputes regarding the ownership structure, assets, or governance of the Community Any such attempts will constitute a material breach of this agreement, subject to immediate legal remedies

Non-Compete: agrees not to engage in publishing, licensing, or other commercial agreements for works similar to or competing with the Work covered under this agreement with any third party during and after the term of this agreement.

➔ IP Creator certified that they have thoroughly read and fully understand this service level agreement (SLA)

➔ Adherence to Industry Standards: agrees that all repertoire releases must adhere to industry standards for global projection. And if the release does not follow industry standards, the repertoire will require social engineering
