DEAR NTMA MEMBERS, As we begin a new year, let’s put 2009 with its bank failures, automotive bankruptcies, and business declines behind us. I would like to invite you to the 2010 Annual Convention to begin building bridges – bridges from your company to the next generation of workers, bridges to new technology and bridges to networking with peers and allied trade associations. The Annual Convention will provide a first step in this building process. With programs on Succession Planning, TurnAround Strategies and understanding what our government is doing to help (or hinder) our businesses, we are sure you will take home

valuable information. Providing timely and relevant program content is important; however, why travel to an island paradise and spend entire days in hotel meeting rooms? At least three afternoons have been left unscheduled so that you can enjoy some time in the sun. By late February/early March sun and sand will be awfully inviting! Joy and I look forward to seeing many of our old friends, as well as making many new ones in St. Thomas. Please join us as we begin our year advocating for NTMA and the industry.

Transition Planning: Building Bridges for the Future

Surviving the Present by Preparing for the Future

9:30 a.m. - 12:00 p.m. Les Banwart Banwart Strategies, Dayton, OH What will happen to your family business? Will it stay in the family? Is the next generation ready? Is the current generation ready to hand over the reins? According to Les Banwart, transition planning can help you find the answers that will bridge these gaps. Involving more than what’s commonly understood as succession planning, this is an ongoing process that gives the family the knowledge and tools it needs to resolve generational differences, solve interpersonal issues, and avoid common mistakes. This multifaceted approach – with the enduring success and happiness of your family as its goal – is nothing less than one of the most important things you and your family will ever do together. Les believes that an effective transition plan for your business will protect your family's wealth and bring clarity to the family’s vision and long-term direction. It will provide guidance for the various generations to communicate with each other. Working with all family members helps to create a more satisfying transition to the next stages of their lives.

9:00-11:00 a.m. Dan Pring HANC Business Advisors, LLC, Grand Rapids, MI Periods of economic and financial distress pose special challenges to the capabilities and decision-making processes of most professional management teams. Not only do such occurrences increase demands on existing managerial abilities, but they also create a whole new spectrum of legal, accounting, and financial considerations that impact the renewal process. Today’s increased competition, cyclical and volatile financial markets, and economic trends have created a climate in which no business can take stability for granted. While many companies have turned to downsizing as a stopgap measure to improve their economic health, downsizing alone has its own adverse consequences in that it thins the ranks of managers groomed to assume top positions. Moreover, a volatile business environment may turn once-successful, growth-oriented CEOs into hesitant managers who no longer can provide strong leadership during periods of retrenchment.

Many families delay transition decisions because they don't know where they can find answers to these highly complex and personal issues. Given these fears – and the lack of a strategic blueprint for guidance – many families see their family relationships and wealth shrink with each passing generation. But as Les points out, there are solutions to these issues, and it all starts with effective communication as you build those bridges for the future.

As once-stable, profitable, and competitive companies struggle to improve operational and financial performance, the expertise of corporate renewal professionals is critical to this revitalization process. Dan Pring is founder of HANC Business Advisors, LLC, a turnaround firm that can offer both short-term and long-range strategies and tactics to survive your financial storm and make plans for a profitable future. He has extensive experience in applying sound practices of turnaround management to over 20 tool & die and mold companies.

Nearly 40 years of experience has given Les a deeper sense of understanding family issues. More than simply applying knowledge, his approach is based on the inherent compassion and empathy that comes with understanding the common challenges that confront families as they try to decide what is best for their family and their business.

Dan is a member of the Turnaround Management Association and the National Association of Certified Valuators. His unique background has helped him establish a reputation with both the banking community as well as the Bar Association of America as a tenacious advocate of debtor rights.

This program is brought to you by the NTMA Next Generation Team.

Keeping an Eye on Washington 10:00 a.m. – 12:00 noon Omar Nashashibi and John Guzik The Franklin Partnership, Washington, D.C. The Franklin Partnership, LLP (TFP) is the Washington D.C.-based bi-partisan government relations firm representing NTMA on Capitol Hill and at the White House. The firm’s partners have over 50 years of combined experience working in Congress, the Executive Branch, and on behalf of a diverse client base that includes metalworking associations, defense manufacturers, and hospital systems, among others. Policies developed by the federal government impact every step of the manufacturing process. Whether health care reform, climate change legislation, OSHA regulations, or taxes, what comes out of Washington affects your business every day. TFP will provide an update on important policy priorities making their way through the legislative and regulatory processes that impact all NTMA members. NTMA was successful in 2009 working with the Administration on improving access to credit for manufacturers and with Congress in securing key tax provisions to help businesses receive immediate refunds. TFP will review opportunities and threats to our businesses coming out of the nation’s capital, provide an update on the political atmosphere and campaigns, and how to increase the association’s influence and strengthen the industry’s voice in Washington.
