Building a Culture of Belonging

Welcome to the 37th Annual National Bar Association Commercial Law Section (“NBA-CLS”) Corporate Counsel Conference here in San Antonio Hill Country, and I am delighted and honored that you are joining us for a worldclass three-day experience focused on our mission of providing inspirational programing, thought leadership, and strategic networking to promote our members’ priorities and interests.

This year’s conference theme, Rising to the Occasion: Protecting Our Legacy, was intentionally selected to address the sentiment of the past year. In today’s competitive marketplace, diversity of thought and lived experiences remain CHAIR our superpowers. Nonetheless, we have seen increasing criticism of diversity, equity, and inclusion (DEI) in the legal profession, law firms and corporations facing lawsuits attacking their DEI programming and multiple states banning books or enacting legislation eliminating DEI roles and programs in higher education. This concerted effort to chill speech and undermine the efforts to increase diverse representation in commercial and corporate law will potentially have long-term detrimental effects unless we stay the course. As such, we remain steadfast in our commitment to promote and elevate the breadth and diversity of legal expertise in our Section. We know representation matters and so despite these public attacks, we gather in San Antonio to reaffirm our commitment to promote a legal profession that reflects the rich diversity of our communities.

EXECUTIVE VICE PRESIDENT, CHIEF LEGAL OFFICER AND CORPORATE SECRETARY Dominion Energy CARLOS M. BROWN is Senior Vice President, Chief Legal Officer, and General Counsel. Brown joined Dominion in 2007 as Senior Counsel. He has served in various business, operational and legal roles until he was promoted to Vice President and General Counsel in January 2017. In December 2019, he was promoted to Senior Vice President, General Counsel, and Chief Compliance Officer. He assumed his current position on September 1, 2022.

Prior to joining the company, Brown was the Managing Partner of Brown Martin PC and President and Managing Member of the Obsidian Capital Group LLC. Brown previously practiced law as an associate at McGuireWoods LLP. Brown received his bachelor’s degree and law degree from the University of Virginia where he was an Echols, Achievement, Underwood and Hardy Cross Dillard Scholar. While an undergraduate at the University, he also had the honor of serving as president of the student body. He was recognized for his contributions to the University by being initiated into the IMP, Thirteen and Raven Societies. In law school, he served as president of the Black Law Students Association.

Brown currently serves as Vice Rector on the board of visitors of the University of Virginia. He also serves as director of NextUp, the Virginia Museum of History and Culture, and the Dominion Energy Credit Union. Until 2018, he served as the chair of the Dominion Energy African American Resource Group.

Previously, Brown served on the boards of Feedmore, Inc.; the Virginia Small Business Advisory Board; the board of visitors of Christopher Newport University; the Richmond Virginia Chamber of Commerce Foundation; the Virginia Poverty Law Center; Boaz and Ruth, Inc.; and the transition teams of Governor Ralph Northam and Mayor Dwight Jones. He is a 2006 Richmond Style Weekly Top 40 under 40 award recipient. In 2017, in recognition of his work in the community, he wasrecognized as a Leader in the Law by Virginia Lawyers Weekly. In 2018, Savoy Magazine named Brown one of the most influential African American Attorneys in America. In addition, he was named to the Virginia Legal Elite for Corporate Counsel by Virginia Business Magazine and inducted as a fellow of the Virginia Law Foundation. In 2019, he was named to the GC Power List. He is also a member of the Richmond Forum, the Executive Leadership Council and NACD Directorship Certified.

CHONDA JORDAN NWARU is Executive Vice President, General Counsel

& Secretary for Ameren Corporation. Ms. Nwamu is the primary legal advisor to Ameren’s Board of Directors and senior management, and she leads the General Counsel function, which includes the company’s legal, corporate governance, federal regulatory and legislative affairs, and enterprise ethics and compliance departments. She also serves on Ameren’s Executive Leadership Team as a contributor to overall strategic direction of the Company.

Ms. Nwamu joined Ameren Services Company in 2016 as vice president and deputy general counsel of the legal department, was promoted to senior vice president in 2019 and was promoted to executive vice president in 2023. In the deputy general counsel role, she led Legal Department strategy and operations, and oversaw the department’s various practice areas including regulatory, transactional, environmental, labor and employment, and litigation and claims.

Prior to joining Ameren, Ms. Nwamu practiced law at a California investorowned electric and gas utility. During her 16 year tenure at the California energy utility, she served in a variety of legal, regulatory and customer-focused roles including Managing Counsel and Senior Director. Prior to joining the California energy utility, Ms. Nwamu was in private practice at a commercial litigation law firm in Philadelphia, PA where she specialized in complex commercial litigation including pharmaceutical products liability defense.

Chonda Jordan Nwaru

Ms. Nwamu previously served as president of the Conference of California Public Utility Counsel. She was also selected to participate as a Fellow in the Leadership Council for Legal Diversity, and the International Women’s Forum leadership programs.

Ms. Nwamu earned a Juris Doctor degree from the University of Pennsylvania.

She also holds a Bachelor of Arts degree in English from the University of Virginia. Ms. Nwamu is committed to community service, and is an advocate for diversity and inclusion in the legal profession. She is a member of the Executive Leadership Council and serves on a variety of boards. She also serves as the 2023 Chair of the St. Louis Go Red Campaign for the American Heart Association. Ms. Nwamu was appointed to the Board of Directors for BellRing Brands Inc., and also serves on the Board of Directors of the Boys and Girls Club of Greater St. Louis. She was also appointed by the Mayor of St. Louis to serve as a city Commissioner on the St. Louis Zoological Park Subdistrict Commission.

She resides in the city of St. Louis with her husband and two children.

CORA T. WALKER This is awarded to an NBA member who has a longstanding history of supporting the Commercial Law Section and promoting diversity. Cora T. Walker was a legal pioneer, who was admitted to the New York State Bar in 1947, which was a time when very few women and very few Blacks were practicing attorneys. She also was a former Chair of the Commercial Law Section and was one of the NBA members who organized the first Corporate Counsel Conference. Thus, the Corporate Counsel Conference is part of her legacy. Ms. Walker’s life and her service to her community represent what is best in us as a people.

In 2013, the National Law Journal named Cari one of the “100 Most Influential Lawyers in America” for her work as lead class action counsel in the Toyota Unintended Acceleration MDL. Cari has been heavily involved in Alston & Bird’s diversity initiatives throughout her career in various capacities. She served on the firm’s Diversity Steering Committee since its inception and acted as co-chair for over five years. Prior to that, Cari served on the committee’s pre-cursor, the Minority Issues and Awareness Subcommittee of the Associates Committee. She also created and is currently co-chair of Alston & Bird’s Women of Color Attorney Affinity Network, which aims to provide support, facilitate connections, and offer networking opportunities to women of color. JOHN LEWIS, JR. CORPORATION OF THE YEAR The National Bar Association Commercial Law Section named its corporate diversity award “John Lewis, Jr. Corporation of the Year Award” in honor of Mr. Lewis’ contributions to the organization and the professional development of junior attorneys. Mr. Lewis has had a long and distinguished career. He served as Chief Litigation Counsel for The Coca-Cola Company, advising C-Suite and board members on matters including government investigations, corporate compliance, and class action litigation. He also served as the company’s Global Chief Diversity Officer as well as a trusted advisor on non-legal matters including brand reputation and stakeholder issues. Presently, John serves as the Managing Partner to the Houston Office of Shook, Hardy & Bacon.

John has served as a panel Chapter 7 bankruptcy trustee for U.S. Bankruptcy Courts in Kansas City and Atlanta, administering assets in nearly 10,000 cases over a combined decade. John is currently serving as a court-appointed federal equity receiver in a $300 million cryptocurrency/Ponzi scheme case pending in Houston federal court.

Mr. Lewis understands the importance of the partnership necessary between in-house and outside counsel to achieve the best possible outcomes. His experience in the C-Suite, where he advised business leaders as well as his time in the courtroom overseeing high stakes litigation provided an excellent foundation for his leadership and years of devoted service to the Commercial Law Section. Mr. Lewis served as Chair of the Commercial Law Section from 2000 to 2003. During his tenure, the organization implemented critical foundational changes which enabled the Section to rise to new heights.

The Corporation of the Year Award is one of the highest honors presented by the NBA-CLS. The corporate recipient is selected based on: 1) historical support of the Commercial Law Section and the Section’s initiatives; 2) demonstrated leadership in diversity initiatives, including a commitment to diversity in the hiring of external counsel; and 3) commitment to diversity in the corporation’s in-house counsel hiring.

The award is a fitting tribute to a legal giant who remains humble and committed to diversity.

Breaking Down Language Barriers: Today, nearly half the world’s population can’t access online content in their preferred language. That’s why Meta launched No Language Left Behind (NLLB), an AI-enabled system that so far can translate 200 languages, including 56 African languages, with state-of-the-art results. We’re also working on Universal Speech Translator, an AI system that provides instantaneous speech-to-speech translation across many under-resourced languages, even those that are primarily oral traditions.

Remote Work Drives Diverse Representation. We’ve shifted our mindset to a distributed-first approach, where opportunity isn’t limited by geography. When we say “distributed first,” we mean a group of employees working together, but from different geographic locations, whether in-office or remote. Roughly 75% of Meta teams are working this way.

JEAN-MARIE SYLLA, JR. LEGACY The Jean-Marie Sylla, Jr. Legacy Award was established in 2017 to honor the memory and legacy of a dedicated servant leader within the NBA Commercial Law Section. He served on the Section’s Executive Committee for a number of years and spearheaded many of the Section’s newsletter communications and programming.

In addition to his service with the Commercial Law Section, JeanMarie served as the NBA’s General Counsel from 2015-2016 and was a former member of the NBA Board of Directors. Jean-Marie was also an active member and 2015 Diversity Fellow of the American Bar Association’s Solo, Small Firm, and General Practice Division.

Jean-Marie was the founding partner in the Washington, D.C. based law firm, Taylor, Sylla & Agin, LLP that specialized in insurance, commercial, business, and real estate litigation. Jean-Marie passed away on September 30, 2016 at the age of 47. Jean-Marie is survived by his mother Delia Sylla, his long-time love Lisa M. Hathaway, their children Joelle and Jean-Marie, III, a host of cousins, aunts, uncles, friends, colleagues, and his fraternity brothers from the Omega Psi Phi Fraternity, Inc. The Jean-Marie Sylla, Jr. Legacy Award is a fellowship presented to a recent law school graduate that provides $1,500 to cover registration and travel expenses to attend the NBA Commercial Law Section’s Corporate Counsel Conference. The fellowship is made possible by Lisa M. Hathaway.

ASHLEY BASNIGHT is a recent graduate of The University of Connecticut School of Law. Concentrating her studies on human rights, Ashley served on the Connecticut Journal of International Law and as a student mediator in the Mediation Clinic, where she mediated employment cases brought before the Connecticut Commission on Human Rights and Opportunities.

Strongly interested in alternative dispute resolution, Ashley competed on UConn Law’s ABA Mediation and Arbitration Competition teams. Additionally, she studied Intercultural Negotiation and Mediation and International Arbitration at the Humboldt University of Berlin.

Outside of academics, Ashley served as the President of UConn Law’s Student Bar Association. Her term ended with her being awarded with the Bronze Key Award by the American Bar Association’s Law Student Division. She was also the Vice President of the Diversity Alliance and Events Chair of the Black Law Students Association.

This past summer, Ashley interned with Amplify through the NBA-CLS BLM Internship Program. In 2021, she interned with BIC also through the BLM Internship Program.

Prior to law school, Ashley earned her B.A. in Sociology and Criminal Justice from The State University of New York at Albany and worked as a paralegal with Brooklyn Legal Services Corporation A.

This signature session features legal strategists, advocates, and policymakers challenging Texas Senate Bill 1 (2021) related to election integrity, and security. With the trial concluding in mid-February just steps from our conference site in the United States District Court for the Western District of Texas, this discussion is both proximate and timely. By way of background, Lupe et al. v. Abbott is a consolidation of cases interpreting Section 208 of the Voting Rights Act. Private plaintiffs alleged that SB 1 violates Section 208’s federal voting assistance and disproportionately impacts voting rights of Black and Latino voters as well as individuals with disabilities. Our all-star panel includes representatives from NAACP Legal Defense Fund, Delta Sigma Theta Sorority, Inc., a co-plaintiff represented by the NAACP Legal Defense Fund, and local Texas legislators. Our panel will discuss the procedural history and their critical role in demonstrating the threat of the Bill and its measurable impact.
