Welcome to a New Year, with new goals and a fresh perspective on the clean slate for 2023. As your Chairman for 2023, I want to take a moment to share some of the exciting initiatives that we as a Chapter will be working on throughout the year.
In 2022, ABC Keystone embarked on a new course. . With the absorption of ABC Central PA, we grew from an organization that served 10 counties to one that now serves 33 counties. Geographically, we now represent almost half of the state of Pennsylvania. Over the past year, we have re-established the ABC foothold in the Nittany Valley Region and are poised to offer some of the same great services we have become accustomed to here in the Keystone region. Our team has begun establishing relationships with the local Career and Technical Centers (CTCs) in the region as we look to expand our efforts in workforce development and training. We will also be hosting events and education opportunities, and looking to the members of the Nittany Valley Region to share what they see as the missing service offerings that we may be able to provide. We have an abundance of opportunities ahead of us. Be on the lookout for events and opportunities that we will be offering in the Nittany Valley Region.
Workforce Development and Education initiatives continue to expand. This year, we will be planning for programs designed to mentor new and small businesses, by partnering them with other industry professionals that can share their expertise and knowledge. Workforce availability is a challenge we all face. ABC Keystone will continue to create external partnerships with an emphasis on diversity and outreach. Through research that was conducted by the Inclusion, Diversity, and Unity Committee, we have identified many of the barriers to entry into the industry which we plan to address. And as we have done for the past number of years, we will continue to expand our efforts with entry-level recruiting, working with CTCs and other internal programs that we can offer to the schools within our region to create exposure to and excitement about the industry.
On the legislative side, we will continue to contend with more of the same. With over 60 freshmen legislators entering the capitol, our political advocacy team is going to be spending much of their time introducing these new members to ABC and; advancing ABC’s legislative agenda. During our strategic planning session back in September, we put a bit of a different spin on Political Advocacy. We

shifted from our age-old defensive posture and took more of an offensive approach, more of a grassroots approach. We established attainable goals and will be looking to our members this year for creative ways of spreading the word about ABC.
When it comes to member strength, we continue to expand our membership to levels that we haven’t seen in almost 8 years, not counting the consolidation of the Central PA Chapter. When we add in the new members from the Nittany Valley Region, we will have ended 2022 with a membership count of roughly 655 members. By membership, we are the 4th largest chapter in the country. In 2023, we will continue to focus on communicating the value of membership to prospective new members and continue to track our member engagement, which will provide us valuable insight as to what programs and services our members want and need.
Lastly, and possibly the most important of our initiatives is of the safety and health of our workforce. As we all know, we work in a high-risk industry. The construction industry ranks #4 for having the highest number of fatal accidents in any industry. As ABC members, we are committed to providing our employees with a safe work environment. Currently, 22% of our contractor members are participating in the STEP program - a program that is proven to make employers safer. Though STEP may not be right for every contractor member, this number should certainly be much higher. A task force was established late in 2022 to focus on how to increase member participation in the program. Additionally, we as a chapter will be implementing programming for Total Human Health, the next step in the evolution of creating a safer work environment. We can no longer look at safety as exposure to just bodily injury. Mental health and emotional well-being must also be factored into our approach.
In closing, I am excited about the year ahead of us. We have a strong membership and great momentum with a clear set of goals. If you have any questions regarding our initiatives or want to share an idea you may have, feel free to reach out to me or any one of the board members or staff.

64 Years and Going Strong
Yes, another year has passed and so we enter the 64th year of the Keystone Chapter’s existence. In the same way we look to our storied past for inspiration, we look to the future for opportunity and growth. 2023 will be no different than any other year. It will provide us and our members with many challenges, but with challenges come opportunities.
Challenges Ahead

With Covid regulations all but behind us what will be the major challenges that we face in 2023? The midterm elections were not necessarily kind to our organization. As we closed out 2022 we already saw a Project Labor Agreement dropped on a State project. Two new Responsible Contractor Ordinances have been dropped in our backyard. These tactics are employed by the other side to prevent you from bidding or using your employees on publicly funded projects. These agencies don’t object to taking your hard-earned tax dollars. They just want to dictate who can earn those dollars. Yes, the Keystone Chapter will continue to fight these tactics via communication and legal means where possible.

The great news is despite the challenges we have many opportunities. As we enter the second year of our three-year strategic plan we will continue to work on our four main objectives:

The Staff, Board, and Committees have put strategies and tactics in place and set metrics to help deliver on these objectives. The Chapter will continue to inform you, the members, of our shared progress along with opportunities to help you grow your business survive in these times.

Apprenticeship Update

Classes Begin Feb. 13, 2023
There’s still time to register an apprentice for the ABC Heavy Equipment Operator apprenticeship classes for the New Level 1 Class starting on February 13, 2023. ABC Keystone will once again be partnering with the Lancaster County Career & Technology Center (LCCTC) Brownstown Campus for the classes where students will have access to their equipment and training area to experience hands-on training.
Companies can also sign up for module training on one or more of the following specific pieces of equipment:
LOADERS DOZERS
Covers the uses of wheel and track loaders, as well as operator maintenance, loader safety, and operating procedures. Includes procedures for using loaders in excavation, grading, and demolition work.
EXCAVATORS
Identifies and describes the common types, uses, and components of excavators. Safety guidelines, prestart inspection procedures, and preventive maintenance requirements are presented. Basic startup and operation are described, and common work activities associated with excavators are covered.
SCRAPERS
Describes the types of scrapers used in site preparation, as well as the safe practices associated with the operation of scrapers. Covers operator inspection and maintenance requirements, along with startup, shutdown, and operating techniques.
Identifies and describes the common uses, types, and components of dozers. Safety guidelines, prestart inspection procedures, and preventive maintenance requirements are presented. Basic startup and operation are described, and common work activities associated with dozers are covered.

OFF-ROAD DUMP TRUCKS
Identifies and describes the common types, uses, and components of off-road dump trucks. Safety guidelines, prestart inspection procedures, and preventive maintenance requirements are reviewed. The basic startup, driving maneuvers, loading, and dumping procedures for off-road dump trucks are covered.

CONSTRUCTION BACKLOG JUMPS to Highest Level Since 2019

From Construction Dive: Dive Brief: Construction backlog in November reached its highest level since the second quarter of 2019, as contractors with under $30 million in revenue landed new jobs faster than expected, according to Associated Builders and Contractors.

ABC’S Construction Backlog Indicator jumped in November to 9.2 months, a 0.4-month uptick from October and a 0.8-month increase from November 2021, according to the report.
“The rise in backlog is remarkable and unexpected,” said Anirban Basu, ABC’s chief economist. “A number of contractors have been reporting that their backlog has risen rapidly over the past three months, which is counterintuitive given the pervasive view that the broader economy is headed into recession.”
Dive Insight: The move illustrates the whipsaw cadence of construction since the beginning of the pandemic, when new projects have stumbled to get out of the gate due to supply chain and labor challenges but the demand to build has remained high.
It also marks a U-turn from last month’s backlog report, when October numbers showed the largest monthly decline since July 2020 in the commercial and institutional category. At that time, Basu said October’s slump indicated an emerging weakness in the nonresidential construction sector.
However, in this month’s reading, the commercial and institutional category, along with healthcarerelated construction, led the improvement in backlog, according to ABC.
Given those come-and-go indicators, questions remain whether that positive backlog growth can continue, said Basu.

“While it seems unlikely that backlog will hold up in the face of the Federal Reserve’s efforts to slow demand, many predicted that backlog would have dipped by now and that has yet to transpire,” said Basu. “What’s more, many contractors expect sales and staffing levels to climb over the next six months, while profit margins are projected to remain stable.”

ASK AN ATTORNEY Understanding Indemnity Clauses in Construction Contracts
By: Jonathan A. Cass, Esq. and Joseph L. Sine, Esq. Cohen Seglias Pallas Greenhall & Furman PCThe indemnification clause is one of the most highly disputed provisions in every construction contract. The indemnification clause’s specific language can significantly impact a company’s risk exposure. Thus, it is critical for every contractor to understand the meaning of indemnification before executing a contract.

An indemnification provision is a contractual provision under which one party (the indemnitor) agrees to assume liability for the losses incurred by another party (the indemnitee). Indemnification provisions can be classified into three different levels. To understand each level, consider the following hypothetical: a subcontractor’s employee falls into an excavated trench and suffers severe injuries. The employee sues both the general contractor and the owner, alleging that their failure to properly supervise and maintain the site was the cause of his injuries. (The employee didn’t sue his employer, the subcontractor, because of workers’ compensation immunity. Whether an indemnitor waives workers’ compensation immunity through an indemnification provision is a complex issue for another day). If the general contractor agreed to indemnify the owner (i.e., act as an indemnitor), which party is responsible for any damages awarded under each level of indemnification?
Intermediate form indemnification requires the indemnitor to pay for the indemnitee’s negligence unless the indemnitee’s negligence is the sole cause of the loss. To identify these provisions, look for the language such as “even if caused in part.” This indemnification requires the indemnitee to potentially pay 100% of the loss, even if its own responsibility is minimal. If the contract in our hypothetical contained intermediate form indemnification and a jury determined that the owner was 35% responsible and the general contractor was 65% responsible, the general contractor would be responsible for payment of 100% of the damages.
Broad form indemnification requires the indemnitor to pay not only for losses for which it is responsible but also for losses solely caused by the indemnitee. You may be thinking: that doesn’t seem fair. Many states prohibit broad form indemnity; however, Pennsylvania courts will enforce clearly drafted broad form indemnity provisions. You can usually identify broad form indemnity by the language “in whole or in part” or “sole negligence.” Under our hypothetical, if the general contractor (the indemnitor) agreed to broad form indemnification, even if the jury found the owner’s negligence was the sole cause of the employee’s injuries, the general contractor would be responsible for all damages awarded to the employee.
Limited form indemnification provisions do not require the indemnitor to pay for the losses caused by the indemnitee. These provisions usually state indemnification is required, “but only to the extent” the losses are caused by the indemnitor’s actions. Stated more simply, limited form indemnification requires each party to pay for their own liability. If the general contractor in our hypothetical agreed to limited form indemnification, and a jury found that the owner was 5% responsible for the employee’s injuries and the general contractor was 95% responsible, each party would be responsible for their own respective percentage of damages.
As you can see, precise language can substantially change the parties’ risk exposure if a personal injury or property damage claim involving the project is commenced.

Level One: Broad Form Indemnification Level Two: Intermediate Form IndemnificationNew NLRB Rule Will Limit Contractors Options

In the most recent of significant changes to existing labor law, on November 3, 2022, the National Labor Relations Board (NLRB) published a Notice of Proposed Rulemaking ironically titled “Fair Choice and Employee Voice.” This proposed rule would rescind a Trump-era rule that modified three areas of prior NLBR practice. One aspect of the proposed rule is of particular significance to the construction industry. As you know if you have attended any of the multitude of labor law programs put on by the Chapter, employers in the construction industry, and in the construction industry ONLY, are permitted to enter into a collective bargaining agreement even if no employees have expressed any desire to be represented by a labor union. Because this action is specifically permitted by Section 8(f) of the National Labor Relations Act, the relationship is referred to as an 8(f) bargaining relationship and construction industry bargaining relationships are presumed to be governed by 8(f).
Over the years, there have been numerous disputes regarding what is required to convert an 8(f) relationship into a 9(a) relationship which is the type that exists in all other industries and requires proof that the union does, in fact, represent a majority of employees in an appropriate bargaining unit. This is important, since the NLRB and the Courts have held that an employer is free to walk away from an 8(f) relationship upon the expiration of the contract, but an employer in a 9(a) relationship has a duty to bargain in good faith with the union towards a new contract and maintain the existing wages and benefits at least until a new agreement is reached or there is an impasse in bargaining.
In 2001, in the Staunton Fuels case, the NLRB unequivocally ruled that if the collective bargaining agreement included language that the union had demanded 9(a) recognition claiming that it had evidence of majority support and the employer granted 9(a) recognition on that basis, the relationship had been converted from one governed by 8(f) to one governed by 9(a) even if such evidence of majority support never existed. Certain Courts of Appeals reviewing NLRB decisions on this issue were not always in agreement with the NLRB. I represented a local contractor who was trying to end its relationship with the union, but the union claimed that since the contract contained the magical language, a 9(a) relationship had been created. When we appealed an adverse ruling from an Administrative Judge, the Trump NLRB invited briefing on the continued viability of Staunton Fuels. At that point, the union withdrew the charges to try to prevent the Board from abandoning Staunton Fuels. Two years later, however, the Trump Board issued a rule making it clear that contract language alone would not be sufficient to convert the bargaining relationship from 8(f) to 9(a).
Now that the Biden Board is prepared to reverse this approach, who must be even more careful than ever if they have (or are thinking about signing) a union contract, since they may be stuck in the relationship for a very long time. As always, you should seek legal advice before taking any actions.
