GrayRobinson relocation leads to speculation about Ruden’s Tampa team By Jane Meinhardt Staff Writer

Law firm GrayRobinson plans to move its Tampa office next year from One Tampa City Center to SunTrust Financial Centre, taking space now occupied by Ruden McClosky. The plans generate some questions about the future of the lawyers in Ruden’s Tampa office. Ruden, based in Fort Lauderdale, filed for Chapter 11 bankruptcy protection in South Florida district court on Nov. 1 as part of its

strategy to combine some operations and lawyers with Greenspoon Marder, another Fort Lauderdale firm. Ruden’s bankruptcy petition lists more than $10 million in debt with revenue of $25 million this year. The firm intends to dissolve with nearly 50 of its lawyers joining Greenspoon, which plans to bid $7.6 million for Ruden’s accounts receivable and work product. However, the 10 lawyers in the firm’s Tampa office “collectively decided to pursue a different opportunity,” according to a Nov. 1 statement from Tampa Ruden

shareholder David Shear. “We are finalizing discussions with a pre-eminent law firm and anticipate making an announcement in the immediate future,” Shear said. He and other lawyers in the office declined to release any more details. Shear Speculation abounds Ruden has about 10,000 square feet at SunTrust.

GrayRobinson will lease nearly 39,000 square feet in the Class A downtown icon at 401 E. Jackson St. The firm is leasing two entire floors over 11 years. Its planned move along with the Ruden lawyers’ decision to opt out of the Greenspoon arrangement prompted speculation that the lawyers may be in discussions with GrayRobinson. After Shear released the statement, a GrayRobinson spokeswoman said the firm had no comment about that possibility. The lawyers in Ruden’s Tampa office also opted out of joining Adams and Reese when the New Orleans-based law firm opened offices in St. Petersburg, Sarasota and Tampa in 2009. Nearly 20 other Ruden lawyers went to Adams and Reese. V. James Dickson, partner in charge of the St. Petersburg Adams and Reese office and a former Ruden lawyer, said he is not having discussions with former colleagues in Tampa. “At this point, if they are having discussions with us Dickson it would be with the home office, but I would be surprised if that is happening,” Dickson said. A preference for downtown Orlando-based GrayRobinson has 40 lawyers in Tampa, one of the firm’s 10 offices in Florida. With 245 lawyers altogether, it is ranked 182nd among the top grossing 200 firms in the United States in American Lawyer magazine’s list for 2010-2011. GrayRobinson’s gross revenue was $113.5 million, up 7.6 percent from 2009, according to the list. The move to the SunTrust building is simply a result of exploring options since the firm’s lease at One City Center is due to expire, said David L. Smith, managing shareholder in Tampa. “Overall, it’s a little better deal.” GrayRobinson will have Smith about the same amount of space it has now along with some room for expansion. The new office is basically the same distance from federal and state courthouses downtown. “We like being downtown,” Smith said. “We’re committed to downtown and making downtown work.” jmeinhardt@bizjournals.com | 727.224.2299

ST. PETERSBURG — A shareholders group controlling almost one quarter of the stock of United Insurance Holdings Corp. wants representation on its board of directors. The group, made up of banker Neil W. Savage, pathologist Dr. Kern Davis and private investor William Hood III, said in a filing with the U.S. Securities and Exchange Commission that it is dissatisfied with the financial position and results of United’s operations and the price levels and liquidity of its common shares. In an Oct. 26 letter filed with the SEC, the group asked for three board seats, or one third of the seats based on the board’s current maximum size of nine members. The group is the second to take aim at United Insurance. In September, Joseph Stilwell bought a 7.6 percent stake, purchasing shares formerly owned by Synovus Financial Corp. (NYSE: SNV), and indicated he could use his ownership position to force changes. Stilwell is an activist investor in New York who has pushed for sales of community banks and financial institutions nationally after acquiring their stock. Stilwell also controls about 17 percent of the stock of Kingsway Financial Services Inc. (NYSE: KFS), which has a management services agreement with United and provided an interim chief financial officer to United after its CFO resigned. Donald Cronin, president and chief executive officer, has announced he will retire no later than the end of this month. United (OTCBB: UIHC), which writes and services homeowners insurance in Florida and South Carolina and is licensed to write insurance in Massachusetts and Rhode Island, has not publicly responded to the investors’ concerns.

Company has ‘languished’ Savage, Davis and Hood were among the original investors and board members at United Insurance, which was founded in 1999 and was affiliated with St. Petersburg’s United Bank & Trust, later part of Synovus. The three resigned from the United board in September 2008, after United merged into FMG Acquisition Corp. and became a public company. “Since that time, it has languished and been at or near break-even levels,” Savage said. Savage said he has not had any communication with Stilwell, who said in his

own Sept. 29 filing with the SEC that the value of United’s assets is not reflected in the market price of its stock. United’s stock has traded between $2 and $4.50 a share in the past year, closing Nov. 1 at $4.24 a share. Volume is low with fewer than 2,000 shares traded on an average day in the past three months. For the first half of 2011, United reported total income of $1.8 million, or 12 cents a share, on $44.5 million of revenue, compared with a loss of $2.4 million, or 33 cents a share, on $36.3 million in revenue in the first half of 2010. The company has not announced financial results for the quarter ended Sept. 30. Proxy fight not sought When Savage, Davis and Hood formed their shareholders group in February, they controlled a combined 2.1 million shares, or just under 20 percent of the outstanding stock. They’ve bolstered their holdings and now jointly control 2.4 million United Insurance shares, or 23.43 percent of the common stock, the SEC filing said. In the letter to Chairman Gregory Branch, Savage said his group was requesting that Davis, Bruce Lucas and Nick Griffin be appointed to the board. Lucas is managing member of IIM Holdings LLC in Palm Harbor. Griffin resigned from United as CFO in July 2009. As the United board currently has seven members, one member would have to resign or not stand for re-election at the next board meeting in order to satisfy the shareholders’ request, the letter said. BusinessUSA.gov to help with exporting Washington — President Obama directed federal agencies to create BusinessUSA. gov, which will include all programs and services that the federal government can provide a business. The initial focus of the website, which will be up and running within 90 days, will be exporting. That’s because exporters “help drive economic growth and have the most to gain from federal assistance,” Obama said. The site will connect businesses to services and information, regardless of where this information is located or which agency

they first turned to for help. This will implement a recommendation of the president’s Jobs and Competitiveness Council. Obama directed the BusinessUSA.gov developers to get feedback from the business community as they design and test the site. President George W. Bush launched Business.gov, which focused on helping small businesses learn about and comply with government regulations. That site was moved to the Small Business Administration’s site.

Keiser buys, plans for campus at GunnAllen’s former digs By Jane Meinhardt Staff Writer

TAMPA — The former GunnAllen Financial Center will become the new Tampa campus of Keiser University. Venus Investment Properties LTD, established in Fort Lauderdale in September, bought the Class A commercial property Oct. 13 for $7.1 million, Hillsborough County and state corporate records show. Venus Investment includes a corporate partner managed by Arthur Keiser, the university’s founder and chancellor. Built in 2003, the five-story building at 5002 West Waters Ave. was custom designed with two sections joined by an elevator bank and a five-story glass atrium. It has a 180-seat auditorium. The building’s most recent sale was in 2006 for $7.4 million, the amount of the property’s current appraisal for tax purposes. GunnAllen, an independent financial brokerage firm with 400 employees, was shut down in March 2010 amidst allegations of rogue brokers and Ponzi schemes. A bankruptcy judge confirmed its liquidation plan, which became effective last November.

From brokerage to classrooms Keiser University, based in Fort Lauderdale, has a Tampa campus in leased space at 5225 Memorial Highway. A date for moving into the new site has not been decided. The existing campus services roughly 700 students and has 100 employees. Keiser said he expects enrollment and the number of employees to double in the next few years. The former GunnAllen building was purchased shortly after the university got final approval in August to transition from a for-profit career college to a nonprofit institution. The university has typically leased its campus sites around Florida but now may do something different as a nonprofit. “With the recent transition, real estate is a positive on the balance sheet,” Keiser said. “This is a Class A office tower, and we’ll have 50 classrooms, laboratories, a library and an auditorium. We’re also adding some new and advanced programs.” For-profit career institutions increasingly are the focus of criticism and investigations over allegations regarding recruiting

methods and student loan defaults. Nearly 75 percent of Keiser University’s revenue is from federal student loans, which is about average for similar career education institutions. “I am a strong supporter of the for-profit sector,” Keiser said. “Attacks on for-profits are spreading but not because of their tax status.” The conversion to nonprofit status is part of a decades-old Keiser family goal that began with the purchase of Everglades College Inc. in the late 1990s, Keiser said. Everglades College, which is based in Boca Raton and owns Everglades University, was given nonprofit 501c(3) status in 2002 and became independently operated by a board of trustees. Keiser donated the value of his stock to the college. Early this year, he sold Keiser University to Everglades College Inc. but remains as the university’s chancellor. Keiser declined to discuss financial details of the transaction. Gaining access to public money The nonprofit status gives Keiser University the ability to attract quality faculty and students and build an endowment, Keiser said. University faculty can get funding from foundations for research projects because it is a nonprofit. Probably the major financial benefit of nonprofit status for the university is its ability to raise public money, said Nick Lanese, partner at Cohen Florida, a certified public accounting firm with offices in Tampa, Sarasota and Orlando. “They can apply for public grants, and they won’t have to pay income tax on the money they keep for operations,” he said. “There are also some sales tax exemption benefits like on equipment they lease and even the purchase of some supplies. The big deal though is the public money.” The university is in the process of building community awareness of its conversion to nonprofit and starting to get scholarships from foundations, Keiser said. Statewide, it has nearly 3,500 employees and 18,000 students, most of them working adults. “We are now owned by the community basically,” Keiser said. “It makes a big difference for donors.” jmeinhardt@bizjournals.com | 727.224.2299

Quality relationships take on the qualities of connective tissue Connective tissue in our bodies feed vital organs, provide structural support and help transport waste. Without it we wouldn’t survive. Relationships determine who we hang out with, marry, work for and otherwise associate with — connecting things such interests, beliefs, hobbies and careers. They’re vital to our well-being and existence. Relationships are a fundamental part of selling. Ask any salesperson about a sale in progress, and he or she likely will respond

sooner or later about “relationships.” The seller will either say, “I’ve got a good relationship with so and so stakeholder,” or “We don’t have any relationships with key people.” Ask about a sale recently won and the seller will say, “We won that sale because of our relationship with so and so.” For a sale lost: “We had no or weak relationships there.” And yet in my seminars and coaching, I often say there’s too much emphasis on

relationships. Before they have a chance to throw me out of the room or leave, I say it’s not relationships they should focus on. It’s what’s underneath that deserves attention. The seller needs to know if a given stakeholder wants the seller to win the sale or not. Relationship won’t help determine that as much as something I call situational motivation. Relationship describes an overall position the seller has with the stakeholder. The seller

can have a good relationship with someone because he went to school with her or she’s a LinkedIn connection or a former client. But relationship falls short of being the key variable because it transcends the sale. Sales Situational motivation describes the stakeholder’s Column motivation to help the salesMark person win the sale. Sellers The stakeholder has three possible options: • Wants the seller’s solution. Such stakeholders are your advocates. • Doesn’t want the seller’s solution to win • Doesn’t care one way or the other Motivation is the determining factor. Why would a stakeholder really want your specific solution? It might be seen as a ticket to a promotion, for example. Advocates create an edge I made a sale in 2009 to the North American business of a large global health care company based on the east coast. The vice president of sales, I’ll call her Jane, was a major reason I won the sale. She really wanted my solution. She believed it was right and best for her sales team. She lobbied for it and sold others on why they should spend money on it. I discovered that her situational motivation was rooted in her wanting to be seen by her team and by her superiors as a leader. Months after we had implemented my sales process, she was thrilled with the results and contacted her counterpart in Germany and said he should consider this process for his team. Soon I was in Aachen, Germany, training his entire European sales team. What was Jane’s situational motivation this time? I believe she saw an opportunity to solidify her reputation as a senior leader bringing value beyond her immediate team. Later, Jane and her counterpart in Europe helped me win a third sale in their company to its Asia Pacific division based in Singapore. I have a good relationship with Jane. She’s on my speed dial whenever a new prospect asks about a reference. The key to that relationship helping me win additional sales depends on my ability to bring her something of value when she needs it most. For the past three sales, I helped her be seen as a leader and as an unselfish senior executive. She needed this, and we made a good team. I can’t and won’t assume that these motivations are still present or that I could help her with another solution. If I have another sale on my funnel for Jane’s company, I have to discover if she could be an advocate for me again. This isn’t a game of semantics. It’s the difference between cause and effect. A good relationship is the effect achieved when the seller has done something to create the good relationship. Ask yourself whether you have a stakeholder who is fighting hard to help you win. If not, find someone with influence who is trying to accomplish some personal objectives and convince him or her that your solution will contribute to that goal. Lindell Capital Closes $1.5m Condo Loan TAMPA, Florida

LINDELL CAPITAL, LLC, the newly formed lending arm of LINDELL INVESTMENTS, headed by long time business leader, Carl Lindell, has closed another $1.5 million dollar 1st mortgage loan on an area condo project formerly in foreclosure. Dennis Slater, Executive Vice President and CFO for Lindell, said that this is the second loan in addition to a $1.8 million dollar loan to the same borrower on a bulk condo purchase. “The borrower was introduced to us by a local business broker and we quickly became very comfortable with the acquisition price and the business model, obtaining 90% rental occupancy within the first 90 days.” “The first deal went exactly according to their plan so it made a lot of sense to partner with them on their next acquisition,” Lindell said. “We feel real good about the relationship.” “The majority of our loans have been real property and development related, but we have also advanced over $2.1 million against accounts receivable and inventory for a couple of rapidly expanding local enterprises,” Lindell added. Slater confirmed the continued rise in new loan package applications. “Many local business brokers are coming to us with solid acquisition and business models that most banks just won’t consider. We perform a business analysis and make immediate decisions. The capital is readily available and the transactions can be closed within a short time.” Lindell added, “If the request makes good business sense, we consider the loan.”

Longtime relationships Cherven has known Jerry Divers, president of Bank of Tampa holding company The Tampa Banking Co., since Divers was president of Flagship Bank of Tampa and Cherven was at Flagship Bank of Pinellas. Both eventually became part of SunTrust Banks Inc. (NYSE: STI). Cherven was president and chief executive of Premier Community Bank of Florida in Largo and its holding company PCB Bancorp Inc. from 1994 until 2000 when it was bought by the former Colonial Bank. He led First Community until earlier this year when its subsidiary First Community Bank of America was acquired by Community Bank & Co. and First Community was dissolved. He did not have a noncompete agreement. Cherven should make Bank of Tampa “a solid competitor” in the Pinellas community, said Irv DeGraw, professor of finance and banking at St. Petersburg College. Cherven founded the college’s banking degree program. “The killer on coming into a new community is knowing the community. It’s the biggest challenge banks have,” DeGraw said. “By going with Cherven, they have enlisted someone who has a firm grasp of the community and the banking needs of the businesses in the community.” Recruiting bankers could be tough, DeGraw cautioned. “There aren’t that many good bankers who are out of work.” Cherven already has hired Kay McAleer, former vice president and corporate secretary at First Community. He’s looking for bankers who are good at building longterm trusted relationships and have the skills to bring in new business.

New voting policy for Hillsborough County Aviation board on runway The Hillsborough County Aviation Authority board was scheduled to vote Nov. 3 on a comprehensive revision of policies and procedures, including new language related to “voting and voting conflicts.” The vote was scheduled after the Business Journal’s Nov. 2 deadline. The Tampa Bay Business Journal reviewed the “memorandum of voting conflict” forms for the Aviation Authority, Tampa Port Authority, Hillsborough Area Regional Transit and Tampa-Hillsborough County Expressway Authority over the same 22-month period. The Business Journal’s examination followed Burton’s selection as chairman of the Aviation Authority board and comes at a time when the organization — seen as a key driver of regional economic development — is overhauling its policies and procedures, including voting conflicts. Scores of local, state and national firms vie to do business at the airport. As a matter of context, Burton has abstained from voting more than the cumulative total of 32 other board positions at the four agencies during the examined period. Some of those board seats Buckhorn have been replaced with new members, and some members serve on multiple boards, such as Tampa Mayor Bob Buckhorn and Hillsborough County Commissioner Sandra Murman. The second highest number of abstentions came from Port Authority board Murman member Stephen W. Swindal, chairman of Marine Towing of Tampa LLC, who cited conflicts six times during the period. Most board members had only one or two abstentions, if any. “If a person is continuously abstaining from voting, the purpose of that person serving on the board becomes obsolete,” said University of Tampa John H. Sykes College of Business Dean Frank Ghannadian. Crist, now in private practice with Morgan and Morgan, through an assistant declined to comment for this story. Burton quickly became Crist a leading figure in the 2010 ouster of TIA chief executive Louis Miller. Burton followed Tampa businessman Al Austin as chairman in September. The firm represents the Greater Orlando Aviation Authority, which raised some eyebrows earlier in Burton’s tenure with the Hillsborough County Aviation Authority. “It seems if it’s not a conflict of interest, it’s an appearance of a conflict if his firm represents a big, competing authority,” former Tampa Mayor Sandy Freedman told the St. Petersburg Times in February 2010. State law doesn’t prevent Burton or other board members from discussing or influencing the vote from which they abstain, as long as they disclose the nature of the conflict. Chairmen are typically prohibited from making motions. An abstention by Burton resulted in a tie vote on the five-member board when it considered a three-year auditing contract worth roughly $870,000. Moore Stephens Lovelace, ranked first for the contract by airport staff, was being challenged by second place ranked LarsonAllen LLP. Daniel O’Keefe, who heads the governmental practice group at Moore Stephens, said he was aware of a connection between his firm and Burton’s firm because they both serve the Orlando Aviation Authority. “At first we thought, ‘Oh, great. And then we thought, Oh, no,’” O’Keefe said. The Hillsborough board split 2-2 between the two auditing firms. After more discussion, it agreed that LarsonAllen should have been ranked first and one member switched his vote in the second round. Burton declined to say which way he would have voted. “This comes up every now and then,” O’Keefe said. “Sometimes we do better than others as far as realizing the connections.
