A) A person or business entity registered as private limited company or Partnership Company may apply to become a distributor.

B) Individual applicants must be at least 18 years. D) Distributor shall not modify the information in the DPR. C) Any individual regardless of sex, race or religion can apply to become a distributor. D) The applicant must purchase a sales kit that contains information and guides the company's products. E) New Distributors must be sponsored by an authorized distributor and fill out an application form with complete information distributor. F) The applicant must submit a copy of identity card or document relating to registration. 2) Maintaining Distributorship A) Membership of a distributor will expire after a period of one (1) year from the approval of its request. B) Distributors who want to continue Distributorship must notify the company in writing before skills to be terminated or within three months after dating membership is terminated, if not the company reserve the right to discontinue Distributorship at any time without prior notice.

6) Calculation of marks Scores will be calculated in the distributor where the distributor makes a purchase, except KIV DPR which are delayed or omitted r by Stockiest / sales center in their submissions of DPR. 7) Return / Exchange of product A) Any undamaged and unexpired products can be returned in the original package, cover and seal unopened and in merchantable quality within thirty days from the date of purchase. Should it be returned after the calculation of bonus, no refund of the purchase price should be permitted except in exchange for the same product or any other products which is of the same or higher provided that the PV and BV shall be higher than the original PV and BV. B) The Company shall have the right to levy charge 5% processing fee based on the on the purchase price on any request for return/exchange of products.

3) Request to Re Distributor

C) Products that are damaged due to negligence distributor or improper storage cannot be returned.

A) The former distributors who wish to apply to become a distributor again under a new sponsor can only do so

D) The product expired cannot be returned or exchanged.

i) After three months from the date of termination Distributorship (ie at month 16); or

E) In the event of the quality of any healthcare product deteriorates before the expiry, replacement is allowed only on a one-to one basis.

ii) The following month after termination Distributorship (i.e. at month 13) provided he has been inactive for six consecutive months prior to termination of membership.

C) Once approved, the amount refunded is equal to the price the distributor (DP) minus the bonus paid by companies based on business plan and 5% handling charges, rebates, tourism and other promotional costs (if any) must also be rejected. D) All sales aid material (Sam) cannot be returnable /refundable.

i) The Distributor shall introduce the company's marketing plan and sells products with a sincere attitude and selfdiscipline always, highlighting the nature of honesty and responsibility, do not pollute the good name of the company or other distributors or attacking through action.


ii) Do not defame the good name of other company direct selling. iii) Applying humility and respect when providing services to customers. Always give priority to customers. iv) Maintain and in accordance with company policies and procedures, code of ethics and spirit distributor. B) Crafts i) The Distributor must be diligent popularize and promote products, constantly forging, provide training, guidance and motivation to colleagues, distributor should also tell your down line under the company's new product, information and the latest news.

E) Distributor may use the official company literature or recorded tapes only for the purpose of carrying out his function as a distributor of the company. F) Without permission in writing from the company, dealers are prohibited from conducting charitable work, sweepstakes or offer opportunities for free travel or other methods as promotional activities. G) Distributors are prohibited from forcing or use such methods to force anyone to buy a number of products. H) Distributors are prohibited from publishing any matter which in the sole and absolute opinion of the company would likely to jeopardize the reputation of the company. 12) Price Fixed

B) Distributors are not allowed to claim or declare that he is entitled to any exclusive propriety or territorial right in a network marketing company or in a particular area. C) Distributors may not use the name, logo, brand or company the word "workers of the company" or "company representative" and so on stationery, printing materials or advertisements, except with the approval of the company in advance. D) The Distributor is fully aware that as independent distributors, they are not guaranteed any income or assured of success and that success will only come from sheer hard word and individual effort. In the promotion of the company sale and marketing plan, the distributor must explain that income from this business depends on continuous sales to customers and continuous sales by down line distributor and the time spent in this business .The distributor shall not misinformed anyone that a distributor need only to sponsor without selling. E) The distributor shall not have the authority or power to bind the company to any obligation or to make any offer of settlement or otherwise bind the company in any manner whatsoever. 11) Advertising and Promotion A) Distributor is strictly prohibited from displaying the product at the retail store business expo, exhibition or places of similar nature. B) Distributors are prohibited repackage, change the adhesive or sell the company's products under any other brands. C) Distributor shall not in any way misrepresent the quality, source of origin or performance of the product other than those set out on the products label or in official company literature and shall indemnify the company in respect of costs or damages arising from such misrepresentation. D) Distributor shall not be permitted to diagnose or prescribe the products as a specific treatment or purported cure for any disease or condition.

A) The price of a product is determined by company .Distributor shall engage in decrease or increase the price of the product. 13) Inventory loading and stock piling A) The Distributor is prohibited to purchase, which in the company s sole and absolute opinion, is a large quantity or unreasonable amount of products, for the purpose of qualifying for promotion or bonus in the marketing plan or for any reason whatsoever .The Distributor is aware that it is against the company’s policies for any Distributors to carry out inventory loading or encourage others to do so. 14) Responsibilities of a Sponsor A) It shall be infringement of this code of Ethics if any distributor shall be engaged in unethical sponsoring. B) Any Distributor who alleges that his existing down line is using a different name under a different group shall provide sufficient proof to the company. If such an allegation is proven, the company shall transfer the defaulting group to the original sponsorship. C) Double sponsorship. I) No Distributor shall be registered simultaneously as an individual distributor and as partner of a partnership distributor or a shareholder/director of a company distributor. ii) The distributor cannot register as a distributor more than once. iii) If there are two distributors claiming that it is to sponsor a new distributor, the company will consider an earlier application by the date DPR .if found DPR date has been changed, the distributorship will be canceled and he can only apply to distributors after six months (from the date of receiving the rejection letter circulated as a member) .Trays will be working under its group (the determination of the origin of co-workers is the company's decision). iv) Those who are involved in the case iii, the defaulting party’s entire groups will be organized under the group's original sponsor, distributor concerned cannot claim the bonus shall be entertained or permitted by the company. 15) Sponsorship Spouse Rule. A) Husband and wife shall not apply collectively as a single distributorship but must apply separately as two distinct Distributors which must be in the same group i.e. a husband may sponsor the wife and vice versa, failing which the


company shall be entitled to transfer the party joining later together with his down line (if any) under the preceding party.

17) Transfer of Distributorship A) No Distributor shall be permitted to sell and transfer his distributorship so as to enable the purchaser or the transferee to reap the benefit of the distributorship. B) Skills distributors only transferable to a spouse, children, parents, or siblings. C) The person receiving the transfer of ownership is not an existing distributor.

A) The Company reserves the right to accept or reject applications from anyone as a distributor.

C) All decisions, interpretations, opinions or approval of any matter that is listed in the Handbook Distributor States, is the right company and cannot be challenged. D) Any dispute or discrepancy in the course of distributorship shall be arbitrated by a committee nominated by the company. The decision of the company shall be final.

A) Distributors enjoy the rights as follows, provided that it does not violate the code of ethics: i) The right to sponsor anyone who fulfills the prescribed conditions. ii) Right to enjoy the benefits and bonuses under a marketing plan company. iii) The right to participate in courses and activities conducted by the company to meet the conditions which in the course and activity. iv) The right to the product seller 20) Termination of distributorship A) The Company reserves the right to terminate the distributorship to one of the reasons below without any compensation. i) Distributor providing false information. ii) A distributor is found to have committed acts that damage the reputation, rights or interest of the company or damage

A) Distributors are responsible for understanding and complying with the laws of the State including direct sales deed. B) Comply with and practicing the instructions given by the executive officer, manager and authorized representative of the company. 23) Taxation A) Distributor shall keep a record for total income earned during the year and shall be responsible to personally submit such record and income tax payments as required by law. 24) Miscellaneous A) The bonus of the company’s sale according to the company's marketing plan is based on the bonus (BV) assigned to each product. B) All the products can only be sold in Brunei and cannot be sold outside the country without the permission of the company.


C) The Company will not be liable for any dispute, indebtedness, cases and other matters related in court caused by own distributors. D) Distributor in violation of any regulation in the Handbook distributors can be fined by the company. 25) General A) All the words used mean men also include the women and vice versa, words to the effect of interest also include purpose and vice versa. B) The title of the code of ethics designed solely for ease of reading, it will not affect the contents description. C) If there is any discrepancy in the content of the manual distributor due to translation, publication in English is final.
