TERMS & CONDITIONS The terms and conditions set forth below are fundamental elements of the basis of the bargain between Walz Caps, operating under the trade name Stonewear Designs (soft goods) and Purchaser. Purchaser understands and agrees that Walz Caps fills Purchaser’s order subject to the following terms and conditions and that Walz Caps will not provide any Product without Purchaser’s agreement to these terms. By Purchaser’s order and acceptance of the goods ordered, Purchaser acknowledges its assent to the terms and conditions listed below. PAYMENT ASAP TERMS: Net 30 from invoice date, with approved credit. PRESEASON TERMS: All orders are due January 12th, orders received after January 19th, 2018 is subject to availability. ORDER MODIFICATIONS Order modifications must be received in writing (fax or email) no later than two (2) weeks prior to requested ship date. Reductions to preseason orders greater than 20% of the total order value will result in the loss of terms. PRICING All prices are subject to change without notice. Prices are locked in when orders are received in house. Walz Caps reserves the right to modify, without notice, the prices and specifications of the products described on the price list. Possession of this price list does not automatically entitle the holder to the products or prices herein.
OVER-DUE ACCOUNTS Accounts past due at time of ship will lose pre-season discount terms. Accounts 30 days or more past due will lose pre-season order. A 3% finance charge will be assessed monthly on any invoices over 60 days past due. Walz Caps will not ship, on any basis, to past due accounts or to accounts over their established credit limit. Accounts which are habitually overdue will be placed on a C.O.D. only basis until a new application for open billing is submitted and approved at Walz Caps sole discretion. Accounts which have been turned over to a collection agency will have to reapply for dealership. Payment received on all overdue accounts shall be applied first to pay for all service and finance charges, late fees, interest, collection costs and fees, legal costs, court costs and attorney’s fees. In the event litigation is necessary to enforce the collection of any amount payable to Walz Caps, or to enforce any of these Terms, the prevailing party shall be entitled to payment of any and all costs and expenses incurred, including, without limitation, all collection costs and fees, reasonable attorney fees and court costs. Jurisdiction and venue for all claims under these Terms by Walz Caps against a dealer shall be the appropriate state or federal court sitting in Vista, CA. SHIPPING All shipments are F.O.B. Vista, CA. Walz Caps will not be held responsible for any shipping discrepancy reported more than 14 days after receiving goods. All shipments to the lower 48 states will be sent UPS Ground unless otherwise specified. All shipments will be insured for the value of the contents and the cost will be added to the freight charges. We cannot be responsible for calling before shipping. LOCATION This agreement is valid only for the sales locations listed on your current Dealer Application. Accounts that transfer products to other sales locations, or to third parties who do not have an approved Dealer Application on file with
Walz Caps, will be terminated. RETURNS All merchandise offered is returnable within ten days for any reason, for full refund or credit, less original shipping cost and a 15% restocking fee. All items must be unmarked, in original packaging and in new condition. All returns must have a return authorization number (RA#) clearly marked on the outside of the package. Call customer service for an RA#:TEL: 760.599.0510 WARRANTY Walz Caps warrants its products against defects in materials and workmanship for a period of one year, or for as long as the product is owned by the original purchaser, whichever is shorter. If we find the product to be defective in materials or workmanship, we will repair or replace it, at our option, and return it to the address provided. Other than as described above, WALZ CAPS MAKES NO OTHER REPRESENTATIONS AND WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES AS TO MERCHANTABILITY, QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE. SHALL NOT BE LIABLE IN ANY WAY WHATSOEVER FOR SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF GTHI OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PURCHASER AGREES THAT ITS FULL REMEDY AGAINST GTHI FOR ANY LIABILITY, CLAIMS, OR DAMAGES, SHALL BE LIMITED TO THE PURCHASE PRICE OF THE UNIT, AND HEREBY IRREVOCABLY WAIVES ALL CLAIMS FOR ANY OTHER DAMAGES THAT PURCHASER MAY HAVE.
