RULES AND REGULATIONS FOR VENDORS AND SPONSORS • Full payment is required with submission of contract for space reservation and/or sponsorship. • NACD reserves the right to determine the appearance, size, and location of company names/logos on merchandise and to select/approve merchandise for attendee gifts, bags, etc. NACD may review and edit and/or reject copy for company descriptions, advertisements, and company promotional materials. • Invoices not paid within 30 days are subject to an interest charge of 2% per month on the outstanding balance. • Cancellations prior to October 25th will receive a 50% refund. Cancellations after October 25th (30 days prior to the meeting date) will not be refunded. • All payments are to be made in U.S. funds and are due by the stated deadlines. • NACD affiliates and sponsors receive priority on Marketplace table space assignments. Participants are assigned by date of contract and full payment of table fee, on a first-come, firstserved basis.

• NACD reserves the right to refuse to rent space to any company whose display is not compatible, in the opinion of NACD, with the objectives of the exhibition, with or without giving cause. If cause is not given, liability shall not exceed the return to the exhibitor of the amount of rental unearned at the time of rejection. If an exhibit or exhibitor is ejected for violation of these rules or for any other stated reason, no return of rental shall be made. • NACD will post and update regularly a list of Business Marketplace participants on the Annual Meeting website.
