THIS ITEM IS FOR DISCUSSION AND POSSIBLE ACTION. Summary The petitioner requests the City Council to consider and enact a resolution, ordinance or measure that ensures the long-term preservation of the Chinese Cultural Center. Options for Action A. Accept the petition. B. Deny the petition. C. Other direction to staff. Staff recommends denying the petition based on existing zoning entitlements, lack of historical context documentation for the 20-year-old building, and lack of authority in the historic preservation ordinance limiting review to only items that require a building permit. THEREFORE: Pursuant to Chapter IV, Section 22 of the Phoenix City Charter, I, Raymond Tang, a citizen and resident of the City of Phoenix, and the President of the Chinese United Association of Greater Phoenix, hereby petition the City Council to consider and enact at its next policy session or within fifteen days, a resolution, ordinance or measure that ensures the long-tenn preservation of the Chinese Cultural Center. In support of this Petition, I respectfully note that Phoenix's continued growth and development must not come at the expense of the City's commitment to celebrating the many national histories and cultures embedded in its diverse popuJation. For two decades, the Chinese Cultural Center has been our state's only bridge for inl:rodtlcing not only Phoenicians, but all Arizonans, to Chinese history, cultute, architectur:e, and cuisine. In addition, the Chinese Cultutlll. Center also set:ves as a bustling hub of economic activity and job creation in lts neighbothood community. Attachment B Staff Analysis of August 30, 2017 Citizen Petition- Chinese Cultural Center Preservation The passage of Proposition 207- the Private Property Rights Protection Act, by Arizona voters precludes any long-term preservation opportunities for the Chinese Cultural Center without property owner consent and/or payment because of the significant zoning entitlement already existing on the parcel. This act requires that the City pay for any land use law that diminishes the value of a private parcel of land. The site was zoned C-2 High Rise zoning in 1988 and that allows up to 250-feet in building height, and the parcel was also granted a density waiver and a parking reduction waiver by the City Council. This existing zoning pattern makes any long-term preservation efforts without property owner consent extremely unlikely due to the high cost associated with such an effort. Historic Preservation Zoning Overlays are a tool that can be used to preserve historic resources. The criteria for designation on the Phoenix Historic Property Register are outlined in Chapter 8 of the Zoning Ordinance. There are specific criteria for significance, age and integrity. The Chinese Cultural Center was constructed in 1997. Although the City of Phoenix Asian American Historic Property Survey was completed in 2007, it considered only properties constructed through 1960. Therefore, there is no historic context for a property constructed only 20 years ago. The significance of the Chinese Cultural Center without having the cultural and architectural context cannot be determined. For a property to be considered significant within the past 50 years, it must be of exceptional importance. That determination must be made within the appropriate historic context. There are only two properties individually listed on the Phoenix Register that were listed in less than 50 years: -The Santa Rita Center (Cesar Chavez fast location in 1971) at 1017 E. Hadley Street was listed in 2007 because of the key historical events at the site associated with Cesar Chavez. -The Good Shepherd Home for Girls (1942) at the northeast corner of 19th and Northern avenues was listed in 1988 for its significance as a social service institution, as well as its architecture. These properties were at least 45 years old, when designated. In any jurisdiction, it is extremely rare to designate a property on the local, state or national registers that is only 20 years of age even when there is a historic context given the level of importance that must be met. The Historic Preservation (HP) tool is limited in scope of authority even if a historic preservation overlay were to be initiated by the City. Only building demolition requests require review by the Historic Preservation Officer while a case is under consideration. That means that any remodel permits, which could include work to replace the roof or other remodeling not involving demolition, would not be reviewed by the HP Officer and therefore would not be prevented through initiation of the historic designation process. Additionally, removal of any existing landscaping or artwork from the site would not be subject to review

Even if ultimately designated with a historic preservation overlay, only those items on the exterior that require building permits would be subject to review by the Historic Preservation Office. Ultimate demolition of a building could only be delayed up to one year (or three years if designated Historic Preservation Landmark). Even designation on the National Register of Historic Places provides no protection from demolition or any inappropriate changes to the property. There were no deed restrictions, conservation easements or any other protections put in place by the original owner prior to the sale of the property. As with the David and Gladys Wright House in Arcadia, another way to preserve the property is the purchase of the property by a buyer who wishes to preserve it. Staff recommends denying the petition due to the potential for a valid Proposition 207 claim, lack of historic docul)1entation, and lack of authority in the historic preservation ordinance that limits review to only items that require a building permit.

That move doesn't sit well with activists, who want to preserve the traditional Chinese exterior of the building. The reason for the defense of the building's exterior lies in the building itself. The traditional Chinese roof tiles were each placed by hand to interlock. Activists say it would be next to impossible to preserve the tiling and other decorative features if they were removed from the building. In response to the threat, community members have called for the space to be classified as a historic building. However, this is not a simple request. Sites do not usually qualify for protected historic status unless they are at least 50 years old or exceptionally important, meaning those interested in preserving the aesthetic of the building must prove its significance.

Father Craig Bustrin, who led the group in a prayer over the market, explained his love for the cultural center, saying he would go several times every month with his parents because they loved the food and unique ambience. "It is so much easier to destroy than to create. And we human beings are really good at destroying things," he said. "This once, I pray, let this work of art continue to be the center of Chinese culture here in the city that I love so much." A statement released last week by True North Media claimed the group's ownership had met with Phoenix Mayor Greg Stanton and intended to meet with the members of the Chinese community soon to discuss what renovations, if any, would take place. He said the only option at this point is to "convince him that the entire city will support this development if we can maintain it." However, Gordon believes the center can have a renaissance. "This can be the most successful development in this city that brings value both in money to the developer but (also) in terms of energy and spirit to the community," he said.

COFCO, the Chinese state-owned company, built the center in 1997, envisioning it as a tourist attraction that would connect Arizona and China. COFCO sold the mostly unoccupied property in November 2016 to New York investment firm Angelo, Gordon & Co, which in turn sold it in June for $10.5 million to 668 North LLC, a real estate unit of True North Cos, a private-equity firm in Scottsdale. True North is converting the building into new headquarters space for 350 of its employees. Also in True North's favor is the 2006 Arizona Proposition 207, the Private Property Rights Protection Act. The 170,000-square-foot center has hosted festivals and the Phoenix Chinese Week. It had a dim sum restaurant, an Asian supermarket and a Chinese medicine shop. But occupancy rates dropped in recent years.

True North has pledged $100,000 to the Hance Park Coalition toward a new Chinese center at the Margaret T. Hance Park downtown and would relocate some of the center's elements such as the 30-foot tall paifang, or welcome gate, and keep the block-long garden at the current site. "The craftsmanship used to design and install the roof tiles and wood timber is of ancient origin. These pieces can't be simply deconstructed like some modern-day Lego set," the Chinese United Association of Greater Phoenix said in a statement. The association did not respond to a request for comment. Its president, Raymond Tang, submitted the preservation petition to the City Council on Aug 30.

True North listed reasons why Hance Park would be more viable: It is near historic Chinese neighborhoods downtown; it is the site of the Chinese New Year festival; and the park houses other cultural attractions such as the Irish Cultural Center and Japanese Friendship Garden. Jason Rose, a spokesman for True North, said in a release by the Rose+Moser+Allyn public and online relations firm that "the cultural center has struggled in recent years with numerous vacancies, which is why the property was for sale. Even at the peak in 2006 only 48 percent of the center had Chinese-related tenants. "Today only 6 percent of tenants are Chinese-related, and the center overall is only 29 percent occupied. ... Additionally, there hasn't been a Chinese New Year festival held at the site since 2012."

Rose told China Daily that True North is moving forward with its plans, including the relocation of the center's items. He said "we never received a response to all of those items that we laid out, which means we'll kind of be in the unusual position of potentially saving and storing some of those items". The Chinese Cultural Center at 44th and Van Buren Streets in Phoenix may be the closest thing the Phoenix metropolitan area has to a Chinatown. But a recent change in ownership has caused concern in the Valley’s Chinese-American and other Asian communities. On Sunday, about 250 protesters lined the center to call for the preservation of the business complex and garden near Phoenix Sky Harbor International Airport.

The center opened in the late 1990s as a business venture by COFCO, a Chinese state-owned company. It houses a grocery store, restaurants, small businesses and many empty storefronts.

A new owner, a new vision True North Companies, an Arizona-based private equity firm, purchased the site in June under an Limited Liability Corporation. True North Companies Chief Executive Officer David Tedesco said the company plans to use the site as a corporate headquarters. Part of the center would be used for other tenants, he said. Whether it retains its ties to the Asian communities remains to be seen. The redevelopment won't include demolition, but will modernize the center, Tedesco said. The company intends to keep the garden or could donate the items to be moved elsewhere, based on community outreach. ADVERTISEMENT

A recent email sparked fear among local Chinese organizations when an architect told them the site's new owner plans to redevelop the center's Asianinspired tile roofs and red columnsbuilt with materials imported from China.He asked if any groups were interested in moving the ornate pagodas and statues at the garden to another site.

'This needs to be preserved' Sunday's protest was to ask that the Chinese Cultural Center remain intact. People chanted "Save our garden" and held signs reading "Save Arizona history."


"It's for us, for our children," said Andy Zhang, vice president of the Arizona Asian Alliance. "This needs to be preserved." Protesters said they were unclear on the proposal and speculated on the outcome. People are afraid the garden will be torn down, Councilman Michael Nowakowski said at the event. "I think there's a lot of questions," he said. Nowakowski said he plans to organize a meeting with the owner. He called the center's craftsmanship a "piece of China" in the desert. New Owner of Former Chinese Cultural Center Property In Phoenix Proposes Options To Preserve Heritage & Protect Property Rights

PHOENIX, ARIZONA. SEPTEMBER 6, 2017. 668 North, LLC recently purchased the mostly vacant former Chinese Cultural Center on 44th Street south of the 202 Freeway in order to establish a new headquarters and campus forapproximately 350 of its 12,500 employees and team members. The new corporate headquarters is the latest investment near Phoenix’s light rail line, expected to have a notable economic impact for the city according to Valley economist Jim Rounds, who is currently compiling a detailed report on the move.

Despite strong Arizona laws governing private property rights, some have objected to the company’s plans in spite of a commitment to revitalize the ~170,000 square foot space, preserve major elements on site and relocate others. Many of the state’s private property rights are enshrined in Proposition 207, a statewide, voter-approved measure that was passed by a nearly 21 margin over a decade ago. On behalf of 668 North, LLC the law firm of Gammage & Burnham recently communicated to the City of Phoenix the numerous problems with infringing on these and other rights. 668 North, LLC is not seeking any city entitlements or tax incentives as part of its redevelopment.

The cultural center, built in 1997, has significantly struggled for many years with numerous failed businesses and very low occupancy. Today only six percent (6%) of tenants are Chineserelated and the center overall is only 26% occupied. Over the last 20 years, both historical anchor tenants, a grocery store and large restaurant, went into bankruptcy. They were reopened and run for many years by the landlord at a loss. Additionally, there hasn’t been a Chinese New Year festival held at the site since 2012. As community and financial support for the site continued to decline, the prior owner – a large Chinese company – decided to sell the property. That owner provided assurances that the site has been largely abandoned by the Chinese community and that no restrictions of any kind were being placed on the site which would impede redevelopment.


While the new owner plans to renovate the building, in the spirit of working with the Chinese Community, it has offered several different options during talks with community leaders over the past few weeks. Despite offering numerous creative solutions, the people interested in preserving the site have been unable to reach any agreement amongst themselves, which has complicated a path forward.

PRESERVATION CONCEPTS PROPOSED BY THE OWNER

1) Numerous people and organizations have asked for the preservation of the block long garden along 44th Street. Though preservation of this garden would be expensive, the property owner is open to doing so as well as making it available to the public during normal business hours.

2) Approximately two dozen Chinese sculptures, signs and structures can be preserved and optionally relocated, along with excess tiles, roofing or artistic elements desired by recipients.

3) The owner of the property also possesses approximately 10 palettes of unused green and yellow roof tiles that can also be made available for a future alternate location on public or private property.

4) Preservation and relocation of the approximately 30-foot high Welcome Gate along 44th Street.

5) For up to three years or until the establishment of a new Chinese Cultural Center in downtown Phoenix or elsewhere, the property owner will provide retail space of up to 8,000 roughly the size of the Irish Cultural Center - to be used as a community cultural center by a nonprofit organization.

HANCE PARK


An alternate site, specifically Hance Park in downtown Phoenix, may make sense for a relocated Chinese Cultural Center forseveral reasons.

1)

Downtown Phoenix served as the historic neighborhood for the Chinese community.

2) Hance Park has hosted Phoenix’s Chinese New Year festival since 2013, when it relocated from the struggling then-Chinese Cultural Center.

3) The Irish Cultural Center is adjacent to Hance Park. Adding a Chinese Cultural Center at Hance Park would add to downtown’s diversity in a way other city center parks around the world have done. Relocated elements could serve as notable additions to Hance Park’s open space.

4) With the dramatic decline in the number of Chinese-related tenants over the years and the relocation of major cultural events, the Chinese Cultural Center had effectively stopped operating as one for years.

5) 668 North, LLC will commit to contribute $100,000 to the Hance Park Conservancy, earmarked towards the establishment of a Chinese Cultural Center.

6) The land in Hance Park would be free. Combined with 668 North, LLC’s relocation efforts, its Hance Park Conservancy contribution and the reallocation by Chinese-American organizations of funds raised to potentially buy the property from 668 North, LLC, a new and better experience could be established in an area with greater historic integrity – at far lower cost.

RELOCATION

In addition to Hance Park, there may be other locations, public properties or private businesses that could utilize the preserved, relocated features at the Chinese Cultural Center. Other options


include the Mekong Plaza and/or Arizona International Marketplace in Mesa which would accentuate their properties with the relocated features from Phoenix.

If a consensus on these options can’t soon be reached, 668 North, LLC will still preserve as many key elements it can off-site until such time that organizations may want to use them in Phoenix or Mesa.

“We hope these various options demonstrate the genuine good faith and creativity we are extending to the community to reach a mutually-beneficial solution. There may be variations on these ideas and we look forward to working with the community to determine the best course of action. We also hope people will understand and respect the investment we have made to invigorate a property that has struggled mightily formany years, as well as the property rights that are very clear. Because we need to move forward with our new corporate headquarters, we will need a solidified direction very soon.” 668 North, LLC President Dave Tedesco said.

Declaration of David Tedesco I, David Tedesco, based on my personal knowledge, declare as follows: 1. I am CEO of True North Companies, which controls 668 North, LLC. True North is an Arizona-based equity-investment firm that acquires and manages businesses in various industries. These firms employ thousands of workers in Arizona and throughout North America. 2. In June 2017, 668 North acquired the entirety ofthe largely vacant office/retail building that has come to be known as the Chinese Cultural Center, excluding only the restaurant suite owned by CJ Design. True North intends to redevelop the Center and immediately relocate its corporate headquarters and certain operations to the Center. 3. The Center is approximately 70% vacant. Other than CJ Design, which owns the remaining five contiguous units (comprising a single suite configured as a Szechuan restaurant), the few other occupants were tenants of the previous majority owner. 4. My understanding is that the Center, which was constructed in the late 1990s, struggled financially for some time. Numerous retail businesses failed and/or were propped up by a prior owner of the building. The Center was on the market for over a year before the original owner sold its majority stake, and that purchaser resold to 668 North. 5. After purchasing its units, 668 North submitted a development proposal to the relevant associations under each of the CC&Rs that apply to the Center. To my knowledge, nothing in any recorded document requires that the Center be maintained as a culturally themed site (Chinese or otherwise). Both associations gave their approval-and specifically authorized 668 North to restrict common areas as needed and replace the existing roof tile. 6. 668 North obtained a permit from the City of Phoenix and installed a construction fence. 668 North has also requested a permit for the roof construction, which I am told will be issued promptly. The fence is a safety measure that keeps the public away from areas affected by construction. It blocks off empty units and the garden area. The fence does not impede access to CJ Design's suite. 7. Once 668 North's plans became public, protestors threatened to steal statues and other items from the garden. Subsequently, on September 21, a group of protestors stormed offices at the Center and demanded access to the gardens. The police escorted them away. The protestors had assembled at CJ Design's suite.

8. 668 North remains current on its contracts for maintenance at the garden. Plants are being watered, aquatic life is being fed, and the pond is being treated. 9. 668 North is investing $7 million towards improvements at the Center, including replacing a twenty-year old roof (which leaks) and repainting, all without assessing any cost to CJ Design. To finance the project, 668 North obtained a construction loan, which contains a deadline for the project to be finished. If construction does not proceed as scheduled, 668 North risks defaulting on the loan. Moreover, at the City's request, I already delayed construction by thirty days. I 0. 668 North has procured three leases for new tenants to occupy offices at the Center, upon completion of the project. These tenants are currently paying rent for two locations, because they expect to move shortly. If construction is delayed, the tenants will be forced to continue paying double rent or take other action. 11.668 North incurs the following expenses for the Center each month: $29,000 in interest/debt service on the construction loan; $10,000 for administrative staff; $12,000 for management fees; $34,000 for payroll of employees based at the Center, including a facilities manager, handyman, and security guard; $21,000 for utilities at the Center; $14,000 for repairs and maintenance at the Center; $8,000 for common-area expenses, including landscaping, pest control, trash service, and washing; and $42,000 in property-tax accruals. down.” Id. at 217:23-25. The Center suffered from what Reblin politely described as an “identity problem,” which caused a “problem for the brokers” and made leasing to potential tenants “very difficult.” Id. at 219:10-16. Reblin prepared a plan for COFCO to remodel the center, but “COFCO did not want to put any more money in.” Id. at 218. Instead, COFCO sold its controlling interest to 44 Airport AG Owner LLC, which is an arm of Angelo Gordon, an investment firm from New York. Id. at 220:1-7. COFCO sold its units at the Center without restrictions on its design. Id. Currently, the Center is “mostly vacant” and the “vast majority of the first floor is empty.” Id. at 219:17-21. The anchor tenant (previously a grocery store) is gone. Now the ground floor consists of “a couple of restaurants and a [travel agency], and a small little doctor’s office. That’s it.” Id. at 219:22-23. Before 668 North purchased the property in 2017, it conducted “very detailed due diligence.” Id. at 214. Thus, the Center twice changed hands on the commercial real estate market on the understanding that its design could be changed. After purchasing its 95% interest, 668 North intended to remodel the Center and relocate its corporate headquarters and operations

there. M.E., p. 3. The planned renovations include a “complete overhaul of the roof.” Id. After its purchase, 668 North obtained written permission for its remodel from Reblin, who acted on behalf of both the Condo Assoc. and the Master Assoc. Hearing Exs. 8, 23. At trial, Reblin explained why the remodeling project is consistent with the Condo CC&Rs and the Master CC&Rs. Ex. F hereto at 216-220. He further explained that the original developer, COFCO, is aware of the remodeling proposal and has no concerns. Id. at 220. Now that 668 North has bought the controlling interest in the Center, COFCO is apparently of the view that 668 North can control its design. Id. at 221. In response to CJ Design’s complaint, the Condo Assoc. met to elect a revamped board. Because 668 North cast 95% of the votes, its nominees were elected as directors of the Condo Assoc. Ex. G hereto/Hearing Ex. 84 (Minutes of Special Meeting of the Members). The Condo Assoc. approved 668 North’s proposal; 668 North also assured that CJ Design will maintain access to its Units and bear none of the cost of constructing improvements. Ex.
