Each year BEYA hosts over 2,000 middle and high school students to expose them to STEM careers.
Over 70 percent of these students are interested in pursuing STEM majors. We o er pre-college students opportunities to explore career options and requirements. This Corporate Client Terms and Conditions (this “T&C”) sets forth the provisions pursuant to which you (“Client”, “Sponsor”, “you”, “your”) agree to register with Career Communications Group, Inc. (“CCG”, “us”, “we”, or “our”) to participate at one of our conference events held virtually online, at a physical venue, or in a digital twin experience environment (each, an “Event” and collectively, the “Events”). The Parties agree to all of the provisions set forth in (a) this T&C and (b) any supplemental terms or agreements applying to any Event (collectively, the “Corporate Client Terms and Conditions).
1.De nitions
(a) “Conference” means physical, virtual, or digital twin experience gathering under the brands of Waves of Change STEM Conference or Black Engineer of the Year Awards Conference.
(b) “Events” means scheduled seminars, lectures, job fairs, awards galas, and other scheduled gatherings organised by Career Communications Group or Agents for the bene t of Conference attendees.
2.Binding Agreement
By placing an order, the Sponsor (which is the entity placing the order for the Sponsorship whether it is the advertiser/sponsor of the product or service referred to in the Sponsorship Package) accepts and agrees to be bound by these terms in full.
3.Conference, Events, and Venues
The Conference and Events are for students, professionals, and corporations in STEM to come together for the purposes of networking, continuing education, recognition, and recruitment. Each Event will be held on the dates and times set forth in the Client Invoice and will be conducted as either a virtual event (each, a “Virtual Event”) located at a virtual venue or venues accessible online (each, a “Virtual Venue”), a physical event (each, a “Physical Event”) located at a physical venue or venues (each, a “Physical Venue”), or a digital twin experience event located in a venue accessible physically and virtually (“DTX Venue”), unless rescheduled due to matters beyond our control. Among other things, the date, time and location of each event (whether a physical, virtual, or digital twin experience) will be listed in the applicable conference guide as may subsequently otherwise be communicated by CCG to Client from time to time (including without limitation by electronic mail). For clarity, each “Event” as de ned in this T&C refers collectively to, and includes, all activities being promoted by Career Communications Group in connection with any of our Conferences (whether held by means of a physical, virtual, or digital twin experience venue), including without limitation all pre-conference and post-conference event activities in connection with such Conference or Event. For clarity, the physical, virtual, or digital twin experience events may be referred to collectively in this T&C as “Events”, and the physical, virtual, or digital twin experience venues may be referred to collectively in this T&C as the “Venues”.
4.Sponsorship Bene ts
Career Communications Group Inc. will provide Sponsor with Conference and Event related branding, Conference and Event promotion and scheduling according to speci cations of the Sponsorship Package as speci ed in your QuoteValet invoice. Branding may include (but not be limited to) banners, signage,

collateral materials representation, branded materials seat-drop and branded meeting space as well as inclusion in advertising material used to promote the Conference. Sponsor may also be promoted via Career Communications Group publications and the Conference Website and the Conference guide (printed program). Such promotions
will be delivered at the sole discretion of CCG unless otherwise speci ed. Sponsor agrees to deliver its company logo and speaker information by the deadlines provided in order to be included in promotional initiatives.
If Sponsorship Package includes private meeting space, Host will provide Sponsor with branded meeting space. Additional specialty furniture, signage, food and beverage, and adjustments to space (other than relocation of space) will be arranged by the Sponsor, at the Sponsor’s expense.
6.Attendee List
Conference attendees have the right to opt out of identity disclosure to Sponsors. Those who do not opt out will be compiled on an Attendee List made available on a limited basis to Sponsors. If Sponsor has purchased the applicable Sponsorship Package, CCG will provide, at Sponsor’s request, a copy of the available attendee list within 3 days prior to the Conference to aid in its limited planning and promotion, related to this event only, to attendees. The attendee list will include name, title and company (as provided by the attendee) of individuals who have not opted out to share their information. Sponsor shall treat the attendee list as con dential and shall not share the list with any third parties. Sponsor shall not use the attendee list for purposes unrelated to the Conference.
7. Sponsorship Materials and Content
(a) Deadlines
Sponsorship Materials must be provided no later than the deadline speci ed by CCG and meet technical speci cations required.
(b) Standards
Sponsor represents and warrants to CCG that any landing page and/or destination site linked to or referred to from Sponsorship materials (“Sponsor’s Site”), or any collateral materials, promotional materials, publicity or information materials produced by Sponsor relative to the Conference will (a) be decent, honest and truthful, (b) comply with the provisions of any applicable law, regulation or code of practice, (c) not be libelous or obscene, (d) not infringe the rights of any person (including any person’s intellectual property rights); (e) not be prejudicial to the image or reputation of CCG or the Conference; (f) be free from viruses, adware, malware, and/or bit torrents, and (g) not cause an adverse e ect on the operation of the Conference Website.
(c) CCG Approval Rights
We reserve the right to request Sponsor to amend any conference and/or sponsorship materials including online content, collateral materials, signage, handouts, giveaways and/or booth activities if not in the best interest of the Conference. If, after notice to Sponsor and consultation with Sponsor, any of the above materials are still determined at our sole discretion to be outside the best interest of the event, we have the right to veto materials.
8.Exhibit Space and Booths
If Sponsorship Package includes exhibit space and booth space, the following provisions apply:
(a) Space Assignment
We have the sole discretion in the assignment or reassignment of exhibit and booth space. You may not reassign or sublet assigned exhibit and booth space, in whole or in part, without prior written permission from CCG or our agents. Exhibit and booth assignments are based on the date of postmark, exhibit booth requirements, and other criteria deemed necessary to ensure the overall success of the annual conference.
(b) Deadlines
If we do not receive your required materials needed for the Event and a deadline for inclusion in the Event is missed, and this results in your organization not being included in the Event, we will not be liable to you in any manner, and we shall not be obligated to provide you with any refund for any such missed deadline or with any credit for any future Event and/or promotion.
(c) Auxiliary Services and Labor
The o cial Service Contractor will handle decorating, drapery, furniture rental, drayage, sign painting, and labor. Payment for services provided by the o cial Service Contractor is your responsibility. All services not ordered in advance must be procured through the Client Service Center. All labor requirements can be acquired from the o cial Service Contractor.
(d) Display Construction and Limitations
(i) Booth Construction
CCG must approve any canopies or ceilings over the exhibit booth area no later than 30 days prior to the exhibition.
(ii) Booth Signage and Decorations
Nothing can be posted on, tacked, nailed, screwed, or otherwise attached to columns, walls, oors, or other parts of the building, booth structures, or furniture. Balloons, stickers, and decals are not allowed in the building. Each exhibitor is entitled to a reasonable sight line from the aisle, regardless of the size of the exhibit.
(iii) Space Restrictions
Aisles and other spaces are not included in your exhibit and booth space. No booth should extend into this space. All displays, interviews, lectures, demonstrations, or other type of activity must be conducted inside your assigned space. Limited private interview space is available at an additional cost through our sales representatives.
(iv) Prize Drawings and Promotions
Please enquire about Prize Drawings and Promotions with your sales representative to ensure compliance with local laws and regulations.
(v) Sound
Exhibitors operating sound equipment will be expected to keep the sound at a reasonable volume. No sound e ects that carry to adjoining exhibit and booths space are permitted. Headsets with videos are acceptable. Showing of videos, slides, transparencies, opaque materials, etc. will only be permitted within the con nes of your exhibit and booth space.
(vi) Lighting Spotlights and oodlights must not interfere with, distract, or annoy others. Clip-on types are not allowed.
(vii) Safety
You must provide the necessary shielding or safety items to protect attendees, other exhibitors, and all others from equipment that is operable or from any other material, processes, or operations that might cause bodily harm.
(viii) Food
Please enquire with your sales representative about the availability of food service at your exhibit and booth space.
(e) Exhibit Hours, Installation and Dismantling
The hours during which the exposition will be open are outlined in the Exhibitor and Booth Manual. Dismantling may not occur before the dismantling hours speci ed. All freight must be removed from the exhibition oor by the speci ed time communicated by your sales representative. These hours are subject to change.
(f) Security Services
You acknowledge that any provided security services may not be comprehensive for your needs. You agree that we are under no obligation to provide security services and we make no representation whatsoever with respect to the security of the premises.
9.Reimbursement of Cost
You are solely responsible for (a) obtaining all licenses, permits and approvals, and all tax identi cation numbers, under local, state or federal law which are applicable to your participation in each event, and (b) paying all taxes, license fees and other charges that may become due in connection with or related to your participation in each event. You must pay for all fees, expenses and costs incurred by us, including without limitation for all legal and collection services (including all reasonable attorneys’ fees) incurred by us in the process of collecting any past due.
10.Music Licensing
We maintain an ASCAP license for the public performance of music at all of our Conferences and Events. You agree not to permit any musical work protected by copyright to be performed unless it is covered by our ASCAP public performance license or you have obtained permission via the copyright owner or designee. You accept full and complete responsibility for the ful llment of all obligations under any agreement permitting the public performance or other use of any such musical work, or any failure to secure any such rights, including but not limited to, all obligations to obtain public performance rights and/or to accurately report data and to pay royalty fees in connection with any such works.
11.Our (CCG’s) Reserved Rights
We reserve the right to make such additional conditions, rules, and regulations as is deemed necessary to enhance the success of the conference, and to decline or prohibit any exhibit which, in its judgment, is not in keeping with the character of the conference, this reservation being all-inclusive as to persons, things, printed matter, products, and conduct.
12.Non-Liability
You, your agents, employees, and invitees acknowledge and agree that neither Career Communications Group Inc, nor its employees or contractors will be liable for any loss of or damage to your goods or properties.
13.Special Request
Any and all special requests such as a request for seeing-impaired or hearing-impaired interpreters at an event, must be delivered in writing to us no less than forty- ve (45) days prior to such Event.
14.Platform and Content
The platform through which each virtual and digital twin experience venue is provided to you is owned or licensed by Career Communications Group. We own all text, messages, comments, les, icons, images, tags, notes, links, photographs, audio, video and other content appearing on or otherwise provided through the Platform (collectively, “Content”), whether posted by us or any third party. However, any Content uploaded or otherwise provided by you for the purpose of participating in the Conference and Events (collectively, “Your Content”) shall be owned by you. You grant to use a non-exclusive, worldwide, non-transferable, non-assignable, royalty-free license to use Your Content to provide the services purchased in your Sponsorship Package. This license expires 30 days after the end of the Conference or Event.
15.Conference and Event Content
Content provided by Us or any of our third party licensors is protected by copyright, trademark and other laws of the United States and/or other jurisdictions. Other than for Your Content and third party trademarks appearing at any Event, you acknowledge and agree that (a) all right, title and interest (including without limitation all copyright, trademark, patent, trade secret and other intellectual property rights) in and to each Conference or Event (including without limitation all Content appearing in connection with such an Event) is owned by Career Communications Group Inc, and (b) you have no rights in and to any Conference, Event or the Platform other than for Your Content as expressly set forth in this T&C.
16.Conference and Event Trademarks and Branding “BEYA”, “BEYA STEM Conference”, “Women of Color STEM Conference”, “BEYA Stars and Stripes” are trademarks of Career Communications Group Inc. All other trademarks referenced on the platform or at an in-person conference or event or otherwise in connection with any conference or event are the property of their respective owners. You hereby grant Us the right and license to copy, modify, exhibit, display and generally to use Your trademarks, logos, brands and names as needed in order to carry out the services as outlined in your Sponsorship Package. If you have not provided to us, in a timely fashion, your required branding (i.e., business name and logo) for an upcoming Conference or Event, you authorize (but does not obligate) us to copy and use your branding from previous Conferences/Events or branding found on your website(s) and use such branding in connection with the exhibition and/or promotion. If we do not so use your logo or other branding in connection with the conference or event, you shall not receive any refund for fees paid or payable in connection with such decision.
17. Disclaimer of Warranties; Limitation of Liability CLIENT’S PARTICIPATION IN EACH EVENT AND USE OF ANY OF OUR PROUCTS/SERVICES IS “AS IS”, “AS AVAILABLE”, AND AT CLIENT’S SOLE RISK. NONE OF CCG’S PARTIES SHALL HAVE ANY LIABILITY, OBLIGATION OR RESPONSIBILITY TO CLIENT, ANY OF ITS REPRESENTATIVES OR ANY OTHER PERSON FOR ANY LOSS, DAMAGE, OR ADVERSE CONSEQUENCE ALLEGED TO HAVE HAPPENED OR WHICH HAS HAPPENED, DIRECTLY OR INDIRECTLY, RELATED TO CLIENT’S PARTICIPATION IN ANY EVENT OR USE OF ANY OF OUR PRODUCTS/SERVICES. NONE OF THE CCG PARTIES ARE RESPONSIBLE FOR ANY THEFT, LOSS OR DAMAGE TO ANY OF CLIENT’S EQUIPMENT, BELONGINGS OR OTHER PROPERTY (OR ANY EQUIPMENT, BELONGINGS OR OTHER PROPERTY OF ANY OF CLIENT’S REPRESENTATIVES), AND NONE OF THE CCG PARTIES MAKES ANY REPRESENTATION, WARRANTY, GUARANTEE OR PROMISE, EXPRESS OR IMPLIED, REGARDING OR RELATING TO ANY EVENT, PRODUCT/SERVICE, OR OTHERWISE, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTIES REGARDING THE SAFETY OR SUCCESS OF ANY EVENT OR PRODUCT/SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS T&C OR ANY OTHER PART OF THE CLIENT AGREEMENTS, IN NO EVENT SHALL CCG OR ANY OF THE OTHER CCG PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND/OR PUNITIVE DAMAGES IN CONNECTION WITH OR OTHERWISE RELATED TO ANY SUCH PARTY’S INVOLVEMENT IN AN EVENT OR EVENTS OR OTHERWISE ANY SUCH PARTY’S INVOLVEMENT WITH CLIENT OR ANY OF THE OTHER CCG PARTIES. THE ENTIRE LIABILITY OF CCG AND THE OTHER CGG PARTIES COLLECTIVELY, AND CLIENT’S EXCLUSIVE REMEDY FOR ANY DAMAGES, IS LIMITED TO THE LESSER OF (A) ONE-HALF (½) OF THE AGGREGATE CLIENT FEES PAID TO MANAGER BY CLIENT FOR THE PARTICULAR EVENT, PRODUCT OR SERVICE IN CONNECTION WITH WHICH THE CLAIM FOR SUCH LIABILITY IS BASED, OR (B) ONE THOUSAND DOLLARS ($1,000). AS SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION 23 MAY NOT APPLY TO CLIENT.
18.Notice
All communications hereunder shall be in writing and shall be sent by postal mail to Customer Service at Career Communications Group, Inc., 729 E. Pratt Street, Suite 504, Baltimore, Md 21202, with a copy by email to: wecare@ccgmag.com, and to Client using the contact information provided in the Client Contract; provided however, that during an Event, such communications may be delivered by hand to an authorized representative of Client or Manager, as the case may be.
19.Force Majeure
The failure or delay of CCG in its performance of any of its obligations under this T&C and/or any other portion of the Client Agreements, including without limitation CCG’s holding of any Event or Events for which Client has already paid Fees, shall be excused (and CCG shall not be deemed to have breached this T&C or any of the other Client Agreements) if such failure or delay is a result of any of the following: (a) any act or omission of Client or any person acting on Client’s behalf, including without limitation Client’s or any such person’s failure to perform (or cause to be performed) any of Client’s obligations to CCG, (b) the unavailability of any Venue, or (c) any Force Majeure Event. A “Force Majeure Event” means any event which prevents or delays the performance by CCG of any of its obligations under this T&C and/or any other portion of the Client Agreements in whole or in part, whether by reason of any (i) act of God, (ii) ood, re, earthquake, or like natural disaster, (iii) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil disturbance or unrest, civil commotion, acts of public enemies, public agitation, or sabotage, (iv) epidemics or pandemics (including without limitation circumstances arising from the Covid-19 pandemic that make such CCG’s performance under this T&C or any other portion of the Client Agreements commercially impracticable, even if such circumstances might be deemed to be foreseeable), (v) widespread Internet, communications or electrical outages, (vi) actions, embargoes or blockades, (vii) acts or orders of government or authorities, rules and regulations, or any delay or abandonment due to any order of any court of applicable jurisdiction, (viii) national or regional emergency, (ix) strikes, labor stoppages, lock-outs, slowdowns or other industrial disturbances, and (x) any other cause beyond the reasonable control of CCG.
20.Governing Law and Jurisdiction
Each party hereto consents to having all disputes arising out of or related to this Agreement being resolved within the geographic boundaries of the State of Maryland, whether such resolution takes the form of litigation or some alternative dispute resolution format. In the event litigation is properly initiated, each of the parties hereto agrees that they may be sued in the state or federal courts of the State of Maryland and consents to the jurisdiction of such courts in any such action. If any action related to or arising out of this Agreement is brought in the U.S. District Court for the District of Maryland or is removed to such court from a state court, both parties hereby waive any right they may have to obtain a change of venue to any other federal court. It is the intent of the parties hereto that all questions with respect to the construction of this Agreement and the rights, duties, obligations, and liabilities of the parties shall be determined in accordance with the applicable provisions of the laws of the State of Maryland, including the applicable statute of limitations, exclusive of its con ict of law rules.

Each party hereby agrees to indemnify, defend, and hold the other harmless from any loss, liability, costs, or damages arising from actual or threatened claims or causes of action (hereinafter, the “Claims”) resulting from the gross negligence or intentional misconduct of such party or its respective o cers, directors, employees, agents, contractors, members, or participants (as applicable), provided that with respect to o cers, directors, employees, and agents, such individuals are acting within the scope of their employment or agency, as applicable. In the event Claims are asserted against either party, each party agrees to provide written notice within ten (10) working days of the existence of such Claims to the other party. Moreover, both parties agree to cooperate and coordinate in the defense of such claims so as to avoid unnecessary expense and fees. The parties further agree that their liability for attorney fees incurred by the other party in the defense of any Claims shall be limited to those reasonable fees necessary for the defense of the party.
22.Severability
If any provision of this T&C shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court nds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
23.Amendment
We may amend this Agreement from time to time by posting an amended version at its Website and sending Customer written notice thereof.
24. Waiver
Neither party will be deemed to have waived any of its rights under this Agreement by lapse of time or by any statement or representation other than by an authorized representative in an explicit written waiver. No waiver of a breach of this Agreement will constitute a waiver of any other breach of this Agreement.
25.Entire Agreement
This Agreement is the complete agreement between the parties concerning the subject matter of this Agreement and replaces any prior oral or written communications between the parties. There are no conditions, understandings, agreements, representations, or warranties, expressed or implied, which are not speci ed herein.
