All members are responsible for their own conduct and the conduct of their guests. If Club management believes a member or their guest has executed poor conduct, the member may be reprimanded, fined, suspended or expelled from the Club and all privileges associated with Promontory Club membership will be suspended or terminated.

PREAMBLE

These Rules and Regulations have been established by the Club to protect the Club Facilities and to promote the health, safety, welfare and enjoyment of persons using the Club Facilities. They are not intended to deal with all conceivable issues that may be presented for governance. The Club is committed to providing all members and their guests with an enjoyable club experience. To uphold these standards, members and guests are expected to act in a manner consistent with good taste. The Club may amend these Rules and Regulations from time to time as it determines appropriate at its sole discretion.

I. GENERAL CLUB RULES

1. Members,theirfamiliesandtheirguestsshallabidebyallrulesandregulationsoftheClub astheyareamendedfromtimetotime.

2. AllmembersmustcheckinwiththeirindividualmembernumberandpictureIDthroughthe appwhenusingtheVillageClubhouse,theBeachClub,TheShed,theNicklausFitnessCenter, theAlpineLodgeatDeerValley,thePCLodge,andotheramenities

3. TheClubFacilitiesshallbeopenonthedaysandduringthehoursasmaybeestablishedby theClub. AreasoftheClubmayalsobeclosedforscheduledmaintenanceandrepairs. The Club reserves the right to close the golf course and/or any clubhouse to hold promotional events,privateevents,andtournamentssubjecttotheprovisionsoftheMembershipPlan.

4. PerformancebyentertainerswillbepermittedintheClubFacilitiesonlywiththepermission oftheClub.

5. DiningroomactivitiesforgroupswillbepermittedonlywiththepermissionoftheClub.

6. Alcoholicbeverageswillnotbeservedorsold,norpermittedtobeconsumed,attheClubin any mannerprohibitedby law. The Club reserves the right, at its solediscretion, to refuse servicetoamemberorguestwhenthatmemberorguestappearstobeintoxicated.

7. AllfoodandbeveragesconsumedontheClubFacilitiesmustbefurnishedbytheClubunless otherwisepermitted.

8. Employeesarepermittedtodeliverfoodoralcoholicbeveragestolocationsawayfromthe immediate area of the clubhouse or other designated areas of the Club only with the permissionoftheClub.

9. Commercial advertisements shall not be posted or circulated in the Club nor shall solicitationsofanykindbemadeontheClubFacilitiesorupontheClub'sstationerywithout thepriorapproval oftheClub. Other thanaspermittedinwritingbytheClub,nopetition shallbeoriginated,solicited,circulatedorpostedonClubproperty.

10. MembersshallnotusetherosterorlistofmembersoftheClubforsolicitationorcommercial purposesordistributetherostertoanyoneotherthanamember.

11. ItiscontrarytotheClub'spolicytohaveitsfacilitiesusedforfunctionsorfund-raisingefforts for the benefit of a political cause, except as specifically permitted by the Club. The Club Facilitiesshallnotbeusedinconnectionwithorganizedreligiousservicesorotheractivities exceptasmaybeapprovedbytheClub.

12. Members should not request special personal services from employees of the Club or ConservancywhoareondutyorthepersonaluseoftheClub’sorConservancy’sfurnishings orequipmentwhicharenotordinarilyavailableforusebymembers.

13. Dogsor otherpets(withtheexceptionofthose assistingpersonswithdisabilities)arenot permitted on the Club Facilities, except with the permission of the Club. Where dogs are permitted on the grounds, they must be on a leash (except at Bark City and specifically identifiedoffleashtrail). Membersareresponsiblefordamagecausedbyananimalowned bythememberorunderthemember'scontrol.

14. Cellulartelephoneuseshall onlybepermittedinthelobbyareasoftheclubhouses andfor check in, and shall be prohibited in all other areas (i.e., fitness, pool, locker rooms, dining area(s))asdeemednecessarybytheClubfromtimetotime, atitssolediscretion. Anyone receiving a call in a cell-prohibited area may be asked to move to a permitted location to continuethecall.

15. Allcomplaints,criticismsorsuggestionsofanykindrelatingtoanyoftheoperationsofthe Club,theConservancyandanyemployeesmust be inwriting,signedandaddressedtothe DirectorofClubOperationsorGeneralManager

16. Members and their guests may not berate or abuse any of the Club and Conservancy employees, verbally or otherwise. All service employees of the Club and Conservancy are underthesupervisionofthe GeneralManagerandnomemberorguestshall reprimandor disciplineanyemployee,norshallamemberrequestanemployeetoleavetheClubFacilities for any reason. Any employee not rendering courteous and prompt service should be reportedtothemanagementoftheClubimmediately.

17. Self-parkingispermittedinareasidentifiedassuch. Noparkingwillbeallowedongrassed orlandscapedareas. “NoParking”signsmustbeobserved. Vehiclesparkedinviolationof “NoParking”signsmaybetowedattheowner’ sexpense.

18. Smokingispermittedonlyindesignatedareasandneverwithinbuildingsorwithinthepoolareaenclosure

19. FireworksarenotpermittedanywhereonClubpropertyoradjacentareasunless aspartof afireworksexhibitorganizedandconductedbytheClubortheConservancy.

20. FirearmsandallotherweaponsofanykindarenotpermittedonClubpropertyatanytime exceptwhencarriedbyauthorizedsecurityorlawenforcementpersonnelonactiveduty.

21. UseoftheClubFacilitiesmayberestrictedorreservedfromtimetotime bythe Club,and suchuseofanyfacilitywillalwaysrequireClubmember,familymemberandguestexecution

of Promontory’s current Waiverand Release of Liability, as may be amended from time to time,atthesolediscretionoftheCluband/orPromontory.

22. Violationofanyoftheserulesorconductinamannerprejudicialtothebestinterestsofthe ClubwillsubjectthepersoninviolationtodisciplinaryactionbytheClubinaccordancewith theseRulesandRegulations.

23. ThepersonneloftheClubwillhavefullauthoritytoenforcetheseRulesandRegulationsand anyinfractionswillbereportedtothemanagementoftheClub.

24. InnoeventshalltheClubdiscriminateagainstanyindividualbecauseoftheindividual’ srace, color,religion,sex,nationalorigin,age,handicap,sexualorientationormaritalstatus.

25. AserviceanimalanditsownerwillalwaysbewelcomeinallPromontoryfacilities. Aservice animalisaguidedog,signaldog,orotherdogindividuallytrainedtoprovideassistancetoan individualwithadisability.Staffmayaskifthedogisaserviceanimalrequiredbecauseofa disability,andwhatworkortaskhasthedogbeentrainedtoperform. Utahlawmakesita crimetofalselyrepresentthatananimalisaserviceanimal. Apetoranimalusedsolelyto provideemotionalsupport,well-being,comfort,orcompanionshipisnotaserviceanimaland willnotbeallowedentrancetopet-freeareassuchasrestaurants,pools,golfcourses,etc.All dogs,includingservicedogs,mustremainundercontrol,onthefloor,andonleashatalltimes except for times when the service dog must be off leash to do its job. If any Member is uncomfortable(orallergic)aroundsuchservicedogs,theymustnotifyClubservicestaffand staffwillmakeeveryefforttoaccommodateallmembers.

26. GamblingofanykindisillegalinUtahandisnotallowedintheClub. Thisincludesfriendly cardgames,golfcoursebetting,etc. Gamblingmeansriskinganythingofvalueforareturn orriskinganythingofvalueupontheoutcomeofacontest,game,gamingscheme,orgaming devicewhenthereturnoroutcome:isbaseduponanelementofchance;andisinaccordwith anagreementorunderstandingthatsomeonewillreceivesomethingofvalueintheeventof acertainoutcome.

M EMBERSHIP I DENTIFICATION

1. The Club requires all members and immediate family who are eligible for membership privileges asprovided herein to provide Membership identification through a smartphone app, along with the applicable membership number and letter Membership identification willonlybeissueduponpaymentofduesbythemember. Membersandtheirfamiliesmay berequiredtohavetheirmembership identification withthematall timeswhileusingthe ClubFacilities. Membersarerequiredtocheckin atmostamenities usingthePromontory app

2. Membershipidentificationmaynotbeusedbyanypersonotherthanthemembertowhom it is issued. Membership identification credentials are not transferable. Members must reverifytheirfamilyontheirMembershipAgreementannually andensurethatClubwaivers aresignedforallmembersandfamily.

3. In order toprotect members from improper charges, membership identification, including member numbers and letters will be required to be presented at the point of sale for all

transactions, excluding food and beverage, in which case presentation of membership identificationmayberequiredpriortoplacinganyorder.

4. In the event of a compromised membership identification, the Club must be notified immediately. The member’s Club account will be canceled and the Club will issue a new membershipidentificationcode. Untilnotificationofidentificationlossortheftisreceivedin writingbytheClub,themembershallberesponsibleforallchargesplacedontheaccount. A membershipidentificationreplacementfeemaybechargedforlostorstolenmembershipor inanysituationwheretheClubaccountnumberischangedasdeterminedbytheClub

5. EachmembermayreceiveClubidentificationcards,decalsorotheridentificationcredentials astheClubmayfromtimetotimedesignate,andshalldisplaysuch credentialsasrequired bytheClub.

M EMBER C ONTACT I NFORMATION

1. EachmembershallberesponsibleforfilingwiththeMembershipOffice,inwriting,hisorher current e-mail and postal mailing address and any changes thereto, where the member wishes all noticesand invoices of the Club to be sent. A member shall be deemed to have receivedmailingsfromtheClubten(10)daysaftertheyhavebeenmailedtotheaddresson file with the Club. In the absence of an address onfile at the Membership Office, any Club mailingmay,withthesameeffectdescribedabove,beaddressedinsuchmannerastheClub Managermaythinkismostlikelytocauseitspromptdelivery.

2. TheClubmustbenotifiedinwritingofanychangeofaddress.Failuretodososhallconstitute awaiveroftherighttoreceiveClubnotices,bulletinsandanyothercommunications,anda violationoftheseRulesandRegulations.

C LUB S ERVICES AND A CTIVITIES

1. TheClubprovidesavarietyofsocial,culturalandrecreationaleventsinwhichallmembers areencouragedtoparticipate.

2. TheClubdesirestoencouragetheuseoftheClubFacilitiesbymembersforprivatefunctions onanydayorevening,provideditdoesnotinterferewiththenormaloperationoftheClub, orwiththeservicesregularlyavailabletomembers. AnyMemberwishingtohostagathering of 8 people or more at any Club or Conservancy facility or event is required to make reservations with the Concierge or other appropriate personnel for available dates and arrangements. Event cancellations are required forty-eight (48) hours in advance, or are otherwisesubjecttoapenaltyintheamountofthefacilityusefee,totaleventfee,oranother penaltyfee,whichfeeamountwillbedeterminedbytheClub,initssolediscretion.

3. PrivatefunctionsarepermittedattheClubonlywithpriorpermissionoftheClub. During theperiodoftimebetweenMemorialDayandLaborDay,the2weeksaroundChristmas,and President’s weekend,the Clubwill notcloseanyamenity fora private function benefitting onlyoneMember–withtheexceptionoftheOutfitter’sCabinoreithertheHearthorPeakon their regular closed days. The member sponsoring the function shall assume full responsibilityfortheconductofguests. Thesponsorofthefunctionshallberesponsiblefor

anydamagetotheClubFacilitiesandforthepaymentofanychargesnotpaidbyindividuals attendingtheprivatefunction.

4. Special events and functions may be scheduled by the Club from time to time, in the sole discretionoftheClub. WithapprovalfromClubownership,theClubwillconsiderclosingan amenityforatournamentoreventwhereallMembersareinvitedtoparticipate.

TheClubmayofferprivatecateringservicesfromtimetotime,initssolediscretion. Ifand whensuchcateringservicesareoffered,membersshallmakeallarrangementsforsuch cateringthroughtheClubcateringandeventsmanager,andshallabidebytheClub’s specificcateringpoliciesthenineffect(includingbutnotlimitedtoorderingoffoftheClub’s establishedcateringmenu).

CLUBHOUSE USE

1. FullMemberswillbeentitledtouseallofthegolf,tennis,swimming,fitness,socialand trail ridingfacilitiesoftheClub(excludingtheprivateequestriancenterfacilities),and will begrantedpreferreddiningreservationanduseprivilegesinthePeteDyeCanyon GolfClubhousefortheirfamiliesandguestsaswellasexclusiveuseanddiningprivileges in the Nicklaus Golf Clubhouse during golf season. Certain use privileges, including, without limitation, use of the Nicklaus Golf Clubhouse, golf course, and fitness studio, Lavender Spa and Peak Lounge and preferred dining reservations in the Dye Golf ClubhousearereservedexclusivelyforFullMembers,whichexclusivitymaychangefrom timetotime,attheClub’ssolediscretion. Forexample,theClubreservestheright,from time to time, and in its sole discretion, to allow off-season dining and/or other use privileges in The Peak and Nicklaus Clubhouse for Social Members and/or real estate prospects.

CHILDREN

1. UnlesspermittedbytheClub,childrenunder14yearsofagearenotallowedattheClub Facilities (children 12 and under may go to the Kids Club 4-12 and related facilities) unlessaccompaniedandsupervisedbyanadult.ChildrenusingtheKidsClub4-12must beregisteredwiththeattendantbyaresponsibleparentorguardian.

2. Children under the lawful drinking age are not permitted in any lounge unless accompaniedbyanadult.

3. Membersareresponsiblefortheconductandsafetyoftheirchildrenwhenenjoyingthe ClubFacilities.

ATTIRE

General Attire - It is expectedthat members will choose to dress in a fashion befitting the surroundingsandatmosphereprovidedinthesettingoftheClub. Itisalsoexpectedthatmembers willadvisetheirguestsofthedressrequirements. TheClubmaypublishdressrequirementsfrom time to time. Gentlemen and ladies are requested to dress in a fashion compatible with the appropriate occasion. Shirtsand shoes must be worn at all times when on Club premises, except when using pool and spa facilities. Shirts must be tucked in at all times while on any of the golf coursesorinanyoftheClub’sextendedfacilities(i.e.,anyoftheclubhouses,ranges,etc.)unlessthe shirt/blouseisspecificallydesignedtobewornuntucked. Juniorsarealwaysrequiredtohavetheir

shirtstuckedinwhilegolfingoronthepracticerange. Trousersorshortsshouldalwaysbewornin amannerastonotexposeunderclothing. Childrenovertheageofsixareexpectedtocomplywith these dress requirements. Nothing in this section is intendedto require a person to modify their dressinviolationoftheperson’ssincerelyheldreligiousbeliefs.

RestaurantAttire–Pleasedressappropriatelyforafinediningexperienceasa courtesyto fellowmembers. Properattire(includingshoes)isrequiredforalldiners.Properattireshallmean thefollowing,andshallbeenforcedbytheClubstaffasappropriate,atitssolediscretion:

• Men:Golfmock-neckedshirtsand/orshirtswithcollarsandsleevesareappropriate. Slacks,bluejeansorBermuda shortsofmid-thighlengthisconsideredappropriate attire. Examplesofattirenotpermitted: tanktops,teeshirtsofanykind,shirtswith graphics(whethersmallorlarge)whichcouldbedeemedoffensivebytheClub,atits solediscretion,meshshirts,sweatpants,warm-upsuits,swimwear,shortshorts,cutoffs,gymshorts,tennisoutfitsorotherathleticshorts. Baseball caps,truckerhats, golfhats,visors,andcasualheadwearmustalwaysberemovedinthediningroomof ThePeakandTheHearthafter5:00pm.DressHatswhenpartofanensemblewillbe permitted.

• Women:Dresses,skirts,skorts,slacks,Capripants,mid-lengthshortsandsleevedor sleeveless blouses are considered appropriate attire. Examples of attire not permitted: indiscretehaltertops,shirtswithgraphics(whethersmallorlarge)which could be deemed offensive by the Club, at its sole discretion, mesh shirts, cut-offs, sweatpants,warm-upsuits,swimwear,tennisdresses,shortshorts,orotherathletic shorts.Baseballcaps,golfhats,truckerhats,visors,andcasualheadwearmustalways beremovedinthediningroomofThePeakandTheHearthafter5:00pm.DressHats whenpartofanensemblewillbepermitted.

• Shoes:Flipflops,sandals,and/orshoeswithoutsocksarenotpermittedinthedining room.Anexceptionmaybemadefordresssandalsordressyflats/heels,atthesole discretionofClubstaff. Notennisshoes,sneakersand/orgolfshoesareallowedin theHearthGrilleorThePeakdiningrooms duringdinnerservicehours,which are typically5pmtoclosing.

GolfandSportswearAttire–Propergolfattireisrequiredforallplayerswhetherusingthe golfcourses,practicefacilitiesorclubhousefacilities.Properattireshallmeanthefollowing:

• Men:GolfmocksorshirtswithcollarsandsleevesandslacksorBermuda shortsof mid-thighlengthareconsideredappropriateattire. Examplesofattirenotpermitted: tanktops,teeshirts,meshshirts,sweatpants,warm-upsuitsand/orwork-outattire, blue jeans, swim wear, short shorts, cut-offs, gym shorts, tennis outfits or other athleticshorts.

• Women: Dresses,skirts,skorts,slacks,Capripants,mid-lengthshortsandsleevedor sleeveless blouses are considered appropriate attire. Examples of attire not permitted: haltertops,teeshirts,cut-offs,sweatpants,warm-upsuitsand/orworkoutattire,bluejeans,swimwear,tennisdresses,shortshorts,orotherathleticshorts.

• Note:Juniorgolfersmusthaveshirtstuckedinwhileonthegolfcourseandpractice facilitiesatalltimes. Allheadwearmustbeworninaforward-facingpositionwhile golfing,andmustberemoveduponentrytotheHearthGrilleand/orThePeak.

• Golf Shoes: Appropriate “soft spike” or otherwise Club-approved golf shoes are requiredforallgolfers. Metalspike,football,soccerorotherlargeknobbyspikeshoes arenotallowed. Tennisshoesorothersoftsoleshoesaresubjecttotheapprovalof theGolfProfessionalonduty.

This dresscode ismandatoryfor all players. Improperly dressedgolfersshall beaskedto changebeforeplaying. Ifyouareindoubtconcerningyourattire,pleasecheckwiththeGolfShop beforestartingplayorusingthepracticefacilities.

Tennis Attire - Proper tennis attire and proper athletic attire, as determined by the Club Director of Club Operations, is requiredatall times. Colorsare permitted. ShedBasketballCourtShoes-Properathleticsocksandshoesarerequiredwhenusingthe Shedbasketballcourt. Individualswithoutproperfootwearwillnotbeallowedtousethefacility.

GUEST PRIVILEGES

Guestand/orextendedfamilyprivilegesareofferedonlyundertherulesestablishedbythe Clubasamendedfromtimetotime. AlthoughitistheintentionoftheClubtoaccommodateguests (includingextendedfamily)withoutinconveniencetothemembers,theClub limitsthenumberof gueststhatareinvitedbymember(s)onanygivendayoroverthecourseofamembershipyear,and theClubalsoreservestherighttolimitthenumberoftimesa particularguestorextendedfamily member may use the Club Facilities, including golf course(s), in any given membership. Guest privileges contained herein do not apply to the private Promontory Equestrian center which will haveitsowngoverningrulesandproceduresapplicabletoEquestrianmembers,theirfamilies,and guests.

TheClubshallestablishfromtimetotimetherateofguestClubusefeesandgolfcharges,as setforthintheScheduleofDues,Fees,andCharges. Guest privilegesmaybedenied,withdrawn,or revokedatanytimeforreasonsconsideredsufficientbytheClub,atitssoleandabsolutediscretion. The Club reserves the right, fromtime totime, tolimit theavailabilityof golfplayingdaysand/or startingtimesforguestsmembers,asdictatedbythepaceofplayandotherfactors. Allguestseither shall be accompanied by a member or shall be appropriately member-sponsored, if they are unaccompanied.

CONDITIONS OF GUEST USE OF CLUB FACILITIES

1. Lodges are for accompanied guests (including extended family members) only with a limit of two guests per membership per day and no guests during blackout periods. Members may invite their accompanied guests to use Club Facilities, including the PC LodgeandAlpineLodge,accordingtotherulessetforthbelow,onlyinaccordancewith the privileges of the sponsoring member’s category of membership and in accordance withtheClubRulesandRegulations,uponthepaymentofapplicabledailyand/orweekly guestfamilyusefees,anduponthecompletionoftheClub’scurrentWaiverandRelease of Liability for each guest, which shall be obtained from the Club. The Club limits the number of members’ guests and the number of times a particular guest may use Club Facilitieswithinagivenmembershipyear,andtheClubmaylimitguestprivilegesatits solediscretion.

2. MembersmustnotifyGateHousestaffoftheirincominggueststhroughtheClubwebsite orbyphonetotheGateHouse. ThePromontoryClubandConservancyGateHousestaff mayrefuseentrancetoaguestoftheMemberifitcannotbedeterminedthattheguest hasbeenauthorizedtodriveinPromontory. Acourtesyphonecallwillbemadetothe primarymemberbeforeturningtheguestaway.

3. PromontoryClubdoesnotallowanyunaccompaniedguests,exceptwithinthefollowing threeexceptions:

a. Full Members, only, will be allowed 7 days a year to host up to 4 unaccompanied guests.

b. Social or Full Members whose properties are short-term rentals managed by Promontory Home Services are allowed to host unaccompanied guests in the Club who are renting their cabin/villa as long as those guests are properly individually registeredusingtheGuestAuthorizationForm.Norentalguestmayhavemorethan seven days access to club facilities per year. Fees apply, see Fee Schedule. Use is subject to blackout dates. Renters who are Members in good standing who own propertyinPromontoryarenotrequiredtoregister.

c. Guests (including extended family of Members) may be unaccompanied if they are properlyregisteredusingtheGuestAuthorizationForm. EachMembershipislimited to16ExtendedFamily(adultsandchildren),ifapplicable. Dailyorweeklyfeeswill becharged.

4. All membersmustregistertheirunaccompaniedguests extendedfamilymemberswith theConciergebyfillingouttheGuest UseAuthorizationformandpayingtheapplicable fees. Userestrictionsandblackoutdatesareidentifiedonthe PromontoryClubAccess table attached hereto. All unaccompanied sponsored guests and extended family are allowedtoaccessamenitiesatasocial memberlevel ofprivileges. Allguests(including rentalguestsandlongtermlesseesmustsignawaivertousetheClubFacilities.

5. OnlypropertiesdesignatedforshorttermrentalsontheSupplementalDeclarationoras ResortUnitsbytheCountymaybeusedforshort-termornightlyrentals.

a. OnlyPropertiesinthePromontoryHomeServicesRentalPoolmaygiveaccessto thePromontoryClubAmenities

i. AllBookingsforthesepropertiesaremanagedsolelybythePromontory HomeServicesRentalManagement.

ii. Noownermayadvertiseorotherwisebookthesehomesforrentalguests

b. AnyResortpropertynotintheHomeServicespool,mayrenttheirpropertyvia AirBnBorVRBOorothers,butmaynotgiveaccesstoanyClubamenity.

6. AllotherpropertiesclassedasIncentiveDensityorCustommayLeasetheirhomebut notforaperiodshorterthanninety(90)daysinduration.

7. AnypropertyLeasedfortwelve(12)monthsorlonger,wheretheOwnerholdsa MembershipinPromontoryClub,mayoffertheirLesseetheopportunitytoacquirea SocialInvitationalMembershipintheClub.

a. TheseInvitationalMembershipsmustbeappliedforandallstandardPromontoryClub applicationproceduresapply.

b. TheseInvitationalMembershipsrequirethepaymentofthedeposit,aswellas monthlyduesandcharges.

c. InvitationalMembershipsarerecallablebytheClubupon90-days;priornotice.

9. ToparticipateinthePromontory HomeServicesshort-termrental program,aMember must a) own a property that is either designated a “Resort Unit” on the applicable subdivision plat, OR designated an “Incentive Density Unit” that has a recorded supplemental declaration expressly allowing short term rental; b) obtain any required permits or licenses from Summit County; and c) meet the property condition

requirements of Promontory’s Home Services short term rental program, as amended fromtimetotime.

10. Access to and use of any Club Facility by Members and guests, is outlined in the PromontoryClubAccessPrivilegesTable.Blackoutperiodsshallinclude,ataminimum, thetwoweeksoneithersideofChristmasDay(December25th),IndependenceDay(July 4th), and President’s Day weekend (the third Monday in February including the immediate preceding Friday through Sunday). Additional blackout periods may be imposedatthediscretionoftheDirectorofClubOperationsinordertopromotemember accesstofacilities. Memberswhoseguestsviolatetheseblackoutrulesmaybecharged penaltyfeesinadditiontotheguestfeeslistedontheaccompanyingfeesheetand/ormay havetheirguestprivilegesrevoked,attheClub’ssolediscretion.

11. ParticipationinthePromontoryConservancy’sannual4th ofJulypicnicislimitedtoinhouseguestsandfamilyonly.AdditionalrestrictionsmaybeplacedbytheConservancy.

12. Individuals(whoarenotthemselvesfullmembersorimmediatefamilyoffullmembers) areeachonlyallowedtoplayatotaloffour(4)roundsofgolfperyearasaguestofaFull Member. Special circumstances which may require an exception to this rule shall be monitoredbytheDirectorofGolf,andanyexceptionshallbeathisorhersolediscretion.

13. Anysponsoringmemberwillalwaysberesponsibleforthepaymentofchargesincurred (ifany)byhis/herguest(s),whetherthesepersonsareaccompaniedorunaccompanied. Allguests(whetheraccompaniedorunaccompanied)whomamemberwantstosponsor atanyClubFacility,mustregisterwiththeClubconcierge(andwiththeproperGolfShop when playing golf), must obtain a Temporary Guest Card, and must keep such card in theirpossessionatalltimestheyareusingClubFacilities.

14. Chargesaccruedbyanyfamilymember(s)andanyguest(s),whetherthesepersonsare accompanied or unaccompanied, will be immediately charged to the sponsoring member’s Club account. An exception to this rule may be made, at the Club’s sole discretion, when member-accompanied guests wish to use their credit card for such charges and fees. These charges include butare not limited to: weekly guest Club use fees,dailyguestClubusefees,andanyandallClubchargesand/orgolffees.

15. Thesponsoringmembershallnotgiveupmembershiprightswhilehis/herguestisusing Club Facilities. However, the sponsoring member shall always be responsible for the conduct of his/her guest and/or family while such person is at the Club, and the sponsoringmembershall causesuchguestorfamilytoleaveClubpremises,surrender theTemporaryGuestCard,andsurrenderallguest/familyprivileges,iftheClubdeems suchactionsarenecessaryduetothemanner,deportment,orappearanceofsuchguest orfamilymember.

16. Sponsoringmembersshouldregisterunaccompaniedguests withtheClubconciergeat least five (5)businessdaysprior tothe guest arrival,and sponsoring members should givenotificationofcancellationatleasttwo(2)dayspriortotheguest’sexpectedarrival. Sponsoringmembersshouldscheduleallteetimesforunaccompaniedguests,subjectto thetermsandconditionsbelowinUseProcedures.

17. InconsiderationoftheservicesofPromontoryInvestments,LLCd/b/a/Promontory,The Promontory Club and Promontory-The Ranch Club (the “Club”), and The Promontory Conservancy(the“Conservancy”)andtheaccessallowedthemtoClubandConservancy facilities, members and their sponsored guests and extended family members (the “Participants”)aredeemedtovoluntarilyrelease,foreverwaive,discharge,andagreeto indemnify,defend,andholdharmlesstheClub,TheConservancy,theirjointventurers, affiliated entities, members and employees, including any personal trainer, staff employees and agents for, from and against any and all claims, demands, liabilities, judgments,causesofaction,costs,expenses,fees(includingattorneys’fees),whicharein

anywayconnectedwiththeParticipants’participationintheactivityortheParticipants’ useoftheCluband/orTheConservancy’sequipmentorfacilities,includinganyalleged claimsfornegligentactsoforomissionsoftheCluborTheConservancy.

GUEST USE PROCEDURES

1. Except during specified blackout periods and subject to the guest(including extended family)regulationsherein,unaccompaniedGuestswhoaresponsoredbyamemberare allowedtousetheVillageClubhouse,theBeachClub,anddineintheShed and must pay the applicable daily or weekly fee to do so.

2. All guests shall register with the Club concierge prior to using Club Facilities, shall completetheGuestClubUseandChargeAuthorization(attachedhereto),shallcomplete theWaiverandRelease,andshallprovideanysuchformofidentificationastheClubmay require. AllguestsshallsigninwiththeGolfShopatthecoursebeingplayedatleast30 minutespriortoteetime. Regularfullgolfingmembersshallalwaystakepriorityingolf playoverguestsandextendedfamilymembers. Unaccompaniedguestsmustalwaysbe registered with the Club by the sponsoring member prior to the guest’s arrival. UnaccompaniedguestswillnotbeallowedtouseanyClubFacilitiesifallpre-registration requirementsabovehavenotbeenmetandiftheClubdoesnothavesuchguest’scredit card on file (or the sponsoring member’s previous authorization for all guest charges, includinganyClubpurchases,tobebilledtosuchmember’saccount)priortotheguest’s useofthefacilities.

3. ATemporaryGuestNumberwillbeissuedtoeachguestforhisorherlengthofmember privileges, up to a maximum of one (1) week (consecutive days). Renewals and/or extensionsofguestprivilegesmaybegrantedatthesolediscretionoftheClub.

4. AllguestsshallkeeptheirTemporaryGuestNumberwiththematalltimeswhileusing ClubFacilities,oraccesstothefacilitieswillbedenied.

5. Allunaccompaniedguestswillbechargedeitheradailyoraweeklyclubusefeeinorder touseanyandallclubfacilities(excludinggolfcourse(s)). TheClub,atitssolediscretion, mayalsochoosetochargeusefeestoaccompaniedguests. Thesechargeswillbebilled totheaccountofthesponsoringmemberand/ortheguest’screditcardprovidedupon the guest’sarrival toanyof the Club Facilities,without exception. The Club, at itssole discretion,maychoosetorequiremember’saccountstobebilledforanyguestusefees and/orClubchargesratherthanallowinga guesttousetheirowncreditcard,andany such sponsoring members shall assume full responsibility for such fees and charges accrued. Exceptions may be made, at the sole discretion of the Club, when memberaccompanied guests wish to use their credit card for such charges and fees. Unaccompanied guests will not be allowed to use Promontory’s PC Lodge and Alpine Lodge at Deer Valley. Unaccompanied registered guests will be allowed to use the recreationalfacilitiesintheShed(i.e.bowling,theatre,basketballcourt,etc.).Applicable use fees will be chargedfor VillageClubhouse, Beach Club and/or other activity usage, andfurtherrestrictionsmaybeimposedregardingapprovedguestactivitiesfromtime totime,attheClub’ssolediscretion.

6. Inordertospareourmemberstheinconvenienceofholidaycrowding,asageneralrule, unaccompaniedguests(includingextendedfamily)maynotuseanyClubFacilitiesduring thetwoweekssurroundingChristmasDay(December25th),thetwoweekssurrounding IndependenceDay(July4th)andPresident’sDayweekend(thethirdMondayinFebruary including the immediate preceding Friday through Sunday). Specific blackout dates surroundingtheseholidayswillvaryfromyeartoyear,asdeterminedbytheDirectorof

Club Operations, at his or her sole discretion and additional blackout periods may be imposedbytheDirectorathisorhersolediscretioninordertopromotememberaccess toClubfacilities. No guests/extended family will be allowed at the PC Lodge and the Alpine Lodge at Deer Valley during the two weeks surrounding Christmas. Accompaniedguests willbepermittedattheVillageandtheBeachClubduringblackout dates, unless the Club, at its discretion, chooses to further limit these facilities due to crowding.Membersabusingprivilegesbybringingguests atnon-authorizedtimesmay havetheirguestprivilegesrevokedand/orbechargedpenaltyfees,asdeterminedbyand atthesolediscretionoftheClub.

7. SkiandbootstorageisavailableinthePCLodgeandDeerValleyAlpineLodgeonaspaceavailablebasis(rentalfeesapply,dependingonthelengthofuse).

8. Unaccompanied guestsusingthegolfcourse(s)maybesubjectto certaindayandtime restrictions,asdeterminedbytheDirectorofGolf,athisorhersolediscretion,andmust adhere to proper check-in procedures detailed in the Golf Rules below. Sponsoring membersshouldscheduleallteetimesforunaccompaniedguests. Sponsoringmembers shall be allowed to make one introductory phone call to the Golf Shop, which will authorizetheirsponsoredunaccompaniedextendedfamilymembertoschedulemultiple tee times during his/her stay. Tee times for unaccompanied extended family/guests cannotbemademorethan48hoursinadvance. Unaccompaniedextendedfamily/guests who are member-sponsored may not bring their own separate guests to play golf at Promontory.

9. LimitedResort playispermittedontheDyeCanyonGolfCourseonlyandispermitted duringtheestablishedandpostedseasonalcourseopenandclosedates,onorafter11:00 a.m. LimitedResortgroupswillbebookedasapprovedbytheDirectorofGolf. Neither unaccompaniedextendedfamily/guests,norLimitedResortplayshall bepermittedon thePaintedValleyGolfCourseoritspracticefacilities. PracticeFacilityuse,otherthanin connection with a scheduled tee time, is restricted to Full Members and their accompanied family/guests only. Practice facility use for unaccompanied guests/extendedfamilyandLimitedResortplayers(allowedontheDyeCourseonly)is restricted to the hour prior to their scheduled tee time. Member sponsorship of accompaniedextendedfamily/guestsatthePaintedValleyGolfCourseshallbeallowed inquantitiesdefinedbelowin#10.

10. Full Members may only sponsor up to two (2) foursomes on any given date at the accompanied Guest or extended family rate. Additional groups will be subject to unaccompanied rates A Full Member’s additional groups (greater than the two (2) foursome limit) will only be permitted on the Painted Valley Golf Course with either another Full Member (who may also accompany up to two foursomes), or at the unaccompanied rate with a Club Golf Professional who is assigned by the Club to each additional foursome. All unaccompanied extended family/guests wishing to play the PaintedValleyGolfCoursearerequiredtobepre-approvedbytheDirectororGolfandto play with a Club Golf Professional, Intern or Caddie. A separate fee (set forth in the Schedule of Dues, Fees, and Charges) will be charged to any unaccompanied extended family/guestfoursomeplayingwiththeProfessional. In all cases, groups of more than eight (8) playing on either course must be approved by the Course Head Golf Professional or the Director of Golf.

 Limited Resort shall refer to the 32 rounds (8 tee times) per day allocation of public access golf play for the Dye Canyon Golf Course required by Summit County under Promontory’s Development Agreement. Such golf shall be, in all cases, subject to payment of full greens fees and cart fees and shall be scheduled after 11 a.m., at the discretion of Promontory’s Director of Golf.

11. Social Members mustcheck in forgolfplayasdetailedinthe GolfRulessection below, andareonlyallowedtoplayamaximumoffour(4)timesperyearastheguestofaFull Member,andtheymayonlyplayatthePaintedValleyGolfCoursewhenaccompaniedby aFullMember.Additionally,SocialMembersmayplayattheLimitedResortRateonthe Pete Dye Golf Course at the times stated above in #8, subject to availability. Social Members and their immediate family may only participate in Club Clinics, Camps, Lessons, andother instructional programs based on availability, and mustdo soatthe postednon-memberuserate. Innocircumstanceshall aSocialMember’sparticipation insuchevent(s)preventaFullMemberfromparticipating. FullMember,FullMemberguestandnon-memberratesforsucheventsshallbeestablishedandreviewedyearlyby theDirector ofGolfandtheDirector ofInstruction.Full GolfMembershiptournaments arestrictlyoff-limitstoSocial Membersunlesstheyareplayingasaninvitedguestofa FullMemberoriftheeventisspecificallydesignatedforSocialMembers.

12. Allguests/extendedfamily(accompaniedorunaccompanied)willbechargedaseparate fee for each round of golf they play at Promontory, each Lodge use, and for each Club serviceinwhichtheyparticipate. TheseClubservicesincludebutarenotlimitedto:spa, lodge,food/beverage/merchandise,sportsequipmentrental,andOutfitter,KidsClub412 and Shed (when and if permitted) activities fees. Charges incurred by memberguests/extendedfamilyforClubservicesandforgolfshallbebilledtotheClubaccount ofthesponsoringmember. Exceptionsmaybemade,atthesolediscretionoftheClub, when member-accompanied guests/extended family wish to use their credit card for suchchargesandfees.

R ESIGNATION OF M EMBERSHIP

1. AmembermayresignmembershipintheClubbydeliveringwrittennoticeofresignationto theClub'sMembershipOffice.Amembershipshallbedeemedtohavebeenresignedeffective asof30daysfollowingthedatetheClubreceiveswrittennoticeofthemembers’resignation andthemembershipshallbedeemedeligibleforreissuancebytheClubasofsucheffective date;provided,however,theresignedmembershallcontinuetobeliableforpaymentofdues until the membership has been reissued by the club to a replacement member, or for 6 monthsfollowingtheeffectivedate,whicheverfirstoccurs.

2. Notwithstandinganyresignation,thememberandhisorherspouseshall remainliablefor anyamountsunpaidonthemember’sClubaccount. Theresignedmembershallalsoremain liableforduesuntiltheearlierofsixmonthsfollowingtheeffectivedateoftheirresignation or,thereissuanceoftheresignedmembershipbytheClub.

D ISCIPLINE

1. Membersareresponsiblefortheirownconductandfortheconductoftheirfamily membersandguests. Anymemberwhoseconductorwhosefamily’sorguest'sconductshall be deemed by the Club to be likely to endanger the welfare, safety, harmony or good reputationoftheCluboritsmembersorisotherwiseimproper,maybereprimanded,fined, putonprobation,suspendedorexpelledfromtheClubandhaveallprivilegesassociatedwith themembershipsuspendedorterminatedbytheClub.

2. TheClubshallbethesolejudgeofwhatconstitutesimproperconduct,butimproper conductwillinclude,withoutlimitation:

a. FailingtocomplywithClubRulesandRegulations.

i. allowing membership identification to be used by another person to gain accesstoClubfacilities,

ii. failingtopayanyamountowedtotheClubinaproperandtimelymanner,

iii. failingtofollowdresscodesandpetpolicies,etc.

b. Conduct that interferes with operations of the Club. Members of the Club are not permitted to interfere with the operation ofthe Club in any way, including butnot limitedtothefollowing

i. Attempting to direct, influence, manage or interfere with an employee’s activities;

ii. EncouraginganemployeetodoanythingthatviolatesClubrulesorpolicies;

iii. Interferingwith,contactingorattemptingtoinfluencebyanymeanstheClub service providers, vendors, or other entities doing business with the Club, including but not limited to, individuals or entitiesthat provide any sort of service,whetherprofessionalorotherwise,orproductstotheClub;

iv. Interfering with, contacting or attempting to influence the Club’s dealings with any entity having a material relationship with the Club, (such as golf organizations,cluborcourseratingservices,orcluborganizations;and

v. InterferingwithorattemptingtonegativelyaffecttheClub’srelationshipor reputation with other clubs, realtors, news organizations, publications or other interested third-parties that might tarnish the Club’s reputation and brand;

vi. FailingtotakeandfollowdirectionfromsafetystaffwhileusingClubfacilities;

vii. Unauthorizedparkingandhazardousdriving;

viii.RepeatednoshowsforClubreservationsoffacilitiesorevents.

c. ConductdetrimentaltothereputationoftheClub Thereputationofaclubisamong itsmostvaluableassets.ThefollowingareamongactionsthatcandamagetheClub’s reputation:

i. SubmittingfalseinformationontheMembershipAgreement,

ii. Originating,forwardingordistributingwrittenmaterials(includingonsocial mediaoremail)toMembersornon-Membersthat(1)includeharmfulgossip, erroneous, malicious, threatening, disparaging, disrespectful, offensive or non-constructive critical comments of the Club, its members or employees and(2)areotherwisedamagingtothereputationoftheClub,itsmembersor employees;

iii. Engaging in or supporting communications and activities that damage the reputationoftheClub,itsmembersoremployees;and

iv. Actively financing, promoting or supporting individuals or groups who are perpetratingactionsdetrimentaltotheClub,itsmembersoremployees.

v. Actinginamannerincompatiblewiththeacceptedstandardofconductofthe existingmembership.Thisincludesbutisnotlimitedtoengaginginillegalor unscrupulousactivitiesinsideandoutsideoftheClub.

d. ConductthatimpairsmembersenjoymentoftheClubincludes,butisnotlimitedto:

i. Engaging in rude, vulgar, threatening, harassing, or otherwise offensive or inappropriatebehaviorthatdisturbsothers,interfereswiththeplanningor conductofaClubactivityorevent,ordisturbstheenjoymentoftheClubby Membersandguests;

ii. Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using

similarlyoffensiveorinappropriategesturesinthepresenceofMembersand guests;and

iii. Interferingwithordisruptingtheenjoymentofmembershipin,oruseof,the ClubbyotherMembersandguests,duringparticipationinaClubactivityor event,orinsituations(bothonandoffClubproperty)wheresuchconductis likelytocreateahostileenvironment.

e. InappropriateconducttowardCluborConservancyemployees;

i. Threatening, disparaging or reprimanding an individual Club employee in anywaytoincludeverbal,written,byactionsorattitude,orbyothermeans;

ii. Engaging in any conduct generally considered harassment, sexual or otherwise,orbycreatingahostileworkplace;

iii. Attempting to direct, influence, manage or interfere with an employee’s activities;

iv. EncouraginganemployeetodoanythingthatviolatesClubrulesorpolicies;

v. Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using similarly offensive or inappropriate gestures toward or in the presence of Clubemployees;and

vi. Engaging in inappropriate and/or excessive relationship building with employeessuchthatanemployeeisuncomfortableinservingthatMember.

3. Club Members or employees who observe or are affected by any behavior of a memberorguestthatviolatesthestandardsofconductand/orRulesandRegulationsmay makeacomplaint.Complaintsmaybeverbalorinwriting,andcanbeprovidedtoasenior manager, or the General Manager. A timely complaint is encouraged. When the General Managerreceivesacomplaintorotherwisebecomesawareofanallegedviolation,thetypical processisasfollows:TheGeneralManagermaycauseamanagertoinvestigatetheincident todeterminethefactsofthecaseandtheconcernsoftheaffectedmembersor employees. The member accused of the alleged rule violationsor improper conduct may be invitedto have a discussion about the incident and the Club's proposed disciplinary action with the General Manager and/or others in management. This discussion determines whether the incidentcanberesolvedatthisstageorreferredtoahearing Thehearingwillbeconducted bytheClubtoallowthemembertoshowcausewhyheorsheshouldnotbedisciplined. If suchmemberdesirestobeheard,theClubshallsetatimeanddate(notlessthantendays thereafter)for a hearing Notwithstandingthe foregoing,the Club may, without notice and withoutahearing,immediatelysuspendsomeorallprivilegesassociatedwithamembership and/or, after notice, terminate a member for failure to meet with the General Manager or failuretopayin aproperandtimelymanner,dues,feesoranyotheramountsowedtothe Club.

4. TheClubmayrestrictorsuspendsomeorallofamember's,familymember'sand/orguest's Clubprivileges. IftheClubdeterminesthatamember'sconductortheconductofhisorher familyorguestisimproper,theClubmayterminatethemembership,suspendorrestrictthe member’s membership privileges, or restrict the use privileges of the member’s family or guestwhoseconductwasimproper. Nomemberisentitled,onaccountofanyrestrictionor suspension, to any refund of any membership deposit, dues or any other fees. During the restrictionorsuspension,duesandotherchargesshallcontinuetoaccrueandshallbepaid infullpriortoreinstatementasamemberingoodstanding.

Anymembershipwhichhasbeenterminatedorresignedhereundershallbeplacedonthe waitinglistforreissuanceandthemember’smembershipdepositshallbereturnedtothe

memberuponreissuanceofthemembershipinthesamemannerasinthecaseofany resignedmembership. Theterminatedmembershallremainliableforpaymentofdues untiltheearliertooccurofsixmonthsfromthedateoftermination,ortheClub’sreissuance oftheterminatedmembership.Anyunpaidduesorotherchargesincurredbythe terminatedmembermaybedeductedfromanyrefundofmembershipdepositotherwise payabletotheterminatedmember.

II. FINANCIAL RESPONSIBILITY

1. Membersshallpayallchargesanddueswhenbilled.

2. Anyfinancial delinquencythatpersistsmorethanthreemonthsafterpaymentisdueshall result in discipline up to and including suspension of the Membership. A financial delinquency that continues for six months or more shall result in termination of the Membership

3. TheClubcanattachtoanddeductfromtheMembershipDepositanydues,Clubcharges,late fees,transferfeesandotheramountswhichthememberowestheClub.TheClubmaymake thisdeductionatanytimethememberismorethan3monthsdelinquent. Onceadeduction ismade,themembermustfullyfundtheMembershipDeposittobereinstatedasa member ingoodstandingortotransferoftheMembershiptoathird-party

4. NoMembermayincuraClubbalancehigherthan$25,000.00withoutpre-authorizationfrom theClubwhichmayrequiresettingupautomaticpaymentprocedureswithMember’scredit cardorbankaccount.

M EMBER D UES AND C HARGES

1. Members’dueswillbebilledonaquarterlybasisunlessotherwisedeterminedbytheClub.

2. AmemberisentitledtochargeprivilegesattheClubsolongashisorhermembershipisin goodstanding. CashpaymentsmayormaynotbepermittedasdeterminedbytheClubfrom timetotime.

3. All charges for purchasesand services atthe Club (other than those paid for witha credit card,ifcreditcardpaymentsarepermitted),shallbechargedtothemember’sClubaccount. Therewillbeonepayorforeachmembershipaccount. TheClubwillnotseparatelybillthe individualmemberswithinaMembershipaccount.

4. Clubaccountsshallbedeemeddelinquentfromthedatefirstbilledifpaymentisnotreceived within 30 daysafter the date of the monthly statement. Past-due billswill be subject to a minimum of one and one-half percent (1.5%) late payment charge (but not to exceed the maximumamountpermittedbylaw)permonthfromthedateofthemonthlystatementuntil paid in full. Members having past due bills may be charged a reinstatement fee at the discretionoftheClubtoreactivateanaccountonceitisdeemeddelinquent.

5. TheClubmayrequirealldues,feesandchargesincurredbya membertobebilledtotheir creditcardonfilewiththeClub. Thecreditcardcompanyshallpaythedues,feesandcharges to the Club. Quarterly, members will receive a written statement of their dues, fees and charges,whichhavebeenchargedtotheircreditcard. Allmembersagreetopromptlypay directlytothe Clubanyamountsnotpaidby the credit cardcompany uponwritten notice fromtheClub. IfnotpaidwithintendaysafterwrittennoticefromtheClub,alatepayment

chargeofaminimumofoneandone-halfpercentpermonth(butnottoexceedthemaximum amount permitted by law) shall begin to accrue from the date of the written notice until paymentinfull.

6. Ifa memberfailstopayanyClubaccountwithin30 daysofwhenitisfirstbilled,theClub shall have the right to suspend membership privileges in the Club at any time until the delinquentaccountispaidinfull. Continueddelinquencyfor a periodof 90 daysfromthe date a Club account is first billed or repeated incidents of delinquency by a member may resultinterminationofmembershipintheClub.

7. Ifpaymentinfull,includinganyreinstatementfeesowedbyamember,isreceivedpriorto theClub’sterminatingamembership,themembermakingpaymentshallbereinstatedasa memberingoodstanding.

8. IftheClubaccountofanymemberisdelinquent,theClubmayatitsoption,takewhatever action it deems necessary to effect collection including, without limitation, the posting of delinquentmembers’namesinaprominentplaceintheClubfacilities. IftheClubcommences anylegalactiontocollectanyamountowedbyanymemberortoenforceanyotherliability ofanymembertotheClub,andifjudgmentisobtainedbytheClub,themembershallalsobe liableforallcostsandexpensesofsuchlegalactionandreasonableattorneys'fees,including anyfeesrequiredinconnectionwithappellateproceedings.

9. TheClubreservestherighttoimposeafoodandbeverageminimumand/or“noshow”fee(s) for dining, event, private functions, and other Club-related reservations, which fee(s) are subjecttochangefromtimetotime,inthesolediscretionoftheClub.

G RATUITIES

1. Fortheconvenienceofall members,a gratuitypercentage,asdeterminedfromtimeto timebytheClub,maybeaddedtoallfoodandbeveragesales,cateringservices,andspa services. A member may increase the gratuity percentage by signingthe ticket invoice andchangingtheamountofthegratuityasthememberdeemsappropriate.

2. Cashtippingisprohibited.TheClubmayaddservicechargestocartfeesandfoodand beverageitems.

3. It is customary for the Club to send a letter providing an opportunity for members to contribute a suggested contribution to a Holiday Fund for all Club and Conservancy employees. Paymentofsuchcontributionwill bevoluntaryandbilledtothemember’s Clubaccount.ThisHolidayFundprovidesthememberswithanopportunitytoshowtheir appreciation to Club and Conservancy employees during the holiday season. Club managementshallberesponsibleforthedistributionofthesefunds.

LOSS OR DESTRUCTION OF PROPERTY OR INSTANCES OF PERSONAL INJURY

1. Eachmember,asaconditionofmembership,andeachguest,asaconditionofinvitationto theClubFacilities,assumessoleresponsibilityforhisorherproperty. TheClubshallnotbe responsible for any loss or damage to any personal property used or stored on the Club

Facilities,whetherinlockersorelsewhere. Anysuchpersonalpropertywhichmayhavebeen left in or on the facilities for ninety (90) days or more (or an earlier date which may be specifiedbytheClubfromtimetotime,atitsdiscretion)withoutpaymentofstoragethereon may be sold by the Club, with or without notice, at a public or private sale, or may be otherwisedisposedof,andtheproceeds,ifany,mayberetainedbytheClub.

2. NopersonshallremovefromtheroominwhichitisplacedorfromtheClub'spremises,any property or furniture belonging to the Club without proper written authorization. Every memberoftheClubshallbeliableforanypropertydamagecausedbythemember,anyguest oranyfamilymember. Thecostofsuchdamageshallbechargedtotheresponsiblemember's Clubaccount.

3. Any member, family member, guest or other person who, in any manner, makes use of or acceptstheuseofanyapparatus,appliance,facility,privilegeorservicewhatsoeverowned, leasedoroperatedbytheClub,includingwithoutlimitation,theuseofgolfcarts,trails,pools, tennis,skatingandotherathleticfacilitiesand/orplaygroundorrecreationalequipment,or whoengagesinanycontest,game,function,exercise,competitionorotheractivityoperated, organized,arrangedorsponsoredbytheClub,eitheronorofftheClub'spremises,shalldo soathisorherownrisk. Thememberandhisorherfamilymembersandguestsshallhold PromontoryInvestments,L.L.C.dbaThePromontoryClub,andPromontory(the"Company"), its affiliates, and their respective shareholders, partners, directors, officers, members, employees,representatives,agentsandmembersoftheClub'sadvisoryBoardorcommittees (collectively, the "Indemnified Parties") harmless from any and all loss, cost, claim, injury, damageorliabilitysustainedorincurredbyhimorher,resultingtherefromorarisingoutof or incident to membership in the Club and/or from any act or omission of any of the Indemnified Parties. Any member shall have, oweand performthe same obligationto the Indemnified Parties hereunder in respect to any such loss, cost, claim, injury, damage or liabilitysustainedorincurredbyanyguestorfamilymember.

4. Should any party bound by these Rules and Regulations bring suit against any of the Indemnified Parties in connection with any event operated, organized, arranged or sponsoredbytheCluboronanyotherclaimormatterinconnectionwithmembershipinthe Club,andfailtoobtainjudgmentthereinagainstanyoneormoreofthem,saidpartyshallbe liabletotheprevailingIndemnifiedPartiesforallcostsandexpensesincurredbytheminthe defense of such suit, including court costs and attorneys' fees and expenses through all appellateproceedings.

DINING RESERVATIONS

1. ReservationsarerequiredformostactivitiesoftheClubandshallbeacceptedonafirst-come, first-servedbasisbypre-registeringwiththeappropriatepersonneloftheClub.

2. DinnerreservationsmayberequiredasdeterminedbytheClub. Membersareaskedtoassist inmaintainingrequiredservicelevelsbymakingreservationsfordiningpriorto5:00p.m.on the day involved. Reservations should be made at least 24 hours in advance. Larger reservationsmayrequireasetmenuandwillbeaccommodatedonan"asavailable"basis.

3. Anyandalldiningreservationsmustbecancelled bynoononthedayofthereservationto avoidapenaltyfee,whichfeeisestablishedbytheClubandmaychangefromtimetotime,in

theClub’ssolediscretion(presentlysetat$25perperson/max$100). Cancellationsneedto be made through the Promontory appor by contacting the ReservationTeam. Anyprivate eventcancellationsmustbemadeatleast48hoursinadvancetoavoidtheClub’spenaltyfee, whichfeewillbedeterminedbytheClub,initssolediscretion(presentlysetastheamount of the facility use fee and/or total event fee, at a minimum). Cancellation charges will be chargeddirectlytotheapplicablemember’saccount.

4. No member or committee shall plan or set dates for dining room activities without prior approval ofthe Club. For all functions held in the dining rooms of the Club, tables will be assignedonafirst-call,first-choicebasis.

5. The Shed does not take dining reservations and is open to both Full and Social members. AdvancereservationsfordiningattheHearthGrille,locatedinthePeteDyeClubhousemay bemadebybothFullandSocialmembers. ReservationsforThePeak,locatedintheNicklaus GolfClubhousemaybemadeanytimebyFullmembersandtheirimmediatefamilies. Social membersmaynotdineinthePeakduringgolfseason unlessasanaccompaniedguestofa fullmember. Outsideofgolfseason,socialmembersareallowedtodineinthePeakbutare restricted to making dining reservations no more than 48 hours in advance. Any and all reservationsfordiningwillbeheldforonly15minutesafterthereservedtime.

6. Acorkagefee,whichamountisdeterminedattheClub’ssolediscretion,shallbechargedfor all wine brought into the dining rooms of the Club. Open container drinks will never be permittedtoenterorexitdiningareasoftheClub.

GENERAL GOLF RULES

1. TheRulesofGolfasadoptedbytheUSGAtogetherwiththeRulesofEtiquetteasadopted bytheUSGAshallbetherulesoftheClub,exceptwheninconflictwithlocalrulesorwith anyoftherulesherein

2. All playersmust checkinatthecoursebeingplayed beforetheywill beallowedonthe golf course. Full Members and their accompanied guests should check in at the Dye Clubhouse when playing the Dye Canyon Golf Course. Any player playing the Painted ValleyGolfCoursemustcheckinatthatlocation.

3. Allplayersmuststartgolfplayonthefirstholeofthecourse,unlessotherwisedirected bytheDirectorofGolforGolfShoppersonnel.

4. "Cutting-in"isnot permittedat any time. All players, after signing-inatthe Golf Shop, mustcheckinwiththestarterpriortoproceedingtothefirsttee. Undernocircumstances areplayerspermittedtostartplayfromresidences.

5. Practiceisnotallowedonthegolfcourse. Thepracticefacilitiesshouldbeusedforall practice.

6. Theuseofrangeballsonthegolfcourseisstrictlyprohibited.

7. Speed of play: ItshouldbethegoalofallplayerstocompletetheirroundinNOMORE THAN4HOURS10MINUTES. Thisamountoftimeismorethanadequate,providedall

playersremainawareoftherightsofotherstoplaywithoutdelay. Itistheresponsibility ofeachgrouptokeeppacewiththegroupahead. Ifagolfgrouphasanopenholeinfront andanothergroupofgolfersbehind,thenthegroupisdeemedtobeoutofposition. A group of players behind an out-of-position group shall be allowed to play through the groupwhichisoutofposition. Ifa golfgroupcannotreasonablymaintainitsposition, then the group should retrieve its balls and move to the next tee in order to stay in position. Itiseachgroup’sresponsibilitytobeobservantofitspositiononthecourseand tokeepproperpace.Therangerhastheauthoritytokeepplaymovingattheproperpace forallplayers’enjoyment. Playersunabletokeepproperpacemayberequestedtomove uptoa shorterteeboxinordertospeed-uptheirprogress. Inextremecircumstances, playersmayevenbeaskedtoleavethecourse. Ifaplayerisrepeatedlywarnedforslow play,theClubmaytakesuchactionasitdeemsappropriate,includingwithoutlimitation, restrictingtheperson’suseofthegolfcoursesduringcertaintimesoftheday.

8. All players who stop after playing nine holes for any reason must occupy the next tee beforethefollowingplayersarriveattheteeortheyshalllosetheirpositiononthegolf courseandmustgetpermissionfromthestarterastowhentheymayresumeplay.

9. Alltournamentsorgroupsgreaterthaneight(8)playersmustbeapprovedinadvanceby theCourseHeadGolfProfessionalortheDirectorofGolf

10. Allplayersshallenterandleavebunkersatthelowestpointofaccessandsmoothsand overwitharakeuponleaving. Pleaserefrainfromclimbingoutonsteepbunkerfacesin ordertoavoiddamagetothegrounds.

11. Allballmarksonthegreenmustberepaired.

12. Alldivotsmustbereplacedorsanded.

13. Searching for balls in the desert or lakes, other than those played by members of the group,isnotallowedonthecourseatanytime.

14. Eachplayermusthavehisorherownsetofgolfclubs,unlessplayinginaspecificevent requiringthesharingofequipment,asdeterminedbytheClub.

15. Propergolfattireisrequiredforallplayers,aspreviouslydescribed.

16. Iflightningisinthearea, itisassumedthatall players shall ceaseplayingimmediately andseekshelterorreturntotheclubhouse.

17. Jogging, bicycling, fishing or recreational walking, including walking of pets is not permittedonthegolfcourseatanytime.

18. Cellular telephone etiquette on the golf course is required as it relatesto other golfers andtheexpectedpaceofplay. Asitdeemsnecessaryfromtimetotime,TheClub,atits solediscretion,maylimittheuseofcellularphonesaltogetherintheClubFacilitiesorin certainportionsthereofand/oronthegolfcourses.

19. NobeveragecoolersarepermittedonthecourseunlessprovidedbytheClub.

20. “DiscontinuedPlay”Policy: Iflessthanthreeholes areplayed,thereshall bea full 18holecredit.Iflessthan12holesareplayed,thereshallbea9-holecredit.

21. TwosomesmayplayatthediscretionoftheGolfShop. Twosomesshouldnotexpectto play through foursomes and should not exert any pressure on the groups ahead. Foursomesshallhavetherightofway.

22. Twosomes and singles will typically be grouped with other players, if available, at the discretionoftheGolfShop.

23. Singlesshallhavenopriorityonthegolfcourseandshallbepermittedtoplayonlyatthe discretionoftheGolfShopandwilltypicallybeaskedtopair-upunderbusyconditions. Singlesshouldnotexpecttoplaythroughothergroupsandshouldnotexertanypressure ongroupsahead.

24. Groups of five or more players shall only be permitted on the golf course with the permissionoftheDirectorofGolf

25. All players shall acknowledge certain risks associated with playing golf at the Club, including without limitation, lightning, flash floods, heat exhaustion, exposure and dehydrationandassumeallsuchrisks.

26. Respecthomeowners’privateproperty.Donotenterprivateproperty,playasalostball.

HOURS OF PLAY

The hours of playand GolfShop hours shall beposted in the GolfShop, on the websiteand inthe annualBookofGolf TheGreensSuperintendentshalldeterminewhenthegolfcourseisfitforplay.

GOLF STARTING TIMES

1. All players must have a starting time reserved through the Golf Shop. The staff shall assignthestartingtimedependingonavailability.

2. StartingtimesmaybemadeinpersonorbyphoneduringGolfShophours.

3. StartingtimechangesmustbeapprovedbytheGolfShop.

4. MembersshouldnotifytheGolfShopofanycancellationassoonaspossible.

5. Playerswhofail tocancel theirstartingtime onehourpriortotheirscheduledstarting timemaybechargedafeefortheunusedroundsasdeterminedbytheClubfromtimeto timeandmayloseadvancesign-upprivileges.

6. The Club reserves the right to adopt other means for assigning tee times as it deems appropriate from time to time, including without limitation, use of a computerized reservationsystem.

REGISTRATION

1. All members and guests must sign-in in the Golf Shop before beginning play and all membersshouldpresenttheirmembershipcardsatregistration.

2. Failuretosign-inandregistertenminutespriortoareservedstartingtimemayresultin assignmentofanotherstartingtimeorcancellation,atthediscretionoftheGolfshop.

PRACTICE RANGE

1. Thepracticerangeisopenduringnormalfacilityoperatinghoursaspostedintheannual FieldGuide,onthewebsiteandintheGolfShop. Thepracticefacilitiesmayalsobeclosed from time to time for general maintenance at the Club's discretion. At the Club’s sole discretion,thepracticefacilitymaybeclosedtwohoursbeforedarkonedayperweekto accommodate ball pick-up, mowing, and other golf course maintenance. This policy is subjecttochangeasnecessary,intheClub’ssolediscretion.

2. Range balls are for use on the practice facilities only and may not be used on the golf courseatanytime

3. Golf carts are not permitted on any teeing area. Parking of golf carts is allowed in designated areas only. Promontory utilizes the 90-degree rule at all courses unless weatherorcourseconditionsrequirecartstostayonthepathsatalltimes.

4. Ballsmustbehitfromdesignatedteeinggrounds.Nohittingispermittedfromtherough orsidesofthepracticerange.

5. Propergolfattire,aspreviouslydescribed,isrequiredatalltimesonthepracticerange.

6. PersonalhandbagballshaggersarenotpermittedwithoutpriorpermissionfromtheGolf Shop.

7. Lessonsbyunauthorizedprofessionalsoramateursisprohibited.

GOLF CART RULES

1. GolfcartsshallnotbeusedbyamemberorguestontheClubFacilitieswithoutproper assignmentandregistrationintheGolfShop.

2. Golfcartsmayonlybeusedonthegolfcoursewhenthecourseisopenforplay.

3. Golf carts may only be operated by persons at least 16 years of age having a valid automobiledriver'slicense.

4. Only two persons and two sets of golf clubs are permitted per standard golf cart. Promontoryhasalimitedamountof4-baggercartsavailableforsituationswhenplayers arerequiredorwishtowalkalong,buthavetheirclubsonacart.

5. Pullcartsarenotpermitted,exceptasallowedattheGolfDirector’ssolediscretion.

6. Membersmustobeyallgolfcarttrafficsignsonoraroundthecourse.

7. Alwaysusegolfcartpathswhereprovided,especiallyaroundteesandgreens.

8. Becareful to avoid soft areas on fairways, especially after rains. Use roughs whenever possible.

9. Neverdriveagolfcartthroughahazard,acrossateeboxoroveraputtinggreen

10. Operationofa golfcartisattheriskoftheoperator. Personswhoareor appeartobe legally intoxicated may not operate a golf cart. Cost of repair to a golf cart which is damagedbythemember,afamilymemberoraguestofthemembershallbechargedto themember’saccount EachmemberandguestoftheClubshallbeheldfullyresponsible foranyandalldamages,includingdamagestothegolfcart,thatarecausedbythemisuse ofthegolfcartbythemember,hisorherfamilymembersorguests,andshallreimburse theCluband/oranyoperatoroftheClubforanyandalldamagestheClubmaysustainby reasonofmisuse.

11. Each member accepts and assumes all responsibility for liability connected with operation of the golf cart. The member also expressly indemnifies and agrees to hold harmless the Indemnified Parties from any and all damages, whether direct or consequential, arising from or related to the member's, his or her family members' or guests'useandoperationofthegolfcart.

12. "Courseclosed"or"holeclosed"signsaretobeadheredtowithoutexception.

13. Violationsofthegolfcartrulesmayresultinlossofgolfcartprivilegesand/orplaying privileges.

HANDICAPS

1. HandicapsarecomputedunderthesupervisionoftheGolfShopinaccordancewiththe currentUSGAHandicapSystemandtheUtahGolfAssociation.

2. All members and their guests with a USGAapproved handicap mayparticipate in Club tournaments. AllhandicapssubmittedmaybereviewedbytheGolfShop.

3. Members keeping a handicap are responsible for turning in all their scores on a daily basis. Anymemberfailingtoturnina scoreshall resultina scorebeingpostedthatis equal totheirlowestscoreonrecord. TheGolfShopshallassistanymembersneeding help with the posting procedures and will post all Club tournament scores at the conclusionofeachevent.

4. Accuraterecordsaretobekeptofscoresturnedinandrecordedforallfullroundsplayed. The Golf Shop shall determine if there are violations by members in turning in their scores.

5. TheClubreservestherighttoadjusthandicapsforClubtournamentplay. TheClubalso reserves the right to deny any member entry into tournament play for handicap manipulation.

GOLF COURSE ETIQUETTE

Personsusingthegolfcourseshoulddotheirparttomakearoundofgolfapleasantexperiencefor everyoneattheClub. Herearesomesuggestions:

1. Donotwastetime. Anticipatethecluborclubsyoumayneed,andgodirectlytoyourball. Alwaysbenearyourballtoplaypromptlywhenitisyourturn. Ifaplayerisdelayedin makinghisorhershot,itwouldbecourteousforsuchplayertoindicatetoanotherplayer toplaywhichshouldnotbedeemedplayingoutofturn.

2. The time required to "hole out" on and around the green is a chief cause of slow play. Studyandclearthelineofyourputtwhileothersaredoingthesame. Bereadytoputt whenitisyourturn.

3. Besociable,butreserveyourextendedconversationsforaftertheround.

4. Whenapproachingagreen,parkyourgolfcartonthecartpathonthebestdirectlineto the next tee, in order to save significanttime. Never leave the golf cart in front of the greenwhereyouwillhavetobacktrackandgetitwhilethefollowingplayerswaitforyou tomoveon.

5. Whenplayofaholeiscompleted,leavethegreenpromptlyandproceedtothenexttee withoutdelay. Recordthescoringforthecompletedholewhiletheothersinyourgroup areplayingfromthenexttee.

GENERAL TENNIS RULES

1. TheRulesofTennisoftheUSTAshallapplyatalltimes,exceptwheninconflictwiththe localrulesorwithanyoftherulesherein.

2. CourtreservationsmaybemadebyphoningorusingthePromontoryapp. Nostanding reservationswillbeaccepted.

3. All playersmustcheckinandregisteratthe conciergetenminutespriortotheircourt time or the court will be released to the first name on the waiting list. Members and guestsshallpresenttheirmembershipand/orguestcardsatregistration.

4. Playerswhofailtocanceltheirreservationfourhourspriortotheirscheduledcourttime or do not register ten minutes prior to their court time may be charged a fee to be determinedbytheClub.

5. At the end of their playing period, players mustpromptly relinquish their court to the next players. Once a member is off the court, the member may sign up for the next availablecourttime.

6. Singlesmayeachplayonacourtforanhourand15minutesanddoublesmay playona courtforanhourand30minutes,exceptforcertaintimesdesignatedbytheproshop.

7. Propertennisattireisrequiredaspreviouslydescribed.

8. Skateboards, bicycles, roller skates, roller blades, etc., are not permitted on the tennis courts.

9. Proper tennis etiquette should be observed at all times. Excessive noise, racquet throwingorprofanitywillnotbepermittedatanytime. Trashandotherlittermustbe depositedintheproperreceptacles.

10. Useofthetenniscourtsand,inwinter,theicerinkshallbesubjecttothecontrolofthe DirectorofClubOperationsatalltimes. TheDirectorofClubOperationsshalldetermine thesuitabilityofthecourtsforplayandthesuitabilityoftheicesurfaceforskating. The courts and ice rink will be closed when necessary for maintenance operations, when dictated by safety considerations, and/or when under adverse or anticipated adverse weather conditions. Members may reserve the courts and ice rink for special events throughtheconcierge.

GENERAL POOL RULES

1. Useofthepoolatanytimeisattheswimmer'sownrisk.Anyinjuriesoraccidentsshould bereportedtotheattendantimmediately.

2. Everyone wishing to use the pool facilities must first register and present their membership and/or guest credentials, obtaininga daily wristband before entering the pool. Members must register their guests and are responsible for the payment of any appropriatechargesastheClubmaydeterminefromtimetotime.

3. Children14 yearsandyoungermustbeaccompaniedandsupervisedbyanadultatall times.

4. Children who cannot swim must be accompanied by a parent or guardian at all times whileinanyofthepoolareas.

5. Childrenofallagesmay,attheClub’ssolediscretion,beallowedtousethepoolsolong as they are accompanied and supervised by an adult at all times. Children requiring diapersarerequiredtowearwaterdiaperswhileusingthepool. Childrenunderage5 maynotusethehottub.

6. Swimmingispermittedonlyduringdesignatedhours.Thepoolisofficiallyclosedwhen a"CLOSED"signisposted.

7. Showersarerequiredbeforeenteringthepool.

8. Bottles, glass objects, drinking glasses and sharp objects are not permitted in the pool area.Trashshouldbeplacedintheproperreceptacleslocatedthroughoutthepoolarea.

10. All swimmers must wear bona fide swimming attire in keeping with a family oriented club. Swim attire should be modest Cut-offs, dungarees and bermuda shorts are not consideredappropriateswimwear. Propernon-swimattireisrequiredatalltimesinthe clubhouse,otherthaninthelockerrooms. Shoesorotherfootcoveringsandcaftansor shirtsmustbewornoutsidetheswimmingpoolarea.

11. Radios,televisionsandthelikearepermittedonlywhenplayedatasoundlevelwhichis notoffensivetoothermembersandguests.

12. Cellulartelephonesshallnotbeusedinthepoolareaoftheclubhouse,unlessotherwise deemedappropriatebytheClubfromtimetotime,atitssolediscretion.

13. Animals,bicycles,skateboards,playballsofanytypeandcoolersarenotpermittedinthe poolareas.

14. Lifesavingandpoolcleaningequipmentshouldbeusedonlyforthepurposesintended.

15. Running, ball playing and hazardous activities are not permitted in the pool areas. Pushing,dunkinganddangerousgamesareprohibited.

16. Divingisnotpermittedunlessotherwiseindicatedatthepool.

17. Fishing,spearfishingandsnorkelingequipment,otherthanamaskandsnorkel,arenot tobeusedinthepoolareasexceptaspartofanorganizedcourseofinstruction.

18. Throwingfootballs,frisbees,tennisballs,orotherobjects,shootingwaterguns,spitting orspoutingwater,andtaggamesarenotallowedinthepoolarea. Thepoolstaffhasthe authoritytoexpelfromthepool areasanyonewhodoesnotfollowthesePool Rulesor whoseconductisotherwiseunbecomingofamember.

19. SwimmingpartiesmaybearrangedthroughtheClubinadvanceoftheoccasion.

20. All personsusingpool furniturearerequiredtocoverthefurniturewitha towel when usingsuntanoilsandlotions,astheuseoftheseoilsandlotionscouldstainordamage thefurniture.

21. All persons using the pool area are urged to cooperate in keeping the area clean by properlydisposingoftowels,cans,andallothertrashintheproperreceptacles.

22. Smokingisnotpermitted.

23. Flotationdevicesarepermittedfornon-swimmingchildrenupto5yearsofage. Small toyssuchasballs,rings,etc.,maybepermitted,dependingonthenumberofpersonsin the pool and the manner in which the toys are used. Water/squirt guns will not be

permittedinoraroundthepoolarea. Airmattressesmaybepermitted,dependingonthe size of the mattress and the number of persons in the pool. The pool staff has the authority to discontinue use of these mattresses upon the determination that they presentasafetyhazardorhindertheenjoymentofthepoolbyothers. Tireinnertubes arenotpermittedatanytime.

24. Personswholeavethepoolareaforover30minutesmustrelinquishloungesandchairs byremovingalltowelsandpersonalbelongings. Savingchairsforpersonsabsentfrom thepoolareaisprohibited.

GENERAL FITNESS RULES

1. AllpersonsusingtheClub’sfitnessfacilitiesanywhereatPromontorydosoattheirown riskandmayberequiredtoexecutesuchformsreleasingtheClubfromliabilityfortheir useoftheClub'sFacilitiesasdeterminedfromtimetotime.

2. Formembers'safety,nolegweightsorwristweightsmaybewornduringexerciseclasses unlessspecifiedaspartoftheclassbyyourfitnessinstructor.

3. Itistheresponsibilityofallpersonstoobtaininstructiononhowtousetheequipment prior to usage of such equipment, and the equipment is only to be used in accordance withsuchinstructions.

4. Itistheresponsibilityofeachpersonusingthefitnessfacilitiestoconsultwithhisorher physician, andsuch personshould be in goodphysical conditionand have no physical, medical or psychological conditions, disabilities, impairments or ailments, chronic or otherwise,whichwouldpreclude,impairorpreventthememberfromusingthefitness facilities, equipment or amenities or engaging in active or passive exercise. Members assume full risk of loss and responsibility for damage to their health if the foregoing representationsarenotanddonotcontinuetoremaintrue.

5. Regularoperatinghoursforthefitnessfacilitieswill bepostedbytheClubandmaybe changedfromtimetotime.

6. Ahealthquestionnairemayberequiredbeforeusingthefitnessfacilities. Nophysician ornursewillbeonduty.

7. Allmembersandtheirguestsmustsigninatthefrontdeskandpresenttheirmembership and/orguestcardtoClubstaffpriortousingthefitnessfacilities

8. Guest fees may be charged for use of the fitness facilities. If fees are established, the member'saccountwillbebilled.

9. All weights and pieces of equipment must be returned to their proper places at the completionofuse.

10. Casualworkoutattireisacceptableatthefitnessfacilitiesincludingtee-shirts,tanktops, gym shorts or warm-up pants for men; and leotards, tights, tee-shirts, tank tops, gym shorts or warm-up pants for women. Onlyaerobic or court shoes may be worn atthe

fitnessfacilityandintheaerobicsstudio. Noblack-soledshoesshallbepermittedinthe Club’sfitnessfacilities.

11. Pregnantwomenshouldnotusethosefitnessfacilitiesthatwouldelevatetheircorebody temperature.

12. Smokingandalcoholicbeveragesareprohibitedatthefitnessfacility. Nofoodordrink maybebroughtontothepremises,exceptforwaterbottlesand/orfoodthatispermitted attheClubfitnessinstructor’ssolediscretion.

13. Members, family members and guests assume full risk of loss and responsibility for damagetotheirhealth.

14. Noclothingorpersonalarticlesmaybestoredunderbenchesorinthecommonareas.

15. Children under 16 years of age are not permitted to use the fitness facilities unless accompaniedorsupervisedbyanadult.

16. Horseplay,profanity,disruptiveconductandindiscreetbehavioratthefitnessfacilities isstrictlyprohibited.

17. Stereos,televisionsand/oranymusicshouldbeenjoyedatavolumesoasnottodisturb fellowmembers.

18. Cellularphonesshallnotbeusedforphonecallsinthefitnesscenterand/orthecardio room at any time. Exceptions to fitness instructors and trainers using cell phones for classmusicand/orinthecourseofinstructionmayoccur,intheClub’ssolediscretion.

RULES FOR OTHER CLUB AMENITIES

1. UseoftheAlpineLodgeatDeerValleyandPCLodgeatParkCityMountainisreservedfor members. Up to two member-accompanied guests/extended family per day will be allowed to use the Lodge, at the Club’s sole discretion, subject to the black-out date restrictions, use fees, and other day/time and usage restrictions set forth in the Conditions of Guest and Extended Family Use and Guest and Extended Family Use Proceduressectionshereinabove.

2. Ski boots may only be stored in the valet’s boot cubicles, and not in the day lockers. Membersmaychecktheirbootsforovernightstoragewiththevaletonaspace-available basis. Undernocircumstancesshouldbootsbeleftunattendedinthelodgeduringthe dayorovernight.

3. LockersintheLodgesareavailableforseasonalorforshorttermusewhileamemberis intownandmustbeemptiedofallpersonalitems(i.e.,helmets,gloves,goggles,etc.)at theendoftherentalperiod. LockerkeysmustthenbereturnedtotheLodgeskivaletso thelockerisimmediatelyavailabletoothermembers.

G ENERAL L ODGE R ULES

4. Anyskiequipmentand/orpersonalitemsleftbymembersinlockersorintheLodgewill beplacedinaLost-and-FoundbinattheLodgeandwillbedeliveredtotheClubconcierge atthe end of each ski season. The Clubacceptsnoresponsibility foranysuch articles. After thirty (30) days, any personal belongings which have not been retrieved will be donatedtoalocalcharity.

GENERAL SHED RULES

1. TheShedClubhouseisintendedtobeafun,family-friendlyplacewhereallmembersfeel welcome to bring their families and (accompanied) guests. The Shed is meant to be a shared community space within a private club (rather than a personal living space), where publicly acceptable standards of dress and comportment are observed. This ensuresthatallmembersfeelcomfortableandarenotoffendedormadetofeel“crowded out”bytheinappropriateappearanceorconductofothers. Inkeepingwiththispolicy, the following standards of dress and conduct for the Shed have been formulated and outlinedbelowbyClubManagementandwillbeenforcedbyShedstaff. TheClubbelieves that all members will want to followthese rules, to ensure that other members feel as comfortable as they do in sharing this wonderful Club facility. Failure by members to observe these rules may result in their being asked to leave The Shed and/or in other disciplinaryaction,atthediscretionofClubManagement.

2. Shoes must be worn at all times by adults and children alike, together with standard daywear(propertops,slacks,jeansorshortsetc.) Bathingsuitsandotherpoolsideattire arenotappropriateintheShed. Onlyrubber-soledathleticfootwearmaybeworninthe sportscourtandbowlingshoesmustbewornwhenusingthebowlinglanes.

3. Thetablesinthediningareaareformemberswhoareactivelydining. Onlyfoodand/or beveragespurchasedattheShedmaybeeaten inthefacility Duringbusytimes,those notactivelydiningwillbeaskedtorelinquishtableseatingtomemberswhoarewaiting todine.

4. Furnishings may not be moved from their pre-arranged positions without the express permissionofShedmanagementonduty. Chairsandbanquettesareintendedforseating andmaynotbeusedfornapsorstorageofpersonalitems. Membersmaynotmonopolize or “take over” an area causing the exclusion of other members, except by prearrangement with Shed management – as in the case of a Shed-catered party or other event.

5. NooutsidefoodordrinkmaybebroughtintotheShedCinema Pleasedonotlitter,use cellphonesorbehaveinanywaythatwoulddisturbothermemberspresent.

6. TheStudiomayonlybeusedforitsintendedfunctionsandmayonlybeusedunderthe supervisionofShedpersonneland/orPromontory’sArtist-in-Residence.

7. Childrenundertheageof14arenotallowedintheShedunlesssupervisedbyaparentor accompanyingresponsibleadultover18yearsofage. Childrenwhomakeunduenoise or who disruptthe peaceful enjoymentof the Shedby other members will be askedto leave,anditwillbetheresponsibilityoftheiraccompanyingadulttoensurethattheydo so.

GENERAL BEACH CLUB AND SADDLE LAKE RULES

1. TheBeachClubisintendedtobeanexcitingvenuewhereallfamilymembersandtheir accompaniedguestsmakelastingmemories! TheBeachClub,liketheShed,ismeantto beasharedcommunityspacewithinaprivateclub(ratherthanapersonallivingspace), where publicly acceptable standards of dress and comportment are observed. This ensuresthatallmembersfeelcomfortableandarenotoffendedormadetofeel“crowded out”bytheinappropriateappearanceorconductofothers. Inkeepingwiththispolicy, thefollowingstandardsofdressandconductforthe BeachClub havebeenformulated and outlined below by Club Managementand will be enforced by Beach Club staffand attendants. TheClubbelievesthatallmemberswillwanttofollowtheserules,toensure thatothermembersfeelascomfortableastheydoinsharingthiswonderfulClubfacility. Failurebymemberstoobservetheserulesmayresultintheirbeingaskedto leavethe BeachCluband/orinotherdisciplinaryaction,atthediscretionofClubManagement.

2. Dress and swimwear should be appropriate for a family-oriented Club. Swim attire shouldbemodest.Shirtsandshoesmustbewornatalltimesbyadultsandchildrenalike, whenenteringtheBeachClubbuilding.Uncoveredbathingsuitsandotherpoolsideattire areonlyappropriateoutsideofthebuilding(specifically,intheoutdoorlounge,cabana, pool,beach,anddockareassurroundingtheBeachClubfacility) Outdoorshowersare availabletoremovesandfromlegsandfeetpriortoenteringtheBeachClubbuilding.

3. ThetablesinthediningareasinsideandoutsideoftheBeachClubareformemberswho are actively dining. Only food and/or beverages purchased at the Beach Club may be eaten in the facility and surrounding pool/lounge area. During busy times, those not activelydiningwillbeaskedtorelinquishtableseatingtomemberswhoarewaitingto dine.Whileitemssuchaspool/beachtoys,towels,andbeachbagsareallowedintheClub areasoftheBeachClub,beachandpool,itemssuchascoolers,grills,umbrellas,outside food and/or drink are strictly prohibited in the member areas surrounding the Beach Club(i.e., pool,lounge, cabanas,MembersOnlybeachareas,etc.) andarepermittedon theConservancyareaofthelakeonly

4. Seven (7)large covered cabanaswill be available for rental by Club Members fora fee (which fee will be set and may be changed from time to time by the Club, in its sole discretion),andsuchcabanarentalwillbeavailabletoMembersbyreservationonly,on afirst-come,first-servedbasis. Vacant,unrentedcabana(s)shallnotbeusedbyMembers and/or their guests at any time. Lounge chairs, and/or other Club furnishings in the MembersOnlyindoorandoutdoorareasoftheBeachClubfacilitymaynotbemovedfrom theirpre-arrangedpositionswithouttheexpresspermissionofBeachClubmanagement on duty. Members may not monopolize or “take over” an area which is not expressly reserved (if causingthe exclusion of other members), except by pre-arrangement with Clubmanagement–asinthecaseofaBeachClub-cateredpartyorotherevent.

5. ParkingisavailableoutsideoftheBeachClubandSaddleLake. Membersandtheirinvited guestsshouldalwayscheckinattheMemberEntrancetotheBeachClubpriortousing the Beach Club, pool, beach, amphitheater and/or Saddle Lake dock and surrounding areas.

6. DogsandotherpetsarenotallowedinsideoftheBeachClub,noronthesurroundingClub and/or Conservancy Saddle Lakebeach area(s). Promontory’s dog park (Bark City) is locateduphilltothenorthfromtheBeachClubandSaddleLakearea.

7. AllPromontoryClubFacilitiesarenon-smoking,asistheBeachClubandthesurrounding SaddleLakebeachareas. Thisbecomesespeciallyimportantinandaroundthefirepits. Thefirepitswillbelitatcertainhours,duringcertainseasons(weatherpermitting),by Promontory staff and may be accompanied by complimentary s’more items, roasting sticksandthelike. If,atanytime,thes’more-makingprivilegeisabusedbyConservancy or Club members and/or is conducted during unauthorized times, Promontory, in its discretion,mayrevokethisprivilege.

8. TheamphitheaterareaoftheBeachClubwillbeopenforuseonafirst-come,first-served basisunlessthereispre-plannedandpre-arranged,reservedprogrammingbyeitherthe ClubortheConservancy(all reservationsbyPromontoryownersandmembers forthe amphitheaterareashallbepre-approvedandscheduledthroughClubManagement(who willcoordinatewithConservancyManagementasmaybenecessaryandapplicable),and allcateringforsuchpre-arrangementsshallbeconductedbyandapprovedbytheClub, initsdiscretion,whichcateringpoliciesmaychangefromtimetotime,intheClub’ssole discretion).

9. Conservancywatercraft((kayaks,paddleboards,andthelike)willbetiedtotheSaddle Lakedock,and will beavailable forall Promontory Conservancy andClub members to use,onafirst-come,first-servedbasis.WatercraftshallbeissuedbyClubattendantson dutyattheBeachCluband/orSaddleLakedockandmayneverbe“beached”byMembers when not in use, but shall, instead, be returned to Club staff at the dock so that the equipment can be reissued toanother Member foruse. This process will allow forall Promontoryownersandtheirfamiliestohavetheopportunitytocheckoutandusethe availablewatercraft.

10. Whileallpersonsusingwatercraftatthebeachareencouragedtowearalifevest (and arerequiredtohaveavestontheirwatercraft atalltimeswhileinuse),childrenunder theageof18 shall wearalifevest(whichwillbeavailablefromdockattendants)atall timeswhenusingCluband/orConservancywatercraft. Whilelifeguardsmaybeonduty atthepoolandatthedockfromtimetotime,thisisneverguaranteed. Noswimmingis allowedintheLake.

11. Childrenundertheageof14arenotallowedatoraroundtheBeachClubfacilitiesand/or theSaddleLakeunlesssupervisedbyaparentoraccompanyingresponsibleadultover 18yearsofage. Childrenwhomakeunduenoiseorwhodisruptthepeacefulenjoyment oftheBeachCluboranyofitssurroundingfacilitiesbyothermemberswillbeaskedto leave,anditwillbetheresponsibilityoftheiraccompanyingadulttoensurethattheydo so.

GENERAL LUKE RIDGE TUBING HILL RULES

1. ATALLTIMESRIDERSMUSTFOLLOWMANAGEMENTINSTRUCTIONS.

2. AliftticketisrequiredforanyriderthatwantstoaccessanyfeatureoftheLuke RidgeTubingHill. ThereisnochargeforliftticketsforConservancymembersand theirimmediatefamily. Allextendedfamilyandguestsmustpurchasealiftticket.

LiftticketsareavailableforpurchaseattheBeachClub. Aliftticketofferslimited accesstotheTubingHillandisonlyvalidforthedatesandtimesprintedthereon andonlyduringhoursofoperation. After-hoursuseoftheLukeRidgeTubingHillis strictlyforbidden.

3. LiftTicketsareissuedforusebetween12:00pmand5:00pm.

4. Ridersmustbeatleastthree(3)yearsofage.

5. OnlyPromontory-issuedtubesmaybeused. Personaltubes,skis,snowboards, sleds,andothercraftarenotpermittedontheTubingHill. Purchasingaliftticket includestheuseofatube–noadditionalrentalfeeisrequired.

6. Onlyoneriderisallowedpertube

7. Dependingonconditions,Managementmayallowtwoormoretubesatthesame timeinthesamelane.

8. Atthecompletionoftheride,ridersmustexitthelandingareaassoonaspossible withtheirtubetoclearthewayforotherriders.

9. Ridersmustridetheconveyorlifttoreachthetopofthetubinghill. Accessingthe topofthehillbyhiking,snowmobileorothercraftisnotpermitted.

10. RidersmustfollowanyinstructiongivenbyTubingHillpersonneltoensuresafety, efficientflowofriders,andfacilityupkeep. Personnelwillguideallflowofriders, includinginstructiononhowtoboardtheconveyorbelt,whentoenterandexitthe tubinglane,andwheretoplacetubes. Riderswhodisregardanyinstructionfrom personnelwillbestrippedoftubingprivileges,withnorefundofliftticketpurchase.

11. Ridersmaywearsnowboots,hikingbootsorwaterproofshoes. Forsafetyreasons, ski,snowboard,andotherhard-shellbootsareprohibited. Helmetsareadvisedbut notrequired.

12. Horseplay,profanity,disruptiveconductandotherinappropriatebehavioratthe TubingHillisstrictlyprohibited.

13. TheTubingHillismaintainedfortheprivateuseofConservancymembersandtheir guestsandisnotopentothepublic.

14. UseoftheTubingHillisofferedona“first-come,first-served”basis,meaninglift ticketswillbeavailabletoallpayingridersthroughouteachdayofoperation. The numberofliftticketsavailableeachdayofoperationmaybecappedin management’sdiscretiondependingonconditions.

15. Notwithstandingtheestablishedhoursofoperation,theTubingHillpersonnelare authorizedtoshutdownoperationsifweather,safety,ormaintenancerequiresuch action. PleasebeawarethattheTubingHillispartiallybuiltupwithmanmade snow,andthatoperationsmaybesuspendedtofillinanylowspots. Pleasebe awarethatweatherconditionscanimpactthesurfaceofthehill,andthatafaster tubingsurfaceismorelikelyduringcolderconditions. TubingHillpersonnelwill assesstheweatherdailyanddeterminethecorrespondingsafetyimplications,and maycurtailorshutdownoperationsifuseoftheTubingHillistoodangerous.

16. WhilePromontorymayprovidelimitedsupervision,instruction,andassistancefor propertubing,Ridersaresolelyresponsiblefortheirownsafetyandwell-being. EachridermustacknowledgeinwritingthattheuseoftheTubingHillinvolvesrisk ofseriousinjury,includingpermanentdisabilityanddeath,andthatsuchrisksare inherentintubing,evenifsupervised,andwaiveallclaimsagainstPromontory.
