Shearman & Sterling guides National City Bank of New York in its acquisition of Third National Bank of New York, laying the foundation for the financial leader known today as Citibank.

The firm successfully represents Consolidated Gas Co. in a case before the US Supreme Court, allowing the company to finally raise its rates from levels established in 1906.

As Europe begins to recover from the war, the firm helps Germany settle its external debt, engineering workouts involving dozens of German corporations and municipalities and helping companies including BASF and Siemens re-enter the US markets.

As the Ford Motor Company goes public in the largest equity offering to date, the Ford family asks Shearman & Sterling and Goldman Sachs to create a capital structure preserving the family’s control while allowing public ownership.

We’ve played a significant role in shaping the legal practices that govern the development and diversification of capital markets, especially for high-yield bonds. Widely recognized for our problem-solving capabilities, broad transactional experience and multijurisdictional coverage, we work with regulatory agencies, including the SEC, to help our clients navigate complex regulatory and corporate governance issues.

Our highly regarded practice advises companies, boards, and individuals on corporate, tax, securities, employment law and ERISA issues affecting compensation and benefits. After Penn Central Railroad declares bankruptcy, the firm represents 53 bank creditors in an unprecedented agreement to share what remains of the railroad’s assets rather than contest the reorganization in court.

With a team of experienced lawyers in key financial centers, the Finance group has long-standing relationships with leading financial institutions around the world. Our group is involved in many of the largest and most complex financing transactions completed internationally. We routinely handle cross-border financings, collaborate with our Capital Markets group to provide “one-stop shopping” for both bank and bond financings, and work closely with other practices to advise on the financing aspects of mergers and acquisitions, bankruptcies and restructurings, securities and other matters.

Financial institutions, exchanges, electronic communications networks/multilateral trading facilities, clearing and settlement providers, fund managers and corporations turn to our Financial Institutions Advisory & Financial Regulatory team for advice on the laws and regulations of the world’s key financial and commercial centers. Our Intellectual Property Transactions group counsels clients on the issues that surface in a range of transactions, from acquisitions and divestitures of intellectual property and technology assets to joint ventures and research and development agreements.

Our leading International Arbitration practice represents companies, states and state-owned entities, and individuals in disputes involving cross-border investments, energy, construction, mergers and acquisitions, expropriations and general commercial issues. We handle proceedings under a multitude of governing laws, in a number of venues around the world, subject to all major international arbitration rules. We advise investment funds and asset managers in all aspects of their business, including developing and offering investment products and representing financial institutions and fund sponsors across all major asset classes and geographies on legal issues arising under various federal, state and international regulatory regimes. We also represent asset managers, financial institutions and corporations on structuring and regulatory issues related to complex derivatives instruments.

Our global team of litigators represents clients in major commercial, regulatory and enforcement proceedings as well as in sensitive internal investigations. We have been involved in many of the highest-profile cases in recent years, including Galleon, Madoff and litigation relating to mortgage-backed securities. Our lawyers have extensive trial experience and regularly appear in court proceedings on a wide range of issues.

Our Real Estate group advises clients across the globe on a full range of real estate matters, including acquisitions and dispositions, financings, development, joint ventures, restructurings and leasing. The group also includes our Environmental practice, which works with clients on environmental regulations, environmental disclosure, and identifying and minimizing environmental risks in transactions.

Our Tax practice plays an integral role in the firm’s transactional work, providing strategic tax planning advice and representation on a variety of matters, including mergers and acquisitions, capital markets offerings, financings, restructurings and issues involving the formation and operation of investment vehicles. The Tax practice also provides planning advice to clients with respect to a wide variety of tax issues, ranging from the treatment of financial products to international restructurings. In addition, the group has a well-regarded tax controversy practice.

For example: Representing China State Construction Engineering Corp., China’s largest construction company by revenue, in its US$150 million investment in and the joint venture for the US$3.4 billion Baha Mar casino and resort development project in Nassau, Bahamas. “Real Estate is a very tangible area of the law – when I walk around New York City, I see in front of me many of the deals that we have completed. From formal training programs to low-key “lunch and learns” with partners from different practice areas, there’s no shortage of opportunities to amp your skills and charge your career.

Our Summer Program The firm offers summer programs in all of its North American offices: the Bay Area, New York, Toronto and Washington, DC. In addition, every year a number of summer associates spend time in our other international offices. Rotations: Students who join our summer program can rotate through various practice groups. Some have opted to combine a rotation through a smaller group and a larger group, while some have divided their time between Litigation and a corporate group. The best part is – you decide. Advisors: During each rotation, summer associates work with both partner and associate advisors who help integrate them into their practice groups. These advisors also make sure the summer associates have plenty of opportunities to become involved in meaningful work. Training: Summer associates enjoy a robust training program, including sessions on Legal Research and Writing, Presentation Skills, Negotiations and more. Outings: In recent years, summer social events have included a cooking class, a baseball game, a community service “field trip” and a scavenger hunt. While having fun, our summer associates get to know each other and our lawyers in a more informal setting.
