Introduction

Philippa Keith is CEO of MSP Organisation and a fellow of the Chartered Governance Institute.

Under her leadership, MSP Organisation has grown from a specialist company secretarial practice to a business that now features seven different subsidiaries, covering all areas of expertise required for a business to be successful.

MSP Company Secretarial

MSP Company Secretarial provides a wide range of company secretarial services and corporate governance support that respond to the commercial needs of publicly listed and private companies, as well as other sectors such as charities. Clients can outsource part of all of their company secretarial function depending on their requirements. Services fall under a range of packages which can be used in different combinations to create the desired levelof support.

Ian Farrelly, who leads the experienced Company Secretarial team will be responsible for the provision of our services. Ian is a qualified solicitor with over 30 years’ experience as General Counsel &Company Secretary of a number of listed companies, from high-growth AIM companies through to established FTSE250 businesses, in a wide range of sectors.

StandardCompanySecretarialServices

• The provision of MSP as company secretary, these services being fulfilled by MSP Corporate Services Limited as a dedicated corporate company secretary.

• The maintenance of required statutory records including registers and minute books in electronic format

• The preparation, review and submission of confirmation statements to the Registrar of Companies including details of persons of significant control

• The filing of annual accounts with the Registrar of Companies

• Three changes of a standard and administrative nature per annum to the statutory records and related filings, for example change in officer or accounting reference date

RegisteredOfficeServices

Either as a stand-alone service, or in addition to other company secretarial services, MSP can provide:

• A dedicated registered office, namely Eastcastle House, 27/28 Eastcastle Street, London W1W 8DH

• A dedicated service address for director and other nominated correspondence with onward forwarding services as required

• A Registered Email address (as required following the introduction of the Economic Crime and Corporate Transparency Act 2023)

• MSP Company Secretarial attending board and related audit, risk and remuneration committee meetings, drafting the agenda and preparing the board pack for these meetings and producing the minutes

• MSP Company Secretarial being responsible for the administration of the company’s Annual General Meeting (“AGM”), including the drafting of the notice of AGM and Proxy Form, liaising with share registrars, attending the AGM and providing minutes and any filings with Companies House

Share Registrars

Under the professional and experienced management of Peter Ronayne and Doug Armour, Share Registrars provides management of share registers and receiving agent services, principally to public companies whose shares are traded on a UK stock exchange, but also acting for unlisted public companies and private companies with large numbers of shareholders.

Share Registrars is focussed on providing a professional and bespoke service to clients, advisors, brokers, and shareholders.

Peter helped to found Share Registrars in 2003 and has run the Company since. Peter is a Chartered Accountant and previously worked in an investment management business and was the Company Secretary of a listed company. He has 29 years of experience in share registration.

Doug joined Share Registrars at the beginning of 2021. He is a Chartered Governance Professional. Doug has a 40-year career in company secretarial, governance and share registration and has also been company secretary of several listed companies. Doug is author of a number of widely respected company secretarial books published by the Chartered Governance Institute.

We are a CREST enabled registrar. Our focus is on providing a professional and personal service to clients, advisors, brokers and shareholders.

All our issuer companies and their advisers have a dedicated client manager. These are backed up by a full complement of experienced, well-trained staff. Being able to offer this personal touch is central to our businessmodel.

• IPOServices

For your IPO journey a dedicated experienced manager will be allocated to you, we will work with your other advisers, we will set up your security to be ready for enabling in CREST, we can apply for LEI and ISIN number and at Admission we will enable the securities in CREST, credit CREST and certificated accounts with the relevant shares.

• Changeofshareregistrar

Changing share registrar can be a daunting at first sight and we will guide you through the necessary steps and will administer the process on your behalf liaising with your existing registrar to obtain a copy of the live register data on the agreed handover date and with Euroclear to ensure the necessary market announcements are made to CREST participants.

• Shareregistermanagement

We will manage all routine actions to keep your register accurate and up to date including processing CREST and certificated share transfers, ad hoc share issuances, daily reconciliation of allCREST movements and account updates, noting changes of address, bank mandates, changes of name, probates, Powers of Attorney and other legal documents, dealing with shareholder and adviser enquiries and questions and enabling access to our secure online portal for shareholders and directors.

• Corporateactions

Administration of all corporate actions including in conjunction with your other advisers ensuring the correct structure of the corporate action, process applications, attendance and scrutineering at any required general or court meetings of shareholders, liaising with Euroclear, providing a shareholder helpline for enquiries, calculate entitlements including scale backs for share or cash entitlements and /or refunds.

• Shareholdermeetingmanagement

Assisting in drafting general meeting documentation for in-person, online, or hybrid meetings, liaising with your printer for the personalisation of documentation as required, facilitating voting, and appointment of proxies and corporate representatives in hard copy,online and via CREST, collation and reporting of proxy votes received, attendance at the general meeting to provide vote scrutineering, manage any poll voting.

While he has been with MSP Organisation for four years, he has known and worked with them for over twenty years! Prior to this, he was in industry working from estimator to bookkeeper to manager and then finance director.
