INFO Osprey Packs was founded in Santa Cruz, CA in 1974, with Founder, Owner and Head Designer Mike Pfotenhauer sewing custom backpacks on a customer by customer basis. Osprey Packs today is a far cry from the Osprey of 1974, with worldwide distribution, excellent brand recognition and a pocketful of editorial awards. Despite this growth, some important constants remain – Mike’s design and ownership and our dedication to innovation and quality in packs.
Warranty
Osprey offers a LIFETIME WARRANTY against defects in materials and craftsmanship. We have supported the same quality and performance guarantee for over 37 years. That means we will repair any pack that fails because of flawed material or construction at no charge. Our warranty does NOT cover damage due to wear and tear, claws, teeth, chemical spills, sparks from the campfire, general misuse and airline baggage handlers. We build tough packs from strong materials, but they are unlikely to last forever. Don’t expect to thrash your pack for ten years and then return it to us for a free replacement. In the unlikely event of a problem with your Osprey product please either return it to your nearest Osprey dealer or contact your local Osprey distributor, you will find those details on the back page.

ACCESSIBLE SNOWSPORT SAFETY GEAR It is important to ride knowing that all your snow safety is safe and secure, yet can be easily accessed. The Kode and Karve series achieve this by innovative use of safety gear compartments and attachment points - all of them secure, all of them accessible.
INSULATED INTERNAL HYDRATION ROUTING Fully compatible with the Osprey HydraForm™ Reservoir system for perfect water transportation and delivery. The insulated harness routing makes water supply ice free and easily accessible.

STABILITY A body-hugging compression-molded backpanel keeps the load close to your centre of gravity, providing unrivalled levels of stability and control. Tri-section foam panels provide ventilation when necessary to the back and lumbar areas.
CLIMBING-SPECIFIC FEATURES Haul-loops, gear racking systems and ice axe attachments. When designing any of our climbing packs we include all the features you would need and leave out all the ones you don’t. If it’s on the pack it’s because our sponsored athlete’s tell us they need it.

TERMS & CONDITONS Osprey Europe Limited, co. no. 4881712 Registered office Unit 9 Compton Business Park, Thrush Road, Poole, Dorset BH12 4FJ England All sales by Osprey Europe are made on the basis of our terms and conditions as set out below (“Terms”). Please read these through carefully before placing an order. Season Dates Spring/summer: 1 January to 30 June Fall/winter: 1 July to 31 December Prices, payment and discounts - All price lists are published on the basis of the above seasons. Orders received within the above season dates will be charged in accordance with the price list issued for that season. For any orders below our current minimum order value, delivery will be charged in addition to the price at the rates set out in the current price list. An invoice will be sent to you on shipment of the products. Invoices must be paid within the invoice due date. Any discounts are as agreed in writing and: • apply only to the season for which they are agreed • apply only to invoices issued after the date the discount is agreed • apply only to product and not to delivery charges; and • are conditional on payment being made within the terms provided. If payments are received later than the terms provided all discounts are forfeited, interest may be charged and any orders for product not yet delivered may be cancelled without notice. Orders - Adjustments to preseason orders must be notified to us at least 14 days in advance of notified shipment date. After this you may not cancel or vary your order except with our written consent and on terms that you will indemnify us in full against any resulting loss, costs, damages and charges we incur. Risk and ownership - Risk in the products passes to you when they are delivered, but the products remain owned by Osprey Europe until paid for in full. Osprey Europe lifetime product warranty - Covers any defects in warranty and craftsmanship, Osprey Europe reserve the right to either repair or replace the product. Osprey Europe will not be liable for any defect arising from fair wear and tear, wilful damage, negligence by you or any third party, failure to follow the manufacturer’s instructions or misuse of the products.
The Detail:1. Acknowledgment and Status - These Terms apply to all products ordered from us and it is a condition of each order that these Terms shall override any terms or conditions contained in or referred to in any of your documents (whether or not that document is signed by any of our employees) and, unless agreed in writing by a director of Osprey Europe, no alteration or addition to or substitution of these Terms shall bind us. All orders for products shall be deemed to be an offer by you to purchase products pursuant to these Terms. Acceptance of delivery of products shall be deemed conclusive evidence of your acceptance of these Terms. The agreement for the sale of products by us to you (“Contract”) will become binding on you and us once we accept your order. 2. Price and Payment - You must pay the price (less any discount due in accordance with these Terms) in full without deduction, set off or counterclaim within 60 days following the invoice date. The time for payment is of the essence of the Contract and if you fail to pay within 60 days of the invoice date, no discount will apply and without prejudice to any other rights or remedies available to us, we shall be entitled to:- (a) cancel the Contract or suspend or cancel any further deliveries; (b) appropriate any payment made by you to such products supplied by us to you as we may think fit; and (c) charge you interest (both before and after any judgement) on the amount unpaid, at the rate of 4% per annum above National Westminster Bank Plc’s base rate at the relevant time, such interest to accrue on a daily basis until full payment is made. 3. Delivery 3.1. We will deliver the products to the agreed delivery address. Any dates quoted for delivery are approximate only and we shall not be liable for any reasonable delay in delivery or any delay caused by circumstances beyond our reasonable control. Time for delivery shall not be of the essence. We may deliver the products in advance of the quoted delivery date upon giving reasonable notice to you. 3.2. Where the products are to be delivered in instalments, each delivery shall constitute a separate contract and failure by us to deliver any one or more of the instalments or any claim by you in respect of any one or more instalments shall not entitle you to treat the Contract as a whole as repudiated or to withhold payment of any invoice other than such part of that invoice which relates to the products undelivered or otherwise resulting in a claim. 3.3. If you fail to take delivery of the products then, without prejudice to any other right or remedy we have, we may:- (a) store the products until actual delivery and charge you for the reasonable costs (including insurance) of storage; or (b) sell the products at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to you for the excess over the price under the Contract or charge you for any shortfall below the price under the Contract. 4. Risk and Ownership 4.1. Risk of damage to or loss of the products shall pass to you at the time of actual or tendered delivery, or if the delivery is made by instalments upon completion of delivery of each instalment. Risk and Ownership - continued 4.2. Notwithstanding delivery and the passing of risk in the products, or any other provision of these Terms, the title to any products shall not pass to you until we have received payment in full in cash or cleared funds of the price of the products together with the full price of all other products we have agreed to sell to you for which payment is then due. Until that time you acknowledge that you are in possession of the products solely as our bailee in a fiduciary capacity for us. You may sell the products in the ordinary course of business but must not otherwise sell, mortgage, encumbrance or part with possession of the products or allow any lien or encumbrance to arise over them, or purport to do any of these things. We may at any time inspect the products and may at any time repossess them, and for this purpose may enter upon any premises where they are stored or where they are reasonably thought to be stored. Until such time as you become the owner of the products, they must be properly and adequately protected and insured and stored on your premises separately from your own products or those of any other person and clearly identified as our property. 5. Export - Where the products are supplied for export from the United Kingdom, you shall be responsible for complying with any legislation or regulations governing the importation of the products into the country of destination and for the payment of any duties in that country.

6. Warranty and Liability 6.1. You are entitled to the benefit of the Osprey lifetime product warranty as stated above. Should we will repair or replace a product free of charge in accordance with our lifetime warranty we shall have no further liability to you in respect of the defect with the product. 6.2. Subject as is expressly provided in these Terms, all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law. 6.3. Nothing in these Terms shall exclude or in any way limit our liability for death or personal injury caused by our negligence, or for fraud or any other liability to the extent the same may not be excluded or limited as a matter of law. 6.4. In respect of any other claim in relation to the products or the Contract other than as referred to in term 6.3 and subject to term 6.5, our entire liability whether for negligence, breach of contract, misrepresentation or otherwise is limited, in respect of each event or series of connected events, to the price of the products to which the claim relates. 6.5. Subject to terms 6.3 and 6.4, we shall not be liable to you, whether by reason of any representation or any implied warranty, condition or other term or for negligence or any duty of common law or under statute or under the express terms of the Contract or otherwise, for loss or damage incurred by you as a result of third party claims; or indirect, consequential or economic loss or damage (including loss of profit, goodwill, business opportunity or for inconvenience) even if you have advised us of the possibility that such losses may arise. 7. Termination - Without prejudice to any other right or remedy we may have, we may by immediate written notice to you terminate the Contract or suspend any further deliveries under the Contract, and all outstanding invoices due from you to us shall become immediately payable, if you:- (a) Fail to pay any sums due to us under this or any other contract within 14 days of their due date; or (b) Undergo a change of control (within the meaning of the term as set out in section 840 of the Income and Corporation Taxes Act 1988); or (c) Are in breach of a material obligation of the Contract and such breach, if capable of being remedied, is not remedied within 30 days after notice of breach has been given to you; or (d) Are unable to pay your debts or enter into any voluntary arrangements with creditors or become subject to an administration order or being an individual or firm become bankrupt or being a company go into liquidation otherwise than for the purposes of amalgamation or reconstruction or an encumbrancer takes possession, or a receiver is appointed of any of your property or assets or you suffer any similar insolvency process or process which affords you protection from your creditors; or (e) cease or threaten to cease to carry on business. 8. General 8.1. These Terms form our entire understanding in relation to the Contract and supersede all previous agreements, understandings and representations relating to the provision of products by us to you. You acknowledge that you have not relied on any representations or warranties except such as are specifically set out in the Contract Provided that we shall not be excluded from liability for fraudulent statements or fraudulent pre-contractual misrepresentations on which you can be shown to have relied. 8.2. We shall not be liable to you for any delay in performance of, or any failure to perform, any obligations under the Contract if the delay or failure results from any cause or circumstance beyond our reasonable control, including without limitation, any act of God, civil disturbance, labour dispute, war or act of terrorism or any delay or default by any carrier or manufacturer of the products. 8.3. No failure or delay by us to exercise any of our rights under the Contract shall operate as a waiver of those rights, nor shall any single or partial exercise of any such right preclude any other or further exercise of the right. 8.4. If any provisions of the Terms are held by any court or other competent authority to be void or unenforceable in whole or in part, the Terms shall continue to be valid as to all their other provisions and the remainder of the affected provision. 8.5. In these Terms:- (a) References to “us”, “we” or “our” are to Osprey Europe Limited and references to “you” or “your” are to purchasers of products from Osprey Europe; (b) Use of the singular includes the plural and vice versa and use of any gender includes all genders and (c) The term headings are for convenience only and shall not affect their construction. 8.6. The Contract and these Terms shall in all respects be governed by and construed in accordance with English law. The parties irrevocably submit to the exclusive jurisdiction of the courts of England.
