Welcome to Global 100 – 2018 Welcome to the 2018, Global 100, consisting of the World’s leading firms and individuals, with votes received from our global readers, in over 163 countries worldwide. The purpose of the Global 100 is to provide the readership with a comprehensive understanding of those firms that are truly leaders within their chosen areas of specialisation. The Global 100 does not follow the usual process followed by many others. It follows a very specific, very comprehensive process, not commonly used elsewhere in the industry. Following the closure of the process, which follows a very strict format of self-submission and thirdparty nomination, firms are shortlisted and selected as winners. For each category awarded a proprietary method of analysis ranks winners based on their domestic and international work. This ranking method produces a list of shortlisted firms, based on a very comprehensive set of criteria. Once all votes have been received, a panel of judges review the votes within each category. The judging process assesses the following considerations; The strategic nature of work conducted. The complexity of work conducted. The scale of work conducted. Whether the work conducted was done in a timely manner, and within budget. Any ground-breaking or innovative processes used during completion of conducted work. The judging process focuses strongly on the complexity and strategic significance of work conducted. The above criteria underline’s the importance of the recognition each winner is receiving as a Global 100 winning organisation, firm or individual. In 2000, since “Financial Holding Company Act” and “Financial Institutions Merger Act” were passed, the merger and acquisition between financial institutions became popular in Taiwan. After several years, since “Company Act” was amended substantially and “Business Mergers and Acquisitions Act” was passed, there was another wave of industry merger and acquisition leaded by electronics industry. This wave suddenly stopped in about 2008 because of the global financial crisis. In the years after 2009, the merger and acquisition activities of Taiwan enterprises were also rare due to the sluggish economic recovery and insufficient dynamics. In the recent years, with the booming of the Asia financial market, the government encouraged the regionalization of the financial industry, loosened the restrictions of merger and acquisition and reinvestment, and inspired financial institutions into expanding themselves in Asia. The tide of merger and acquisition in financial industry seemed recovering. However, the tide in this time was focused on foreign merger and acquisition. For example, CTBC Bank acquired Tokyo Star Bank in Japan, Cathay Life Insurance purchased the shares of Bank Mayapada in Indonesia, Yuanta Securities acquired Toyo Securities in South Korea, etc. In addition, with the transformation of Mainland China from the factory of the world to the market of the world and the mighty arrival of the red supply chain, the merger and acquisition between electronics enterprises reached another peak. For example, the war between Advanced Semiconductor Engineering, Foxconn Technology, Spil and Tsinghua Unigroup, the private placement transaction between Tsinghua Unigroup and Powertech Technology as well as between Tsinghua Unigroup and ChipMOS Technologies, and the buyout by Micron Technology of Inotera Memories, etc. There were solicited takeover, unsolicited (hostile) takeover, strategic alliance by holding of minority interest, and buyout and going-private transaction amounting to more than NT$100 billion. The waves of merger and acquisition show that merger and acquisition has become an ineluctable issue in the operation of business by enterprises nowadays.

Causes of Merger and Acquisition • Internal Growth and External Growth At the early stage after establishment of enterprises, most of

the enterprises seek to grow stably internally. Some of them thrive gradually, while some of them wither gradually. In the past, many Taiwan enterprises focused on manufacture and cost control, through which they could grow and thrive after a long period of time. By this way, they indeed could successfully develop in a certain field and expand to another region, even resulting in becoming industry leaders in the world. However, the world nowadays is a flattened and globalized one, and competition is internationalized, so it may not be correct for Taiwan enterprises to continue to depend on relatively slow self-growth for the purpose of competing with the world-class enterprises in the globe. Globalized and internationalized competition impels Taiwan enterprises to strive domestic and foreign growth simultaneously, and merger and acquisition is usually the direct and convenient short cut for achieving the growth goal of enterprises. Even for a successfully developed enterprise, with the limitation of its own manpower and material resources and the time required for self-growth, the speed of self-growth within the given extent is normally insufficient to satisfy the demand for enhancing the competitive power. In the era of globalization, to become a world-class enterprise, enterprises should walk with two feet where the left foot is internal growth (self-growth), and the right foot is external growth (merger and acquisition). Only by this means can an enterprise compete at international level.

IP Trend Monitor 2018 study: IP experts see digitalization as an opportunity Dennemeyer’s first IP Trend Monitor study shows that the IP industry is expected to keep on an unbroken ascending trajectory, growing fast in all segments. The members of the IP expert panel see China as the fastest growing region, closely followed by Europe before USA and Canada. The predominant megatrend for the industry identified by the panel members is digitalization. “Interestingly, more than 72% of the IP experts see digitalization as an opportunity and a game changer, rather than a risk. They embrace the idea to replace administrative tasks such as monitoring, research and filing annuity payments with holistic IP software platforms, artificial intelligence and blockchain technology,” says Sebastian Deck, Head of Communications & Digital at the Dennemeyer Group. According to the study, 37% of the IP professionals welcome the chance to focus on value-add services such as litigation. These are the core results of the first IP Trend Monitor survey, an industry study aiming to discover and analyze megatrends in the IP industry. A joint effort of the Dennemeyer Group and CTC Legal Media, the first issue focused on the business climate in the IP industry, the impact of digitalization on the management of IP and the most significant industry trends. The survey was conducted among more than 400 industry experts from 74 countries. More than half of the participants work for corporations (large and SME), offices, IP organizations or IP service providers (excluding law firms), while 46% of them are employees of law firms. Chris Dooley, Publisher and Managing Director at CTC Legal Media, ads: “It was captivating to discover what kind of business development our respondents anticipated for the fiscal year 2018, compared to the previous year. Our results show that the business climate for patents, trademarks and designs is expected to improve significantly, as is the development of global demand for IP legal services, administrative and for IP management software.” Digitalization in IP: artificial intelligence and big data are considered top technologies The IP industry is embracing all new digital technology trends with 46% of the panel members expecting a significant improvement in the business climate for IP

rights. Besides, 52% of the respondents anticipate an increase in the spending on IP protection within the next year, while only 3% think it will decrease. Over half of IP Trend Monitor panel members expect an increase in the spending for IP protection during the next 12 months and a significant number of the respondents anticipate an improvement in the IP business climate. As already mentioned, digitalization is a game changer in the IP, with artificial intelligence and big data playing significant roles. In a top of the most important trends in IP management, alternative means to protect IP rank fourth, while Brexit is another hot topic of the moment, scoring the sixth position. Asked about the impact of digitalization on the management of IP, it is considered potentially disruptive by only 6% of the respondents - but fascinating to watch, nonetheless. 43% of the experts consider that it will mainly affect corporations and 37% lean towards IP law firms, while individual inventors and offices/associates are least impacted. Digitalization will mainly affect administrative services Participants of the survey were also invited to rank the services for which digitalization will play a crucial role. It turns out that administrative IP services, monitoring, searches & opinions check the top positions, while experts also foresee that digitalization will have minimum influence on trade secrets and anti-counterfeiting which scored the ninth and 10th position out of 11. “Without a doubt, digitalization is fundamentally changing the management of IP in the next years. Our first IP Trend Monitor survey has shown that the vast majority of our panel members embrace the change. Headwinds are gathering against both of them, with interest rates set to continue rising as monetary policies tighten and Quantitative Easing tapers in developed markets. The impact of this can already be seen, as reflected in higher bond yields. Equity markets are becoming more volatile, as measured by the VIX index, which has trended upwards so far this year and spiked in February. Inflation is also creeping back into western economies and fears about it are very real: research1 commissioned by MPG found that nearly nine out of 10 institutional investors (88%) have some degree of concern that inflation will erode the real value of bond yields over the next one to two years.

Investors increasingly seek alternative asset classes Investors have to some extent been seeking alternatives to the main asset classes since they sank in unison during the Global Financial Crisis. But the need to do so seems even more pressing now than 10 years ago because of the gathering headwinds. Investors are looking even harder for solutions that provide innovative alternatives to traditional asset classes. They are willing to stay invested for longer, if that enhances returns and risk controls. Investors are mostly risk-averse but low interest rates have meant many of them are turning to low-risk products that still generate inflation-beating income - an area in which MPG specialises.

The High Protection Fund A key attraction is that they have a very low correlation with equities and bonds because returns are largely driven by life expectancy estimates and other demand/ supply factors unrelated to financial markets. Life settlements are currently more attractively priced than at any other time in the last 10 years. In part, this is because there has been a significant increase in policyholders trying to sell them, but dramatic positive changes in the life settlements market such as tighter regulation and improved accuracy around longevity calculations have also made the sector more attractive for investors.

Investing successfully in the life settlements market requires asset managers to have the skills to select the right policies. For example, having a good understanding of when a portfolio of policies is most likely to mature is essential. At MPG, we have extensive experience and have invested over $100 million in life settlement policies over the past 10 years.

Analysis2 by MPG shows that life settlements currently offer earnings that are four times or more favourable than equities. Life settlements currently offer a 14.7% earnings ratio (PE of 6.8). Comparative figures for equity indices include 4.6% for the Dow Jones Industrial (PE of 21.8); 4.5% for the S&P 500 (PE of 22.3); 4.4% for the Nasdaq 100 (PE of 22.9); and 2.1% for the Russell 2000 (PE of 48). Data from AA-Partners (AAP), a boutique company specializing in life settlement consulting also points to value in the market. AAP’s October report3 identifies that there was a record volume of trades in September and notes that the average internal rate of return (IRR) of policies decreased from 16.6% in August to 14.7% in September. This 1.9 percentage point fall means that prices have risen substantially, giving a boost to the performance of its High Protection Fund, which bought several policies in a quiet period over the summer. So much so that at endOctober, the Fund’s USD Growth Class recorded a 101% return since its launch in July 2009.

It is an absolute return fund that aims to deliver long term capital growth of between 8-9% per annum by investing in a portfolio of life settlements. The volatility of the High Protection Fund has been extremely low, especially compared with other funds in the sector. A key factor in this low volatility is the quality and diversification of the assets held in its portfolio. The credit ratings of the underlying insurers who have issued the policies are strong: the average rating is very high at AA. The spread of issuers is also broad, across as many investment grade counterparties as achievable. The management team has been adept at sourcing good buying opportunities through their extensive contact network while also ensuring a spread of maturity ranges to optimise investment returns while maintaining longer-term liquidity and sufficient cash reserves. Another key attribute of the management team is its ability to manage currency risk: by expertly hedging the portfolio it has been able to deliver equal performance in US Dollar, UK Sterling, the Euro and Swiss Franc share classes, beating inflation, several other ‘non-correlated’ asset classes and the Bloomberg US Treasury Bond Index.

Special offer MPG periodically incentivises its investors with special offers and it is currently offering extra allocations on new investments into the High Protection Fund. The extra allocations are 3% up to 31 January; 2% to 28 February; and 1% to 31 March. The fund is suitable for institutional and high-net worth inves-

tors and is available in US dollar, Euro, Sterling and Swiss franc share classes. The promotion marks the Fund’s 116th consecutive month of positive growth since its launch in 2009 and coincides with a period of time where the pricing of target assets is traditionally at its weakest. It is therefore an opportune time to accelerate new subscription activity to maximise the fund’s purchasing power and to generate a boost to its performance.

It’s not even been a year since Mark Catton took up the role of CEO at Newport-based Henry Howard Finance (HHF), and he has already been named as the CEO of the year by Global 100. Mark Catton is the former head of RBS’s UK Corporate Bank. In almost 12 months in post, Mark has secured a second tranche of funding from the British Business Bank ENABLE fund. This £51million, on top of an initial £51million asset finance facility granted in 2016, will allow Henry Howard Finance to extend its leasing and asset finance offering to a larger portfolio of UK businesses. Here, Global 100 chats to Mark about his whirlwind year at HHF and about the future of SME finance in the UK. Congratulations Mark – how does it feel to have been named CEO of the year by Global 100 just under a year after taking the helm at HHF? It’s not something we’d ever set out to do but it’s nice to get the award and it’s very flattering. It reflects really well on the team here and what we’re trying to build. It has been a very busy year for you and the business. What have been your highlights so far? Our highlight has to be the quality of the team and the number of fantastic people we’ve been able to attract to the business. The great thing about our new recruits is that they all like our story and want to be part of it. At board level, we have a new chief operating

officer in former GE capital executive Anne Williams, and we have also recently welcomed former Opel Vauxhall Finance executive Mark Tweed to the team as our chief financial officer. We have also taken on additional key staff in Manchester, the Midlands and the South West to extend our relationship manager reach around the UK and have developed our marketing, customer engagement, HR, compliance and customer service teams during the year. A number of things have gone well for us this year. We’ve exceeded our plans for the year and have set some new highs for our loan origination, as well as the number of SMEs we’ve supported with finance. Additionally, in September we were successful in doubling our lending firepower from the British Business Bank, and the team there has been excellent in its support for us. HHF works in a very competitive market and many SMEs are still looking to high street lenders for finance. How does HHF stand out from the crowd? It’s pretty straightforward really. It’s about a passion for great service. Our teams build personal relationships with our customers and do their best to support their finance needs. If you look at our customer case studies, they all say how well supported they feel by their account manager. The vast majority of the deals we finance for our customers are done on our own balance sheet, so we make quick decisions and can be very

flexible, but we also have excellent relationships with our panel of funders, so we can deliver a range of solutions. Vendor finance is a key part of business for HHF – how is HHF helping SMEs with leasing agreements, and again, what makes HHF different in this market? We’ve not particularly shouted about it but we’re one of the leading Vendor finance businesses in the UK. We support several hundred Vendors across all sectors and equipment types - for example, we finance complex IT programmes, telecoms solutions, security equipment, shopfitting, leisure equipment, to a range of vending solutions. We work with some of the biggest Vendors in the market and offer a technology-led and serviceled model. Our HowApp technology offers Vendors what they need to give their SME customers the service they want - and we’re currently investing significant sums into our HowApp platform to ensure it is at the leading edge in this market. We’re working in partnership with a number of our Vendor customers to ensure we get that right, which has been a great asset in the development of the platform. Importantly though, alongside our use of technology in this market, we also try to deliver a great personal service - all our Vendors have dedicated relationship teams and that is key to the success we’re having.

2019 looks like being a difficult one for the UK economy, with a lot of uncertainty around Brexit. What do you think are going to be the biggest challenges for SMEs in the UK in the coming years and how can HHF help? There are plenty of Brexit commentators. I don’t need to add to them, but the way I see it is that SMEs will stick to what they’re good at. Some will keep investing and growing and be opportunistic, whilst others will need to baton down the hatches. Management teams are generally pretty robust and resilient. They’ll keep a close eye on supply chains and how their own customers, buyers and suppliers are faring. Access to finance is hugely important to many SMEs and that’s how we help and can step in - most of what we do is for business-critical equipment. Our door is always open to chat through funding options for SMEs. What can we expect to see next from HHF in 2019? It has been a great year, and I’m confident that 2019 will be too. We have been following your career from AIG to Lemonade and now my researchers are telling me you have a new venture called Assurely. Ty: Yes I do and thank-you for this prestigious award. I am very excited about Assurely, a firm I co-founded with David Carpentier. The essence of Assurely is to use technology to seamlessly provide insurance to electronic transactions that contain risk, especially risks which the traditional insurance industry is not ready to insure. Sounds like your combining the strategies of Lemonade and AIG to conquer new areas of risk. Ty: Yes, that’s an interesting way of putting it. So, tell our readers about Assurely first product, CrowdProtector(tm) Ty: As a result of the JOBS Act of 2012, thousands of companies are using SEC regulated portals to raise funds. Regulation “CF” now permits up to $1 million to be raised completely online from both accredited and non-accredited investors, something completely new. In the future, we see this $1 million cap being raised as well as already increasing interest in larger online funding mechanisms under other SEC regulations but using crowdfunding portals. The directors and officers of these companies face the same SEC liabilities and state fiduciary duty liabilities as every other corporation, and be held personally liable to their investors for damages caused by their misconduct.

You definitely proved that with Lemonade, and now you are trying to prove the same thing with Assurely. Can we tell us how? Understood but that’s where D&O insurance comes into play, right? Ty: Well, yes and no. The problem for these companies is that the traditional D&O market wants nothing to do with them. OMG. As the former chief underwriting officer and general counsel for AIG’s D&O insurance unit, you’re obviously a veteran in this particular risk. What made you interested in helping companies who are trying to raise funds through crowdfunding portals when your colleagues at traditional D&O insurers have stayed away. Ty: I built my entire career in the traditional insurance industry around innovation. However, the type of innovation needed to satisfy the needs of these crowdfunding companies is disruptive. Traditional insurance companies aren’t very good at that.

In your experience, what are the defining qualities of an effective leader? How can leaders and aspiring leaders take their leadership skills to the next level? Some defining attributes for a leader include resiliency, work ethic, the ability to prioritize and say no. Aspiring leaders and leaders can take their skills to the next level by finding a mentor they trust and working with them to improve different skills. They can also be sure to lead by example. That is something that I feel so strongly about. What is the single best piece of advice you have ever received? The best piece of advice I ever received was to learn to play golf. It has been an absolute game changer for me because there is so much business that happens out on the golf course. What are your hobbies and how have they shaped you? Fitness and overall wellness is a major hobby of mine. I find that my rigid triathlon and IRONMAN training schedules allow me to clear my head and also find balance in my life. My theory is that an individual’s personal wellness must be a top priority in order to achieve one’s major corporate goals. As a competitive athlete and avid runner dedicated to a strict fitness and nutrition regime, I participate in ongoing

marathons and iron man competitions across the globe as a way to balance work and overall wellness. If I can’t take care of myself I can’t lead a team. Most recently, I ran in the Serengeti Girls Run, a 55-mile women-only run in October through the Tanzanian bush to raise money for girls’ empowerment programs in local communities. How have you used your success to bring goodness to the world? I bring goodness to the World by giving back to the USA Olympic Team as a trustee and believe in helping place athletes in the business world after their career in the Olympics. I mentor folks around the world and industry to help them in their career. Along with adopting orphans in India — we as a global team go there twice a year and give money and make a day of donating our time to help out with the little ones. In addition, believe in helping College students make their curriculum choices and on two Advisory Boards for Colleges. I also spend time mentoring women globally, and is passionate about women supporting other women and lifting them up. STEM is a huge passion of mine. I want to encourage girls and women to find careers in this space because there is so much opportunity. In my journey to Africa for the Serengeti Girls Run, in October, it was an effort to raise money for girls’ empowerment programs in local communities.I also spoke to the tribes there about this issue. My goal is to have an impact there. What does the future hold? Are there any specific projects or major developments on the horizon that you would be willing to share with us? I am currently working on a book that will be out early 2019. More details to come on that!
