INSTITUTIONAL CORRUPTION BY PROFESSOR GRAHAM FRANK

The visibility of the individual and the ability of pressure groups to promote their preferences above any democratic test is accommodated by the growth and reach of technology and social information platforms

These virtual but physically intangible connectors are very real waves of energy that exist in the “ether” of our daily private and business lives and will often dictate expectations and make demands of society and its institutions both reasonable and unreasonable

Our institutions operate in a rapidly changing world where their ability to maintain appropriate ethical codes and moral standards now appear more susceptible to “Institutional Corruption” than in the past It may be that transparency and awareness has improved which in turn exposes corrupted cultures more readily On the other hand it is the operation of a world working on the internet with its instantaneous revelations which has clearly shaped many of the characteristics which lead to “Institutional Corruption” In other words, Institutions become victims of their own internal process and decision making and their willingness to promote them widely, regardless of the audience and its understanding

Such Institutional Corruption does not mean that the institutions are outwardly or internally corrupt in the normal sense of the perception of what corruption means nor without integrity, ethical standards or a moral code

The creeping danger of Institutional Corruption only manifests itself when there is “a systematic and strategic influence which is legal, or even currently ethical” There comes the point when the influence being exerted “undermines (or prevents) the institutions effectiveness” It does this by diverting it from its purpose or “weakening its ability to achieve its purpose including the extent relevant to that purpose by weakening either the public’s trust in that institution or the institutions inherent trustworthiness” Equally, a third-party influence, that corrupts an institution may well serve a legitimate end and where the action taken has been appropriate to protect and enhance the “larger ends of democracy” (Lawrence Lessig – Edmond Research Lab 2010 and Safra Foundation Center for Ethics considering institutional corruption in the pharmaceutical industry in the USAAutumn 2013)

Unfortunately, the UK has recently been faced with a large number of Institutional corruption cases with one of the higher profile examples being the Metropolitan Police in the Daniel Morgan murder In its findings the panel, which sat to consider the evidence, stated a definition of Institutional Corruption to reflect the specific circumstances of the case as “Placing the protection of reputation above fidelity to the truth, especially in the context of an independent or public inquiry”

Caution must be exercised to ensure there is a differentiation from general corruption, discrimination and racism, as examples Institutional Corruption can focus on an item as small as a single recommendation of

a report which is rejected because an institution does not wish to admit meaningful change or the misreporting of statistics An example of this type of institutional corruption is the Stafford Hospital Scandal where the high mortality rates were suppressed and another is the excessive discharge of sewage by the water companies

As a Chartered Surveyor the potential issues of Institutional Corruption are unfortunately closer to home and relate to my professional body of the Royal Institution of Chartered Surveyors (RICS) and where there are currently three issues arising in this subject matter

The first relates to the undue influence on the activities of the RICS Senior Executive team in 2019 who dismissed the Four Independent trustees to RICS on the grounds of aggressive questioning The Trustees had rightly been concerned with certain information that was not released to them on critical aspects of the accounts, despite requests put forward for its release on a formal basis Alongside this activity was a growing dissatisfaction with how RICS treated its staff with a culture of bullying and a lack of attention and service provided to its professional membership

Matters reached a head in 2020 which lead to the removal of its CEO and others senior executives This was followed by an investigation into what had gone wrong by Alison Levett KC who published her report into her investigations into historic treasury management issues and other RICS leadership team activities Her report was published on 9th September 2021 and found that the

origins of what went wrong lay in the governance structure, with a lack of clarity of the roles and responsibilities of the Boards encouraged by the Chief Executive and Chief operating officer who had grown used to a lack of scrutiny and did not see the need to change such shortcomings, even though they believed they were acting in the best interests of RICS. Consequently, the RICS as an institution was collectively unaware of the governance issues arising and the problems within its accounts and the declining relationship with its members The Report made several interim recommendations so as to steady the ship and the need for a wide-ranging external review to establish the best way for RICS to operate in the future

Lord Bichard was commissioned to undertake a Review as to what must be done to put things right which was published on 30th June 2022 The review confirmed RICS as an institution was clearly failing its member’s needs, acting without its members authority and in danger of not meeting its Royal Charter requirement to act to the public advantage The major theme of the recommendations is to provide RICS members with more decision-making powers and that change in how RICS manages its affairs must happen quickly The well written and carefully thought through Bichard Review with 36 recommendations was welcomed by RICS members in bringing the focus back to the support of members so that in turn the Public Advantage, as enshrined in the Royal Charter, can be protected

However, more careful scrutiny identifies a sting in the tail when it comes to the proposed change in the Royal Charter with the suggestion by Lord Bichard that the subject of “sustainability” is added There are hopefully few who in today’s world would not put the environment and its sustainability as a core principle and that should be replicated by RICS and its members in all they do Yet, there is a danger that enshrining any specific subject in the Royal Charter alongside the public interest criteria could result in an irreconcilable conflict

We have already seen governments worldwide look to expand fossil fuel provision so as to overcome the potential energy shortfall as a consequence of the Ukraine war, which otherwise is likely to cause hardship, ill health and possibly death through a lack of food production and heating during the winter months But what happens when the same position faces an institution where its Royal Charter has two objectives which are in conflict with each other The public interest mantra alone should be sufficient for the Royal Charter requirements with extreme caution to be exercised in any amendment to include a specific subject matter that may encourage political interference or manipulation of an independent body to accede to a policy that RICS may consider is not in the public interest Such a change in the Royal Charter may result in institutional corruption by the influence of a politically motivated policy even where it may clearly be in conflict with the public interest mantra Under these circumstances, where such a conflict exists, it will be impossible for RICS and its members to resolve the discrepancy or differences that arise

The second area of potential Institutional Corruption is focussed on the issue of public scrutiny and the ability of a body to self-regulate effectively without undue external influence by a third party or a sector of the market that

seeks change for their own purposes rather than for the best interests of the market as a whole

The Bichard Review helpfully identified a number of changes required to the existing RICS Standards and Regulations Board (SRB) On the one hand ensuring it has appropriate delegated powers but on the other ensuring it is responsible to Governing Council in performing its Regulatory duties effectively so that it is linked with the professional body it is tasked to regulate

The concern of many RICS Members is that SRB, as a regulating body has, over the years become detached from the RICS as an organisation and rather than having a good working knowledge of its members activities, has focussed on independence rather than impartiality with the result that it does not understand what RICS members do, how they do it or what they need

A recent test of RICS SRB’s ability to regulate effectively was their acceptance of 13 recommendations from a “Valuation Review” undertaken by a Committee that only comprised representatives of Institutional and City of London based organisations and accountants/city brokers/consultants that serve these institutions and with only one recognised RICS valuation house represented

The majority of the valuation review committee’s findings were appropriate but for the first time in the 160 year history of RICS it recommended prescribing how valuers should value and the valuation methodology to be adopted for all investment property on a global basis

The Report’s Recommendation 8(i) was that the valuation profession should incorporate the use of discounted cash flow (DCF) as the principal model applied in preparing property investment valuations If another valuation methodology was to be adopted this may be considered but only if a strong argument can be promoted against the DCF methodology

This recommendation at a stroke cut across transparency, independence, objectivity, and integrity in the process of valuers undertaken their day to day work with a mandate to abandon market practice and the approach of individual markets That simply cannot be right but does reflect the approach of a small albeit important sector of the market to unduly influence the independence and impartiality of RICS valuation members in adopting a valuation methodology which is not relevant in many areas to identifying Market Value

The Review committee, supported by an ill-informed SRB, sought to mandate a prescriptive approach which interferes with the skill of the valuer In addition it sought to undermine members who undertake “formal valuations” on a regular basis and who are qualified RICS Registered Valuers with the appropriate skill base and the simple but critical objective, to ensure the valuer adopts the correct methodology for the task in hand and produces a valuation which is as accurate as possible

For RICS to insist on the adoption of DCF in sectors of the market that do not use this methodology may well encourage an inaccurate or incorrect valuation Consequently, following RICS standards under these circumstances (that is if Recommendation 8(i) is implemented) may result in valuers facing negligence claims because they have adopted an incorrect approach

against their own judgement In turn this is likely to dilute RICS’s profile and standing in the markets it serves to the benefit of other valuation organisations without such strictures

That is not to say there is not significant work to be done in ensuring that chartered surveyor valuers are professionally trained and skilled in the art of the DCF methodology Therefore, the second strand of Recommendation 8 is entirely appropriate which is that RICS should improve the knowledge and application of valuers in respect of advanced analytical techniques

It is recognised and acknowledged that DCF has a significant role in investment analytics, and in some areas of determining Market Value, but it should not be prescribed as the primary route to the determination of value or be confused with one derived from an accountancy approach delving into market practice which has not been adopted by the market

The suggestion that other methodologies, such as the single all-purpose yield, will need to be rigorously explained if DCF is not adopted, is inappropriate, as it should be the requirement that any methodology adopted must represent the valuer’s interpretation of the market and the appropriate valuation methodology used in that sector

Surprisingly and disappointingly a serious shortcoming of the valuation review was that there was no definition of “Investment Property” therefore adding to the confusing of what the review was promoting and what properties would fall under the recommendation That said, the report states in noticeably clear terms that “ attention has been primarily focused on valuations of real estate assets for performance measurement and decisionmaking purposes, upon which third parties place reliance These are principally valuations for: financial reporting; inclusion in prospectuses and circulars, and takeovers and mergers; collective investment schemes; unregulated property unit trusts and commercial investment property financing”

Therefore, as the valuation review was limited to primarily the Institutional and major property company investment sector why did their recommendation unashamedly dictate the DCF valuation methodology for all aspects of private commercial and residential investment property regardless of the market approach?

As an example, the review gave no consideration to a private investor purchasing a small investment such as a newsagents shop in Margate or a buy to let 2-bedroom flat in say Rochdale As a result of Recommendation 8(i), the purchaser and lender will be subject to undertaking a DCF valuation in addition to a traditional market valuation Neither the purchaser nor the lender will gain anything out of a DCF based valuation, it is likely to be inaccurate as the transactional market in this sector will not operate on a DCF valuation methodology and there will be a significant additional cost and time delay for the production of a report which will have no beneficial outcome to either the purchase or lender

The valuation review did advise that “ prescriptive standards may not be suitable to cover the vast range of valuation circumstances and could lead to

unwarranted valuation conclusions in some situations” The report also correctly and fairly confirms “that traditional measures of value, such as an ‘all-risks yield’ calculation, can correctly identify the exchange price at which an asset will likely trade (the all-risks yield is merely the mathematical summary of the many assumptions that go into a valuation)”

Therefore, against the review report findings in recognising the importance of various valuation methodologies, how could it's conclusions make such an ill-advised recommendation that the Primary valuation methodology is to be DCF Either it was poorly informed or it sought to influence the RICS to adopt a methodology that suited and benefitted one sector of the overall market If the latter, that is a clear case of institutional corruption

The third and final issue for RICS on the issue of Institutional Corruption is to be found in Chapter 10 of the Levelling Up and Regeneration Bill where at paragraph 186 (now 213 in the latest version), between the hot topics of “Pavement Licences” and “Vagrancy and Begging” is the “Review of governance etc of RICS” This identifies the following procedure:

The Secretary of State may, from time to time, appoint an independent person

to carry out a review of

(a) the governance of the Royal Institution of Chartered Surveyors,

(b) the effectiveness of the Institution in meeting its objectives, and

(c) any other matter specified in the appointment

Although there has been an issue relating to Governance issues of RICS the Levett Report and Bichard Review have clearly defined what went wrong and what is required to put it right The failings were nothing to do with the members of RICS who had raised the alarm on the problems arising within the organisation which resulted in the dismissal of the leadership team and then sought the Levett and Bichard investigations and recommendations It is perhaps important to stress the issues at RICS have not involved the ability and skill base of its members but have revolved around those employed to run RICS and those sectors in the market who have sought to influence it for their own purposes

With controversial Government Housing Policies requiring support and the outcome of the Grenfell inquiry findings there is the potential for Government to interfere in the independence of RICS as a professional body in securing their own political agenda and objectives

However, there is an encouraging postscript to this tale of woe and the 3 issues of institutional corruption currently being faced by RICS The first is that it appears there is a kickback from RICS Governing Council who recognise the potential conflict with the public advantage that could arise in changing its Royal Charter as suggested in the Bichard review

The second is that the strength of understanding and professional knowledge of the wider RICS valuer cadre has pushed back on the proposals to make DCF the primary valuation methodology for all investment

property globally

Thirdly, there is a recognition that there must be a strength in RICS resolve to maintain its independence and ensure that it is not hijacked in support of specific government policies that are not felt by RICS to be in the public interest

RICS must make sure it retains and promotes its independence based on the skills and experience of its Members and not be corrupted by the pressure from strong dominant groups or those with their own political agendas.

It must be remembered that in 2006/7 the Labour Administration decided to introduce a penal requirement for house buying reports which on the surface were promoted to speed up the residential transactional market, nothing wrong with that, but in essence were thinly disguised as a political cover up for another policy RICS took the Government to the High Court and won with the judge making critical comments on the Ministers who were leading the scheme, one of whom is a current shadow minister The introduction of the scheme was only delayed but it did require the Government to review what it had done and why it was doing it and ensure that its legislation was sound and would do what it said on the tin I was the RICS president at the time and I trust and hope that RICS will show a similar resolve in avoiding the institutional corruption potential that currently lies at its door If it does it will come out of its problems stronger and better than before

The Inspiring Journey from a Survivor to a Successful Entrepreneur

In 2006, David Lyons was hospitalized and diagnosed with Multiple Sclerosis at the age of 47 David was a bodybuilder and health club owner, who exercised regularly and lived a healthy lifestyle He was devastated by the diagnosis and frustrated by the physical limitations of his condition His initial MS attack left him with partial paralysis, tightness, pain, and numbness in his extremities and back

These common symptoms of MS come and go without warning The multiple lesions in David’s spinal cord made it difficult for him to coordinate movements and they affected his balance The lesions in his brain caused cognitive problems affecting his concentration David also lives in a constant state of fatigue caused by this disease attacking his nervous system While in the hospital the doctors told David he would most likely leave in a wheelchair and would not return to his normal workout routine They also warned him that MS is a disease that most often progressively worsens and to prepare for his limitations as he ages

Despite these debilitating issues, at the age of 50 Lyons decided to compete in a NPC Bodybuilding Competition! David’s doctors all told him that his pursuit of competing in a bodybuilding contest was not advisable, especially at 50 years old But on August 22, 2009, David competed in the Florida State Bodybuilding Championship where he was awarded an impressive trophy for the most inspirational bodybuilder! And, the victorious journey begins
