Terms & Conditions -

applicable to United Kingdom only RVL shall herein after be called “The Company”

1. All orders are accepted and executed on the understanding that the Purchaser is bound by these Conditions of Sale. Where there is any inconsistency between these Conditions of Sale and any conditions, which the Purchaser seeks to impose then these Conditions of Sale, shall prevail. 2. Prices (a) Unless otherwise agreed in writing all orders are executed subject to prices and any relevant discounts ruling at the date of dispatch. The orders are accepted subject to a revision of prices in the event of increases in the cost of materials, wages or other circumstances arising before dispatch. Any price lists of the company whether published or not shall not affect the right of the Company to charge for goods in accordance with this clause. (b) Value Added Tax at the appropriate rate is payable by the purchaser. 3. Payment (a) Unless otherwise agreed in writing payment is due 30 days after the Company’s invoice date. (b) Where a Contract is to be or may be fulfilled in separate instalments, deliveries or parts, payment for each such instalment, delivery or part, shall be made as if the same constituted a separate Contract. 4. Delivery (a) If the Company is prevented, hindered or delayed from making delivery of any goods by reason of any act of God, hostilities, civil disturbances, governmental restriction or regulation of any kind, strikes, force majeure or by reason of the purchaser failing to furnish any necessary information or instructions or any other cause of whatsoever nature beyond the control of the Company, the Company may give notice in writing to the Purchaser either: (i). Cancelling any outstanding obligations of the Company to deliver any goods under the contract, or (ii). Extending the time for delivery of the goods outstanding under the contract by a period not exceeding three months. (b) If the Company gives notice under sub-clause 4 (a) (i) above, there shall be no liability to the Purchaser for any damages or loss or consequential loss of whatsoever nature and the Purchaser shall remain obliged to pay for any goods actually delivered to him. (c) If the Company gives notice under sub-clause 4 (a) (ii) above then the time for delivery shall be extended accordingly. (d) If the Company shall fail to make due delivery or late or short delivery for any clause not set out in sub-clause 4 (a) above, then the liability of the Company for damages in respect to any loss or expense of whatsoever nature thereby occasioned shall be limited to and shall not exceed the price of that part of the goods in respect of which default has been made.

Exclusive Recent work includes a project for Bolton School in which we were commissioned to replace the lighting in the library, in keeping with the room's ornate oak panelling and high ceilings. Additionally, we supplied LED lighting for a new, reproduction display case and refurbished some existing antique light fittings. Further evidence of our ability to provide exclusive solutions is demonstrated in the on-going project to restore the Grade III listed Glynllifon Mansion on the Glynllifon estate, Llandwrog, LL54 5DY (01286 831832).

5. Packaging The Company reserves the right to charge for specified packaging. 6. Carriage For details see current price list. Carriage payable on small deliveries. 7. Damage or loss in transit The Company shall replace or repair free of charge goods damaged in transit or not delivered in accordance with the advice note provided when written notification is received by the Company and the Carrier, in the case of damaged goods, within 7 days of delivery, and in the case of non-delivery of goods within 14 days of the date of dispatch. 8. Shortages Claims for alleged shortages in packages will be considered within three days of delivery and if accompanied by full particulars of advice note or other essential information. 9. Returns In no circumstances are goods supplied to customer’s order to be returned without the Company’s written consent. 10. Design Alterations Variations in terms of colour, finish, materials and all other aspects of appearance may occur on occasions either through unavailability of materials or due to our policy of continuing technical improvement. The Company reserves the right from time to time to revise, vary or modify the colour, finish materials and technical specifications of goods contracted provided that the colour and finish of the goods delivered shall be at least equal to that of the goods contracted for. 11. Export No goods sold by the Company are to be re-sold or delivered outside Great Britain or Northern Ireland without first obtaining the Company’s written consent. 12. Letters Patent and Registered designs So far as the Company is aware no goods offered by it infringe any existing patent or design but no Warranty expressed or implied is given in respect of any such infringement. 13. Defective Goods (a) The Company will within its absolute discretion repair or replace or refund the purchase price of any goods that were defective in material or workmanship at the time of delivery provided that notice was given of such defect within 7 days of the date when by reason of an opportunity to inspect the goods or otherwise the Purchaser, could first reasonably have ascertained that such defect existed and provided that the purchaser has not in any way dealt with the goods as to result in their being in any worse condition than when delivered. (b) Without prejudice to paragraph 13 (a) above, the Company will replace free of charge any part which is proved defective by reason of faulty workmanship or faulty materials at the time of delivery provided that the Company is notified thereof within a period of twelve calendar months after delivery or in circumstances wherein twelve months would not be deemed a reasonable time then within such reasonable time after delivery that the Purchaser has not in any way dealt with the goods as to result in them being in any worse condition than when delivered. (c) Insofar as the Company may have the benefit of any guarantee or warranty

given by any manufacturer of the goods or other third party the Company will at the request of the purchaser use all reasonable efforts to ensure that insofar as may be practical the benefit of such guarantee or warranty ensures to the Purchaser and will at the Purchaser’s request execute an assignment of the benefit thereof to the buyer. (d) Where any goods are delivered that do not comply with the Contract the Purchaser will permit the Company a reasonable time and opportunity to replace the same free of charge before proceeding with any claim or action. (e) Without prejudice to the operation of any other condition herein any liability of the Company in respect of any faulty goods under the terms of this Contract of any other goods which do not comply with the contract shall be limited to and not exceed a sum equal to the purchase price of that part of the goods in respect of which the default had been made. (f) The Purchaser warrants that the goods will not be sold or distributed or otherwise in any way dealt with unless there shall first have been applied or taken all such protective or other packaging and all such warning notices statements or markings and all such other precautions of whatsoever nature as may be required by law or as may be necessary or appropriate to preclude the making of any claim by any person who may use or consume or be affected by the goods on the grounds of the absence thereof. The Purchaser shall indemnify the Company against all claims proceedings costs or expenses, which the Company may sustain by reason of any breach of this warranty. 14. Modifications Requested by Purchaser Where the Purchaser requests the Company to make any amendment or modification to its standard product, or to design any new product, the following terms shall apply: (a) The company shall use reasonable care in carrying out the design and manufacture of any amended or new product. (b) The Company shall not be liable to the Purchaser in respect of any defect in any such product save where the Company has failed to take reasonable care as aforesaid in which case the provisions of clause 13 above shall apply. (c) The Purchaser shall indemnify the Company from and against all or any costs claims losses or damages whatsoever arising by virtue of any defect in any such product save where such defect is directly attributable to a failure by the Company to comply with the provisions of sub-clause (a) above. 15. Claims Without prejudice to the effect or operation of any other clause herein contained the total aggregate liability of the Company to the Purchaser for any loss or damage of whatsoever nature arising out of any breaches of this contract shall be limited to and shall not exceed the sum equal to the purchase price of the goods. 16. Default Should the Purchaser default in paying any sum due for goods supplied the Company reserves the right to suspend all future deliveries until the default is made good or to cancel the balance of the order. In either case the Purchaser shall pay the cost of goods in course of manufacture or ready for dispatch. 17. Bankruptcy In the event of the Purchaser committing any breach of this contract or if any distress or execution is levied upon the goods of the Purchaser or he offers to make any arrangement with or for the benefit of his creditors or he commits any act of bankruptcy or (being a Limited Company) has a receiver appointed of its undertaking or assets or any part thereof or (save for the purpose of a restriction or an amalgamation without insolvency) goes into liquidation the company shall therefore be entitled without prejudice to their other rights as the Company’s option forthwith to suspend all further deliveries until the default has been made good or to determine the contract or any unfulfilled part thereof or to make partial offers. 18. Title and Risk (a) Risk in the goods shall pass to the Purchaser on delivery. (b) Title shall remain vested in the Company until all sums owing from the Purchaser whether in respect of this or any other contract of transaction shall have been paid, and until such time the purchaser shall hold the goods on trust for the Company. (c) The Purchaser shall if required store mark or designate all goods referred to above so as clearly to show they are property of the Company. (d) If the Purchaser shall default in the punctual payment of any sum due to the Company then the Company shall be entitled forthwith to repossess any goods which remain the property of the Company and for that purpose the Purchaser shall afford access to any premises where any such goods may be. (e) The Purchaser shall only deal with goods prior to property passing to him in the ordinary course of his business. (f) In the event of any sale or disposition of any of the goods by the Purchaser, the Purchaser shall hold on trust for the Company: i). so much of the proceeds of sale as is equal to the contract price of the goods under this agreement. ii). the right to receive the proceeds of sale of disposition as set out in 17 (f) (i) hereof. 19. Legal Construction (a) insofar as in may appear to any court, arbitrator or tribunal that any term of these conditions which seeks to impose any restriction or limitation of liability on the part of the Company and to any specified sum or multiple of the price of the goods and to which the Unfair Contract Terms Act 1977 applies does not satisfy the requirement or reasonableness, such restriction or limitation shall not be disregarded or treated as null and void or as having no application but shall be construed as if there were substituted therein such greater minimum specified sum or multiple of the price of the goods as would in the opinion of the court arbitrator or tribunal be reasonable or be given effect accordingly. (b) These conditions of sale shall be construed in accordance with the laws of England. Any dispute arising under any Contract with these conditions apply shall be decided by arbitration in accordance with the provisions of the Arbitration Act 1950 or any statutory modification thereof. 20. Electrical Installation The responsibility for correct installation, wiring and suitability is the responsibility of the purchaser or the appointed contractor. All fittings should be installed according to the latest regulations.
