Companies and individuals doing business and thriving in Broward County owe a big thank you to the Greater Fort Lauderdale Alliance, which, since 1963 has served as the county’s official public/private partnership for economic development. As part of a denomination known as the United Church of Christ, the Coral Gables Congregational Church led by senior pastor, Reverend Dr. Laurinda Hafner, has one main mission — to effectuate a positive change. It states, “no matter who you are or where you are on life's journey, you are welcome here.” “Our mission is to be transformative in people’s lives within our walls (our church community) and beyond

our walls (the outside community) so that there is justice and equality, but also to be the best that we can be as a creative child of the Creator (God). So basically, to be transformative,” said Rev. Hafner. They accomplish that mission through worship, the arts, education, service and fellowship and being a very active and engaged church for both their members and the community. Our previous articles have outlined a popular hybrid, Florida business entity legally known as a limited liability company (“LLC”). As you may recall, Florida LLCs have characteristics of both corporations and partnerships. Such entities are deemed corporations for liability purposes and partnerships for tax purposes. Once the LLC is properly formed, Florida Statutes (Section 608) requires that owners of the LLC (legally referred to and known as “Members”) maintain the following records: (a) a current list of the full names and last known business, residence, or mailing addresses of all members, managers, and managing members; (b) a copy of the articles of organization, any certificates of conversion, and any other documents filed with the Department of State concerning the limited liability company, together with executed copies of any powers of attorney pursuant to which any articles of organization or certificates were executed; (c) copies of the limited liability company’s federal, state, and local income tax returns and reports, if any, for the three most recent years; and (d) copies of any then-effective operating agreement and any financial statements of the limited liability company for the three most recent years. Additionally, Florida law provides that, unless contained in the articles of organization or in the operating agreement, the LLC must also maintain a written document

setting forth the following: (a) the amount of cash and a description and statement of the agreed value of any other property or services contributed by each member and which each member has agreed to contribute; (b) the times at which or events on the happening of which any additional contributions agreed to be made by each member are to be made; and (c) any events upon the happening of which the limited liability company is to be dissolved and its affairs wound up. As discussed, the primary benefit of LLC status is limited liability. Essentially, Members and Managers (i.e. “managers” are those members and/or third parties entrusted to operate/manage the LLC and which are the equivalent of “officers” in a corporation) are not personally responsible for any debts and/or judgments against the LLC. By contrast, general partners in a partnership (and, for that matter, sole proprietors) are liable for debts, judgments and other obligations of their respective businesses. Hence, the ability to safeguard personal assets is the primary benefit of an LLC business entity classification. Please be aware that an LLC’s status as a corporation for liability purposes is not unlimited. If a plaintiff were to be able to “pierce the corporate veil” of the LLC, then a Member could be held personally liable for a judgment against the entity. Generally, the corporate protection will remain in place provided that the Manager/Members of the LLC

follow the terms of the LLC operating agreement, act in good faith, avoid wrongful acts, and act within the scope of their statutory duties. As detailed herein, one such obligation of the Members of the LLC is maintaining the applicable records as required by Florida law. Failure to strictly adhere to Florida law in this regard could provide ammunition to a plaintiff to argue that the corporate formalities are not being recognized and as such, corporate protections should not be extended. As such, Members of the LLC should ensure that all such records are properly maintained so that the liability protections remain in place during the life of the LLC. THE ELIAS LAW FIRM CAN HELP

MO Bar at Mandarin Oriental Tucked away on Brickell Key, MO Bar inside of Mandarin Oriental is one of the best, often forgotten gems that Miami has to offer. Is It Only a Dream? By: Brett Gillis, Vice President, Historic Preservation Association of Coral Gables (HPACG) In the 1940s, during the Gables' first major wave of development since the Great Florida Land Boom of the 1920s, master architect Walter De Garmo commented that "people in this city dream that they are living in a community that is fixed in character--the character that made it world renowned. But it is only a dream. The character of this city is changing rapidly, and unless the citizens are awakened very soon, they will find that Coral Gables, the City Beautiful, has become just another town." Today, history repeats itself, and many residents second that "emotion" from all those years ago. This is in the wake of the Historic Preservation Board's August 15 decision not to designate the Mission Revival apartment building located at 333 Catalonia Avenue in the Crafts Section. Citing that this apartment building is surrounded by single-family homes (a fact that is irrelevant to the historical significance of the structure) and lack of architectural splendor in their estimation, in a move that went against city staff’s recommendation, the Board voted 5-3 not to preserve the building. “It is a sad day anywhere when a place’s cultural heritage is being erased, but especially in a city that has ‘historic’ in its DNA,” observed Karelia Martinez Carbonell, President of the Historic Preservation Association of Coral Gables. The Historic Preservation Board has been criticized by some for acting in an arbitrary and capricious manner instead of following the directives set forth in city code. On August 21, photography instructor and master printer Don Queralto appealed the Board's decision, thus forcing the City Commission to weigh in. If the Commission decides not to save the building, then preservationists would like to know which specific criteria the building does not meet as outlined in the staff report:

333 Catalonia Avenue exemplifies the historical, cultural, economic, or social trends of the community. Built in 1926, 333 Catalonia Avenue is the only known Mission Revival style apartment building that remains in the entire city, and this is the only apartment building of any style that represents the vision founder George Merrick had for affordable housing for the artisans in the Crafts Section. One life-long Coral Gables resident who spoke at the Board hearing noted that “we need to decide what our city

to east in this country. Around 1915, rather than adapting the ill-fitting English-inspired Colonial Revival style that was popular at the time to the harsh sun, heat, and rains of Florida, Miami architects made a monumental shift in their architectural inspiration by recognizing the value in reviving Florida’s Spanish heritage. After all, adapted Spanish styles, such as the Mission style, are not only native to California and the Southwest — they are also native to Florida. Mission San Diego de Alcala

values are, what message we want to leave for our children, and what kind of community we want to be. The philosophy behind the Crafts Section and the concept of inclusive, affordable housing in the design of this city…is a notion that should be celebrated. Not everyone gets to drive a Mercedes, and that doesn’t mean that their history should be demolished.”

333 Catalonia Avenue portrays the environment in an era of history characterized by one or more distinctive architectural styles. The Mission style originated in Southern California and was the first architectural style to diffuse from west

missionaries in the late 1700s and early 1800s. With its stucco walls, signature parapet that pays homage to Mission San Diego, low-pitched tile roof accents, commanding arched entrance, and deeply shaded porch, 333 Catalonia exudes the key character-defining features of a Mission Revival building. This building is also the solitary example of an apartment building in this style in the Gables, adding yet another dimension to the structure's allure.

The City Commission of Coral Gables will decide the fate of this timeless structure on October 22 at the appeal hearing. In a city that is touted as the bastion of historic preservation in Dade County, will the Commission allow the most recent wave of overdevelopment to result in the loss of our historic architecture and cultural heritage? And, just like Mr. De Garmo contemplated all those years ago, are we still living in historic Coral Gables, the City Beautiful, or is it only a dream?

It’s midday Monday, and Miami resident Daisy Holcombe is not sweating one drop while discussing her jampacked daily itinerary: seeing her three young children off to school, owning a full-time event production company and then to top it all off, managing up to 60 young girls who compete in a local soccer league. The multiple commitments she pursues selflessly day in and day out stem her passion to encourage young girls in sports, and in this case, the sport of European football, more commonly known as soccer. The “Lady Lions” organization, which derives its name from the fierce-like qualities that only a lion possesses, launched about three years ago and has grown exponentially in size, interest level and community influence since inception. Co-founded by Holcombe alongside Andres Miranda under Lions FC owner Ricky Mor, the organization was formed to shape young women into well-rounded individuals through soccer and to address a lack of resources in the community. “There is a gap for all-girls recreational soccer,” says Holcombe about the imbalance between the desire to play and what existed prior to Lions

enrolled in training for tryouts, and whose eight-year-old is currently in the program at the competitive level. Registration has reached capacity at 60 girls for the past two years, and according to Holcombe, that number could continue to rise should certain conditions be met, such as increased coaching staff. “Girls are quicker mentally and develop faster than boys do,” she noted. “They’re just different. Working with girls yields an opportunity for implementing a philosophy that our impactful coaches use.” “Our parents, players and coaches

must go through training, strong fundamental teachings and take the oath of F.U.N. which focuses on positive behaviors not the score,” explained Holcombe. “Our mission is to teach players to be good people; soccer is a mechanism for achieving those goals.” The Lions’ academy program includes girls ages five through 11 as well as an independent middle school program (for ages 12 to 14) teaching girls how to succeed in tryouts. The training curriculum is based on the Charles Corver method, which breaks down all of the skills in soccer using ball mastery. “Then we make sure that every practice is fun. Teaching the love of the game through many touches, small-sided play and unique mental games; soccer is the lowest scoring sport in history. You have to have passion for all of the little touches, and girls understand that about soccer quickly,” observed Holcombe. In Miami, there’s a tendency to start any sport too young and play all year long, three to four days a week. At Lady Lions, the recreational academy division allows any girl to try the sport as a first-timer, play it just for fun or choose to move to competitive levels. “I’ve seen so many student-athletes cross over to soccer at age 11 and 12 and because of our style, mental teachings and adherence to our goals, they were able to become good players and make friendships,” pointed out Hol-

combe about how the sport encourages comradery. “In the end, we happen to be good at soccer too, learned from coaches who encourage positive behaviors instead of criticizing.” The Lady Lions Club bucks the industry trend, being very different in that they believe an elementary-age child should not be committed to one sport, taking away their opportunity to explore music, dance, and other sports as all of that makes a well-rounded person. “It is unique and purposeful to capture once a week these kids who don’t know what sports or soccer is and allow them to experience all of these things,” remarked Holcombe, who was an All-American soccer player at Clark University on the East Coast back in the day. Although Holcombe has a full plate of activities that she purses every day, she stated that she is committed to replicating her successful childhood- keeping busy and taking on multiple sports as well as projects at once. When asked how she finds the time, she replied “When you love something, you find the time.” “Welcoming more coaches who believe in our philosophy is the next growth step for us. Anyone who loves soccer and is like-minded is needed to increase the number of girls we can accept into the program.” A coach who understands the sport more mentally than physically — now that’s a great match. The academy’s fee for participation is anywhere from $150 to $350 a quarter. Institute on Aging Launches New Program to Train Older Adults SoFIA Fellows program for retired and underemployed adults seeks its first class The South Florida Institute on Aging (SoFIA) is launching SoFIA Fellows, a new program that will harness the power of an older workforce to help nonprofit organizations of South Florida achieve their missions while also providing older adults with an expanded social network, an increased sense of purpose, and updated workforce skills. “For some older adults, retirement isn’t the answer while others may not be in a position to retire or even be able to find a job due to age discrimination,” said Peter Kaldes, President and CEO of the South Florida Institute on Aging. “Through SoFIA Fellows, they can continue to make a contribution to our community, ensure important civic engagement and sharpen workforce skills that contribute to economic ecurity.” Sponsored by a generous grant from The Frederick A. Deluca Foundation Inc., the innovative program offers a 10-week training session followed by placement in an unpaid internship with area non-profits. SOFIA Fellows will enjoy ongoing networking opportunities and inclusion in an alumni job bank. “We know that loneliness is as dangerous to your health as smoking 15 cig-

arettes per day,” said Elisabeth DeLuca, President of The Frederick A. DeLuca Foundation. “Being more isolated and going through your days without mental stimulation and a sense of purpose impacts well-being. Many adults also find

“Learn About Where You Live Shenandoah” Exhibit Now at Public Library Dade Heritage Trust and the MiamiDade County Public Library are teaming up this fall, as the non-profit’s “Learn About Where You Live Shenandoah,” has traveled to the system’s Shenandoah Branch. DHT’s exhibit features both contemporary and historic images of a sampling of Shenandoah’s diverse residential architecture. Shenandoah, which was established in 1919 and was one of the first Neighborhoods in the City of Miami. Originally made up of farmland and piney wood, the Shenandoah area did not come into its own until the Miami real estate boom when it was developed by Virginia developers, hence the name. It is now home to a significant number of historic and beautiful homes. “We are excited to have this amazing project showcased at the Shenandoah branch, which is one of the community’s great meeting places,” said Christine Rupp, executive director of Dade Heritage Trust. “As part of our preservation mission, we are dedicated to sharing Miami’s rich history with residents and are delighted to be able to do so through this great partnership with the MiamiDade County Library System.” The exhibit’s contemporary images were captured by renowned architectural photographer Steven Brooke, while

the historic images were gathered from original property tax cards in the possession of the City of Miami’s Historic Preservation Office. Through these snapshots, library patrons and guests will be able to see the differences in landscaping, building ornamentation, window styles of the different eras. The “Learn About Where You Live

Shenandoah” project was made possible through a grant from the State of Florida Division of Historical Resources, said Rupp. The neighborhood documentation and a resulting survey report, which was required by the grant, were produced by Miami-based urban planning firm, PlusUrbia. She added that the City of Miami’s Historic Preservation

At the Church’s fair-trade shop, parishioners sell craft items, jewelry, gifts and clothing, all lovely handmade pieces created by artisans in third world countries. “We give them a fair price for the items we purchase, allowing them to provide for their children and villages and raise families in third world settings,” explained Rev. tions, first and foremost, being an open and affirming church, embracing of everyone regardless of sexual orientation and so, the LGBTQ community. “We have invited the LGBTQ community into our full life in our congregation and even have a float in Miami Beach’s Gay Pride parade, something that definitely sets us apart,” pointed out Rev. Hafner. The Church also works very hard for peace and justice; whether it be on behalf of individuals in the midst of gun violence or war, it is an advocate for any cause that promotes and instills peace

in the United States and around the world. Also, as a sanctuary church, it welcomes immigrants and refugees into its safe space while they await proper processing. “We will provide sanctuary and help find what rights are available to those seeking asylum and refugee status,” indicated Hafner. Furthermore, they are WISE (Welcoming, Inclusive, Supportive and Engaged) in their mental health work “so, no matter where a struggling person is in their life journey, they’re welcome here,” she added.

Taking that work a step further, they’ve established support groups for those dealing with depression or a diagnosable mental illness and work closely with the University of Miami’s Department of Psychology. There are also grief support and centering groups. As far as educational efforts are concerned, the Church provides children, youth and adult ministries, from Sunday school to adult education programs. They bring in theologians or biblical scholars to help interpret spirituality with the goal of helping parishioners continue to grow in their faith. “We have a saying ‘God is still speaking,’ so we continue to teach that,” remarked Hafner. Having fun and a sense of humor is also a large focus of what they do; therefore, it’s not unusual to witness dancing during worship. Members also enjoy social time together- going to dinner and the theater- all reasons why it is regarded as a friendly, engaging and fun congregation in the community. Because self-evaluation is important at Coral Gables Congregational, every week, attendees ask themselves “Who is not here?”, whether it be individuals rejected by their church or disenfranchised from religion and in life. “Asking ourselves that question allows us to open our doors even larger, so folks know that they have a safe

place here,” underscores Rev. Hafner. “We’re a very diverse congregation; we have people from every culture, faith, tradition including Jews, Muslims and Buddhists, those from around the world and nation, all age groups and gender identification. We’re a true microcosm of Miami.” The inclusion of other faiths is part of the Church’s commitment to inner faith dialogue. Outreach efforts include serving the homeless at Chapman House, building homes with Habitat for Humanity and working with Mohair in Homestead to help migrants. On Thursday nights, they open the food pantry and distribute food to those in need. Taking it a step further, on Thursdays they have a social worker and immigration specialist lending support to any who come there. Because of their Sanctuary movement, they work closely with Catholic Charities who are invaluable to them and who assist immigrants. There’s no denying that Coral Gables Congregational Church is an all-encompassing experience for anyone seeking an all-welcoming, spiritual experience. Rev. City of North Miami Launches Clean City Task Force with Mission to Eliminate Blight Citizens encouraged to support the task force by becoming “Agents of Clean” The City of North Miami has appointed a Clean City Task Force to improve the overall quality of life for North Miami residents and visitors by focusing awareness and enforcement on public nuisances and blight. The Clean City Task Force is a part of the Keep North Miami Beautiful initiative to manage the overall beautification of the City, which boasts a multi-cultural population of 62,000 residents. The City boasts a bourgeoning Downtown with plans for several multimillion-dollar commercial real estate initiatives in and around the City. Citizens are encouraged to become part of the solution as “Agents of Clean” by reporting excessive littering or improperly discarded waste they may encounter. In its initial stages, The Clean City Task force has been identifying and addressing specific issues that

require immediate action in and around North Miami: Unsafe, abandoned, unkempt, derelict and dilapidated buildings and properties. Litter, shopping carts, illegal dumping and garbage, graffiti, abandoned vehicles, and stray animals will also be addressed. Through the collective oversight of various municipal departments including Police, the CRA, Code Enforcement, Building Department, Public Works, the City Attorney’s office, The Clean City Task Force is working to ensure the City of North Miami continues to improve their beautiful City, neighborhood by neighborhood and block by block.
