Construction and Infrastructure Project Financing  Holland & Knight's Mexico City office represents financial institutions, as well as majority and minority shareholders and investors, including commercial lenders, export agencies, multilateral development banks, real estate developers, providers and contractors.  We have experience with risk identification and management in a great variety of infrastructure projects developed under different legal structures such as public-private partnerships (PPP), including public works, services provision, concessions, PPP agreements, and practical knowledge of the different financing methods and the complications that can arise for companies that employ public funds and privatization projects.

Examples of our experience in infrastructure projects and public-private partnerships include:  Representation of Banco Multiva in the awarding of two loans Nuevo León, Mexico, for a financial reorganization program. Those loans were awarded in accordance with the new Ley de Disciplina Financiera, which imposes new financial discipline on Mexican federal and municipal entities  Advising Banco Multiva on the financing provided to a service provider for the design, installation, initiation, and operation of a water treatment plant in San Luis Potosi, including the due diligence and bidding processes, and the negotiation and drafting of the financing contracts  Advising Banco Multiva on the financing provided to a service provider for modernization and maintenance of a lighting project in Mexico City, including the due diligence and bidding processes, and the negotiation and drafting of the financing contracts  Representation of the oil and gas division of the Schahin Group, one of the main engineering and construction companies in Brazil, in the restructuring of its US$475 million debt (backed by perforation machinery) through 13 financial institutions  Representation of a Mexican developer in the financing, development and sale of a photovoltaic project of a capacity of 80 MW valued at MX$160 million  Representation of a consortium composed of Mizuho Corporate Bank Ltd., Sumitomo Mitsui Banking Corporation, the Bank of Tokyo-Mitsubishi UFJ Ltd. and the Japan Bank of International Cooperation (JBIC) in the public tender process for the financing of US$375 million for the creation by Mitsubishi Corporation and Kyushu Electric Power Co. Inc. of a project vehicle to carry out the construction, and operation of a combined cycle gas turbine plant and related facilities in El Encino, South-West of Chihuahua, Mexico; this project represented an investment of approximately US$535 million, where the capital contributions surpassed US$160 million  Advising Calyon, West LB and the Export Development Corporation on the financing of the prepayment and acquisition of the Campeche and Chihuahua IPP projects by Intergen B.V. for the approximate amount of US$340 million  Advising Mizuho Bank and JBIC on the construction and financing of a combined cycle gas plant (IPP) with a combined capacity of 525 MW

 Advising IFC and SocGen on the financing of the projects Rio Bravo III and IV involving the construction, operation and maintenance of two combined cycle gas plants of 495 MW, supported by EDFI with a combined amount of US$900 million  Advising Deutsche Bank, Bank of Tokyo, Mitsubishi and JBIC on the financing of the projects Tuxpan III and IV involving the construction, operation, and maintenance of gas plants of 900 MW, supported by Fenosa Union with US$600 million  Advising JBIC on the financing of the project Altamira II involving the construction, operation and maintenance of combined cycle gas plants of 495 M, supported by EDFI and Mitsubishi with US$450 million (named Energy Project of Latin America 2002 by Project Finance Magazine).  Advising JBIC on the financing of the project Tuxpan II involving the construction, operation and maintenance of combined cycle gas plants of 495 MW, supported by Mitsubishi with US$400 million  Advising the Interamerican Development Bank on the financing of the construction, operation, and maintenance of an oil plant initiated with charcoal sponsored by Alstom & Sithe Power for the amount of US$450 million  Advising IFC on the financing of the projects Rio Bravo II and Saltillo involving the construction, operation, and maintenance of an electricity combined cycle plant of 495 MW, supported by EDFI with US$600 million  Advising the Interamerican Development Bank and COFACE on the financing of the construction, operation and maintenance of an oil plant initiated with charcoal by Termoeléctrica del Golfo of 230 MW, and supported by Alstom & Sithe Power with US$500 million (named Energy Project of Latin America 2000 by Project Finance Magazine)  Advising JBIC and IFC on the financing of Mérida III, a project involving the construction, operation, and maintenance of a combined cycle gas power plant of 484 MW, which constituted the first project of Productor de Energía Independiente (IPP) in Mexico supported by a conglomerate under the direction of AES with US$450 million
