ARTICLE II District, Membership, Purpose, Meetings and Obligations

Section 1. Insured members and social members are

GBU Financial Life District Bylaws and Rules of Procedure As Approved by GBU Board of Directors February 15th, 2023 In accordance with Article VIII, Section 3 of the Bylaws of GBU Financial Life (GBU), districts are largely self-governing organizations but must comply with the Articles of Incorporation and Bylaws of GBU, these District Bylaws and Rules of Procedure and all other requirements adopted by the GBU Board of Directors (the GBU Board). These District Bylaws and Rules of Procedure have been adopted by the GBU Board as of February 15th, 2023 and supersede and replace all prior district bylaws and rules of procedure.

ARTICLE I Structure and Powers

Section 2. District meetings should be scheduled in advance and held as frequently as required by law with a minimum of four per year. Minutes of district member meetings must be recorded and maintained by the district.

Three members constitute a quorum for district member meetings, but a smaller number can adjourn the meeting for a lack of quorum.

Section 3. Special district member meetings may be called by the President but at least twenty (20) adult members of the district must be invited. The Secretary must provide each member with a written or electronic notice at least ten (10) days prior to such meetings stating the business to be transacted. No other business may be considered.

Section 4. District member meetings should be conducted in

the form prescribed in the District Officer’s Reference Guide for GBU districts. District member meetings are governed; and procedures and questions involving the meeting will be based on applicable sections of the current edition of Robert’s Rules of Order, Newly Revised.

Section 5. The district may conduct officers' meetings, planning meetings, events, committee meetings, and other district under the jurisdiction and control of the GBU Board, subgroup meetings that are not subject to the requirements by virtue of a charter duly granted, and in conformity with the of full member meetings.

Section 1. All property and assets of a district must be held

and administered for the use and benefit of the district, its members, their communities and used in manner consistent with the charitable and fraternal missions of the district, and may not be distributed to or divided among its individual

members, in whole or in part, for their personal benefit, use, or account.

Section 2. In the event of a merger or revocation of a

district’s charter, all district funds or assets will become frozen as of the date of notification. All district officers will be notified that they will be personally liable for funds or assets dispersed after that notification date. District funds must be held in escrow by the GBU Home Office until the merger is completed, or until one or more successor districts are identified. In the instance where there is no merger or successor district, the funds held in escrow will be donated to the GBU Foundation.

ARTICLE IV District Board, Elective Officers, and Elections

Section 1. The management of the district is vested in a district board that represents all of the members of the district in carrying out the mission of the district. The district board is comprised of the elected officers of the district.

Section 2. The elective officer positions of the district can be

combined and made up of as many of the below positions that a district can support provided that it has at least three district officers: President Vice President Secretary Treasurer The district has the option to elect or appoint additional officer positions and Auditors to suit its needs. Contracted GBU Agents may hold an elected office within a district.

Nomination and election of district officers will be held annually. However, in the event of a vacancy, nominations and elections may be held at any district meeting.

Adult members are eligible to nominate, vote, be elected or appointed to an office within their assigned district.

Section 3. All officers of the district are elected for a term

of one (1) year but may serve until their successor is elected and qualified.

Section 4. The candidates receiving the highest number of votes are elected to office. The district must report its elected officers to the Home Office within 30 days of election, in accordance with the procedures established by GBU. Section 5. An officer of a district may be removed from office for failure to meet his/her duties or for unbecoming conduct by majority vote of the district board, excluding the officer in question, or by the GBU Board.

Section 6. The district board may create committees or

other subgroups and assign such duties as the district board may determine.

ARTICLE V Duties of District Officers

All duties as described below may be redistributed to the position that fits the district’s specific needs.

Section 1. The President presides over and conducts member

meetings in accordance with the bylaws of the district and of GBU; appoints committee members; and performs such other duties as the district board or GBU may direct.

Section 2. The Vice President presides over and conducts member meetings in the absence of the President and performs such other duties as the President, district board, or GBU may direct.

Section 3. The Secretary notifies the members of the time and place of district member meetings; furnishes all required reports to the Home Office; conducts correspondence of the district; records and maintains minutes of district member meetings; coordinates articles for submission to the official publication; and maintains the district’s membership status reports. At the time of elections, the Secretary furnishes the district President with a list of all members eligible to vote. At the expiration of the term of the Secretary’s office, all the books, documents, papers, and other property of the district in his/her possession must be delivered without delay to the district. The Secretary also performs such other duties as the President, district board, or GBU may direct.

Section 4. The Treasurer receives, deposits, and furnishes a

receipt for all monies of the district; pays all invoices authorized by the district; keeps a true and correct account of all monies received and disbursed; and reports the financial condition at every district member meeting. At the expiration of the term of office, all monies, books, documents, papers, and other property of the district in his/her possession must be delivered without delay to the district. The Treasurer also performs such other duties as the President, district board, or GBU may direct.

Section 5. The Auditors, the district board, or GBU can audit

the books of the district at any time.

Section 6. No officer can authorize and/or write a check to

himself/herself without proper documentation and approval from another officer. A minimum of 3 officers must be authorized signers to the district’s bank account.

ARTICLE VI

Dues and Subsidies Section 1. The district will receive dues and subsidies as set

forth in GBU policies.

Section 2. Each district will receive an annual statement showing the recommended amounts payable to the district

and the Secretary. It is the responsibility of the district to pay the Secretary the amount determined by the district.

Section 3. Districts failing to submit the required annual and

quarterly reports will forfeit their district dues and subsidies from GBU. District dues and subsidies will commence with the month following receipt of the annual report. Secretaries who fail to submit their districts’ annual or quarterly reports on time may forfeit their fees.

ARTICLE VII

Organization of New Districts Section 1. Any member of GBU may organize a new district in accordance with the GBU Bylaws.
