1.3 Governing Documents

Unless otherwise provided by Arizona Law, this Declaration shall run with the land and have perpetual duration. This Declaration may be terminated only by a Recorded instrument signed by Owners of at least 80% of the Lots and by otherwise complying with all city, county, or state requirements. In the event of termination, provision shall be made for the continued maintenance of the Common Area. Nothing in this Section shall be construed to permit termination of any easement created in this Declaration without the consent of the holder of such easement.

This Declaration shall be enforceable by Declarant, the Association, the Council, any Owner, and their respective legal representatives, heirs, successors, and assigns, by any means available at law or in equity, subject to the provisions of Article XV, if applicable.

If any provision of this Declaration is determined by judgment or court order to be invalid, or invalid as applied in a particular instance, such determination shall not affect the validity of other provisions or applications.

1.3 Governing Documents

The Anthem Country Club Community Governing Documents consist of the following as they may be amended:

Community Covenant (Council Document) (Recorded)

Declaration (Recorded)

Supplemental Declaration (Recorded)

Articles of Incorporation (Filed with Arizona Corporation Commission)

By-Laws (The Board of Directors adopts)

Design Guidelines (Declarant adopts)

Use Restrictions (Initial set attached as Exhibit "C')

Board Resolutions and Rules (Board adopts) Establishes obligations and authority of the Community Council over all of the Anthem community

Creates obligations and easements which are binding upon the Association and all present and future owners of Lots

Adds property to the Anthem Country Club Community; may impose additional obligations or restrictions on such property

Establishes the Association as a nonprofit corporation under Arizona law

Governs the Association's internal affairs, such as voting rights, elections, meetings, officers, etc.

Establish architectural standards and guidelines for improvements and modifications to Lots, including structures, landscaping, and other items on Lots (includes standards and guidelines pertaining to all of Anthem)

Govern use of property, activities, and conduct within the Anthem Country Club Community

Establish rules, policies, and procedures for internal governance and Association activities, regulate operation and use of Common Area
