Artwork: is due on or before the indicated published deadline. If artwork is not in by published deadline, a previously approved ad will run. Insertion orders may not be canceled. Layout/Copy Change: 3 changes may be made to original copy. There will be a $25 charge for all copy changes after 3rd change. Advertising Agencies: All artwork must be submitted on or before the published deadline to receive the commission rate. Agency assumes all liability for content of the advertisement. Credit: Payment is to be made in advance, unless credit has been established by Publisher. Past Due: All accounts not paid in full within 30 days of invoice will incur a late charge of 1% per month from the due date until paid in full. 1. Charges and Payments All charges for DHL shall be paid to DHL Magazine at its office in Sulphur Springs, Hopkins County, Texas, in accordance with statements forwarded by DHL Magazine to Advertiser from time to time. Payments must be made in cash, check, credit card or money order, and shall be due and payable on or before thirty days after the statement date on the invoice. Advertiser agrees to pay DHL Magazine the revenue specified in this DHL Contract. At the end of the term hereof if Advertiser has not met the revenue total called for in the DHL Contract, Advertiser agrees to pay DHL Magazine the difference between the revenue specified in their DHL Contract and the actual DHL revenue performance total achieved by advertiser during the above mentioned 12month term. DHL Magazine will invoice advertiser at the end of the term for such amount which shall be due and payable on or before thirty days after the statement date on the invoice. Should Advertiser become delinquent in its payment, the terms of this contract will remain intact and any additional expenses incurred by the DHL Magazine through collection efforts will be charged to the Advertiser. 2. General Advertising Policy All DHL advertisements shall be subject to and shall be in full compliance with the General Policy set forth in DHL Magazine’s Rate Card in effect as of the date hereof and as may be hereafter revised by DHL Magazine in its sole discretion, a copy of which


Current DHL Magazine Rate Card has been delivered to Advertiser, the receipt of which is hereby acknowledged. The current DHL Magazine Rate Card as hereafter revised is hereby incorporated herein by reference and made a part hereof. In the event of a conflict between any provision in the DHL Magazine Rate Card (or any revision thereto) and this Annual DHL Revenue Contract, the Annual DHL Revenue Contract shall prevail. 3. General Provisions. This agreement may not be assigned or transferred by Advertiser without the express written consent of DHL Magazine. This agreement is performable in Hopkins County, Texas, and any suits relative to the Agreement will be held in Hopkins County, Texas. If legal action is brought by either of the parties hereto, it is expressly agreed that the Echo Publishing Co. party in whose favor final judgment shall be entitled to recover from the other party reasonable attorney’s fees in addition to any other relief which may be awarded. THIS AGREEMENT WILL NOT BE INVALIDATED FOR DHL MAGAZINE’s FAILURE TO PLACE IN ADVERTISEMENTS AS ORDERED OR FOR PLACING INCORRECT IN ADVERTISEMENTS ORDERED BY ADVERTISER. LIMITED LIABILITY: DHL Magazine shall not be liable for failure to publish or distribute all or any part of any issue because of labor disputes, accidents, fires, acts of God or any other circumstances beyond DHL Magazine’s control. In the event that DHL Magazine otherwise fails to publish the advertisement or advertising material submitted for publication, or if the advertisement or advertising material as published contains errors or omissions, DHL Magazine’s liability shall be limited to the amount charged the advertiser in connection with the service of providing advertising space or other services provided by DHL Magazine. This limitation on the amount of any liability shall apply even if the failure to publish or any errors or omissions result solely from the fault of DHL Magazine. In no event shall DHL Magazine be liable for any consequential damage, lost profits, lost business, or any damages of any nature other than the return of charges made to the advertiser in connection with the acceptance of the material. DHL Magazine will not be responsible for more than one incorrect insertion of any advertisement and liability shall be limited to that portion of the advertisement affected by the error. Ads accepted after published deadline are at the advertiser’s risk. No credit will be issued for any errors which occur in these late ads. IMPORTANT! DHL MAGAZINE’S LIABILITY IS LIMITED IN ALL CASES TO THE RETURN OF THE CHARGES MADE FOR THE ADVERTISING. THIS LIMITATION ON LIABILITY IS A CONDITION FOR THE ACCEPTANCE OF ANY ADVERTISING BY THE PUBLISHER. All notices provided for herein shall be in writing and shall be delivered to either party in person or by depositing same in the United States Mail, postage prepaid, or emailed at the address listed herein above or at such other address as either party may by like notice give to the other party. This agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the subject matter hereof and contains all of the covenants and agreements, either oral or in writing, between the parties hereto with respect to said subject matter. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise contained in this Agreement shall be valid or binding.

Scott Keys is President and Chief Operating Officer of Echo Publishing Company, the parent company of Down home Living. He and his wife, Amy, are both natives of Northeast Texas. Their four children are: Hunter, a freshman studying business and finance (and playing baseball) at the University of the Ozarks; Bailee, a junior studying communication sciences and disorders at the University of Mississippi; Blake, a true Texas cowboy living in Sulphur Springs; and Kelly, a graphic designer and marketer in Austin, Texas; Scott joined Echo Publishing full-time in 1989 and became President of the company in 1995. She and her husband, Kenny - a home health nurse with Cooper Home Health - have two children, Kennedy, 6, and Kaiden, 4. Butch Burney is the general manager of Echo Publishing and managing editor of Down home Living magazine. He has been general manager of Echo Publishing for eight years. He has worked in and around East Texas for most of his life and knows the people, places and culture that makes this area such a special place. Butch and Karen have been married for 26 years. Ashley Ortiz is the advertising director of Down home Living magazine. Ashley and her husband Juan have two amazing children Ayden, 6 and Jaylee JO, 2. Juan is a fire fighter paramedic and owns a BBQ catering company, Smoke Eaters BBQ. Ashley and her family love to enjoy life to the fullest. Ashley is very involved in her community with Mothers Culture Club, and The Rotary Board of Directors.
