NEW YORK — Sprint, the No. 3 cellphone company in the U.S., is selling a controlling stake to Japan’s Softbank for $20.1 billion. The deal, announced Monday in Tokyo, positions Sprint Nextel Corp. as a stronger competitor to U.S. market leaders Verizon Wireless and AT&T, but it doesn’t solve all of the company’s underlying problems. Sprint, which is based in Overland Park, Kan. has been limping along since 2005, when it bought Nextel. The merger quickly turned sour, saddling Sprint with the cost of running two incompatible networks while customers fled. Softbank Corp., a holding company with investments in Internet and telecom businesses, made its own venture into the wireless world in 2005, with the acquisition of Vodafone Japan. It turned that business around, giving President Masayoshi Son the confidence that he can make Sprint a profitable company again after five straight years of losses. Sprint CEO Dan Hesse has laid the groundwork for a turnaround — the company’s reputation for customer service has im-
proved during his tenure. But his efforts haven’t had an immediate impact on profitability. On its own, the company would have a hard road ahead, as it pays for both a network revamp and $15.5 billion in iPhones from Apple. Under the deal, Sprint shareholders can turn in 55 percent of their shares to Softbank in exchange for $7.30 per share. Sprint shares were up just 3 cents at $5.76 in morning trading Monday, suggesting that investors had accurately pegged the value of the transaction last week, when they sent the stock up 14 percent based on reports of talks between Softbank and Sprint. Softbank’s is paying $12.1 billion for the 55-percent stake. It’s buying an additional $8 billion worth of shares from the company, for a total stake of 70 percent. That investment will dilute the value of existing shares, and is the reason Sprint’s stock didn’t trade higher on Monday. “This is a transformative transaction for Sprint that creates immediate value for our stockholders, while providing an opportunity to participate in the future growth of a stronger, better capitalized Sprint going forward,” Hesse said. Analysts were more re-
served in their judgment. “While we believe it will take far more than capital for Sprint Nextel to effectively compete with Verizon Wireless and AT&T Mobility, we believe the deal announced today, without question, strengthens Sprint’s position in the long-run,” said Christopher King at Stifel Nicolaus. Kevin Smithen at Macquarie Capital said the deal doesn’t improve Sprint’s access to space on the airwaves, which is critical to improving its wireless data network, nor does it provide a path to improving its profitability. A merger with T-Mobile USA, the No. 4 carrier, might still be needed to deal with those problems, he said. T-Mobile USA has its own plan: two weeks ago, it struck a deal to buy MetroPCS Communications Inc., the No. 5 carrier in the U.S. Analysts also speculated that Softbank could buy out Clearwire Corp.’s shareholders and combine the company with Sprint. The Bellevue, Wash., company operates a wireless broadband network, but its network upgrades have been hamstrung by a lack of funds. Sprint already owns 48 percent of the company and resells access to its network as “Sprint 4G.”

The cost-of-living adjustment, or COLA, is tied to a government measure of inflation adopted by Congress in the 1970s. It shows that consumer prices have gone up by less than 2 percent in the past year. “Basically, for the past 12 months, prices did not go up as rapidly as they did the year before,” said Polina Vlasenko, an economist at the American Institute for Economic Research, based in Great Barrington, Mass. This year, Social Security recipients received a 3.6 percent increase in benefits after getting no increase the previous two years.
Nation Briefs Big tobacco urges statement rejection WASHINGTON — Tobacco companies are urging a federal judge to reject the government’s proposed industry-financed corrective statements, calling them “forced public confessions.” The Justice Department countered that the statements need to be strong enough to protect people from future false statements made by cigarette makers. The statements include admissions that the companies lied about the dangers of smoking. U.S. District Judge Gladys Kessler, who is hearing the case, has already said she wants the industry to pay for corrective statements in various types of ads. Although she has not made a decision on what the statements will say, she said at Monday’s hearing that she doesn’t have to take the government’s proposed statements word-for-word, and will come up with “modifications.”
US retail sales jump 1.1 percent WASHINGTON — Amer-
icans stepped up their spending at retail businesses in September, reflecting higher consumer confidence. The increase was driven by another strong month of auto sales and the release of the iPhone5. Retail sales rose 1.1 percent last month to a seasonally adjusted $412.9 billion, the Commerce Department said Monday. That followed a 1.2 percent increase in August, which was revised slightly higher. Both were the largest gains since October 2010. Sales rose last month in most major categories. Electronics and appliances surged 4.5 percent, in part because of iPhone sales. Sales at auto dealers increased 1.3 percent. Building materials and garden supplies, furniture and clothing sales all gained, too. The retail sales report is the government’s first monthly look at consumer spending, which drives nearly 70 percent of economic activity. The report follows a jump in consumer confidence, a steep drop in the unemployment rate and a modest housing recovery

Court will hear case on voter registration WASHINGTON — The Supreme Court on Monday agreed to take up an appeal from Arizona over its requirement that people prove they are American citizens before registering to vote. The justices will review a federal appeals court ruling that blocked the law in some instances. A 10-member panel of the 9th U.S. Circuit Court of Appeals in San Francisco said that federal law trumps the Arizona requirement. Federal law allows voters to fill out a mail-in voter registration card and swear they are citizens under penalty of perjury, but it doesn’t require them to show proof as Arizona’s 2004 law does. Four other states, Alabama, Georgia, Kansas and Tennessee, have similar requirements, according to a legal brief filed by Alabama in support of the Arizona law. The case poses some of the same issues as voter identification disputes. Arizona and the other states argue that they

should be allowed to ask for additional documentation to keep illegal immigrants and other noncitizens off the voting rolls. Opponents of the laws say they are used to exclude disproportionately poor and minority voters who lack birth certificates and other identity documents. Arguments will not take place until February, with a decision likely by late June. The justices earlier refused Arizona’s request to reinstate the provision before the November elections. The ruling applies only to people who seek to register using the federal mail-in form. Arizona has its own form and an online system to register when renewing a driver’s license. The court ruling did not affect proof of citizenship requirements using the state forms.
