2. Seller must be willing and able to provide three years’ worth of tax returns and to sign the IRS 4506 form. Tax returns are required by SBA to show taxes were paid and that the ﬁnancial data utilized in the SBA loan analysis is reliable. The signature on the IRS 4506 form gives the lending institution permission to pull independent transcripts of the tax returns to verify them against the ones the seller provides. 3. Be prepared for the possibility of taking a note back for a portion of the sales price and having that note put on full standby for the term of the SBA loan. It’s not uncommon for buyers to be short on cash needed to meet the down Lesley Lang-Lopez payment requirements of ten percent or more, so the buyer will need a seller ‘carry-back’ note to qualify for the loan.

Often when a small business is sold, the seller agrees to stay on and help during the transition. With an SBA loan, the seller can stay on only on a consulting basis and only for 12 months or less. The seller cannot become an employee, owner, or director, or stay with the company in any other capacity. 5. Be prepared to specify what is and is not being sold and to provide prices for each asset class in the Buy/Sell Agreement. Conversely the buyer and their lender will need a clear idea of what liabilities are being assumed, if any. Eventually the lender will need details such as the make, model, and serial number on all equipment and a detailed inventory of other items. The earlier the seller can provide this information the better.

6. To determine if a prospect has a good shot at obtaining an SBA loan, the seller should keep in mind that most lenders are looking for applicants that: a. Have good personal credit, including no government guaranteed loans that are past due. b. Have speciﬁc background or work experience in the industry. c. Have a qualiﬁed network of professional advisors including an attorney and an accountant. d. Have the needed cash to make the down payment. Lenders can qualify “gifts” from friends or family members but the applicant must be able to document the source. e. Have the willingness to pledge personal assets. Changes in ownership are viewed as “start-ups” by the agency and most banks, so having outside income and/or outside assets that can be pledged to support the loan can help improve the buyer’s chances for approval.

Weren’t We Beautiful growing into ourselves earnest and funny we were angels of some kind, smiling visitors the light we lived in was gorgeous we looked up and into the camera the ordinary things we did with our hands or how we turned and walked or looked back we lifted the child spooned food into his mouth the camera held it, stayed it there we are in our lives as if we had all time as if we would stand in that room and wear that shirt those glasses as if that light without end would shine on us and from us.
