Michael McDonald Managing Director Brown Brothers Harriman (Poland) Sp. z.o.o. Parent Company: Brown Brothers Harriman & Co., New York Please tell us what BBH is doing in Poland? BBH’s Business Centre in Krakow is working alongside our global offices to deliver world class financial services to our client base of sophisticated asset managers and financial institutions. The Kraków office provides functions such as financial and investment services (including custody services, accounting, administration, transfer agency operations), client service, IT systems, and administration. BBH, founded in 1818, is a privately held global financial services firm. BBH employs 5,000 people in 17 offices throughout North America, Europe and Asia. Currently, the firm acts as custodian for over $3.3 trillion and as the administrator for $1.2 trillion in assets (as of June 2013). Explain why your company chose to locate in Poland, and in particular Krakow: Poland, as an EU Member State, has the ideal infrastructure to serve as a base for BBH’s international operations. We are using our office in Krakow to expand our technology, operations, and client service resources in the European time zone, and also to more closely support clients in the Middle East and Asia. Krakow provides access to welleducated, sophisticated employees with excellent foreign language skills, so it’s really a natural fit for us to locate our European Business Centre here. BBH has made a significant investment into our new business centre in Poland and the government and local authorities have been very supportive. Our decision to locate our European business centre in Krakow was based on the competitive advantage we saw in the city - not on tax or incentive programmes encouraging investment. What changes do you anticipate during the next 2-3 years? BBH is delighted with the success of our newest BBH office since our opening in early 2012 and we are excited to be moving next year to our

permanent location in Orange Office Park to support our further growth and development. Over the next 2-3 years, BBH intends to employ approximately 400-500 people in Kraków, with potential for additional growth thereafter. We are looking for personnel in the field of financial services (including, but not limited to, accounting, custody services, transfer agency services), administration (such as HR Department staff), operations (including servicing mutual funds, risk management, project management) and IT (creating software and infrastructure maintenance). Our business model has always been to focus on our clients, to excel in client service, and to help our clients grow their businesses globally, whilst growing alongside them. Being a privately-held company for almost 200 years, we tend to think in the long-term. Our plans in Poland call for a long-term commitment to our clients and employees here. Do you provide external services to unrelated companies? BBH in Poland is providing direct client services to our asset manager and financial institution client base across Europe. We will continue to service our clients from Krakow in the coming years, which was a key objective when establishing the office here. Suggestions for other firms considering setting up operations in Poland? BBH’s Krakow office is a wholly-owned subsidiary of our parent company Brown

Brothers Harriman & Co., and not a BPO or SSC arrangement. In terms of advice to firms considering setting up an office or subsidiary in Poland, we believe it’s important to fully understand the local market in order to be successful in your objectives and establish your brand appropriately. For us, with the objective of establishing a permanent subsidiary of BBH, as we prepared to establish our office in Krakow we needed to educate ourselves on the local market requirements to make sure we could successfully develop an attractive employment proposition to support those seeking longer term career development. We needed to be sure we could meet o ur objectives of employing talented individuals to help develop and support BBH as we grow in Poland. This included extensive research with local recruitment agencies, consultants and Universities, as we planned our HR infrastructure with a particular emphasis on scoping out career development and training. What are your observations about employees’ skills and capabilities – or areas of improvement? BBH now has over 300 staff in Krakow and is continuing to hire throughout 2013 across several business lines. Over the next two years we intend to employ 400500 people with opportunity to continue to grow thereafter. We have been very impressed with the quality of candidates and our employees in Krakow. They have a high level of education and linguistic skills. As the market here is still evolving, finding the right level of experience can be challenging. However, we offer full training programs to all our new employees and feel that they have exceeded our expectations in terms of their ability to learn the business quickly and provide an excellent level of service to our other offices and external clients. McDonald is an American and has worked for BBH for close to 20 years. Prior to taking on this role in Poland he was responsible for BBH office in Dublin, Ireland. He also spent several years in BBH’s Boston and New York offices as a Senior Relationship Manager, and then headed up the Global Custody and Cash Division in Boston. He says he is “enjoying the challenge of building a new BBH office in Poland from scratch, and being able to immerse myself at the same time in a new culture and exploring this beautiful country.”
