My column this month is being written immediately following a Special Meeting of the Board, which reviewed and approved a new governance structure for the Club.
Shortly after becoming President, I learned that our unique governance structure and processes were not in compliance with the Davis-Stirling Common Interest Development Act, California’s homeowner association law. Further research revealed that our homeowner entity was not properly structured and had never been registered with California’s State authorities.
To begin the process of modification, the Board appointed a Special Committee that worked with outside counsel and homeowner association experts to develop a solution to our unique issues.
The Committee presented its recommended structure and processes to the Board, which accepted the Special Committee’s recommendations in principle but delayed final approval until outside counsel had an opportunity to draft the required documents. Those were presented at the Special Meeting of the Board on June 20.
The new structure confirms the total ownership and control of the Club’s assets by the current Birnam Wood homeowners, and no rights or benefits of any Birnam member are negatively affected.
What’s new is the creation of a California not-for-profit entity with a Board of Directors comprised solely of Homeowners. This new entity, the Birnam Wood Homeowners Association, will be fully compliant with all of the Davis-Stirling requirements. The existing Delaware Corporation will continue to own and operate the Club but will no longer be required to comply with Davis-Stirling.
I am very pleased with the results that have been achieved. Special thanks, again, go to Chip Nichols, to the Members of the Special Committee, and to the Members of the Board of Directors, all of whom have spent hours pouring over the new documentation that was required by the new structure. Our plan now is to provide to all Stockholders a summary of the documents approved by the Board (and a full set for those who request them) and to arrange for briefing sessions with homeowners who may have questions about the new structure or the required documentation. After the briefing schedule is completed, a vote of Stockholders will be scheduled.

Summer has arrived! The grass is lush and green, the weather is getting warmer, and our new patio is ready for use! As I write this article in mid-June, we are finishing up the final touches on the patio tile. We plan on re-opening July 4th, however, there are a few things to note.
• The new furniture will not arrive for 3-4 months. We will be using our current patio furniture until the new furniture arrives.

• The drop-down heating is still in the permitting process and should be installed and ready for use in six months.
The patio dining area will be open with a new look and view of the golf course with our new glass viewing wall. The grill should begin demo in mid-July and finish late November. Please continue to look for daily updates and videos.
Finally, I want to thank our Assistant Superintendent, Will Soto, for doing superb work in the absence of a Superintendent. Brian O’ Laughlin, our new Director of Agronomy, has started and we look forward to seeing what he can do!
