From Her Majesty's Ambassador

A

s I write this we are just on the cusp of the intense summer heat, for the time being we are still enjoying the relative freshness of June with breezy evenings; perfect for sitting outside and even the chance of an occasional cycle ride. My friends at Bahrain Social Runners are still out running even in Ramadan, which is a level of commitment I can only envy! The Holy Month is of course a wonderful opportunity to engage informally with family and friends and I rather hoped that it would signal a quiet period, but the UK election and the ongoing difficulties here in the Gulf have kept us busy throughout. More on the former

later. On the latter, we can only hope that the situation improves quickly as a disunited Gulf is not good either for the smooth flow of business or for our security. As the mercury rises, and we feel ourselves on the final countdown to holiday time, I detect no slowing down on the business front: on the contrary, it has been a busy few months for my Department of International Trade (DIT) team, with plenty of exciting events and company activities to report and plenty more coming up as we head into summer. In March, DIT Bahrain attended the region s largest rail exhibition and conference, Middle East Rail where we facilitated a meeting between Paul Maynard MP, Parliamentary Under Secretary of State at the Department of Transport and H.E Eng Marian Jumaan, Undersecretary for Land Transport and Post at the

Bahrain Ministry of Transportation and Telecommunications. The purpose of the meeting was to discuss expanding collaboration in the field of transport infrastructure and to convey HMG s commitment in supporting Bahrain s economic diversification efforts, specifically in building a sustainable transportation network. We are hopeful that there will be a strong presence from British companies and their partners in the new rail & road causeway project between Bahrain and Saudi Arabia. Indeed, many British companies attended the June market consultation event held by the Ministry of Transportation to promote international interest in this new project. We know that the Ministry of Transportation intend to use the Public Private Partnership (PPP) model to fund this project, and I like to think the UK s expertise in this field certainly gives British companies a head start.


PPP is an important and useful alternative funding model that the UK has pioneered, and is very willing to share both its successes and the lessons they have learnt. PPPs have played a vital role in delivering major infrastructure programmes in the UK across a wide variety of sector including energy, transportation and utilities. Following the first ever UK-GCC Public Private Partnership Conference which took place on 19th April 2017 at Lancaster House in London, DIT Bahrain successfully organised a two-day follow-up seminar on Public-Private Partnerships and national infrastructure planning. It was delivered by the UK s Infrastructure and Projects Authority (IPA), the UK Government s centre of expertise for infrastructure and major PPP projects. The IPA is in charge of 700+ UK national infrastructure projects which are currently ongoing, but it also has a remit to share its expertise in this field with interested Governments and planning authorties around the globe. The event was exclusively for government officials and attracted over 50 senior representatives from various Bahraini ministries and authorities, including several Ministers. The seminar covered wide ranges of topics including institutional and regulatory issues concerning PPPs, engaging with the private sector in PPP projects, how to structure a contract, ways on ensuring efficient procurement and contact management along with some sector specific case studies. Our hope is that this knowledge building and sharing will help pave the way for greater use of innovative financing models in Bahrain, which offers the prospect not only for the rapid roll out of key infrastructure projects but also of major opportunities for British companies. Watch this space... Speaking of financing; in May we received a return visit from Mr Vomic Nur Shah, Regional Head for Business Development in the Middle East for UK Export Finance. For those who were not able to hear Vomic s presentation to a packed BBBF monthly lunch, UKEF is the UK s export credit agency with a mission to ensure that no viable UK export falls for lack of finance or

insurance, while operating at no net cost to the taxpayer. It supports long term economic growth and competitiveness by complementing the private market with insurance for exporters, loan guarantees to banks, and support for and provision of loans to overseas buyers of UK goods and services. Vomic had a series of high level meetings with government ministries and companies. We want to make sure that as many companies as possible know how to access this finance. The terms are very favourable: with a minimum UK content requirement of just 20% and some of the most competitive terms amongst the OECD ECAs, UKEF provides flexibile financing to GCC and Bahraini sponsors with respect to project procurement decisions. It is not just for large companies either, over 75% of UKEF transactions are with SME s. For further information please contact my DIT team in Bahrain (Christian.syme@fco.gov.uk). Moving on to education, UKBahraini collaboration goes from strength to strength. Universities UK International (UUKi) led a delegation of seven prominent UK higher education institutions and the UK s Quality Assurance Agency to Bahrain in March. International Partnership officials from the universities met the Higher Education Council, the Bahrain Economic Development Board, Bahrain Polytechnic, the University of Bahrain, representatives from the private sector and stakeholders in upcoming higher education projects. The delegation included Manchester Metropolitan University, Queen Mary University London, City University London, Leeds Beckett University, St. George s University, University of Greenwich, and Middlesex University. I was delighted to attend the launch of two major higher education partnerships the establishment of the Applied Science University s Engineering College in collaboration with London South Bank University due to open in September, and two Cardiff Metropolitan University programmes in business that will be delivered in Bahrain through the ASU, also starting in September. And I predict with confidence that in future

editions I shall be able to announce further exciting and significant British entrants to the Bahraini higher education sector. Furthermore, it is not just about teaching: in April we celebrated the signing of three major joint research initiatives in the field of Energy, Water and Food Security. Three UK universities Oxford, Aston, and Loughborough, will commence the joint projects with the University of Bahrain in what are becoming increasingly important areas of research for the Gulf and Bahrain. As I write the outcome of the UK general election is known but the process of forming the new Government is still ongoing. What is clear is that the Prime Minister has reappointed her most senior Ministers, including Dr Liam Fox as International Trade Secretary and Boris Johnson as Foreign Secretary. They and their teams will continue to prepare the way for Britain s new global role outside the EU after the Brexit negotiations have concluded. I am sure you will share my enthusiasm for the prospects for developing the UK s already deep and successful trade and investment relationship with the countries of the Gulf as that happens. I think that s enough for now although I m glad to say we have a promising pipeline of good news stories for later in the year.... So allow me to finish by wishing you a blessed Ramadan and, if you are travelling over the summer, happy holidays and we will look forward to seeing you in September.

SIG - Update The Young Professionals event at the Bahrain Bourse was invigorating for the BBBF, with a terrific attendance. A unique venue that provided the perfect back drop to hear directly from the Minister of Industry and Commerce, HE Zayed Al Zayani about developments for young people entering the market and where he also gave his valuable time to answer their questions directly. The Bourse arranged to display the BBBF logos on the outside electronic displays of the BFH as well. Pretty good publicity and our thanks go to them.

would like to begin by thanking you for your support at the recent AGM and will do my best to serve the members well, on the BBBF committee.

I very much look forward to working with the existing SIG Heads to grow and develop their profile, to establish the new SIG s and to support the team taking over our Legal SIG. I d like to thank Newton Legal for agreeing to steer this group going forward and Norton Rose for their time and positive contributions over the last two years. With your input, we will review the direction of each of the SIG s and make this mechanism of the forum, effectively encourage the maximum business growth between our two countries and claim a greater share of the available opportunities that exist. Since the last magazine, there have been a number of notable SIG events, really well done to all and I would encourage you to attend more of these. The level of interaction and dialogue is terrific and many members remark that going to an event that is not necessarily directed at their industry is refreshing and inspirational.

Please do look at your organisations and encourage participation in this SIG especially, so we can protect our future membership and do more with a truly representative group. The Hospitality, Leisure and Tourism SIG will now be launching after the summer and the team has great ideas for how this will contribute to the group. Our ICT group plan on some exciting community outreach around responsible use of online and social media and Banking & Finance are keen to secure additional volunteers representing these sectors. So, amongst all the bizarre events in the world and tougher economic times for the GCC, let s just remember; there is always business being transacted but we have to be smarter and more focused in securing it and that s why your BBBF as a well established and respected conduit, can support you and your organisation in your objectives. The recent WannaCry ransomware outbreak crippled systems ranging from health care to transportation. It was one of the biggest cyberattacks that we have ever seen impacting over 150 countries and infecting more than 250,000 machines. The outbreak highlighted how ill prepared most organisations are. Most organisations were using outdated and unsupported versions of operating systems and had to update their systems urgently to avoid being infected by the ransomware. Also the sophisticated level of the latest cyberattacks make it essential that your IT defence mechanisms, e.g., firewalls are up to date and effective. The ICT SIG will be organising a number of events after the summer break to create awareness on the cyber security threats.

Georgina Munnik Joint SIG Chair Following on from a very successful first event held at the Capital Club in March, which officially launched the Women in Business SIG, the joint Chairs of the group have been compiling a calendar of engaging events for the remainder of the year. The inaugural event, which coincided with International Women s Day 2017, was attended by over 60 members and their guests. The next event will take place in July. During the first meeting, the SIG sought feedback from members on the direction of the group, the events members would like to see, and what they would find most beneficial in our meetings. Feedback on the creation of the SIG and the first event were overwhelmingly positive, with members identifying the most value in information and knowledge sharing, and networking through the events.

BBBF Oil, Gas and Energy SIG hosts meeting at Capital Club The BBBF SIG for Oil, Gas and Energy sector professionals hosted a meeting at the Capital Club recently The event, sponsored by OAK Utility Solutions and Development (OAK), featured a leading industry expert Mr Michael Martella, the Managing Director of Anergy Ltd and a Member of the Science Advisory Board at TEKCAPITAL, as the keynote speaker. The presentation was facilitated by Mr Simon Bromyard of OAK, Head of BBBF s Oil, Gas and Energy SIG. In his address Mr Martella discussed how traditional sources of energy, such as fossil fuels and nuclear power, operate on the basis of large scale power plants with large distribution networks across wide areas. He explained that current trends indicate a change towards a model of distributed power, resulting in a more cost effective energy mix based on renewable energy sources. The distributed power model, involves the supply of Megawatt scale power plants within close proximity to where the power is consumed and the feedstock is generated, thereby also reducing transportation and transmission losses. Mr Martella commented: Such beneficial change presents an excellent opportunity for the GCC to recycle various streams of waste which are typically landfilled. Through the

use of high temperature Pyrolysis technology, we are able to produce clean energy which is more cost effective via an environmentally friendly process. SIG - Banking & Finance GCC gears up for Value Added Tax (VAT) in 2018 The economies of the Gulf Corporation Council (GCC) countries are highly dependent on the energy sector, around - of their GDP. The decline in oil prices from 2014 peaks 40% has led to sharp falls in government revenues, fiscal buffers and current accounts for oil producers. The GCC needs to introduce broad-based taxation to compensate for the loss of oil revenue, to diversify revenue and ensure fiscal sustainability over the medium and long-term. Hence, came their decision to impose a 5% Value Added Tax (VAT) in an effort to elevate the robustness of government income. It is expected that the tax will be applied in January 2018, or mid of 2018 at the latest. However, it may not be surprising if all the GCC countries decide to start from 1 January 2018 itself, as this may reduce many administrative and technical complications especially if the authorities are planning to consider GCC region as a VAT Zone similar to Europe. GCC Unified Agreement for VAT The GCC member states have recently agreed and signed Framework agreement that will provide the basis for the introduction of a uniform VAT system. The Unified Agreement for VAT ( UA VAT ) is a major step towards implementation in the GCC. The UAVAT sets out a broad framework for the tax, it is expected that detailed insight can be provided by mid or last quarter of 2017 when GCC member states will be releasing their local VAT laws, administrative requirements and guidelines. It s a structure that provides for a consistent and coordinated approach across the region, which is designed to reduce the risk of VAT creating any distortion of competition between member states and allows member states a measure of flexibility in the way the tax is applied. The standard rate of tax will be 5% on the supply of goods and services. Businesses with annual revenue of over US$100,000 (BD37.5K) will be required to register for VAT purposes. Whereas 50 % of annual revenue threshold will have the option to register for VAT. What should business be doing? The introduction of VAT and its implementation within your business could have a wide-ranging effect. VAT is not simply a tax issue - it is a business issue. The challenge is to identify and address all business issues before the VAT implemented and minimize to the extent possible, any disruption to your business. Immediate action points - 7 commandments The suggested actions that the business owners and key management personnel can consider immediately (without waiting for any further announcements from authorities) include the following: ü

Review all legal agreements relating to supplies of goods and services to ensure that they are updated to include an excluding VAT clause to minimize the vendor interpretation of VAT inclusive and negative impact on cash flows.

Consider how your business is going to cope with the IT issues which are critical to your core processes including handling receipt of VAT invoices, credit notes, etc.

ü

If your customers are consumers, identify suitable Point Of Sale (POS) software that will be able to accurately calculate VAT on sales, etc.

ü

Depending on the size of your business, consider the necessity to send certain key staff on an external VAT training course or to invite an expert to conduct an in house VAT training session that suits your business model.

Appoint a VAT champion in your organisation as the primary person to ensure that your business is VAT Proofed and that there are no unpleasant surprises at a later stage.

Conclusion Though the VAT mechanism is not likely to have many surprises compared to the other VAT zones, the GCC Countries will review its VAT systems as the time progresses with practices from across the globe so as to have a more robust and efficient model.

VAT is likely to have implications across the whole business, with considerations for the finance department, IT, HR, sales and marketing and legal. A phased approach is required to deal with the potential issues, starting with an initial impact assessment to establish the key VAT touch points for the business. After the initial stage it will be possible to build a plan for implementing the changes that will be required, including the essential changes to IT system and accounting processes. There is a limited time span left for the businesses to get ready. The devil is in the detail and there are many finer points which will be clarified upon introduction of the laws by GCC countries.

The History of VAT The system of Value Added Taxes or VAT was introduced for the first time in the market by Maurice Lauré, the modern French economist who was the joint director of the French tax authority and the director general of the department of import. He was the first person to introduce VAT with effect from 10th of April 1954 in the cases of large businesses, and which has extended over time to all

business sectors. In France, VAT has become one of the most important sources of state finance and it is accounting for almost 45% of state revenues. In Britain it’s about 32%. Like all the other direct taxes in the market, VAT is quite different. It is an indirect tax because it is collected from someone other than the individual who actually bears the cost of the tax. i.e. the seller rather than the consumer.

SIG - Organisational Effectiveness

The SIG Organisational Effectiveness group has recently been exploring and focusing on higher performing organisations and lean-management. A series of events for September onwards is being planned. The SIG is also scheduling further speed business networking evenings which have proved so popular over the last year. Effective lean-managed enterprises possess a systematic, disciplined approach and exhibit time well-spent on planning phases throughout the organisation; from development of strategy and vision through to individual objective-setting for tactical and immediate future-activity. Establishing goals and objectives is vital in order to create a platform for a higher performing organisation. These must be established first as they give guidance for strategic choices and tactical activity and lead to developing transformational process goals, guiding individuals to achieve a higher performing organisation.

There should be six goals for every transformation process: lower costs where possible without damaging operations; higher quality (fit for purpose) without over-spending; greater speed without damaging quality and ensuring getting it right

In a world of tough competition, buyers of our services and products differentiate among competitors along these six goals of a transformation process. The first three of these goals are easily agreed to and understood. All things being equal, achieving a lower cost of production, a higher level of system output quality, or a faster order response time each affords a competitive advantage. The fourth goal of improved employee safety, development, and morale represent vital obligations for owners, C-suite, the board, leaders and management to provide safe, healthy and happy working environments for all employees. No argument from most that the key asset of any enterprise is its employees; effective lean leaders should invest in this asset. Less well understood is the fifth goal of flexibility. Flexibility refers to the quick adaptation to changing customer and market requirements; an agile approach. Flexibility and agility have different dimensions, including volume, product, and process. Volume flexibility is the ability to operate profitably at varying output levels.

The sixth goal is sustainability, addressing how processes and operations can last longer and have less negative impact on ecological systems given a long-term focus on adding value through sustainable purpose and vision. It is the conservation of resources, natural or otherwise, through sustainable activities and processes across a value system. Sustainability has economic, social, and ecological

components. It is an emerging frontier of lean and extends lean principles externally across a value chain and we are beginning to see signs of such approaches in Bahrain. Although each of these objectives should be pursued, they are not necessarily equally important at all times. The planned meetings for the SIG will be a platform for exploring, discussing and learning from each other on how to embrace higher performing organisation and lean management over the next year; watch this space! The Organisation Effectiveness SIG hosted the Middle East Editorial Director of MEED, Richard Thompson, for a business lunch at the end of March. Richard delivered a comprehensive business briefing in relation to the Bahrain market. His briefing included an overview for business generally through 2017. Key features included Bahrain s role in the wider GCC market as a business pioneer and its lasting achievements. Audience discussions focused on the difficulties experienced in Bahrain through 2016 against the backdrop of GCC growth generally which hit a 7

Key Man Insurance and Succession Planning Time and again we have witnessed the tragic consequences business owners face when running a company without the right protection in place from severe financial repercussions to bankruptcy and business closure. In the Gulf where family owned companies and Small and Medium Enterprises (SMEs) account for a substantial portion of businesses in the region, and make a significant contribution to the economy, such planning and protection is crucial. In Bahrain alone, SMEs make up nearly 90% of all firms operating in Bahrain when branches of foreign companies are included, or around 97% of local businesses. According to the MoIC, SMEs account for almost 30% of the country s Gross Domestic Product and provide jobs for 73% of private sector employees. Yet despite the clear need for business owners to adopt a robust and solid succession plan that could potentially save the company from a devastating financial blow, little awareness, coupled with the transient nature of many businesses, is leaving many companies in Bahrain unprotected. A recent survey by Nexus Group found that over 90% of Bahrain based SMEs lack a solid succession or contingency plan. This can lead to a number of issues ranging from family related complications and partnership issues to the inability to provide employees with salaries and the prevention of business continuation and expansion. The survey showed that most business owners, and even CEOs of large organisations, tend to place signifi cant emphasis on growth and expansion, while failing to recognise the major impact Greek of losing key personnel in the business.

And although it certainly is important for SMEs to grow, the lack of a comprehensive succession plan can lead to the deterioration of businesses and the personal relationships of those involved. Drawing up a succession plan and

reviewing it periodically will not only safeguard the business and its employees, but also protect the wellbeing of family members and dependents of business owners. Questions that may arise during the planning process include who will adopt the role of the affected individual, what role other family members will play, how the assets of the business will be allocated, what expansion routes to take, and an alternative solution should a family member decide against an assigned role. If a business owner does not have a succession plan what will often happen is that the business will suddenly fall into the hands of an investor or relative who does not necessarily have the skillset or a genuine interest in running the company. This is where tailored corporate owned policies, such as key man, partnership insurance or share protection can make a difference. Such policies protect the interests of a business by providing an organisation with the financial compensation it requires to continue operating should an unfortunate event happen, such as death or permanent disability of a key person. In this case, a key man insurance or partnership insurance policy can protect the company profits by compensating the business should it lose income and revenue caused by that person s absence. It can cover the costs resulting from loss of revenue, loss of intellectual capital, downtime and the training and recruitment fees associated with replacing that person. While there is no hard and fast formula for calculating how much a key person is worth, insurance companies will typically look at a number of factors, including shareholder agreements, company valuations, contributions to revenue, value of intellectual capital, and costs of replacement. A well designed succession plan enables business owners to achieve their personal and business goals, ensures survival and growth of the business and maximises company value in both good times and bad.

The oil price has been relatively stable in this period and the industry is forecasting possible modest gains towards the latter part of the year. Government spending remains under a tight reign, however again there are positive signs with no more major projects cancelled and current projects gaining pace. On the employment front some of the major players have continued with redundancy programmes for expatriate staff. Conversely some employers are still

Road traffic injuries are a global public health and development problem. They kill over 1.25 million people per year, injure another 20-50 million and cost between 1% and 5% of total GDP. Low and middle income countries (LMICs) bear 91% of those costs. AXA Insurance, the Global Road Safety Partnership (GRSP) and the United Nations Environment Programme Finance Initiative s Principles for Sustainable Insurance (UNEP FI PSI) have joined forces to publish a report on how insurers may further impact road safety. The report showcases a strong business case for insurers to contribute to a reduction in the incidence of road crashes by reducing risks on the road, particularly given that they actually have many levers for action at their disposal to encourage safer driving.

So what role for insurers? The insurance industry has a key role to play to impact road safety and contribute to the global target set by the United Nations within the Sustainable Development Goals (SDGs) to halve by 2020 the number of global deaths and injuries from road crashes. Covering almost 1 billion vehicles globally, with US$ 626 billion premiums in 2016, Motor Insurance is a major business for insurers. It accounts for 12.8% of the total insurance premiums. The motor vehicle insurance value chain highlights how the insurance industry can respond to road risks, by embedding road safety incentives in their business model, in order to provide benefits to their customers and the wider community:

Road Safety today Road traffic crashes are one of the leading causes of death globally 1.25 million people are estimated to be killed on the roads each year, representing more than 3,400 deaths per day equivalent to more than 141 deaths per hour while another 30 to 50 million people are injured every year. Road crashes are responsible for more deaths than malaria, suicides and homicides and are the only non-disease-related cause among the ten leading causes of death ranked by the World Health Organization (WHO). Road crash deaths are estimated to rise to 1.9 million by 2020 due to increased motorization across the world, especially in low and middle income countries (LMICs), which are highly likely to experience the greatest increases in future fatality rates. Today, 91% of the world s collisions happen in LMICs, showing significant gaps of impact between high income countries vs. LMICs. Road collisions have a total global cost of US$ 518 billion, which corresponds to 1 to 3% of the countries GDP. Costs can rise up to 5% in LMICs and even to 8 to 10% in some cases such as South-Africa and Uganda where road crashes are a crucial challenge. While road traffic crashes are far too numerous and cause dramatic losses for society, it is important to mention that they are not inevitable because the vast majority is preventable if subject toby targeted McLaren 720S Velocity MSOactions. 26 Forum

The British Language Centre delivers high quality English Language courses to students aged 5 and above. The British Language Centre (BLC) has a wide range of extracurricular activities for students. Having access to English is vital for young Bahrainis and part of the BLC s aim is to connect the material, which students learn into a more tangible form outside of the classroom.

Most importantly, the play allowed students to grow in confidence using English which was ultimately watched by their family members. The BLC has arranged numerous cultural-immersion trips for student to visit the UK. In the near future, however, the Centre would like to expand its social calendar for all age groups and develop further relations with the local community with the inclusion of parental involvement.

In March 2017, as part of the Spring of Culture, a group children saw the performance of The Gingerbread Man that was Not only did the performance engage students in the English language, it also provided additional responsibilities for older students who volunteered to be leaders during the event. InterContinental Regency Bahrain hosted the FIFA Congress 2017 InterContinental Regency Bahrain proudly hosted the prestigious FIFA CONCACAF Congress 2017 in May this year. Over BD3000 raised at Jaafar Abdali Challenge Trophy Members and staff of the Royal Golf Club competed in a new golf tournament this week which raised over BD 3,000 for the family of recently deceased staff member Jaafar Abdali. Jaafar, a valued member of the Club s Golf Operations team, died suddenly while playing in a football match in his home village of Eker on 7th April. He was just 32 years of age and leaves behind a wife and two young children. Wikipedia recently published a list of websites that intentionally publish hoaxes and disinformation in order to mislead and often profit from readers gullibility While most fake news sites are portrayed to be spinoffs of other news sites, some of these websites are examples of website spoofing, structured to make visitors believe they are visiting trusted sources like ABC News or MSNBC. The New York Times pointed out that within a strict definition, “fake news” on the Internet referred to a fictitious article which was fabricated with the deliberate motivation to defraud readers, generally with the goal of profiting through clickbait 1 . A website called Brookings.edu is currently (Jne 2017) running a story about President Trump’s recent visit to Saudi Arabia claiming that the Trump administrations announcement of $110 million arms deal is another example of ‘Fake News’ (see page 24) The website says there is only a bunch of letters of interest which began during the Obama administration. and No ‘contracts’ really exist to have justified making the announcement.
