Designs There is often a lack of awareness or knowledge about design law and how designs can be protected within the UK. Since virtually any new design can benefit from the protection offered by the law (either at UK or European level as discussed below), design rights can provide an effective, affordable and swift means of protecting a business’ intellectual investment.

There are two types of design right – unregistered and registered. Both are available as a UK specific right (which covers only the UK); or as a European right which encompasses the whole of the EU. The registered Community design (RCD) is a blanket registration which covers all 28 countries in the EU, and is a particularly popular means of obtaining design protection. Around 80,000 RCDs are registered every year. What can be protected? Under European law, the definition of what can be protected as a design (whether registered or unregistered) is fairly wide, and covers the “appearance of the whole or part of a product”. For example, this would cover the lines, contours, colours or shape of a product or its surface decoration. Designs must be new and possess individual character (broadly speaking, they must produce a different overall impression on an informed user from existing designs). The UK unregistered design right is slightly different, and covers any “aspect of the shape or configuration of the whole or part” of a product (importantly, 2D designs and surface decoration are not covered here). There are certain exceptions to what can be protected under design law, largely relating to aspects of designs that are dictated by technical function or parts that are intended to form part of an integral whole that has a uniform appearance. A design law specialist can advise you further in this respect. Unregistered design right A new design should be entitled to automatic (free!) protection via an unregistered design right without the owner needing to take any action. The EU unregistered design right exists for a maximum of 3 years; the UK unregistered design right will last up to a maximum of 15 years (depending on whether articles have been made to the design and made available for sale or hire). Whilst no formal registration process is required, it is still recommended that designers record the design process (such as signed/dated design documents) and the date of first marketing of articles made to the design. Such information will be needed if the owner wishes to pursue an infringement action based on an unregistered design, in order to demonstrate ownership, and the date from which the right subsists. Registered design right Designs can also be officially registered in the same way as trade marks (for brands) and patents (for inventions). This provides a stronger level of protection and allows a design owner to formally identify and define their design rights on an official register. An advantage of obtaining a registration for a newly created design is that it becomes a potentially very valuable asset. When companies are bought and sold, very often the first question interested www.acquisition-intl.com

parties ask is what IP (intellectual property) rights are there? This can include rights such as registered patents, trade marks and designs. For some businesses, IP rights make up the vast majority of their value. Both UK registered designs and RCDs initially last for 5 years, but can be renewed every 5 years up to a maximum of a 25 year term. In comparison to other IP rights, registered designs are available at relatively low price. For example, an RCD could cost less than £1,000 for 5 years protection. That equates to a little over £7 per country per year. For any company with designs doing business in Europe, RCDs are excellent value for money. The registration process itself is very quick, and there is no lengthy review process by the registry that processes design applications, before protection is granted (although this can mean that the validity of some designs is more likely to be challenged at a later date). In relation to UK registered designs, following the recent Intellectual Property Act 2014, copying a registered design right in certain circumstances may constitute a criminal offence, which will provide an extra deterrent to potential infringers. Additionally, there is a new voluntary non-binding Design Opinions Service which aims to give design owners an indication of the strength of their case before commencing potentially costly and time-consuming litigation. Basis of infringement Unregistered design rights grant the right to prevent commercial use of a design only if that design has been copied from the protected one. In order to make a successful claim of infringement of a registered design right, there is no need to prove copying. The design right owner needs to show that the allegedly infringing design does not produce a different overall impression on the informed user (an invented figure that exists within design law who is not necessarily a designs expert, but who pays more attention than the average consumer who may not pay focus on aspects of a design in any detail). Conclusion A design portfolio can add significant value to a business, and may also provide an additional stream of income – for example via licencing and selling the design rights. In particular, businesses that operate in fast-moving industries or that have wide, evolving product ranges, can take advantage of the easy protection provided by design rights (particularly unregistered rights which arise automatically) and so can take action against potential infringers more quickly and effectively. Design can play a significant role in the reputation of a company and its products, and is often attributed to why a relatively simple

product becomes a worldwide phenomenon. Clearly, it is important to protect this facet of a company as robustly as possible. For new designs, in addition to automatic unregistered rights that can arise, the registered design process should be considered as a simple, fast and relatively low cost means of obtaining legal protection which can add significant value to a business. It is important to discuss design protection with a legal expert as early as possible in the design process to ensure that the most appropriate protection is in place from the outset.

IP Due Diligence – Tick the Box or go out of the Box? The deal looks good, the product development timeline looks achievable. One box remains to be ticked – IP due diligence. The due diligence process is essential for investors when considering acquiring any target company.

Why is this necessary? What does it mean? What needs to be done? How much does it matter? Who do we ask to do it? How much will it cost? The summary below will attempt to address these questions. The Why A well conducted IP due diligence has the potential to influence the decision making process as to the true value of an investment and whether that investment is being directed at the correct source. Does the target company have the rights to develop their product without anyone else copying them? This single question encapsulates the two mains aspects of an IP due diligence exercise. Firstly, does IP protection exist to prevent competitors copying or imitating the technology? Secondly, even if such IP exists, does the company own all the necessary rights to bring the product to market? The answers to these investigations will determine whether the money being invested is being directed at the correct company. IP due diligence will not provide the “make or break” decision but will provide clear guidance as to whether the investment is being directed to the correct source. The How The nature of IP due diligence depends on the nature of the investment. Most companies will have trademarks, copyright materials and know how. Technology companies will inevitably own patent rights. The project can cost as much as the investor company is willing to throw at it or their advisors are allowed to dictate as being required. There is usually also a time pressure. So, it is essential to have a plan in place. Create the focus Technology-based companies, whether start-ups to established companies, may have patent and trademark portfolios based on volume i.e. the the more patent filings the better irrespective of merit. Without focus from the principal investor, a due diligence team may just simply investigate the whole portfolio. The process must be focussed on the product(s) likely to drive revenue. Often, this one product will be the drive of the whole deal so why spend time and money on non-critical IP? Who to engage? It sounds logical, but not every investor will engage the type of attorney with the relevant specialist knowledge – a patent attorney, a trademark attorney or an IP lawyer with specialist knowledge of copyright etc. There is a temptation to use advisors who advertise patent services. However, it would be foolish not to engage an attorney with day-to-day experience of acting before the relevant right-granting authority e.g. the European Patent Office, OHIM etc. www.acquisition-intl.com

Starting with patent rights, a diligent attorney should first identify which patent families are actually relevant to the principle investment. Case Study 1 Investor X has decided to commission an IP due diligence review of the target company. The Report is prepared highlighting deficiencies in the company patent portfolio and playing down the chances of product protection being obtained for a potential new pharmaceutical. The investor’s report shook up the target company board creating doubt as to the true value of the product. Reassurance had to be obtained from the company’s patent attorney that with a full and complete reading and understanding of the patent application, a more accurate and reassuring conclusion would have been reached. Having identified the relevant patent families from within a portfolio, the next set of decisions relate to degree of scrutiny the patent will be put to. If a patent has not yet been granted, the assessment will include the likelihood of a relevant patent being granted. There is no limit to the amount of searching and digging for prior art that can be done. A staged, structured approach can be developed to ensure valuable time and money are not wasted. This exercise can be repeated for each patent family considered to be of relevance to the product of interest. The extent of validity analysis can then be estimated and an agreed strategy with milestone costings agreed with the investor company. The identification of the relevant patent rights has different implications in different industries. For example, in the pharmaceutical industry, the most relevant patent (usually that providing product protection) can be made the subject of a patent term extension when a product is subject of a marketing approval. In the electronics or telecom industries, where international standards may be important, relevant patents may be those that enter an industry standard patent pool. For the UK at least, identification of a relevant patent takes on an important financial relevance in view of the government “patent box” programme. For any patented product sold in the UK, the patent owner can claim a 10% reduction in corporation tax based on a proportion of profits arising from the patented product (through sales or license income). The second crucial phase of the patent attorney’s job is to conduct a freedom to operate search and analysis. The purpose of this exercise is to ascertain whether the target company actually own all the patent rights required to bring the product to market. It is a frequent misunderstanding that having a patent gives a company the right to market the product. It doesn’t as (a) there may be third party patent of broader scope that encompasses the proposed product and (b), the target company patent may protect the critical part of the proposed product but in order to create the final product, other patent rights are required.

Case Study 2 A Biotech company wishes to purchase start-up Y which has developed a humanised antibody fragment. Y has a patent on the fragment. Freedom to operate searching identifies third party patent relevant to the method of humanisation, the expression vectors system used of manufacture and the formulation intended for administration. Having determined which third patents would be relevant at the intended date of product launch, a position was taken as to whether to take licences or formulate validity positions. The reassignment of income to various royalties could have a significant effect on the profit to be made, amount due to the start-up company and even result in termination of the deal. Trademarks A similar approach can be taken with trademarks. A target company may have marks on its own name and even have registered marks for a proposed product. The validity of these marks and the freedom to use them must be investigated. Copyright/Know How It is of course entirely possible that no patent rights are involved. Many start-ups may be completely virtual and their technology (e.g. apps) based on copyright. Ownership There is a tendency for due diligence exercises to include a detailed analysis as to the ownership of each and every patent. Like the substantive patent issues, a decision can be taken to focus on the most relevant rights. The incorrect ownership of a relevant IP right is rarely fatal to the right itself. Possibly the most serious effect the incorrect ownership could have lies in the possible loss of a priority claim. It may have a financial implication as the involvement of investors may increase the cost of any licence or assignment. The ownership trail is especially important for technology that has its origins in academia. Terms of employment and research contracts will have to be untangled to ensure the target company does indeed own the rights they purport to own. Conclusions IP due diligence is a valuable exercise to be conducted in a focussed and directed manner. Failure to do so can result in unnecessary expense providing inaccurate conclusions. Ultimately, if there is a good understanding of the potential value of the exercise and the information it can yield, there will be stronger motivation to construct the most appropriate team to manage and coordinate the due diligence in a timely and cost-effective manner. The final result is for the investor to make – tick the box or exercise some thought and strategy outside the box. The conclusion could be invaluable.

Blurred Lines As the consumerisation of IT grows, Bring Your Own Device (BYOD) is a term that will only become more and more common, referring to employees who utilise their own technology devices on workplace systems. Consumers are hardly ever more than a metre away from their smartphones and want to be connected 24/7. Companies have even spotted spikes in work activity during Christmas, Easter and other public holidays, showing that employees are taking the opportunity to look at work emails, even when they are away from the office or on leave.

Be it on an iPhone, BlackBerry, tablet, laptop, PC or smartphone, workers can connect themselves to a secure corporate network and use their own device at work, at home, or anywhere where they have a data connection. IT research firm, Gartner, predicts that by 2017, 38 per cent of companies will stop providing devices to workers, arguing that BYOD provides huge benefits, such as creating new mobile workforce opportunities, increasing employee satisfaction and reducing or avoiding costs. BYOD therefore cannot be labelled as a passing trend and it is, without a doubt, here to stay. The concept of BYOD was brought into sharp focus recently when Google Inc reported that it has acquired Divide, the New York based technology start-up that lets users separate their work and personal data on smartphones and tablets. Google Inc is not the only one going down this route as Apple is said to be working on a split-screen function for its next cohort of iOS, which currently only allows one application to be displayed on the screen at a time. As the line between business and personal becomes blurrier and more companies deploy BYOD, how can businesses protect themselves against loss of intellectual property, deliberate or otherwise? DIVVY UP Divide’s software allows firms to manage the personal smartphones of their employees, securely creating an area on a phone to sync and store data for the workplace. It is a mobile app that is said to securely separate a consumer’s personal data and the corporate data contained on a phone or tablet, making it easier for businesses to manage disparate personal devices. Yes, the Divide app does seem like a step in the right direction for sharpening the blurred lines of BYOD, but this self-service approach does create a problem for companies that cannot uphold upmost security on those devices. Divide allows its users to switch easily between personal and secured work applications and also lets employers wipe data remotely in the event that a device is lost. Despite this, corporations still risk losing their company-sensitive data and intellectual property in the event of an employee mislaying their personal phone. IP SECURITY IMPLICATIONS BYOD could potentially lead to loss of control, impact network availability, and cause data loss, if companies do not manage it properly. If abused, it can also cause employees to violate regulations, rules, employer-employee trust, intellectual property rights and other critical business obligations. Companies should therefore implement appropriate network access strategies and security policies in order to secure themselves so that the worst does not happen. In regulated industries, such as banking and financial services, where data breaches can attract large fines, managing security on employee devices is of particular importance. One of the most memorable fines was in 2009 when HSBC was fined over £3million

by the Financial Services Authority (FSA), the Financial Conduct Authority’s (FCA) predecessor, when customer data was lost in the post. At the time of the investigation, the FSA said it discovered that large bulks of unencrypted or otherwise unprotected customer data were sent via post or courier to third parties. Internal members of staff were also found to be insufficiently briefed on the resultant risks of identity theft. There was also other data that were left exposed to loss or theft on open shelves or in unlocked filing cabinets. A BYOD simply expands the range of devices that could hold sensitive data, either intentionally or otherwise. It could therefore be the source of a data breach. THE CHALLENGES OF SOCIAL MEDIA Social communication has become a part of the fabric of our everyday lives and as a result, has become a big challenge for companies, as the environment is increasingly dynamic and any number of connections can be navigated. Communication applications used on personal and company devices, for example Facebook and WhatsApp, are extremely difficult to monitor as they are operated on smartphones as opposed to PCs. BYOD brings workers’ use of social media and other forms of personal communication closer to the business epicentre, therefore risking unintended or malicious infection between the two. Firms must therefore act fast and ask themselves if they wish to allow these applications to be used on company devices at all. The increasing use of social media in the workplace can have serious security implications for companies, which is why more and more organisations are choosing to block social networking sites. More and more tools are being brought onto the market to facilitate access blocking and network traffic monitoring. However, for every preventive measure applied, there will always be a way around it, especially if BYOD policies are employed, as these applications will be virtually impossible to control. Companies must therefore instil regular training processes to ensure best practice and raise awareness of the issues. AN INVESTIGATION If a breach of intellectual property is encountered and it reaches the stage of investigation, an experienced investigator will be looking to determine patterns in an individual’s behaviour. They will not only focus on trying to find the ‘smoking gun’, but also on detecting supportive intelligence that helps bring the overall picture into sight. This can include finding out which employee is connected to whom, recent movements that relate to other sources of evidence, and so on. Investigations of all available social sources can help build a picture around the scene of the crime. Firstly, the investigator needs to understand where any relevant data is, and then how to capture it in a forensically sound manner. This is harder than it sounds, especially given the vast quantity of mobile devices, cloud computing platforms, social media accounts etc. This can make it legally confusing, especially when considering

personal devices used under BYOD policies. The company must then ask itself if it is company allowed to investigate these without consent, for example. Evidence will come from a variety of sources. For instance, these could be corporate network log files to identify the use of web-based email, as well as other outbound activity, such as uploads to Google Drive and Drop Box. Internet history databases and cached pages of internet sites retained on a work computer can also be investigated alongside deleted data and backups of personal devices on corporate machines. In addition, the investigators at hand should also seek to look at public social media profiles, such as LinkedIn and Facebook, as many profiles tend to be open for all to see. Traces of artefacts left behind on a computer system by certain applications, such as Skype, can provide indications of malpractice. Mobile devices can often contain more relevant evidence than computers.

BACK TO THE FUTURE Today we have the ability to create, disseminate and store information on an immeasurable scale. We can do this with ease and as mobile telephony technologies continue to advance at light speed, we are entering a world where any data can be accessed from anywhere, at any time, using any type of device. It cannot be ignored: BYOD is on the rise. The best defence possible for companies is if they are able to avoid BYOD altogether. This is not always possible with the younger workforce of today, which has been brought up on smartphones, social media and so forth. Employees will continue to want to access both personal and work content on their business devices. Companies should therefore consider the importance of being able to attract and retain a younger workforce by installing systems to cater for its needs. Ultimately, firms must get the right systems in place and take a fully preventative approach in their BYOD strategies. This must become to be a key priority so that any problems can be snuffed before they come to light.

A PREVENTATIVE APPROACH The success of any investigation will depend on an investigator’s legitimate ability to access a personal device of the individual in question, and indeed their social media profile. During an investigation, firms can therefore benefit by looking at all the data and analysis, allowing all results to feed into the others, in order to achieve a higher and more detailed level of analysis. Firms should always take a preventative approach, as it always works best. Challenges facing corporate IT and security departments are well documented and largely emphasise the need for well thoughtout policies and contracts that cover employee access to web applications. An individual’s right to privacy, versus employer rights to audit privately owned devices, must also be reconciled. BYOD procedures, for example, should provide a list of devices approved by the firm and determine which corporate applications can be accessed in the event of an investigation. Security policies should incorporate mandated anti-virus software, firewalls and encryption in the event that the device is lost or stolen. IT departments should therefore have the means and the authority to wipe corporate data from personal devices.

Infringers of other people’s IP do so to increase their own sales without incurring the time, dedicating the resources or investing the money, to either develop their own IP or licence an established idea belonging to others. Whether it is clothing designs, technology protected by patents, brand names, music, artwork or any other similar idea or concept, all valuable IP is susceptible to being infringed. But what is the cost of this infringement? How is it calculated?

To get a handle on this cost, one must first determine how IP infringement affects the legitimate owner of that IP, as this can happen in many different ways; potential customers may buy products from the competitor instead, or the legitimate owner may be forced to reduce their prices and/or increase their marketing costs. Essentially there is additional competition which the rights inherent in IP law were supposed to protect them from. Where the legitimate owner can identify the infringer they can take legal action. Typically IP disputes involve a split-trial, whereby the first trial determines who is the rightful owner of the IP and whether the IP was infringed and then a second trial deals with the quantum of damages. In most cases when the first issue is decided, the parties reach a resolution between themselves and, therefore, damages cases for IP disputes are rare. The infringing party typically either agrees to stop using the IP (and might pay some compensation for past use), or agrees to license the IP going forwards if the legitimate owner is prepared to agree to this. However, some disputes over quantum need further assessment with the formal calculation of loss suffered as a result of the infringement often requiring the assistance of a forensic accountant or valuer. Awarded damages are intended to put the claimants back in the position they would have been in had the infringement not occurred so, for example, not only can they claim for sales that they would have made, they can claim for additional costs incurred competing with the infringer and lower margin on the sales it did make. Calculation of the quantum of damages will take into consideration prior track record, forecasts, comparable companies (if there are any) and whatever additional market data there is available, including details of the sales made by the infringer. Where the infringing party is a bigger player in the market, it might have made more sales than the legitimate owner would have been capable of. In these cases, it is normal for the Court to award the legitimate owner not just the foregone profits on the additional sales it would have made, but also a reasonable royalty on the sales made by the infringing party that the legitimate owner could not have made on its own. Another interesting aspect of IP disputes is that the claimant can elect whether to claim as damages the losses it has suffered (as described above), or the profits generated by the infringer. The claimant is required to make the election early in the process but is provided with little financial information relating to the infringer on which to base their decision. Another issue in calculating the profits attributable to the infringing IP is to isolate the profits attributable to the infringed IP. A rather complicated formula came out of the precedent setting case of Celanese v BP, but essentially it requires apportionment and assumptions. Most claimants elect to www.acquisition-intl.com

claim their losses, but not all. Had the case of alleged copying by JK Rowling of a little known book called “Willy the Wizard” ever got to and succeeded at trial, I think it reasonable to assume the claimant would have elected an account of profits. Sometimes the IP owner, having proved themselves to be the legitimate owner, is nonetheless compelled by the Court to license the IP to the competitor where the IP is of significant importance. In such cases a reasonable royalty rate will need to be established in the same way as described above. Counterfeiters piggy back on the goodwill and designs of the genuine article and seek to create a product that resembles a particular branded product, or at least appears to belong to that brand. Most purchasers of counterfeit goods know they are not buying the genuine article and it is more difficult to estimate how many -would have purchased the genuine article. Recovering damages from counterfeiters can also be difficult. First it is often difficult to identify the company or individuals behind the fakes, and secondly they are usually transient and rarely have the resources to pay the damages. The IP owner instead needs to ensure these items are kept off the market, through closing down websites that offer the counterfeits or by liaising with trading standards to seize fakes. The IP owner also needs to keep a tight control over its supply chain to ensure there are no leakages. Some fakes turn out to contain genuine elements from companies that supply both the genuine article and the fake. Not all the damage of infringement stops when the infringers are closed down or taken to court. The damages calculation should take into account any quantifiable ongoing or future losses, and the infringing party will have to compensate the legitimate owner for those losses. In theory, any reduction in the value of the business should be compensated for. However, ours is not a perfect world and the company might suffer more long term damage than can be reliably demonstrated to a court. For example, where customers have established brand loyalty with an infringing company they might switch to the infringing party in respect of other products too, or the infringing party might have gained brand recognition as a result of its increased sales. Damage to the legitimate company’s brand value might be hard to quantify, especially where large volumes of counterfeit goods are on the market. A perception can be created that there is no need to buy the genuine article when there are alternatives that are much cheaper, even if not as good or worse People might also associate the fakes with the legitimate owner and perceive a drop in quality. Legitimate IP owners need to protect their IP as best they can, practically and legally. Where there has been infringement the challenge is to properly understand the damage that has been caused to their business so that settlements can be reached without a trial, or to demonstrate those losses to a court to ensure they are properly compensated.

This has brought along a number of changes in the industry, particularly for traditional law firms. A few US law firms stopped offering patent annuity payments at all. More and more IP is perceived as the single most important element for the future growth and development of globalised economies, multinational and national companies. Modern innovations, inventions and trademarks that today claim protection have different features than before. Some are difficult to squeeze in under the traditional IP rights without changing the scope of protection. Thus, new phenomena tend to severely challenge the well-designed limitations of protection that once was created to achieve balance. Furthermore, if a few years ago we were only generally concerned about what was happening within our own territories or regions, this is not at all sufficient today. IP, like everything else, is depending on a global environment so advice on how to use the IP system must take into account that developed and developing countries are interdepending, and Europe, Asia, North and South America set the framework for any country’s IP developments and initiatives. What developments or changes do you see having the biggest impact on your business and industry over the coming year and where do you think the biggest opportunities – and challenges – will lie? Europe has for decades been criticised for the lack of a centralised European patent and a pan-European litigation system. The EU regulations regarding the Unitary Patent (UP) and the agreement for the Unified Patent Court (UPC) have now been concluded and both are to come into force once 13 member states have ratified the UPC Agreement. The most recent target date is early 2016. Now, many companies, and some IP firms too, seem to have forgotten that they are about to see the biggest ever shake-up of European patent legislation, with a wide-ranging of implications for all companies operating with patents in Europe. Companies will need to take these changes into consideration over the next couple of months and start thinking seriously about how they will protect and enforce their patents in Europe.

The UP and UPC will offer patentees the capability to obtain broader protection and remedies than before, with a larger customer base involved and injunctions that are easier, cheaper and quicker to obtain. Of course such advantages brings with them greater risks: companies which lose unitary patent protection or a patent litigation before the UPC, could be left with no exclusivity for their products or, worse, could have their products banned from the entire continent. The stakes are high, and companies must rely on the best possible advice on their future patenting and freedom to operate strategies, together with their litigation strategies. Where does Michael see it going over the coming months and years? “As the global economic contraction took hold in recent years, we noticed our work shifting from creation of new IP rights to enforcement of existing rights so that clients could preserve their share of shrinking markets. We have noticed that pattern reversing, with clients focusing on new innovation and new filings. We think this is a strong indicator of growth to come soon. “The European Patent Court is also coming and this will change the nature of patent enforcement in the EU and affect the style of prosecution of patent applications in the European Patent Office.”

Valea AB - The race to monetise Intellectual Property To monetise means to utilise something of value as a source of profit.* And what could be more valuable for an organisation than its Intellectual Property? As recently as fifteen years ago, companies generally regarded patents as a necessary cost on the balance sheet to protect their R&D from copying. Today, more and more companies are financially exploiting their IP – and reaping the rewards.

Nobody could have escaped the media’s coverage of the so-called “smartphone wars”, a never-ending business battle between smartphone manufacturers over patents licensing and litigation. Players in the telecom field have to “buy into” a patent portfolio jointly managed by the established companies under the so-called FRAND system, which means that a patent adopted as an industry standard must be available to all on fair, reasonable and nondiscriminatory terms. FRAND is intended to prevent licensing abuse and a monopolistic advantage, while also helping to promote compatibility and interoperability of devices from different manufacturers. The more patents an established company can have regarded as being essential for an industry standard, the greater that company’s share of the license revenue. Profits – made under license Royalty income is not the exclusive domain of high-tech companies. For example, nowadays it is almost impossible to buy floor panels that are not protected by numerous patents and made under license. By granting licenses, a company can ensure that demand for their technology is met without having to increase their own manufacturing capacity or distribution network.

Beware of patent trolls The trend towards monetisation of IP does have a downside. Thanks in part to the complex U.S. legal system, some non-manufacturing companies are purchasing patent portfolios just so that they can accuse other companies of patent infringement and threaten with patent litigation. Fortunately, the US is introducing legislation that will help thwart these so-called patent trolls. At the same time, it’s important to distinguish between patent trolls and non-manufacturing entities that are actually involved in R&D, such as universities and technical consultancy firms. A position of strength There is always someone out there ready to exploit a good idea.
