StockLogics WAIVER I, the Joint-Venturer, have read and understood both the Joint-Venture Agreement and the Power of Attorney Agreement that I have signed. STOCKLOGICS has been explained to me by an independent consultant and I, the Joint-Venturer, further agree to the following: 1. STOCKLOGICS is a BUSINESS OPPORTUN I TY presented and I have fully understood it and will not view it as an investment. 2. There is no guarantee that STOCKLOGICS will issue initial shares from any of the Shell/Shelf Companies created. 3. For and information regarding any or all the Shell/Shelf Companies that I must contact a registered Securities Licensed Broker or contact a registered Brokerage Firm. 4. The Independent Consultant that presented the STOCKLOGICS Business Opportunity did not at any time indicate that he/she was selling any shares to me of the potential Shell/Shelf Companies. 5. The Independent Consultant is not any of the following a. Stock Broker b. Limited Market Dealer c. Licensed Securities Agent/Broker d. Employee of STOCKLOGICS This agreement shall be construed and enforced in accordance with, and the rights of the parties shall be governed by the parties hereto, their respective successors and assigns and other legal representatives. This Agreement shall not be assignable by the jointVenturer without prior written consent of the company.
