General information

Booking

: Please use the DHTC facsimile confirmation form.

After receipt, the booking will be confirmed by our booking office.

Under certain conditions alternative course dates can be scheduled in consultation with the booking office.

‘on request’

: In consultation with the booking office ‘on request’ courses can be scheduled.

Tailor-made

: Special courses can be developed on request.

Cancellation

: Only written cancellations can be accepted (General Terms and Conditions DHTC bv).

In case of a cancellation of an individual course participant:  Cancellation more than 14 days prior to the commencement date of the training/course: DHTC will not charge any costs;  Cancellation more than two working days, but less than 14 days prior to the commencement date of the training/course: the customer will pay 50% of the training/course fee;  Cancellation less than two working days prior to the commencement date of the course or NO SHOW: the customer will pay the entire price of the training/course.

In case of a cancellation of a group of course participants (6 persons or more):  Cancellation more than 14 days prior to the commencement of the training/ course: DHTC will not charge any costs;  Cancellation less than 14 days prior to the commencement date of the training/course or NO SHOW: the customer will pay the entire price of the training/course.

Made expenses for external exams will be charged to client.

Substitute delegates will be accepted.

Where to report

:The exact starting location is mentioned in the order confirmation.

Starting time

: Most courses start at 09.00 hours and some at 13.00 hours.

Deviating starting times will be mentioned in the order confirmation.

Delegates are expected to be present 15 minutes before the start of the course.

Algemene informatie

Boekingen

: Gelieve gebruik te maken van het bijgevoegd DHTC inschrijfformulier.

Na ontvangst wordt de boeking bevestigd door ons boekingskantoor.

Eventueel kunnen, in overleg met het boekingskantoor, andere dan de vermelde trainingsdata vastgesteld worden.

‘on request’

: In overleg met het boekingskantoor kunnen data voor ‘on request’ trainingen worden vastgesteld.

Maatwerk

: Speciale trainingen kunnen op verzoek worden ontwikkeld.

Annuleren

: Cursusannuleringen dienen uitsluitend schriftelijk te geschieden (Algemene Voorwaarden DHTC bv).

Locatie

: De startlocatie van de cursus staat vermeld op de orderbevestiging.

Aanvangstijden

: Het merendeel van de trainingen start om 09.00 uur en enkele om 13.00 uur.

De deelnemer wordt verzocht 15 minuten voor aanvang van de training aanwezig te zijn.

DHTC, a registered FPAL member.

Since the 15th of May 2011 DHTC has officially registered in the FPAL-system. The registration number is 10052684. First Point Assessment is a purchase database for the oil and gas industry in the United Kingdom, Ireland and the Netherlands. FPAL works to select suppliers on behalf of its purchasing members in the oil & gas industry.

DHTC expects with this FPAL registration to get a better link to on- and offshore oil and gas companies.

DHTC geregistreerd in FPAL Sinds 15 mei 2011 is DHTC officieel geregistreerd in het FPAL systeem onder nummer 10052684.

First Point Assessment is een inkoop database voor de olie & gasindustrie in het Verenigd Koninkrijk, Ierland en Nederland. FPAL wordt door opdrachtgevers in de olie en gasindustrie toegepast voor het selecteren van leveranciers.

DHTC verwacht met de FPAL registratie een nog betere aansluiting te krijgen met on- & offshore olie en gasbedrijven.

Profile DHTC is an international provider of a wide variety of safety courses for the offshore oil & gas industry, shipping industry, offshore wind industry and related companies.

DHTC also organises various courses for the assistance services of companies, (governmental) organisations and Dutch regional and municipal fire brigades.

DHTC’s training facilities include an indoor swimming pool (600m3) equipped with a heli-dunker, a training platform in the seaport of Den Helder, operating a variety of survival crafts and rescue boats, a large, fully enclosed fire exercise hall with multiple realistic training units, a special building for realistic training for fire brigades and a total of 8 modern equipped classrooms.

These training facilities are located close to the harbour and Den Helder’s major roads. Den Helder Airport is “right around the corner”. DHTC is only an hour’s drive from Schiphol Amsterdam Airport and Heerenveen (no traffic jams).

IMO STCW’10 SOLAS NSI / ILT NIBHV IFV

Netherlands Oil and Gas Exploration and Production Association.

OPITO & NSOC-D accepted Basic Safety Courses.

General Terms and Conditions DHTC bv Article 1 APPLICABILITY 1. D.H.T.C. - Den Helder Training Centre – B.V., hereinafter called DHTC, established and situated in Den Helder, is a Dutch private limited company, registered at the Chamber of Commerce in Alkmaar under registration number 37059305.

2. All offers by and all assignments to DHTC to provide services to the customer and all related agreements are subject to these general terms and conditions.

3. The customer can only appeal to own stipulations and/or conditions deviating from these conditions if and insofar as those conditions or stipulations have been explicitly accepted in writing by DHTC. Article 2 NATURE OF THE SERVICES TO BE EXECUTED Included in the activities as indicated in the second part of article 1 are in any case - but not limited to this - the provision of training, the supply to the customer of reports regarding the training and submitting advises in the field of business operation, all in the widest sense of the word.

Article 3 OFFERS, FORMALIZATION OF CONTRACT AND CHANGES HEREIN 1. All offers and proposals by DHTC are without any obligation. DHTC has the right to revoke an offer at al times. DHTC is only bound to an offer made once (i) the customer has signed the offer, and (ii) DHTC has received signed offer from the customer; or once DHTC has commenced performance of the agreement. Assignments and the acceptance of offers by the customer cannot be revoked by customer.

2. Prices mentioned in an offer are exclusive of VAT or similar taxes and levies, as well as costs to be incurred within the scope of the performance of the agreement (for example, shipping and administrative charges), insofar as not evidenced otherwise by the offer.

3. DHTC reserves the right to charge for preparations time if she deems this necessary for a proper execution of certain orders.

4. The customer will be informed regarding the preparation time deemed necessary.

Article 4 PERFORMANCE OF THE AGREEMENT 1. DHTC will perform the agreement according to its best insights and ability. DHTC is entitled to perform the work as it deems appropriate, DHTC may engage third parties for the performance of the work and DHTC may perform the work in parts.

2. The customer must ensure that all information (i) of which DHTC indicates to the customer that such is necessary for the performance of the agreement or (ii) of which reasonably understand that such is necessary for the performance of the agreement, shall by supplied by the customer to DHTC without undue delay. If the customer does not comply with the aforementioned obligation or fails to do so without undue delay, DHTC will be entitled to suspend performance of the agreement and/or charge the customer the ensuing additional costs according to customary rates.

3. The customer guarantees the accuracy and completeness of the information it has provided tot DHTC. If the customer does not comply with the aforementioned obligation, it shall be liable for the ensuing damage, unless the inaccuracy or incompleteness was obvious and evident to DHTC. 4. If it is agreed between the parties that the agreement will be performed in stages, DHTC is entitled to suspend parts that belong to a subsequent stage until the customer has approved the previous stage in writing.

5. If DHTC, or third parties it engages, performs work at the customer’s site or a site designated by the customer, the customer will provide the facilities reasonably required by those employees free of charge.

6. The customer ensures that those using DHTC’s services have the required health statements and/or inspection certificates for such services. In the absence of such health statements and/or inspection certificates DHTC will be entitled to withhold the services from those involved. Acquiring services from DHTC without the necessary health statements or inspection certificates is at all times for the risk of the customer.

Article 5 TERM OF THE AGREEMENT, PERFORMANCE TERM 1. The agreement is entered into for an indefinite period of time, unless agreed otherwise by the parties in writing.

2. If DHTC has agreed with the customer upon a certain end date or term for the performance of the services, and in the event such end date cannot be met due to circumstances which can be attributed to DHTC, the customer is entitled to give DHTC a reasonable period of no less than 20 business days within which the services should be finalized by DHTC. Subsequent to such reasonable period, the customer is entitled to terminate the agreement on the part that has not been performed. Exceeding the reasonable period agreed upon or given by the customer for the performance of the services will not entitle the customer to non-performance of any of its obligation ensuing from the agreement or to any damages or compensation or alternative damages or compensation.

Article 6 INVOICED AMOUNTS FOR FEES AND COSTS 1. The fee of DHTC is determined according to the current price list, a daily rate or part thereof or as a fixed fee, either in connection with a specific order, or per calendar year. In case no fixed fee has been agreed regarding a specific order, or calendar year, the fee is determined based on the daily rate or part thereof.

2. The invoice is specified in such a way that the customer has sufficient insight into the components, which together form the invoiced amount.

3. At the request of DHTC an advance payment can be demanded before the commencement or during the execution of the order. The advance payment is consolidated in the final statement of expenses.

4. DHTC can increase its prices for the services to be performed under the agreement, if DHTC’s costs related thereto increases as a result of (government) measures, social security levies and/or statutory rules and regulations, applicable to DHTC. Page 1 of 3 D 13

Article 7 PAYMENT 1. Payment should be effected in Euros and within 30 days after the invoice date and in the manner as designated by DHTC in the invoice, without any discount or set off. Objections to the amount charged do not suspend the obligation to pay. DHTC can at any time demand full or partial advance payment and/or otherwise require security for payment for the services performed or to be performed under the agreement.

2. If the above term of payment is exceeded by customer, the customer will automatically be in default of the agreement. Once the customer is in default of any payment, all other claims DHTC has on the customer will immediately be due and payable, and default will occur immediately, without notice, with regard to those claims as well. As from the day on which the customer is in default, it shall owe DHTC the statutory trade interest, all without prejudice to all other rights accruing to DHTC. 3. In the event of liquidation, insolvency, attachment or suspension of payments on the part of the customer, all DHTC’s claims on the customer are immediately exigible.

4. All judicial or extrajudicial costs incurred by DHTC as a result of the customer’s default shall be paid by the customer.

Article 8 INVESTIGATION AND RECOVERIES 1. The customer must report complaints regarding defects and shortcomings in the services provided under the agreement to DHTC in writing within 5 business days after discovery of such defects/shortcomings, but no later than 10 business days after the service was provided. The notice of default must state the details of the defects/shortcomings default as accurately as possible, so that DHTC can respond adequately.

2. If a complaint is valid, DHTC shall perform the services in the correct manner, unless performing the services is no longer useful to the customer and the customer can demonstrate in writing that this is the case, in which case DHTC will credit the services in question.

Article 9 CANCELLATION OF TRAINING/COURSE AND TERMINATION The following cancellation conditions apply to training/course(s) confirmed by DHTC (verbally and/or) in writing: 1. Cancellation of the confirmed training/course reservation or training/course participation can only be effected by letter or e-mail sent to DHTC’s booking office.

2. In case of a cancellation of an individual training/course participant: • Cancellation more than 14 days prior to the commencement date of the training/course: DHTC will not charge any costs; • Cancellation more than two working days, but less than 14 days prior to the commencement date of the training/course: the customer will pay 50% of the training/course fee; • Cancellation less than two working days prior to the commencement date of the course or NO SHOW: the customer will pay the entire price of the training/course.

In case of a cancellation of a group of training/course participants (6 persons or more): • Cancellation more than 14 days prior to the commencement of the training/ course: DHTC will not charge any costs; • Cancellation less than 14 days prior to the commencement date of the training/course or NO SHOW: the customer will pay the entire price of the training/course.

3. Any examination fees related to the training/course will be charged on to the customer in full.

4. Any amounts paid in advance by the customer with respect to the cancelled training/course will be refunded, less the above costs for cancellation.

5. DHTC is entitled to cancel standard training/courses with open registration not later than 14 days prior to the commencement date, if the number of registrations received for the training/course in question is lower than the established minimum. If the customer has registered for a standard training/course which is cancelled, DHTC will inform the customer of any alternative dates for the standard training/course concerned.

6. In case of termination of a contract which in the view of DHTC were necessary for a proper execution of the order and which have already been made, are charged to the customer.

7. If customer does not, not in time or insufficiently, meet any obligation described in these general conditions or arising in some other way from the agreement, he is in default without a judicial liability being required. If the customer gets into bankruptcy applies for a moratorium or ends business, in which case DHTC has the right to terminate the order without observing the period of notice. The customer is liable for all damage suffered by DHTC as a result from the termination of the order.

8. The parties can terminate an agreement related to the services other than offering a training, in writing, with due observance of a notice period of at least two months.

9. If an agreement is terminated prematurely by DHTC, DHTC will be responsible, in consultation with and at the expense of the customer, for transferring services yet to be performed to third parties, unless there are facts and circumstances upon which the termination is based that can be attributed to the customer. In the latter instance, DHTC is not obliged to organise the transfer of the services.

Article 10 LIEN DHTC has the right to postpone delivery of items she has in possession in connection with any order till her claims or any order(s) are met.

Article 11 COPYRIGHT 1. Unless otherwise agreed upon with the customer, all reports, syllabi, forms and such, as provided by DHTC, are copyrighted. This implies as well that DHTC does not hand over the right of multiplication for the benefit of the customer and his employees.

2. The customer is not permitted to make photographs, to film and/or videotape the training or training facilities without the prior, written authorisation of the management of DHTC. Article 12 CONFIDENTIALITY DHTC, as well as the persons executing work for her or on her behalf, are committed confidentiality towards third parties with regard to all information known to her because of the nature of the order or made available by the customer insofar as it concerns data of a confidential nature.

Article 13 FORCE MAJEURE Unforeseen circumstances causing DHTC not being able to execute the order or not in time or not without, in her opinion, undue extra effort and/or costs, shall be considered to constitute force majeure for DHTC. Article 14 LIABILITY 1. In case DHTC is held responsible for damages, direct or indirect, resulting from work executed by her, the responsibility of DHTC is limited to the amount, which in this specific matter will be paid according the General Public Liability Insurance policy (“Aansprakelijkheidsverzekering”) of DHTC. 2. DHTC is never liable for indirect damage, including but not limited to loss of profits, lost savings and damage as a result of the stagnation of operations, except in the case of intent by DHTC. 3. Entering the sites of DHTC is at one’s own risk. DHTC is not liable for any damage to vehicles or other machinery of the customer or its subordinates.

4. If the customer uses a training facility of DHTC, which use is not within the scope of any activity led by DHTC, then the activities will be performed exclusively under the responsibility of the customer and the customer will accordingly be liable for any type of damage to itself and/or DHTC, and the customer indemnifies DHTC against all liabilities related hereto.

Article 15 DISPUTES Any disputes arising out of or in connection with the contract shall be referred to arbitration in the Netherlands of a single arbitrator appointed by agreement between the customer and DHTC. The contract shall be governed by and construed in all respects in accordance with the law of the Netherlands, and each party submits the non-exclusive jurisdiction of the Netherlands courts.

Article 16 APPLICABLE LAW Dutch law is applicable to all offers, commissions and agreements and the disputes arising from them.

Algemene Voorwaarden DHTC bv Artikel 1 TOEPASSELIJKHEID 1. D.H.T.C.- Den Helder Training Centre- B.V., hierna aan te duiden met DHTC, gevestigd en kantoor houdende te Den Helder, is een naar Nederlands recht opgerichte besloten vennootschap en staat ingeschreven in het handelsregister van de Kamer van Koophandel onder dossiernummer 37059305.

2. Op alle offertes van, alle opdrachten aan en alle overeenkomsten met DHTC tot het beroepsmatig verrichten van werkzaamheden zijn de hiernavolgende voorwaarden van toepassing.

3. Op van deze voorwaarden afwijkende bedingen en/of op eigen voorwaarden/bedingen kan de opdrachtgever slechts een beroep doen indien en voorzover die bedingen of voorwaarden uitdrukkelijk schriftelijk door DHTC zijn aanvaard.

Artikel 2 AARD VAN DE TE VERRICHTEN DIENSTEN Onder de werkzaamheden bedoeld in het tweede lid van artikel 1 zijn in ieder geval begrepen - maar daartoe niet beperkt - het uitvoeren van trainingen, het uitbrengen van rapportages van deze trainingen aan de opdrachtgever en het geven van adviezen op het gebied van de bedrijfsvoering, een en ander in de meest ruime zin van het woord.

Artikel 3 OFFERTES, TOTSTANDKOMING OVEREENKOMST EN WIJZIGINGEN HIERIN 1. Alle offertes en aanbiedingen van DHTC zijn vrijblijvend. DHTC heeft te allen tijde het recht een offerte te herroepen. DHTC is pas gebonden aan een uitgebrachte offerte zodra de offerte getekend is door opdrachtgever en de getekende offerte is ontvangen door DHTC, dan wel zodra DHTC met de uitvoering ervan is aangevangen. Opdrachten en acceptaties van aanbiedingen door opdrachtgever zijn onherroepelijk.

2. In een offerte genoemde prijzen zijn exclusief BTW of soortgelijke belastingen en heffingen, alsmede in het kader van de uitvoering van de overeenkomst te maken kosten (zoals bijvoorbeeld verzend- en administratiekosten) voor zover uit de offerte niet anders blijkt.

3. DHTC behoudt zich het recht voor, indien zij dit voor een goede uitvoering van een bepaalde opdracht noodzakelijk acht, voorbereidingstijd in rekening te brengen.

4. De opdrachtgever wordt op de hoogte gesteld van de noodzakelijk geachte voorbereidingstijd.

Artikel 4 UITVOERING VAN DE OVEREENKOMST 1. DHTC zal de overeenkomst naar beste inzicht en vermogen uitvoeren. DHTC heeft het recht om de werkzaamheden naar eigen Inzichten uit te voeren, al dan niet door inschakeling van derden en al dan niet in gedeelten.

2. De opdrachtgever dient te zorgen dat alle gegevens, (i) waarvan DHTC aangeeft dat deze noodzakelijk zijn voor de uitvoering van de overeenkomst of (ii) waarvan de opdrachtgever redelijkerwijs behoort te begrijpen dat deze noodzakelijk zijn voor de uitvoering van de overeenkomst, tijdig aan DHTC worden verstrekt. Indien opdrachtgever niet of niet tijdig aan de hiervoor bedoelde verplichting voldoet, heeft DHTC het recht de uitvoering van de overeenkomst op te schorten en/of de extra kosten die daaruit volgen volgens de gebruikelijke tarieven aan opdrachtgever in rekening te brengen.

3. Opdrachtgever staat in voor de juistheid en volledigheid van de door hem verstrekte gegevens. Wanneer opdrachtgever niet aan voornoemde verplichting voldoet is hij aansprakelijk voor alle schade die daaruit voortvloeit, tenzij deze onjuistheid of onvolledigheid voor DHTC duidelijk kenbaar was.

4. Indien is overeengekomen tussen partijen dat de overeenkomst in fasen zal worden uitgevoerd, heeft DHTC het recht de uitvoering van onderdelen die tot een volgende fase behoren op te schorten totdat opdrachtgever de resultaten van een daaraan voorafgaande fase schriftelijk heeft goedgekeurd.

5. Indien door DHTC, of door haar ingeschakelde derden, werkzaamheden worden verricht op locatie bij opdrachtgever of op een door opdrachtgever aangewezen locatie, draagt opdrachtgever kosteloos zorg voor de door die medewerkers in redelijkheid gewenste faciliteiten.

6. Opdrachtgever draagt er zorg voor dat degene(n) die gebruik maken van de diensten van DHTC beschikken over de vereiste medische verklaringen en/of keuringsbewijzen welke betrekking hebben op de te verrichten diensten onder de overeenkomst. Indien dergelijke verklaringen of keuringsbewijzen ontbreken heeft DHTC het recht betrokkenen de diensten te onthouden. Het afnemen van diensten van DHTC zonder de noodzakelijke medische verklaringen of keuringsbewijzen is te allen tijde voor risico van de opdrachtgever.

Artikel 5 CONTRACTDUUR EN UITVOERINGSTERMIJN 1. De overeenkomst wordt aangegaan voor onbepaalde tijd, tenzij schriftelijk anders is overeengekomen door partijen.

2. Indien DHTC met opdrachtgever een bepaalde einddatum of duur voor de uitvoering van de werkzaamheden is overeengekomen, is opdrachtgever, in geval van overschrijding daarvan door omstandigheden die DHTC kunnen worden toegerekend, gerechtigd DHTC een redelijke termijn te stellen van niet minder dan 20 werkdagen waarbinnen de werkzaamheden alsnog uitgevoerd dienen te zijn. Bij gebreke van die uitvoering binnen de gestelde redelijke termijn is opdrachtgever gerechtigd de overeenkomst voor het niet uitgevoerde gedeelte door een schriftelijke verklaring te beĂŤindigen. Overschrijding van de overeengekomen of door de opdrachtgever gestelde duur van de uitvoering van de werkzaamheden geeft de opdrachtgever geen recht op niet-nakoming door hem van enige uit de overeenkomst voortvloeiende verplichting noch op enige aanvullende of vervangende schadevergoeding.

Artikel 6 DECLARATIEBEDRAG HONORARIUM EN KOSTEN 1. Het honorarium van DHTC wordt vastgesteld aan de hand van de geldende prijslijst, een dagdeel-tarief of in de vorm van een vast bedrag, hetzij ten behoeve van een bepaalde opdracht, hetzij per kalenderjaar. In geval geen vast bedrag, hetzij ten behoeve van een bepaalde opdracht, hetzij per kalenderjaar is overeengekomen, wordt het honorarium vastgesteld aan de hand van een dagdeeltarief.

2. De declaratie wordt zodanig gespecificeerd dat de opdrachtgever voldoende zicht heeft op de componenten die tezamen het gedeclareerde bedrag vormen.

3. Op verzoek van DHTC kan voor de aanvang van, alsmede tijdens de uitvoering van de opdracht, betaling van een voorschot worden verlangd. Het voorschot wordt verrekend met de einddeclaratie.

4. DHTC kan haar prijzen voor de diensten die worden verleend onder de overeenkomst verhogen als gevolg van wijzigingen in (overheids)maatregelen, sociale premies en/of wettelijke regels die van toepassing zijn op DHTC. Artikel 7 BETALING 1. Betaling dient te geschieden in Euro’s en binnen 30 dagen na factuurdatum, op een door DHTC in de factuur aan te geven wijze, zonder enige korting of verrekening. Bezwaren tegen de hoogte van de facturen schorten de betalingsverplichting niet op. DHTC heeft te allen tijde het recht gehele of gedeeltelijke vooruitbetaling te vorderen en/of anderszins voor betaling zekerheid te verlangen voor de diensten die worden verleend onder de overeenkomst.

2. Bij overschrijding van de hiervoor genoemde betalingstermijn is de opdrachtgever zonder ingebrekestelling in verzuim. Zodra de opdrachtgever met enige betaling in verzuim is, zijn alle overige vorderingen van DHTC op de opdrachtgever opeisbaar en treedt ook ten aanzien van die vorderingen het verzuim zonder ingebrekestelling onmiddellijk in. Met ingang van de dag waarop de opdrachtgever in verzuim is, is hij aan DHTC de wettelijke handelsrente verschuldigd, één en ander onverminderd alle verdere aan DHTC toekomende rechten.

3. In geval van liquidatie, faillissement, beslag of surseance van betaling van de opdrachtgever, zijn de vorderingen van DHTC op de opdrachtgever onmiddellijk opeisbaar.

4. Alle gerechtelijke of buitengerechtelijke kosten, gemaakt door DHTC als gevolg van het verzuim van opdrachtgever, zijn voor rekening van de opdrachtgever.

Artikel 8 ONDERZOEK EN RECLAMES 1. Klachten over de uitgevoerde dienstverlening dienen door opdrachtgever binnen 5 werkdagen na ontdekking, doch uiterlijk binnen 10 werkdagen na het verlenen van de betreffende dienst schriftelijk te worden gemeld aan DHTC. De ingebrekestelling dient een zo gedetailleerd mogelijke omschrijving van de tekortkoming te bevatten, zodat DHTC in staat is adequaat te reageren.

2. Indien een klacht gegrond is, zal DHTC de dienst(en) alsnog op de juiste wijze verlenen, tenzij het alsnog verlenen van de dienst(en) voor opdrachtgever niet meer zinvol is en opdrachtgever (schriftelijk) kan aantonen dat dit het geval is, in welk geval DHTC de betreffende diensten zal crediteren.

Artikel 9 ANNULERING VAN CURSUSSEN/TRAININGEN EN OPZEGGING Voor (mondeling en/of) schriftelijk bevestigde cursussen/trainingen door DHTC gelden de onderstaande annuleringsvoorwaarden: 1. Annulering van de bevestigde boeking of deelname aan een cursus/training kan alleen schriftelijk (per brief of per e-mail) worden doorgegeven aan het boekingskantoor van DHTC. 2. Bij annulering door opdrachtgever van een cursus/training gelden de volgende voorwaarden: Annulering van een individuele cursist: • annulering meer dan 14 dagen voor aanvang van de cursus: 0% van de cursuskosten worden bij opdrachtgever in rekening gebracht; • annulering meer dan 2 werkdagen, maar minder dan 14 dagen voor de aanvang van de cursus: 50% van de cursuskosten worden bij opdrachtgever in rekening gebracht; • annulering minder dan 2 werkdagen voorafgaand aan de start van de cursus of NO SHOW: 100% van de cursuskosten worden bij opdrachtgever in rekening gebracht; Annulering van een groep (6 personen of meer): • annulering meer dan 14 dagen voor aanvang van de cursus: 0% van de cursuskosten worden bij opdrachtgever in rekening gebracht; • annulering minder dan 14 dagen voor aanvang van de cursus of NO SHOW: 100% van de cursuskosten worden bij opdrachtgever in rekening gebracht.

3. Eventuele (externe) examenkosten die verband houden met de cursus/training zullen volledig worden doorbelast aan opdrachtgever.

4. Eventuele door opdrachtgever vooruitbetaalde bedragen die betrekking hebben op de geannuleerde cursus/training zullen onder aftrek van de kosten van annulering worden gerestitueerd.

5. DHTC heeft het recht om standaard cursussen/trainingen met een open inschrijving uiterlijk 14 dagen van tevoren te annuleren indien minder dan het vastgestelde minimum aantal aanmeldingen zijn ontvangen voor de betreffende cursus/training. Indien een standaard cursus/training waarvoor opdrachtgever zich heeft ingeschreven wordt geannuleerd, zal DHTC opdrachtgever alternatieve data aanbieden waarop betreffende standaard cursus/training wordt gegeven.

6. Bij opzegging van een overeenkomst komen reeds gemaakte kosten die, naar inzicht van DHTC, voor een behoorlijke uitvoering van de overeenkomst noodzakelijk zijn, voor rekening van de opdrachtgever.

7. Indien opdrachtgever niet, niet tijdig of niet behoorlijk voldoet aan enige verplichting omschreven in deze algemene voorwaarden of anderszins uit de overeenkomst voortvloeiend, is hij zonder dat daartoe een ingebrekestelling is vereist van rechtswege in gebreke. In dat geval alsmede in geval de opdrachtgever in staat van faillissement geraakt, surseance van betaling aanvraagt of de bedrijfsvoering staakt, heeft DHTC het recht de overeenkomst zonder inachtneming van een opzegtermijn op te zeggen. De opdrachtgever is aansprakelijk voor alle door DHTC als gevolg van deze beëindiging van de opdracht te lijden schade.

8. Een overeenkomst betreffende dienstverlening anders dan het aanbieden van een cursus/training (op basis van open inschrijving) kan door partijen schriftelijk worden beëindigd met inachtneming van een opzegtermijn van tenminste 2 maanden.

9. Indien een overeenkomst tussentijds wordt opgezegd door DHTC, zal DHTC in overleg met opdrachtgever zorgdragen voor overdracht van nog te verlenen dienstverlening aan derden, tenzij er feiten en omstandigheden aan de opzegging ten grondslag liggen die aan opdrachtgever toerekenbaar zijn. In het laatste geval is DHTC niet gehouden een overdracht van de dienstverlening te verzorgen.

Artikel 10 RETENTIERECHT DHTC is bevoegd afgifte van zaken die zij in verband met de uitvoering van enige opdracht onder zich heeft, op te schorten totdat hen haar vorderingen ter zake van enige opdracht worden voldaan.

Artikel 11 AUTEURSRECHT 1. Tenzij anders met de opdrachtgever overeengekomen, rust op alle door DHTC verstrekte rapporten, syllabi, formulieren, e.d. auteurs recht. Dit houdt tevens in dat DHTC het recht van vermenigvuldigen ten behoeve van de opdrachtgever en diens medewerkers niet uit handen geeft.

2. Het is aan opdrachtgever niet toegestaan foto’s, film en/of video-opnamen te maken van de trainingen of trainingsfaciliteiten, zonder de voorafgaande schriftelijke toestemming van de directie van DHTC. Artikel 12 GEHEIMHOUDING EXCLUSIVITEIT DHTC, alsmede de personen welke in haar naam en voor haar werkzaamheden verrichten, zijn verplicht tot geheimhouding tegenover derden, van alle informatie die haar door de aard van de opdracht bekend is geworden, of door de opdrachtgever ter beschikking is gesteld, een en ander voor zover van vertrouwelijke aard.

Artikel 13 OVERMACHT Onvoorziene omstandigheden, waardoor DHTC de opdracht niet, niet tijdig of niet zonder naar haar oordeel bezwarende extra inspanning en/of kosten kan verrichten, zullen voor DHTC als overmacht gelden.

Artikel 14 AANSPRAKELIJKHEID 1. Indien DHTC aansprakelijk wordt gesteld voor, directe of indirecte schade, ontstaan ten gevolge van door haar uitgevoerde werkzaamheden geldt, dat de aansprakelijkheid van DHTC is beperkt tot het bedrag, dat in het desbetreffende geval door de aansprakelijkheidsverzekeraar van DHTC wordt uitgekeerd.

2. DHTC is nimmer aansprakelijk voor indirecte schade of gevolgschade, zijnde alle niet als directe schade aan te merken schade, waaronder begrepen (maar niet beperkt tot) gederfde winst, gemiste besparingen en schade door bedrijfsstagnatie, behoudens opzet van DHTC. 3. Het betreden van de terreinen van DHTC geschiedt op eigen risico. Voor eventuele schade aan voertuigen of ander materieel van opdrachtgever of haar ondergeschikten is DHTC niet aansprakelijk.

4. Indien opdrachtgever gebruik maakt van een trainingsfaciliteit van DHTC, welk gebruik niet in het kader van een door DHTC geleide activiteit plaatsvindt, dan vinden die activiteiten plaats uitsluitend onder verantwoordelijkheid van de opdrachtgever en is opdrachtgever derhalve aansprakelijk voor enige vorm van schade aan hemzelf en/of DHTC, en vrijwaart opdrachtgever DHTC hierdoor voor alle aanspraken die hiermee verband houden.

Artikel 15 GESCHILLEN Alle geschillen verband houdende met offertes, opdrachten en overeenkomsten welke door deze voorwaarden worden beheerst, zullen worden voorgelegd aan de rechtbank van Noord-Holland, tenzij de opdrachtgever binnen een maand, nadat DHTC zich schriftelijk jegens de opdrachtgever op artikel 15 heeft beroepen, schriftelijk te kennen geeft voor beslechting van het geschil te kiezen voor de volgens de Wet bevoegde rechter.

Artikel 16 TOEPASSELIJK RECHT Op alle offertes, opdrachten en overeenkomsten en daaruit voortvloeiende verplichtingen is Nederlands recht van toepassing.
