This Agreement made and entered on this day of , 20-- by and between: 1- The ARAB REPUBLIC OF EGYPT (hereinafter referred to variously as "A.R.E." or as the "GOVERNMENT"), represented by the Minister of Petroleum and Mineral Resources, in his capacity; Legal Headquarters: 1A Ahmed Al Zomor St., Nasr City, Cairo. 2- The EGYPTIAN GENERAL PETROLEUM CORPORATION, a legal entity created by Law No. 167 of 1958 as amended (hereinafter referred to as "EGPC") represented by the Chief Executive Officer, in his capacity; Legal Headquarters: 270 St., Part 4, New Maadi, Cairo. 3- IEOC PRODUCTION B.V., a limited liability company organized and existing under the laws of The Netherlands (hereinafter referred to as "IEOC" or "CONTRACTOR") represented by the Company's Managing Director or the concerned delegate supported with a power of attorney. PREAMBLE

WHEREAS, all minerals including Petroleum, existing in mines and quarries in A.R.E., including the territorial waters, and in the seabed subject to its jurisdiction and extending beyond the territorial waters, are the property of the State; and WHEREAS, EGPC has applied for an exclusive concession for the Exploration and Exploitation of Petroleum in and throughout the Area referred to in Article II, and described in Annex "A" and shown approximately on Annex "B", which are attached hereto and made part hereof (hereinafter referred to as the "Area") ; and WHEREAS, the Government of the A.R.E., EGPC and INTERNATIONAL EGYPTIAN OIL COMPANY (a company organized and was existing under the laws of Panama), have entered into a Concession Agreement for Petroleum Exploration and Exploitation which was issued by virtue of Law No. 16 of 1978, as amended by virtue of Law No. 19 of 1992, Law No. 109 of 1993, Law No. 14 of 1994, Law No.162 of 2002, and Law No. 111 of 2015 (Law No. 16 of 1978 and its amendments hereinafter referred to collectively as the "Original Concession Agreement"); and WHEREAS, by virtue of a Deed of Assignment ratified by the Minister of Petroleum of the A.R.E. on 13/9/1997, IEOC CO. Inc. assigned (100%) of all its interests, rights, privileges, duties and obligations under the Concession Agreement to AGIP INTERNATIONAL B.V., AGIP INTERNATIONAL B.V. instantly assigned all of its interests under the Concession Agreement to IEOC PRODUCTION B.V.; and لوادتلا دنع اهب دتعي لا ةينورتكلإ ةروص
