Board Members Determine Achievement

The achievement of a company's vision and mission depends on the wisdom of its board members.

Yayasan Sabah Director, Datuk Musa Haji Aman said they must be capable of identifying opportunities and courageous enough to capitalize on them.

He stressed that although board members may not be directly involved in the daily management of the company, the policies formulated by them would nonetheless become the directional compass by which the management will follow.

"This is the basic tenet of the roles of the board members," he said at an Inhouse Seminar on the Roles and Responsibilities of Board of Directors, Audit Committee and Internal Audit Department at a leading hotel in Kota Kinabalu on July 30. The seminar was organised by the Manpower Development and Training Unit of the Human Resource and Administration Department.

However, he said from his experience what was considered achievable mission often remained unachieved. He noted that inmany instances some companies did not even know such discrepancies existed. Even at management level, he said discrepancies between "What should" and "What is" often occur with both management and board accepting such phenomenon as normal. According to him, missions or objectives formulated were based on systematic analysis ofthe company's variables. They are, he said, the yardsticks by which the performance of the comment as the policy implementers and the auditors who play the checking role. He hoped that the seminar would enhance the understanding and appreciation of each other's roles thus bringing about the desired results.

About 80 participants comprising members of Ya asan Sabah' s Board of Trustees, ICSB and its group of companies Board of Directors and YS/ICSB senior managers attended the one-day seminar.

Three papers, Roles and Responsibilities of Board of Director/Audit Examination; Roles and Responsibilities of the Internal Audit Department; and Relationship between Management and the Internal Audit Department were presented by Lynn Kulasingham who has over 35 years of experience in auditing and isa regular trainer for several professional bodies and organisations.

Kulasingham pany is measured. He added that without strong justification to the contrary any failure in achieving such missions must logically be seen as not normal and therefore something must be done to address such problem. He believed that with good and objective feedback, the board would be in a better position to formulate more effective policies forthe good ofthe company and everyone concerned. However, he said there is a need to harmonise the board's roles and responsibilities as the policy maker, the manageA briefing on BAKTI IKHLAS, Yayasan Sabah's corporate philosophy was also presented by Corporate Secretary, Haji Safari Manan. Deputy Chief Minister and Minister of Resource Development and Enterprise, Datuk Seri Panglima Joseph Kurup, who is also a member ofthe Yayasan Sabah's Board of Trustees, officiated the opening.

Projek Perhutanan Masyarakat Ulu Kinabatangan Zon Tongod dilancarkan oleh Ketua Menteri Sabah, Datuk Yong Teck Lee di Tongod pada 30 Ogos lalu.

Projek tersebut, yang melibatkan pembinaan 460 unit rumah bagi penduduk kawasan Tongod, bertujuan untuk memulihkan kampung di kawasan terse but di samping meningkatkan status sosioekonomi penduduk setempat.

Projek Tongod merupakan sebahagian daripada projek perhutanan masyarakat yang dilaksanakan oleh Bahagian Perhutanan Huluan Yayasan Sabah di wilayah Ulu Kinabatangan yang juga mencakupi zon Karamuak dan Pinangah.

Maj lis pelancaran tersebut disempurankan secara simbolik oleh Datuk Yong dengan pembukaan rasmi Rumah Rehat Tongod yang juga menjadi model rumah untuk projek tersebut.

Turut hadir dalam majlis tersebut termasuklah Menteri Pembangunan Luar Bandar, Datuk Dayang Mahani Pengiran Ahmad Raffae, timbalannya, Datuk Yusof Amat Jamlee, Ahli Dewan Undangan Negeri Kuamut, Otuk Joseph Sitin Saang, Timbalan Pengarah Yayasan Sabah, Datuk Mohd. Tahir Jaafar dan pegawaipegawai kanan Yayasan Sabah.

Pengurus Projek Perhutanan Masyarakat, Darshan Singh menyampaikan taklimat mengenai Projek Perhutanan Masyarakat kepada Datuk Yong. Datuk Yong membuka tirai plak sebagai simbol pelancaran projek tersebut.

Datuk MlJhd. Tahir Jaafar menyampaikan cenderamata kepada Datuk Yong.

Sebanyak 22 agensi kerajaan termasuk Yayasan Sabah dan badan swasta menyertai pameran Tamu Besar Kampung Gum-Gum, Sandakan pada 28-29 Ogos 1997 sempena Hari Kebangsaan.

Menteri Pertanian dan Perikanan, Datuk Pandikar Amin Haji Mulia yang merasmikan Tamu Besar tersebut turut melawat gerai pameran Yayasan Sabah sambil diberikan penerangan oleh Pengurus Kumpulan Bahagian Perkhidmatan Korporat, Kamis Haji A wang Ali.
