ATTENDANCE Board Members in attendance included, Chairman Robert Sanders, Esq., Rick Reikenis, Lisa Gerard, Mary Hurley Lane, Cynthia Nalley, and Upendo Shabazz. DDA staff in attendance included Raphael Clemente, Teneka James, Shelly Williams, Tiffany Faublas, Samantha Murrell, Sherryl Muriente, and Michelle Barascout. Guests in attendance included Marcela Sikora, Amy Bridger, and Andrea Hamilton.

CALL TO ORDER Chairman Sanders called the meeting to order at 8:34 a.m.

PUBLIC COMMENTS No public comments.

PRESENTATIONS Police Chief Adderley Chief Adderley introduced himself to the board and explained some of the changes the West Palm Beach Police Department will be making to better serve the community. He is now a Downtown West Palm Beach resident and has already started meeting with various community groups to get to know the people of West Palm.

CONSENT CALENDAR Before approving the minutes Reikenis asked for a correction to the attendance section to include himself.

Minutes of Regular Board Meeting of May 21, 2019 Board Action: Shabazz made a motion to approve the Minutes of May 21, 2019.

Reikenis seconded the motion. The motion passed unanimously.

Financial Statements of May 31, 2019.

Board Action: Shabazz made a motion to approve the Financial Statements of May 31, 2019. Reikenis seconded the motion. The motion passed unanimously OLD BUSINESS Branding RFP 2019-001 In March, the Downtown Development Authority (DDA) released a Request for Proposals (RFP) for Branding Services. The RFP was released via DemandStar, the DDA website and advertised in the Palm Beach Post. Members of the Selection Committee ranked the following proposers as the top (4) four.

These proposers presented to the board on May 21, 2019: Idea Bar, Pathos, JaCober, Moore Agency.

After the Board scored each participant the scoring was transcribed into a worksheet. After further review the scoring was incomplete. The correct recipient of the Branding Services RFP is Idea Bar.

Page Two Regular DDA Board Meeting June 18, 2019 James explained that she has already informed Pathos and Ideabar of the scoring error. Staff is requesting that the DDA Board award the contract for Branding Services to IdeaBar and to execute an agreement.

Board Action: Gerard made a motion to award the Branding Services Contract to Ideabar.

Shabazz seconded the motion. The motion passed unanimously.

Pairings 2019 Report Faublas provided a recap of the event and shared details of the logistical changes from previous years.

There were 26 participating businesses this year which included restaurants, salons, and retail stores. She also shared photo and video content captured that will be utilized to continue to promote downtown businesses via Television commercials and social media posts.

NEW BUSINESS Preliminary/Draft Budget; First and Final Public Hearing Dates FY 19/20 Clemente stated that the 2019 Estimate of Taxable Value from the Palm Beach County Property Appraiser has been received. The estimated Total Taxable Value is: $2,338,471,268 and our estimated Net New Construction is: $135,575,276. The preliminary budget is estimated at $4,980,339 excluding estimated carryforward budget amounts. This increase in taxable value will provide an estimated additional $465,330 in tax revenues.

The Board discussed the preliminary budget and provided input regarding the restructuring of funding.

The Board asked staff to reconsider changing the title of Residential Quality of Life to Neighborhood Services, a few suggestions were discussed but will be brought back to the board for further review.

Staff is requesting to set the First Public Hearing Date on September 10, 2019 and the Final Public Hearing Date on September 17, 2019. These dates do not conflict with any County Meetings or Major Holidays.

Website RFP 2019-002 James-Feaman informed the board that staff will be requesting proposals for Website servicing including redesign and maintenance.

The Board asked staff to remove 5 points for local preference on this RFP, moving forward the board would like Staff to seek Board recommendations prior to opening RFP. ANNOUNCEMENTS Clemente informed the board of Joseph Chases’ resignation from the board. He also reminded the board that the July Board meeting is our annual organizational meeting in which elections for Chairman, Vice Chairman and Secretary will be held. will be held.

ADJOURNMENT There being no further business to discuss, Sanders called for a motion to adjourn.

Website Design, Build and Maintenance RFP

DATE: Tuesday, July 16, 2019 _____________________________________________________________________________________ The Downtown Development Authority (DDA) has released a Request for Proposal (RFP) for Website Design, Build and Maintenance. The RFP was released via DemandStar, a link on the DDA website, and advertised in the Palm Beach Post.

The DDA is seeking Proposals from qualified and experienced firms, licensed to practice in the State of Florida, with demonstrated skills and experience in website services.

The selected vendor will be responsible for the website for Downtown West Palm Beach should convey the assets and unique qualities of the area and its many offerings in a way that is authentic, concise, and memorable. It will describe who we are, what we do, and why we do it.

The scope of the contract includes the following consulting services: a. General a. Preliminary data search and results on website. b. Compliant with, at a minimum, Web Content Accessibility Guidelines (WCAG) 2.0 AA. c. ADA Compliant, Section 508. d. Multiple language support. e. Search Engine Optimization (SEO). f. Search Engine Marketing (SEM). g. Website must be designed for continuous operation 24 hours a day, 7 days a week, and 365 days a year. h. Disclosure of website framework, architectural pattern, wireframes, and technologies (HTML5, CSS, JavaScript, CMS, grid system, third-party libraries). i. Database Integration For this project the DDA has budgeted not to exceed amount of $75,000 for design, development and launch of a new website. The maintenance and support are budgeted at $25,000 over 36 months. Future budget allocations will be dependent on specific initiatives developed in partnership with the selected agency.

The RFP process allows for up to three to present to the Board for final decision. The presentations will be at the September 2019 DDA Board meeting.

Budget Amendment No. 3-2019

DATE: Tuesday, July 16, 2019 _____________________________________________________________________________________ Attached, please find a copy of Resolution No. 3-2019 to amend the Budget of the West Palm Beach Downtown Development Authority (DDA).

The amendment will allow the DDA to receive funds and add to the current adopted budget. The funding received is from the following sources; • • • •

12x12 Pop Up Retail program: Receive funding in the amount of $28,000 from the City of West Palm Beach and transfer the remaining project budget of $48,276 to 6230-1 for Business Training and Support – 12x12; Pairings Food and Wine Event: Receive funding in the amount of $13,656 in revenue from the event and refund line item 6235 Value added Events; Brightline Ticket Sales: Receive funding from Brightline in the amount of $257 in revenue from profit sharing in ticket sales and add to line item 6330 Business Partnerships; Bank of America Business Card Services: Receive funding in the amount of $130 in revenue from the cash back on purchases and add to line item 7900 Reserves.

RESOLUTION NO. 3-2019 A RESOLUTION OF THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY AMENDING THE ADOPTED 2018/2019 FISCAL YEAR BUDGET; PROVIDING AN EFFECTIVE DATE AND FOR OTHER PURPOSES. WHEREAS, the West Palm Beach Downtown Development Authority adopted its Final 2018/2019 Fiscal Year Budget on September 24, 2018 by Resolution No. 12-2018; and WHEREAS, the Downtown Development Authority amended its adopted budget to adjust the final carry forward amount from the 2017/2018 Fiscal Year DDA Budget and to allocate those funds for specific purposes as outlined in Exhibit A Amended Budget from April 16, 2019; and WHEREAS, the Downtown Development Authority desires to further amend its adopted budget to add funding of $28,000 from the City of West Palm Beach Interlocal Agreement for the 12x12 Pop Up Retail program and relocate the remaining $48,276 in funding to 6230-1 for Business Training and Support – 12x12; $13,656 in revenue from the Pairings Food and Wine Event to refund 6235 Value Added Events; $257 from Brightline Ticket Sales allocated to 6330 Business Partnerships and $130 from Bank of America Business Card Services cash back incentive of $130 allocated to 7900 Reserves as shown in the attached Exhibit A Amended Budget from July 16, 2019.

NOW, THEREFORE, BE IT RESOLVED BY THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY THAT: Section 1: The recitals set forth above are true and correct and are incorporated herein and are a part hereof by this reference.

Section 2: This Resolution amending the adopted 2018/2019 Fiscal Year Budget shall be attached to and made a part of said budget.

Section 3:

This Resolution shall take effect immediately upon adoption.

Annual Organizational Meeting

In accordance with the By-Laws of the DDA, an Organizational meeting to elect officers is held annually in July. At the annual Organizational meeting, the Board elects’ members to serve as Chairman, Vice Chairman and Secretary. These are one-year terms. Typically, the Executive Director serves as the Secretary of the Board.

In addition to the election of officers, the State requires a proposed millage rate be set in July. This is the ‘not to exceed rate’. The actual millage rate is determined at the final budget hearing held in September.

The DDA sets it millage rate at 2 mils due to the budget approval process of the CRA. As per the Interlocal Agreement between the City, CRA and the DDA, the DDA prepares and adopts the 2nd Mil Budget Resolution detailing the proposed budget for the increment from the 2nd mil for the upcoming year. Once it has been adopted and executed, a copy is sent to the Mayor and the Director of the CRA.

DDA must pass 2nd Mill Resolution and forward it (Resolution only) to the City detailing the proposed budget for the increment from the second mill for the upcoming fiscal year.

By July 28, 2019

Within 35 days of certification of value, DDA tells the property appraiser the: prior year millage rate; current year proposed millage rate; current year rolled-back rate; and the date, time, and meeting place of the tentative budget hearing.

September 3 to September 18

DDA holds public hearing on the tentative budget and proposed millage rate. (Proposed date: Tuesday, September 10, 2018 - 5:05 pm)

September 18 to October 3

DDA holds public hearing to adopt a final millage rate and budget.

RESOLUTION NO. 4-2019 A RESOLUTION OF THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY TRANSMITTING A PROPOSED BUDGET FOR THE INCREMENT OF THE SECOND MIL OF AD VALOREM TAXATION TO THE CITY OF WEST PALM BEACH PURSUANT TO THE INTERLOCAL AGREEMENT BETWEEN THE CITY OF WEST PALM BEACH AND THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY; PROVIDING AN EFFECTIVE DATE AND FOR OTHER PURPOSES. WHEREAS, the City of West Palm Beach (City) has exempted the Downtown Development Authority (DDA) from the requirement to fund the redevelopment trust fund with the increment generated by the second mil of DDA ad valorem taxation; and WHEREAS, the City and the DDA have entered into an Interlocal Agreement effectuating that exemption; and WHEREAS, the Interlocal Agreement requires the DDA to provide the City with the proposed budget for the increment of the second mil of ad valorem taxation; and WHEREAS, the DDA has considered and approved a proposed budget for the increment of the second mil of ad valorem taxation.

Wayfinding RFP Local Preference

Date: July 16, 2019 The DDA will be issuing an RFP for Pedestrian Level Wayfinding and one of the scoring criteria on the RFP is a Local Preference.

The Board has requested staff to seek direction on the option of including Local Preference scoring on each request for proposals (RFP) issued. Typically, this equates to 5 points out of a possible 100 total points in the scoring process of RFP responses.

Attached is a refresher on the Pedestrian Level Wayfinding Sign Prototype currently located in the City Hall courtyard.

Medical Marijuana Dispensaries in Downtown

Date: July 16, 2019 There are is currently one medical marijuana dispensary in Downtown, Med Men, and it is located at 539 Clematis Street. There is one other dispensary in the permitting process that will be located at 430 Clematis Street, the former location of Sir Speedy.

State regulations require municipalities to regulate medical marijuana dispensaries in the same manner that pharmacies are regulated. In the case of downtown, pharmacies are a permitted use and therefore dispensaries are as well.

Other businesses that offer non-THC products such as CBD oil and accessory items that are often associated with the consumption of marijuana have located in downtown as well. These are considered retail businesses and are held to the same regulations as other types of retail.

City officials may hold a workshop on dispensaries and potentially other types of associated businesses. It is unlikely that dispensaries can be banned or regulated. Other uses such as vape and CBD shops could potentially be regulated or banned. Staff will present possible outcomes to the Board with a request for guidance to share with City officials.
