Guests in attendance: Sergio Piedra, Officer Dustin Moore, Howard Pincus, Linda Cullen, Diane Quinn, Dylan Tracy, Virtual Guests in attendance: Caroline Villada, Josh Merkin and Tony Theissen CALL TO ORDER Chair Reikenis called the meeting to order at 8:35 a.m. PUBLIC COMMENTS None. EXECUTIVE DIRECTOR’S REPORT James Feaman began by discussing the success of the Vintage Vibes event, sharing data that confirmed it was a strong turnout and well received by the community. James Feaman reported that Let’s Vibe officially concluded on May 14th, the last program of the session. James-Feaman highlighted that Sabrina Lolo will be attending ELF (Emerging Leader Fellowship) — a weeklong leadership development program focused on business growth and placemaking strategies. She also recognized Samantha Moore for her new role as Director of Administration. James-Feaman also spoke about her involvement on the board of the International Downtown Association and noted that she recently attended their strategic planning session focused on goals for the next five years. She provided an update on the CRA and the DDA’s co-hosting of the Urban Land Institute (ULI) Leadership Program, which welcomed over 40 real estate professionals and developers to the area. The DDA also conducted its first Residential Survey, receiving over 500 responses. Once the data is fully analyzed, results will be shared with the board. Additionally, in a noteworthy community engagement effort, a Downtown Ambassador from Block by Block worked with the local police department to assist an individual experiencing homelessness. Through consistent rapportbuilding, the ambassador successfully connected the individual with law enforcement, resulting in them being placed into shelter. She concluded her report by reminding everyone that the original Downtown Master Plan Visioning Session has been rescheduled to June 18, 2025, from 5pm – 7pm. James-Feaman apologized for the technical issues today and added that copies of the presentations will be available upon request after the board meeting.

PRESENTATIONS New Downtown Officer Introduction Officer Moore with the City of West Palm Beach introduced himself as a new point of contact for businesses and residents in the downtown area. He shared his professional background and expressed enthusiasm about his new role. Officer Moore outlined his responsibilities, which include following up on ongoing issues and maintaining communication with downtown businesses. His regular hours are from 7:00 AM to 3:00 PM, but he is flexible and available to come in earlier or stay later if needed. He shared his contact information and added that if there is an emergency, 911 should still be called. Rustin provided an update on new law for the removal of unauthorized persons from commercial properties that will go into effect July 1st. She informed the board that this law is set in place for any commercial business owner to file a verified complaint and request an immediate removal of an unauthorized person from the owner’s property. Discover the Palm Beaches Sergio, Senior Director of Community Engagement at Discover the Palm Beaches, provided a presentation on current tourism and visitor statistics in Palm Beach County. He discussed the ongoing Tourism Master Plan, explaining that a community survey is currently being conducted. Once the survey period concludes on June 18th, a workshop will be held to review the collected data and explore the ideas and feedback gathered. Sergio requested the board’s support in ensuring the success of the Tourism Master Plan by assisting with its implementation. During the discussion, Board Member Sanders raised a question about the role of transportation within the plan, emphasizing its importance from a tourism perspective. Sergio confirmed that mobility is a key component of the master plan and noted that it will guide the development of future transportation strategies. CONSENT CALENDAR Minutes of Regular Board Meeting April 15, 2025 Financial Statement of April 30, 2025 Cruise made a motion to approve the consent calendar. Sanders seconded the motion. The motion passed unanimously. OLD BUSINESS Landscaping Agreement Catherine Ast informed the board that the RFP 2025 – 001 Landscaping Services selection committee met on April 24th to review proposals submitted in response to the landscaping RFP. The scores were as follows:

She announced that Scott Lewis Gardening was selected as the top candidate and commended the selection committee for their outstanding work and for conducting a smooth and efficient selection process. She added that a draft agreement is included in the board packet for approval. She recommended that the board move forward by awarding the landscaping contract to Scott Lewis Gardening. Sanders made a motion to award RFP 2025 – 001 to Scott Lewis’ Gardening and approve the Landscaping services agreement. Bratter seconded the motion. The motion passed unanimously. NEW BUSINESS rbb Communications – Digital Advertising James-Feaman introduced Josh Merkin, who joined the meeting via Zoom. Merkin provided an update on the continuation of the digital marketing plan and introduced Carolyn Villada to present further details. Villada highlighted the success of last year’s campaign, noting that they exceeded their awareness goal by achieving 17.9 million impressions. She then outlined the key goals for the upcoming year and identified the target audience for the campaign. Villada also presented a detailed breakdown of the proposed budget for the upcoming fiscal year. Staff recommended approval to renew rbb Communications’ contract for 2025 paid media services in the amount of $165,000, matching last year’s approved budget. Their continued partnership will ensure consistency, strategic growth, and measurable impact for Downtown West Palm Beach’s visibility. Cruise motioned to approve renewal of rbb Communications’ contract for 2025 paid media services in the amount of $165,000. Sanders seconded the motion. The motion passed unanimously. WPBF News 25 – Lifestyle and Digital Advertising James Feaman introduced Dylan Tracy, who presented an overview of the Lifestyle Sponsorship Campaign. Tracy reported strong performance metrics, noting that the campaign exceeded expectations in impressions, commercial placements, reach, and frequency. He also provided an overview of the partnership incentive package and expressed appreciation for the continued growth and success of the collaboration with the DDA. Tracy further outlined the monthly media plan and requested board approval to renew the agreement with Channel 25. Staff recommended approval to renew our annual media partnership with WPBF 25 in the amount of $100,000. The continued campaign will ensure a strong exposure delivery and increased engagement. Cruise motioned to approve renewal of WPBF 25 annual media partnership agreement in the amount of $100,000. Sanders seconded the motion. The motion passed unanimously. Carryforward Budget Amendment Resolution No. 01 – 2025 Moore requested an amendment to the FY 2025 budget to account for the carryforward adjustment resulting from the audit, and to reallocate funds to cover additional expenses related to business development, district services community policing and enhanced cleaning of downtown. Moore reviewed the proposed carryforward budget attached as Exhibit A. Staff recommended approval of the Budget Amendment Resolution No. 01 – 2025. Sanders motioned to approve Budget Amendment Resolution No. 01 – 2025 as proposed. Cruise seconded the motion. The motion passed unanimously. 107 S. ANNOUCEMENTS James Feaman announced that the agenda for June will include the preliminary budget for Fiscal year 2026 and the Tree Canopy project. She added that the next Downtown Master Plan visioning session will be on June 18th in the Flagler Gallery at City Hall with a new format. ADJOURNMENT Sanders made a motion to adjourn the meeting. Tree Canopy Project Update & Agreement Extension

The DDA has been working on the Tree Canopy Project to replace trees in the Downtown that are missing or unhealthy. We have an Interlocal Agreement with, and funding from the City to match funds from the DDA for this project. The budget for this project is $200,000. Our current contract covers this project through July 31, 2025. Addendum 5, attached, for the current Landscaping Services agreement will allow for additional time to complete the project. Locations have been identified using the most recent tree survey from the city. We anticipate approximately eight (8) trees can be planted with available funds. Scott Lewis’ Gardening and Burkhardt Construction will perform the work. Staff has prepared a presentation for the Board outlining each location and the actions required to complete the work at each site. Staff is requesting Board approval of the 5th Addendum of the current Landscaping Services agreement to allow time for this project to be completed.

FIFTH ADDENDUM TO THE AGREEMENT BETWEEN THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY AND SCOTT LEWIS’ GARDENING & TRIMMING, INC. THIS FIFTH ADDENDUM TO THE AGREEMENT BETWEEN THE WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY AND SCOTT LEWIS’ GARDENING & TRIMMING, INC. is hereby made and entered into this _____ day of _____________, 2025 (the “Fifth Addendum”), by and between the West Palm Beach Downtown Development Authority, an Independent Special District (the “DDA”), whose address is 107 S Olive Avenue, Suite 200, West Palm Beach, Florida 33401, and Scott Lewis’ Gardening and Trimming Inc., a Florida Profit Corporation (the “Contractor”), whose address is 514 14th Street, West Palm Beach, FL 33401 (together, the “Parties”). WHEREAS, the DDA and Contractor entered into a Landscaping Services Agreement for the provision of regular landscaping care and maintenance services pursuant to Request For Proposals 2020001 dated July 21, 2020, effective retroactively to June 1, 2020 (the “Agreement”); and WHEREAS, the DDA and the Contractor amended the scope of services of the Agreement by executing the First Addendum to the Agreement on October 20, 2020; and WHEREAS, the DDA and the Contractor amended the scope of services of the Agreement by executing the Second Addendum to the Agreement on July 20, 2021; and WHEREAS, the DDA and the Contractor amended the term of the Agreement by executing the Third Addendum to the Agreement on May 16, 2023; and WHEREAS, the DDA and the Contractor amended the term of the Agreement by executing the Fourth Addendum to the Agreement (the “Fourth Addendum”) on May 21, 2024. The Fourth Addendum also assigned to the Contractor an additional discrete project to plant a certain amount of trees in the downtown area (“Tree Canopy Project”). As of May 30, 2025, the Tree Canopy Project had not been completed; and WHEREAS, the DDA issued a Request for Proposals for Landscaping Services (“RFP 2025-001”), for a term of three years beginning August 1, 2025, which was awarded to Contractor. The scope of services for RFP 2025-001 did not include the Tree Canopy Project; and WHEREAS, the Parties desire to amend this Agreement to extend the term for the completion of the Tree Canopy Project and to terminate the ongoing regular landscaping care and maintenance services as of July 30, 2025. These services will be provided by Contractor under a separate agreement; and WHEREAS, the DDA finds it is in the best interest of the DDA to execute this Fifth Addendum.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt of which is hereby acknowledged by both Parties, the DDA and the Contractor agree as follows. 1. RECITALS: The above recitals are true and correct. 2. TERMINATION OF ONGOING LANDSCAPE MAINTENANCE SERVICES: Effective as of July 30, 2025 (“Maintenance Termination Date”), all provisions of the Agreement relating to the Contractor’s obligation to perform regular landscaping care and maintenance services as set forth in RFP 2020001 shall terminate and be of no further force or effect, except for any obligations expressly related to the Tree Canopy Project. 3. EXTENSION OF THE TREE CANOPY PROJECT: Notwithstanding the termination of ongoing regular landscaping care and maintenance services, the term of the Agreement is hereby extended until the services for the Tree Canopy Project as set forth in “Exhibit A” and “Exhibit B” are completed to the satisfaction of the DDA. This extension is for the sole purpose of completing the Tree Canopy Project. 4.
COMPENSATION: Compensation for work related to the Tree Canopy Project shall remain as set forth in the Agreement, in an amount not to exceed Two Hundred Thousand Dollars ($200,000.00).
5.
REMAINING TERMS UNAFFECTED: All other terms, conditions, and provisions of the Agreement as amended shall remain in full force and effect except as amended by this Fifth Addendum.
6.
AGREEMENT: This Fifth Addendum shall become part of the Agreement.

EXHIBIT B - CONTRACTOR RESPONSIBILITIES A. Apply for, obtain, coordinate, and pay for all permits, inspections, and tests. Ensure the successful, timely, and economical completion of the project or phases of the project. B. Coordinate and ensure compliance with all contract and insurance requirements. C. Coordination of grants (if applicable). D. Create, maintain, and present an overall construction schedule and Schedule of Values for the project or phases of the project. E. Coordinate Construction Management Services, including but not limited to: 1) Regular job site meetings. 2) Maintaining and updating schedules. 3) Overseeing quality assurances. 4) Maintaining and providing copies of all contract documents. 5) Insuring compliance with all safety programs. 6) Coordination of all construction. 7) Coordination of all on site administration
1. GENERAL SERVICES Work to be accomplished under this contract will include services to plant trees in the DDA District as described in Exhibit D. Tree location and selection will be determined by the DDA and City.

Preliminary Budget Discussion FY 2026

The Property Appraiser notified the DDA on May 28, 2025, of its estimated taxable value. The total estimated taxable value for FY 2026 is $4,384,769,244 with new construction estimated at $181,516,799. The taxable value in FY 2025 was $4,008,533,506. There has been a 9.14% increase in property value from the prior year. The FY 2026 budget is based on DDA five-year work plan and recommended amendments to the interlocal agreement between the DDA, City and CRA. Recommendations: • The city has requested that the DDA contribute to the City’s Ride West Palm Beach fixed route transportation system covering downtown and the northwest neighborhood. Staff recommends focusing on the on-demand transit services and has budgeted $600,000 for that purpose. • Continuing to fund Community Outreach and Innovative Policing, in partnership with the Police Departments Entertainment District Unit (EDU) who are on the front line of the homelessness issue, the DDA will provide funds for temporary shelter, transportation to family or other expenses that will help homeless people move off the street. • Increase the landscape expenses by 5% to align with the DDA’s landscape contract. • Increase the ambassador program to allow for increased visibility and additional ambassadors during peek times Staff will be presenting a draft FY 2026 budget.
