2017 Year of Synchronicity in Global Growth: Scotiabank Economics Global Outlook within countries, the foundation remains for solid global performance through at least 2018, though geopolitical risks continue to dominate.” There are now tangible signs that firms have joined households in contributing to the recover in most countries, and capital spending in the more advanced OECD countries is expanding at a pace not seen in over three years. This is a welcome development given the general weakness of business investment in companies globally since the GFC. This turnaround in investment appears to reflect a number of powerful factors, such as a rise in confidence as ISM indicators are at multi-year records, the still low cost of capital, and the general increase in trading partner activity. Highlights of Scotiabank’s Global Outlook include: • CANADA: Growth is expected to hit 3.1 per cent during 2017 before slowing to 2.0 per cent in 2018 and 1.5 per cent in 2019 as tailwinds from busy Canadian consumers begin to wane.

G

lobal growth is strengthening as policy stimulus in some advanced economies is unwound. This is a confirmation of the narrative building throughout the year, in which the sources of growth have been broadening across and within countries.

“For the first time since the Global Financial Crisis (GFC), all 45 industrialised OECD countries are set to expand,” said Jean-François Perrault, Senior Vice President and Chief Economist at Scotiabank. “Given the breadth of growth geographically and its increasing diversity

• UNITED STATES: The U.S. economy is forecast to hit 2.2 per cent year-over-year (yoy) in 2017, before plateauing in 2018 at 2.3 per cent and decelerating to 1.7 per cent yoy in 2019. • MEXICO: It is too early to determine the likely effects of terrible September earthquakes on the Mexican macroeconomic landscape, but they are expected to be relatively small. • UNITED KINGDOM: The Bank of England will likely deliver a rate hike in November. Moderate tightening is expected to be delivered during 2018, helped by accelerating growth and wage inflation in the new year. • LATIN AMERICA: As political situations improve in some countries within the LatAm region, such as Brazil, Colombia, and Chile, the economic performances suggest a gradual recovery. • CHINA: China is set to remain among global engines of growth, yet real GDP gains will likely decelerate to six per cent yoy by the end of 2019. Mortgage Professionals Canada reacts to federal government’s adjustment to proposed

SMALL BUSINESS TAX CODE CHANGES

M

ortgage Professionals Canada is pleased that the Liberal government is listening to concerns raised by its members regarding the proposed changes to the manner in which passive investments are taxed for small businesses.

Through its recent submission to government and ongoing dialogue with the Minister, the association made specific recommendations to allow for some passive investments to be allocated under the existing rules which have been clearly heard by the Minister.

“Minister Morneau and Prime Minister Trudeau told us that they heard our concerns and are adjusting their proposals to ensure our members are not unduly impacted,”said Paul Taylor, president and CEO of Mortgage Professionals Canada. Recently, the government announced it would be lowering the small business tax rate, clarifying the rules around income sprinkling and cancelling the proposed change on capital gains exemptions. Mortgage Professionals Canada will be continuing to work constructively with the government through the implementation of these policies. Mortgage Professionals Canada is the national voice of the mortgage industry, an association whose members include mortgage brokers, mortgage lenders, mortgage insurers and industry service providers. The association represents over 11,500 individual members and over 1,000 businesses across Canada. Visit mortgageproscan.ca.

COMMERCIAL EMERGE CONFERENCE brings prominent industry leaders to London

I

n collaboration with the Ontario Real Estate Association (OREA), the London and St. Thomas Association of Realtors (LSTAR) announced its Commercial Emerge Conference held September 28, 2017 drew dozens of people across the region, featuring senior industry leaders and influencers who discussed commercial real estate and retail market trends, issues and opportunities impacting southwestern Ontario and beyond.

“There was an incredible wealth of knowledge and expertise on display today, with one of the most powerful lineups of leading experts involved within commercial real estate,”said John Geha, LSTAR CEO.“Bringing these experts together to address what’s happening in the industry helps us to manage the changes impacting the business today, and provide greater support to our members to deliver the highest value to those they passionately serve.” One of the central themes of the conference explored the trends impacting the commercial, industrial and retail sectors, as well as land development trends from several perspectives – North America, Canada, Ontario and regional. The relationship between Canada and the United States was also examined, focused on how foreign tax and the North American Free Trade Agreement (NAFTA) affect the major sectors of the market. “Changes are happening now and with London’s geographical location, we have a tremendous opportunity to further grow the city as a major regional economic engine,” Geha said.“When you consider the breakthroughs in artificial intelligence and smart technology, steady growth in the city’s tech and digital media sector, and various transportation initiatives such as the forthcoming Gordie Howe International Bridge connecting Ontario and Michigan, the momentum continues to build.” The conference featured an engaging presentation from Amy Erixon, principal and managing director of Investments for Avison Young. Erixon spoke about real estate technologies and their implications on the marketplace and how these

emerging areas can be leveraged in the commercial real estate space. More than 100 people across Ontario attended the all-day conference, including LSTAR Member Realtors, business, government and community leaders and influencers, as well as commercial and industrial industry professionals. The London and St. Thomas Association of Realtors is one of Canada’s 15 largest real estate associations, representing over 1,700 Realtors working in Middlesex and Elgin Counties. Canada’s growth leaders

T

oronto is expected to boast the fastest-growing metropolitan economy outside of Alberta this year, and is forecast to be a growth leader again in 2018, according to The Conference Board of Canada’s Metropolitan Outlook: Autumn 2017. Meanwhile, Hamilton and Ottawa-Gatineau’s economies are on track to post solid gains this year.

“Toronto’s economy was firing on all cylinders during the first half of 2017, but growth has moderated since then and this trend will continue through 2018, as government housing market cooling policies have their desired effect. Likewise, Hamilton’s economy is enjoying strong growth this year, but slower growth looms,”said Alan Arcand, associate director, Centre for Municipal Studies, The Conference Board of Canada.“Meanwhile in Ottawa-Gatineau, many key pillars of the region’s economy are posting solid advances this year: the public sector is growing and hiring, the construction industry remains busy, and tourism is having a banner year.” TORONTO

Toronto’s real GDP is forecast to grow 3.7 per cent this year, the fourth year in a row of above three per cent growth. Next year, economic growth will slow to 2.5 per cent, topping all other metro areas in this report except Vancouver. The local construction sector has been a key growth driver. Output is on track to expand 3.9 per this year, as robust nonresidential construction activity will more than offset cooling new home construction. Indeed, after a blistering start to the year, housing market activity started to cool soon after the Ontario government introduced its Fair Housing Plan in April. The measures appeared to have had their desired cooling effect and, as such, housing starts are projected to fall an additional 4.4 per cent in 2018 on the heels of a 1.7 dip in 2017. Accordingly, overall construction output growth is forecast to ease to 2.0 per cent next year. Finance, insurance, and real estate will also feel the pinch of the housing market slowdown, as output growth is projected to decelerate from 4.8 per cent in 2017 to a still solid 3.1 per cent in 2018. Meanwhile, the export-oriented manufacturing sector is experiencing slower growth this year, as U.S. vehicle sales appeared to have peaked. Output growth in Toronto’s

manufacturing sector is set to reach just 0.9 per cent in 2017, before improving modestly to 1.4 per cent next year. HAMILTON

Hamilton’s economy is projected to grow by 2.9 per cent in 2017, before easing to 2.0 per cent in 2018. This year’s strength has been driven by strong gains in several sectors, including construction, wholesale and retail trade, personal services, and public administration. Robust non-residential investment activity will more than offset a sharp decline in residential investment, allowing construction output to grow at a rapid pace of 4.8 per cent this year. Growth is on track to accelerate in wholesale and retail trade and in personal services, as healthy employment and income gains have lifted consumer spending. Unfortunately, we think growth in all these sectors will slow next year. On a positive note, manufacturing activity is expected to bounce back next year. As well, housing starts are forecast to increase. The local job market is hot. Employment is expected to climb at its fastest rate in 14 years this year, leading to the creation of over 19,000 net new jobs in 2017. But such growth is unsustainable. As such, we expect Hamilton’s labour market to give back some these gains in 2018, with employment projected to dip 2.1 per cent, equivalent to the loss of 8,500 jobs. OTTAWA-GATINEAU

With many key pillars of Ottawa–Gatineau’s economy enjoying solid advances this year, real GDP is on track to increase by 2.5 per cent, the fastest rate of growth in seven years. Although economic growth is projected to moderate in 2018, it will remain healthy at 2.2 per cent. A big increase in federal government spending has been accompanied by a significant upswing in local public service hiring. Indeed, public administration output is projected to climb by an average of 2.9 per cent per year from 2016 to 2018. The construction industry has been another important driver of growth this year, thanks to strong showings from the residential and governmental sectors. Meanwhile, the tourism industry has been enjoying a banner year, as visitors have flocked to the Capital to participate in events to celebrate Canada’s 150th birthday. Finally, the local high-tech sector has been another key economic contributor as it continues to grow and diversify into other areas besides telecommunications. The strong economic conditions have translated into a good year for Ottawa–Gatineau’s labour market; some 11,000 net new jobs are expected to be added to payrolls in 2017. The positive momentum should continue next year as the economy generates an additional 7,100 net new jobs. For the full report visit conference-board.org.

WHAT IS LEVERAGE, AND HOW TO MAKE IT WORK FOR YOU?

Hamilton

R

eal Estate investment is unique from the stock market because with Real Estate, you can use leverage; and real wealth is achieved by using leverage. Buy Real Estate with a longterm goal and in time leverage will bring great wealth. WHAT IS LEVERAGE? In real estate, leverage is based on acquiring a real estate asset with little of your own money invested. You can obtain bank financing up to 75%-80% of the purchase price, and sometimes with secondary financing you can get up to 90% or even 100% of the total asset value through creative financing. Therefore, a real estate value increase of 5 percent (appreciation rate) is by far a better investment than a stock increasing by 20 percent.

This is because when you leverage an investment property, you reap the benefits of the appreciation on the total of the asset value, and not your cash invested. As an example, consider the common real estate purchase requirement of a 20% down payment – or $100,000 on a $500,000 asset. The buyer is essentially using a relatively small percentage of his or her own money to make the purchase, and the majority of the money is being provided by the lender. Real estate investors often refer to the remainder of the purchase price as “other people’s money,” since persons other than the borrower provided the money needed to make the purchase. Assuming the property appreciates at 5% per year, the borrower’s net worth from this purchase would grow to $525,000 in just 12 months. A huge

$25,000.00 increase in value in one year. If the same $100,000.00 was used to buy stocks and the stocks had appreciated by 20% for the year...the resulting profit of $20,000.00 would still be lower than the $25,000.00 (5% appreciation) profit, from using leverage. Furthermore, if the same investor used the $100,000 to make an outright, paid-in-full purchase of a $100,000 property and assuming the same 5% rate of appreciation, the buyer’s net worth from this purchase would have increased by only $5,000 over the course of 12 months versus $25,000 from the leveraged, more expensive property. The $20,000 difference demonstrates the potential net worth increase that is provided, with the use of leverage.

Purchase with a long-term goal. If the property value drops, it is only a paper loss unless you must sell when under duress. Remember that after the rain, the sun will eventually shine again.

Now, assuming the $500,000 purchase had an average of 5% appreciation every year for the next 20 years. The value in the 20th year would be approximately $1,325,000.00. Over time, the use of leverage can have a significant, positive impact on your net worth. THE RISK OF USING LEVERAGE Just as leverage can work on your behalf, it can also work against you. Revisiting our earlier example, if you use a $100,000 down payment to purchase a $500,000 property, and real estate prices in your area decline for several years in a row, the leverage works in reverse. After year one, your $500,000 property could be worth $475,000 if it depreciates by 5%. A year after that, it could be worth $451,250 - a loss in equity of $48,750.

Please say you saw it in The Commercial Investor

Under that same 5% price-decline scenario, if that $100,000 had been used for an all-cash purchase of a $100,000 home, the buyer would have lost just $5,000 over the first year in which home prices fell. To reduce the risk of using leverage, follow my tips; • Do not use 100% (no money down) purchases. Invest at least 20% of your own money down on a purchase • Always have a sizable cash cushion available, or access to cash if needed for emergency • Purchase with a long-term goal. If the property value drops, it is only a paper loss unless you must sell when under duress. Remember that after the rain, the sun will eventually shine again. Be patient with your Real Estate investment and in time leverage will eventually bring great wealth.

GTA REALTORS RELEASE commercial market figures

T

oronto Real Estate Board President Tim Syrianos announced commercial sales and leasing statistics reported through TREB’s MLS System for Q3 2017. TREB Commercial Network Members reported 5,609,801 sq. ft. of combined industrial, commercial/ retail and office space leased through TREB’s MLS System. This result was down from 6,580,699 sq. ft. leased in Q3 2016. Three quarters of total space leased was in the industrial market segment, with agreements reached on more than 4.2 million sq. ft. This result was down from approximately 5.1 million sq. ft. reported leased during Q3 2016. Average lease rates reported on a per square foot net basis for transactions with pricing disclosed were up for all major market segments. Some of these increases were likely reflective of market conditions in the Greater Toronto Area. However, it is also important to note that average lease rates are also affected by changes in the composition of deals from one year to the next, in terms of property type, size and location.

“Economic reports for the first half of 2017 suggested that we were experiencing strong growth in Canada, including the regional economy of the GTA. The first GDP report for the third quarter, however, was flat for the month of August. It remains to be seen whether the upward trend will resume. Over the same time period, overall leasing activity has been down compared to 2016. If economic growth continues, including in the GTA, an increase in commercial leasing and sales activity could be the result as we move through the end of 2017 and into 2018,” said Mr. Syrianos. Combined industrial, commercial/retail and office sales reported by TREB Commercial Network Members amounted to 175 in Q2 2017 – down from a total of 320 sales reported in Q2 2016. Average sale prices on a per square foot basis for transactions with pricing disclosed were up for the industrial market segment and down for the commercial/retail and office segments. Year-over-year changes in selling prices were due to both market conditions and changes in the mix of properties sold.

CFIB applauds federal government decision to back away from capital gains proposal

T

he Canadian Federation of Independent Business (CFIB) commends the federal government for the recent announcement that it will not move forward with measures relating to the conversion of income into capital gains.

“We are very pleased that the government has listened to concerns of business owners and has stepped back from this element of their new tax plan,” said Dan Kelly, President of CFIB.“These rules would have made it more costly for small business owners – including farmers and fishers – to sell or transfer their business to their children.”

In the past, CFIB has supported two private members’ bills – from NDP MP Guy Caron and Liberal MP Emmanuel Dubourg – which proposed amendments to a nuance in the Income Tax Act which currently makes it easier to sell a family business to a third party than to a member of the family. “We stand ready to work with the government on finding solutions to ensure that intergenerational transfers of small businesses are easier and less costly, while, at the same time, maintaining the integrity of the tax system,”added Kelly. Given the complexity of all of the federal government’s revised tax proposals, CFIB will work with tax professionals to review the whole package, once all details have been announced, and provide an overall assessment on the net impact for Canada’s small business owners. CFIB is Canada’s largest association of small and mediumsized businesses, with 109,000 members across every sector and region. Visit cfib.ca.

Southern Ontario commercial real estate in high demand, but is cap rate compression over? By Roelof van Dijk

C

anada experienced tremendous economic growth in the first half of 2017, which resulted in strong job creation, with employment up 2.1 per cent, or 374,000 jobs, year-over-year in August. Southern Ontario, has been at the precipice of this growth. As a result, commercial real estate markets continue to perform well, with low vacancy rates and net asking rental rates at or near historic highs. In general, office and retail markets are divided in terms of performance and demand. Class A office assets in good locations, such as downtown or urbanized suburban areas, continue to experience limited vacancy and rising net asking rental rates. Similarly, modern Class A destination-type retail assets are experiencing strong demand from tenants looking to benefit from the experiential draw of the properties and stay relevant in the age of e-commerce. When these types of assets come to market, there are usually multiple bidders who have access to debt financing from willing lenders, resulting in continued compression of cap rates. This can also be said for good redevelopment plays. On the flipside, lower quality office and retail assets in less desirable areas are experiencing increasing vacancy, and although asking rental rates appear flat, the net effective rents are falling as landlords throw in tenant inducements to remain competitive. These assets are seeing less interest from both investors and lenders. As a result, cap rates have increased, albeit only slightly, in 2017. On the industrial side, there has been strong demand for industrial assets of all types. The longstanding belle of the ball is the modern and large logistics/fulfillment centre with high clear-heights. There has also been renewed demand for facilities that are closer to urban population centres in order to facilitate next -day – and soon to be same-day – delivery services. These facilities are generally older and smaller with much lower clear-heights, but they meet the need and are used in conjunction with, not to replace, these larger distribution centres.

As a result, the average cap rate for office product across Southern Ontario actually increased by 15 basis points (BPS) year-over-year (YoY) to 5.63 per cent in Q3 2017, with the average price per square foot down approximately $4.43 over the same period to $286.99. Cap rates and price per square foot moved in a more positive direction for both industrial

and retail product. The average cap rate for industrial product was down 36 BPS YoY to 5.70 per cent with the average price per square foot up $8.19 to $107.82. The average cap rate for retail product in Southern Ontario was down 86 BPS between Q3 2016 to Q3 2017 to 5.07 per cent, with the average price per square foot up $45.11 to $361.83. Looking forward, the strong economic growth experienced in the first and second quarters of 2017, at 3.7 per cent and 4.5 per cent respectively, are not expected to continue throughout the second half of 2017 and into 2018. The Bank of Canada has already raised its overnight interest rate twice in 2017 to 1.00 per cent, and although they have recently raised some uncertainty as to whether the next move will be up or down, analysts are expecting incremental increases to continue through 2018, potentially up to 2.00 per cent. Furthermore, and more impactful to mortgage rates, the U.S. Federal Reserve will likely continue increasing the fed funds rate, and is set to unwind their quantitative easing policies by selling off bonds, which likely mean bond yields will be on the rise. Forecasts now show that the 10-year Bank of Canada bond yield is expected to increase from the current 2.10 per cent to approximately 2.55 per cent in 2018. All of this means that investors will be able to find yield outside of commercial real estate, which should begin to limit downward pressure on cap rates. Furthermore, with the new capital controls in place in China, which represent an attempt to restrict capital flight from that country, the flow of Chinese money to Canadian commercial real estate is expected to slow. Foreign investment in Canadian commercial real estate, specifically from China, has been one of the driving factors responsible for recent cap rate compression. However, with all of these factors in play, talk about cap rate compression may be coming to an end. With that being said, there have been several recent large transactions that demonstrate demand for Southern Ontario commercial real estate has definitely not slowed. These transactions include: Dream Office REIT’s Toronto office portfolio selling for approximately $1.4-billion, the upcoming sale of OneREIT to Smart REIT and Strathallen Acquisitions Inc. for an estimated $1.1 billion, and Constitution Square, an office property in Ottawa, recently selling for $480 million. Monetary policy data dependent given unknowns in inflation outlook, Bank of Canada Governor Poloz says

T

he Bank of Canada’s approach to monetary policy has become particularly data dependent, because of significant unknowns around the inflation outlook as the Canadian economy nears its potential, explained Governor Stephen S. Polozz, in a recent speech to the St. John’s Board of Trade, Governor Poloz reviewed the complex economic adjustments to the 2014 oil price shock, and the progress that has been made since. The Bank’s decision to ease monetary policy in 2015 helped facilitate this progress, and “we could see by the beginning of summer that the economy’s adjustments to lower oil prices were essentially complete,” the Governor said. While growth in the second quarter far exceeded expectations, and showed the expansion becoming more broadly based and self-sustaining,“recent data point clearly to a moderation in the second half of the year,” the Governor said. The challenge for the Bank now is to weigh the upside and

downside risks to inflation as the economy approaches its capacity. In the current environment, several unknowns are preventing the Bank from thinking mechanically about the outlook for interest rates, the Governor said. In particular, as the economy nears its potential, business investment can have the effect of pushing out its capacity limits, either through increases in productivity or the workforce, giving the economy more room to grow in a non-inflationary way, he said. Other unknowns that are clouding the outlook for inflation include the impact of the digital economy, which may be placing downward pressure on inflation, ongoing weak wage growth, and the sensitivity of the economy to higher interest rates given elevated levels of household debt. “We need to keep updating our understanding of the economy in real time,” the Governor said, as he highlighted the work done by the Bank’s regional offices to gauge business sentiment and gather intelligence from the business community. “There is no predetermined path for interest rates from here,” the Governor concluded.“Monetary policy will be particularly data dependent in these circumstances and, as always, we could still be surprised in either direction. We will continue to feel our way cautiously as we get closer to home, fostering economic growth and keeping our inflation target front and centre.”

The Pro Fund’s Client Experience:

We as the general public have been spoiled by the low bank rates being offered to date. Many investors become so enticed by low interest rates that they do not even consider the option of using private funding when they are declined by the bank, and as result, they turn away from a purchase or refinance that could have generated great profit for them.

So how can you structure your very own “zero down flip”? 1. Know your numbers - See a lot of properties, find out what they are selling for, both before and after the proposed renovations, and build yourself a buffer of 20% over and above what you think it will cost. Talk to contractors, get estimates and be ready to play hardball if needed. 2. Back it up – Start the process with comparable sales (your realtor can help with this) this is how you’re going to convince your lender that you can actually get the property sold for what you think you can sell it for at the end of the day. If they’re going to lend you money they need to know you have an “exit strategy”. Be sure that you’re very clear on what yours is. Good mortgage brokers will require an appraisal because they have an interest in making sure everyone is protected. You should expect to provide an appraisal for the property “as is” and “upon completion” of the proposed renovations. 3. Work with a broker that focuses on creative financing – I’ve worked for, and used Pro Funds Mortgages for financing for 5 years now. Knowing I can get real estate financed has allowed me to be a lot more aggressive with my real estate acquisitions. 4. Be willing to give up other collateral – my portfolio is an open book when it comes to getting new money. I put up one of my other properties to avoid putting any money down on this deal and I would do it again in a heartbeat. The ease and speed of operating this way allows me to do more than I ever could with a bank. If you’re thinking about doing a flip of your own or are wondering how you can leverage your existing properties to purchase a property with little or zero down, contact Pro Funds Mortgages at 1-888-330-3866 or info@profunds.ca

Investors continue to diversify portfolios, pursue prime assets in key markets Avison Young releases its Fall 2017 North America and Europe Commercial Real Estate Investment Review

V

endors of commercial real estate assets continue to attract a diverse group of eager buyers deploying an abundant supply of capital across asset classes and geographical boundaries. In some markets, scarcity of product has resulted in peak pricing, leading some investors to look further afield in a world of shrinking returns – and to take on more risk.

These are some of the key trends noted in Avison Young’s Fall 2017 North America and Europe Commercial Real Estate Investment Review, released recently. The report covers commercial real estate investment conditions in 54 markets in five countries on two continents: Calgary, Edmonton, Montreal, Ottawa, Toronto, Vancouver, Atlanta, Austin, Boston, Charlotte, Chicago, Cleveland, Columbus, OH; Dallas, Denver, Detroit, Fairfield County, Fort Lauderdale, Hartford, Houston, Jacksonville, Las Vegas, Long Island, Los Angeles, Miami, Minneapolis, Nashville, New Jersey, New York, Oakland, Orange County, Orlando, Philadelphia, Phoenix, Pittsburgh, Raleigh-Durham, Sacramento, San Antonio, San Diego County, San Francisco, San Mateo, St. Louis, Tampa, Washington, DC; West Palm Beach, Westchester County, Coventry, London, U.K.; Berlin, Duesseldorf, Frankfurt, Hamburg, Munich and Bucharest. “The commercial real estate sector remains awash in capital; and despite varying global economic, political and property market conditions, including the ongoing interest-rate scenario, there is no better place to put your money than in hard assets,” comments Mark E. Rose, Chair and CEO of Avison Young.“In short, real estate has established itself as a real alternative asset class to stocks and bonds.”

12G COM

He continues:“Our review of commercial real estate investment activity across diverse markets, countries and continents revealed a continued pursuit of prime assets in gateway markets. However, as scarcity of product and fierce competition are resulting in peak pricing in some of these markets, investors are continuously looking to diversify across product types and geographies, which means climbing up the risk ladder.” The report, which covers commercial real estate investment activity in the first half of 2017, shows that, on a year-overyear basis, Canada recorded an increase in investment sales with higher dollar volumes in five of the six markets surveyed. The majority of the capital went towards the office sector, while the retail sector registered the greatest increase. In contrast, the U.S. market lagged slightly behind the mid-year 2016 tally with 21 of 40 markets reporting reduced investment activity. Investors coveted U.S. office and multifamily product, while more capital flowed into the industrial sector compared with the same period one year earlier. Office also reigned in the five German markets with the industrial sector increasing its share of investment yearover-year. Following the Brexit shock in 2016 and a snap national election in June 2017, the U.K. investment market remains robust, while in Bucharest, Romania – the newest Avison Young market – deals comprised both single-asset and portfolio sales with the office sector again producing the majority of investment dollar volume in the first half of 2017. Rose adds: “As we go through 2017 and into 2018, the commercial real estate investment market will continue to be characterized by motivated buyers and sellers operating in relatively stable property markets and in a largely still-favourable debt environment. Despite elevated valuations, in the longer term, interest rates will rise and asset pricing will normalize.” CANADA

Investment in the Canadian commercial real estate sector is buoyed by a relatively healthy economy that is the envy

of the G7 countries and a commercial property market that continues to see varying, but largely healthy, fundamentals across the country’s regions and asset classes. “With record amounts of capital still seeking a home, investors continue to find ways to buy into Canada’s finite investable commercial real estate sector,”notes Bill Argeropoulos, principal and practice leader, Research (Canada) for Avison Young.“Capital from domestic and foreign investors continues to be largely directed towards Vancouver and Toronto, while the other major markets are also seeing their share of activity.” “On the vendor side, capital recycling continues in order to reduce debt, upgrade asset quality and diversify investments geographically. Surplus capital that can’t be placed domestically often finds its way south of the border, as Canada has retaken its place as the primary source of foreign investment in U.S. commercial real estate. Canadian institutional buyers, such as Ivanhoé Cambridge, Oxford Properties and the Canada Pension Plan Investment Board – on their own or in joint-ventures – were active during the first half of 2017 across major U.S. markets, including Chicago, Los Angeles, New York, San Francisco and Washington, DC, with office properties being the most notable assets purchased.”

• Disrupted by e-commerce, the retail sector was a close second with $5.1 billion in transactions (27 per cent share) as first-half investment more than doubled year-overyear. This result was bolstered by tremendous interest in Vancouver, which saw its country-leading retail investment total nearly quadruple year-over-year to $3.1 billion. Toronto was a distant second, with $1.3 billion in volume. • First-half investment in industrial product came in at $3.3 billion (17 per cent share) nationwide – up 35 per cent year-over-year. All markets recorded growth in transaction volume with the greatest sales total in Toronto ($1.7 billion/53 per cent of the national total). Accelerating industrial market drivers continue to be tenants’ demands for modern, high-ceiling logistics and fulfilment centres, and for facilities close to major urban centres for last-mile delivery service. • The multi-family sector was not far behind with $3.2 billion in first-half transactions (17 per cent share). Perhaps the most restrained markets by scarcity of available product, Ottawa and Toronto registered declines compared with firsthalf 2016; meanwhile, sales in Vancouver increased 146 per cent to more than $1.5 billion, leading the country.

• Finally, the least-traded asset class was ICI Land as $2.1 billion worth of properties changed hands during the first Says Argeropoulos:“Domestically, among the top-ranked half of 2017. Year-over-year, this was the only sector to transactions by dollar volume in Canada’s six major markets, record a decline in sales (-11 per cent) as dollar volume office assets were the most numerous, followed by retail and decreased in all markets with the exception of Montreal. multi-family. Office transactions ranked among the top five • Average capitalization (cap) rates were marginally in all markets except Edmonton, comprising a combination lower across all markets and all five asset types (with of partial-interest, single-asset and portfolio sales.” the exception of suburban class A office, which was NOTABLE FIRST-HALF 2017 CANADIAN INVESTMENT flat) compared with one year earlier. Multi-family assets MARKET HIGHLIGHTS: commanded the lowest yields – closely followed by retail – while overall rates showed the greatest compression year• Following a record $28.4 billion in commercial real estate over-year in Vancouver and Toronto. investment sales in 2016, Canada’s six major markets had first-half 2017 sales of almost $19 billion – up $4.3 billion, or 29 per cent, compared with the first half of 2016. Investors coveted office and retail assets, which combined for more than $10 billion in trades, or 55 per cent of the first-half investment tally. • Vancouver ($7.8 billion/41 per cent share) outpaced Toronto ($6.5 billion/34 per cent share) with investment proceeds surging 75 per cent year-over-year as vendors sought to capitalize on strong demand and peak pricing. With the exception of Ottawa (which saw investment activity plunge 57 per cent), the remaining markets – Calgary, Edmonton and Montreal – all recorded increases year-over-year, and each exceeded the $1-billion mark. • Supported by notable $200-million-plus transactions, office was once again the top investment sector with $5.3 billion in sales – an increase of 16 per cent year-over-year – and captured 28 per cent of total dollar volume. Toronto and Vancouver made up almost three-quarters of the national office total as investors poured nearly $2 billion into each market, mirroring the results registered one year earlier.

Argeropoulos goes on to say: “Almost three months into the second half of the year, we have already seen more than $3.5 billion change hands in Canada, including the likes of the 1.1-million-square-foot (msf) Constitution Square office complex in Ottawa for $480 million and Dream Office REIT’s estimated $1.4-billion office portfolio sale in Toronto, as well as a half-interest in Scotia Plaza.” Robin White, Avison Young Principal and Chair of the firm’s capital markets group, adds: “The remainder of the year and start of 2018 hold the promise of several more large-asset sales, such as 1000 Rue de la Gauchetière, a 917,000-sq.-ft. tower in Montreal; and the 2.2-msf Bay-Adelaide Centre office complex in Toronto. In addition, Cominar REIT intends to sell its non-core assets outside of Quebec and Ottawa comprising 6.2 msf. Taking market trends and forthcoming deals into account, the overall 2017 investment total could match or exceed the record level registered in 2016.” Avison Young is the world’s fastest-growing commercial real estate services firm, headquartered in Toronto, Canada. Commercial lease agreements: Why landlords need lawyers

O

wnership of income-producing properties typically involves the negotiation of commercial leases with your tenant(s). This article explores a few of the considerations inherent in the negotiation and drafting of commercial lease agreements.

14G COM

Aside from the financial considerations noted above, commercial leases must also cover off any “special” requirements to prevent confusion going forward; as an example, use clauses or renewal terms. Tenants typically prefer leases with renewal options. Tenants typically also desire the ability to “assign” their lease as this affords them flexibility to sell their business. Any such provisions should give you broad discretion to vet any prospective assignee to ensure they would be a prudent and reliable tenant. The lease should make sure the tenant will pay any legal and/or administrative costs incurred on any renewal or assignment of the lease. NEGOTIATION OF THE LEASE

Landlords often have their standard form or “boilerplate” commercial lease agreement which they present to prospective tenants for review prior to execution. Savvy tenants will typically have retained a lawyer to review the document and offer proposed amendments. In a scenario where there will be a back-and-forth in respect of the ultimate wording – and particularly where the prospective tenant has retained a lawyer – I highly recommend hiring a solicitor to quarterback the negotiations. From my practice I have found landlords all-too willing to cut out provisions which could severely compromise them in the interests of not losing the tenant. CONCLUSION

It goes without saying that all warranties, representations and terms outlining the landlord/tenant relationship must be incorporated into the lease agreement. These documents can often run between 30 to 50 pages in length. It is far better for your commercial lease to be “too long” than “too short.” Sitting down with an experienced commercial lawyer to properly negotiate and draft your commercial lease at the front end can save you considerable aggravation down the line. COVERING OFF ALL THE BASES

Commercial leases are complex documents and in this article we can only skim the surface. You need to speak to a lawyer who understands this area of law. There are fundamental components of the lease which a solicitor should prepare/review to ensure it meets your practical and commercial expectations. Principally, you will want rental payments defined and broken into “base rent” and “additional rent.” Base rent is your money. This is the amount used to determine net income. Additional rent represents all of the expenses that may be shared by the tenant or paid directly for utilities such as electricity, water and gas and things like maintenance insurance and realty taxes. If you are thinking of a net-net lease this is critical. Have you ensured the lease clearly defines how any increases in rent during the lease term are calculated?

Perhaps the most difficult part of writing these articles relates not to the actual writing, but thinking of a topic to address. Please mail, deliver or fax letters to the magazine or to us, use the website schwarzlaw.ca, email info@schwarzlaw.ca, or phone us at 1-888-609-8888 and give us your questions, concerns, critiques and quandaries. We will try to deal with them in print or electronic form.
