SMALL BUSINESSES CUSHIONING CANADA’S LABOUR MARKET SLOWDOWN: Scotiabank Global Economics Special Report

S

mall businesses have played a critical role in cushioning the labour market slowdown, according to the Scotiabank Global Economics Special Report on Small Business. The report, which looks at the impact small businesses are having on the economy, found that annual payroll growth among small firms averaged 1.4 per cent from 2010-2015, significantly stronger than the 0.9 per cent increase among large firms.

“The growing importance of small firms in job creation reverses the trend over the early years of the new millennium, when large firms dominated hiring,” wrote Adrienne Warren, Senior Economist, and Aron Gampel, vice president, Canadian & U.S. Economics, both at Scotiabank, in the report.“Almost 40 per cent of Canadian employees now work for small firms, the highest level in a decade.”

The report highlights that much of the growth seen in Canada is located in B.C. and Ontario, and is concentrated in the

metropolitan areas of Vancouver and Toronto. These large and expanding urban areas have proven to be quite resilient and generally resistant to the weakness evident throughout much of Canada. Their size, diversity and comparatively stronger economic performances should continue to present growth opportunities for small businesses.

OTHER HIGHLIGHTS FROM THE REPORT INCLUDE: • Small firms generated more than 500,000 net new jobs from 2010-2015, or 45 per cent of national payroll gains.

• The rotation toward small firm hiring mirrors Canada’s shifting industrial performance. Many of the leading industries in job growth are labor intensive and dominated by small firms.

• Industries leading job growth include: construction, accommodation and food services, professional, scientific and technical services and health care and social assistance.

• Industries trailing in job growth include: retail, manufacturing, mining, oil and gas and agriculture.

BMO WEALTH MANAGEMENT REPORT: THE MAJORITY OF CANADIAN PRIVATE BUSINESS OWNERS ARE NOT FINANCIALLY PREPARED FOR RETIREMENT

MO Wealth Management recently issued a report examining how Canadian private business owners are planning to fund their retirement. The report - “As a business owner, do you have a retirement contingency plan?” - found that the majority are not financially prepared for the retirement they envisioned; however, they are considering various factors like increasing savings or selling the business to help reach their goals.

The BMO Wealth Management report found that more than two thirds (72 per cent) have saved less than $100,000 and only ten per cent indicated that they had saved more than $500,000.

Business owners are facing a shortfall in their retirement planning and become heavily dependent on their business assets to help fund their retirement. The report indicates that withdrawing at a rate of $50,000 a year can cause a $500,000 pool of retirement savings to disappear in about 12 years, whereas the amount needed for a sustainable retirement between the ages of 65 and 90 is approximately $1,100,000.

“Retirement dates can vary for business owners depending on their personal and business circumstances. By revealing the shortfalls in a business owner’s retirement fund based on how much they’re saving each year, a financial plan will help them prepare for every circumstance,” said Chris Buttigieg, Senior Manager, Wealth Planning Strategy, BMO Wealth Management.

TURNING A BUSINESS INTO A RETIREMENT ASSET The report examined exit options that private business owners planned to employ to fund shortfalls in their retirement saving.

More than one third of those surveyed said that they would sell to buyer(s) outside of the family (36 per cent).

OTHER EXIT OPTIONS THAT BUSINESS OWNERS ARE CONSIDERING INCLUDE: • The owner does not know what exit option to consider (33 percent) • Transferring the business at no cost to family member(s) (15 per cent)

• Closing or winding down the business (12 per cent) • Selling the business to family member(s) (four per cent) Mr. Buttigieg added,“Preparing to leave a business can be tough, especially because owners have invested so much of their time, effort and money into it. A financial professional can help identify the best solution to ensure their business is left in the right hands, and is appropriately valuated to possibly fund retirement.”

This type of plan includes both technical concerns and interpersonal issues that involve family members.

DIVERSIFY YOUR RETIREMENT SAVINGS: Funds such as RRSPs, TFSAs and other investment products provide diversified retirement savings personally and outside of the business.

This is an effective way to be prepared for the risks and challenges in converting business assets into funds for retirement.

CREATE A PERSONAL FINANCIAL PLAN: A personal financial plan can help to figure out the right amount of savings needed from the business in order to attain the desired retirement goal.

MAKING AN OFFER ON A MULTI-RESIDENTIAL INVESTMENT PROPERTY

ou have finally decided to buy an investment property and found just the right property for you. Now you are ready to take the next step to purchase the property.

Before you proceed to present an Offer to purchase, you must be assured that an experienced realtor or lawyer, familiar with investment properties represents and assists you with completing the Offer.

Consider that when you are buying a home you are basically buying bricks, mortar and land. However, when buying a multi-residential investment property, you are assuming tenants along with all the tenant rules, regulations and laws that accompany them. There are also other extensive regulations and by-laws you need to know about, such as Fire, Zoning, Health and Safety, Environmental, and so on. Your Offer must have the appropriate clauses and conditions to address all of the above-mentioned laws and regulations.

TENANTS Your Offer should request signed Tenant Acknowledgments on or before closing date, whereby a tenant confirms in writing the following: a) Monthly rent, b) Rental deposit paid and when, c) Move-in date, d) Whether any appliance is owned by the tenant, e) Which utilities (if any) do the tenants pay? f) Any on-going Landlord and Tenant disputes g) Date of last rent increase Should a tenant refuse to sign this form, then you should request a Declaration signed by the Seller to confirm the same. You need to be protected from misleading information.

EQUIPMENT The Offer must request confirmation of all equipment and chattels that belong to the property, and that are included in the purchase price, e.g. lawn equipment, vacuum cleaners, appliances, snow blowers, cleaning and hardware supplies, ladders etc.

FIRE REGULATIONS The Offer should require that the Seller provide a “Letter of Compliance” from the Fire Dept. confirming the Fire retrofit was completed and that the building is in full compliance. It is highly recommended to also request for annual fire inspection reports and certificates provided by a certified technician. If the Seller does not have any of the inspection certificates available, then you should amend the offer demanding for the Seller to order and pay for current fire inspection report, prior to closing at the Buyer’s sole satisfaction. You do not want to inherit a property that is not in compliance.

ZONING REGULATIONS The Offer should request the Seller provide a copy of a recent Zoning Certificate that verifies that all units are legally zoned and confirming no outstanding work orders exist.

REQUISITIONS The Offer should also be conditional upon receiving a copy of the following; • All existing contracts, warranties and invoices for recent capital expenditures.

• Utility bills for at least 1 or 2 years • Financial statements for at least 2 years • Existing survey • Insurance policy • Current detailed rent roll • Provide all reports in Owner’s possession eg.

Structural, Home Inspection Report, Environmental Phase 1, Appraisal etc.

• Any Rent Review Order available INSPECTION CONDITION It is imperative to insert a clause allowing for a full inspection of the property. This condition should include viewing all of the units, mechanical room, storage rooms, laundry and electrical rooms, etc. This condition should also have an escape clause terminating the offer, if you are not completely satisfied with the said inspection “at your sole and absolute discretion” INSURANCE CLAUSE With today’s strict rules and regulation some properties may not be insurable due to environmental or electrical issues, or the insurance company may charge a premium for certain properties. Therefore insert a clause conditional allowing the buyer to obtain satisfactory insurance.

FINANCING CONDITON Unlike residential purchases, financing investment properties will take much longer to complete. The conditional period for arranging financing should be extended. The norm would be approximately 15 – 30 business days, because commercial lenders will likely request an extensive appraisal report; plus they may ask for environmental and structural studies before final approval. If you plan to go with a CMHC insured mortgage, be prepared to extend this clause for a much longer period.

ENVIRONMENTAL CLAUSE Be assured that there is not in, on, under or about the Property any toxic or hazards substances which are above accepted background levels for residential properties.

A condition should be inserted that there has been no release of any hazardous substance into the environment from, or deposit or disposal of any hazardous substance onto the Property either during the period of the Seller’s ownership, or at any previous time, to the Seller’s best knowledge, and no hazardous substance originating from the Property has migrated to any neighbouring or adjoining properties, and there are no existing underground fuel storage tanks on the premises.

Failure to address all the above in your Offer may result in unnecessary grief, incur extra costs and the possibility of paying too much for the property. Not all issues are covered in this article. GTA REALTORS RELEASE commercial market statistics

T

oronto Real Estate Board President Larry Cerqua announced that TREB Commercial Network Members reported 365,659 combined square feet of industrial, commercial/retail and office space leased through TREB’s MLS System in October 2016, on a per square foot net basis with pricing disclosed. This result represented a 17.3 per cent decline compared to October 2015.

The industrial market segment accounted for approximately 85 per cent of space leased. The average lease rate was $7.02 per square foot net, which represented an increase over the average from October 2015. Average lease rates for commercial/retail and office space were also up yearover-year.

“Commercial leasing and sales activity can be volatile on a month-to-month basis. Many deals are complex and can take a significant amount of time to go firm. It is also important to note that businesses and investors continue to face a certain degree of economic uncertainty, which can influence the decision to purchase or lease space,” said Mr. Cerqua.

There were a combined 59 industrial, commercial/retail and office property sales reported through TREB’s MLS System in October 2015. This result was down from 69 transactions reported by Commercial Network Members in October 2015.

Annual changes in average sale prices, on a per square foot basis for transactions with pricing disclosed, were mixed.

Average industrial and office sale prices were down on a year-over-year basis, whereas the average commercial/retail price was up in comparison to October 2015. Both changes in market conditions and changes in the mix of properties sold can influence average selling prices from one year to the next.

orguard Corporation released its third quarter 2016 Economic Outlook and Market Fundamentals Report – a behindthe-scenes look at the trends and activity in the Canadian investment real estate market.

Domestically, Canadian pension funds, private capital and institutional groups continued to source core assets in major markets over the third quarter. Canada’s mature commercial property investment performance will continue, as private capital drives activity and pension funds and other institutions make carefully curated acquisitions.

Despite uncertainty in Canada’s economy, the Canadian real estate market continues to attract high levels of domestic and foreign investment. Although the cost of investing in the sector is high, particularly in the commercial office asset class, there remains strong competition for high quality assets – largely due to a lack of stable alternative investment opportunities.

Multi-suite residential properties are in high demand for investors and are expected to continue to generate strong interest for the foreseeable future. High levels of investor interest in the sector were evidenced by third quarter sales as groups with existing portfolios look to capitalize on the sector’s history of security.

Q3 2016 KEY FINDINGS • Stock markets rebounded from Brexit to return record performances – impacts were minimal in Canada • Canada’s economy contracted slightly over the second quarter, largely due to the Alberta wildfires and slowdown in oil sands activity • Domestic and foreign investor confidence continued to provide healthy liquidity in the third quarter, keeping with this year’s trend • Multi-suite residential is a popular choice for investors, and is expected to remain as such for the foreseeable future • Canada’s office leasing market is fragmented, as centres directly tied to the overall economy, like Toronto and Vancouver, show strong performance • Canada’s industrial property sector continues to exhibit broadly healthy leasing market fundamentals, with only Calgary and Edmonton registering weakness INVESTOR CONFIDENCE CONTINUES TO SUPPORT STRONG PERFORMANCE OF CANADIAN REAL ESTATE MARKET Global equity markets rebounded after the Brexit vote, with some regions registering solid year-to-date progress. In Canada, year-to-date gains entered double digit territory in September as stock market volatility decreased. As investor confidence stabilized in the wake of Brexit, the real estate market continued to experience strong demand from foreign and domestic investors.

“The Brexit result, coupled with the belief that the U.S. had entered the late stages of its economic cycle, all drove foreign investment interests,” said Keith Reading, Director of Research at Morguard.“Off-shore groups, with Chinese and European capital, looked to the Canadian property market as a relatively secure destination for their investments.”

The Canadian real estate market will continue to attract high transaction rates, despite the cost of investing in the sector, partially due to weak alternative investment opportunities.

Multi-Suite Residential Markets Remain Highly Sought After

In addition to experienced investors showing interest in the sector, new groups have also begun to acquire multi-suite residential assets.“The long-term stable and secure performance of multi-suite residential units has attracted new investors to the market,” said Reading.“New investor groups see this asset class as a relatively safe investment in an uncertain economic environment.”

While risks related to the Canadian and global economy have risen lately, investors will continue to look to Canada’s real estate sector, and more specifically the multi-suite residential rental sector, to provide a buffer against the potential impacts of any further market erosion.

LEASING MARKET PERFORMANCE CONTINUES TO BECOME INCREASINGLY FRAGMENTED The leasing market continues to reflect regional market strengths, as demand remains strong in regions directly tied to Canada’s overall economic performance. The office and industrial leasing market on aggregate for Canada are softening, however regional performance in Toronto and Vancouver have proven robust in the third quarter.

The strength of the national leasing backdrop was a catalyst for investment demand, as product availability in the nation’s largest markets continued to fall short of demand in the third quarter.“In Toronto and Vancouver healthy and stable leasing fundamentals were reported,” said Reading.“Core properties in these markets are highly sought after, increasing their value and competition.”

BOC CUTS ECONOMIC EXPECTATIONS, HOLDS KEY INTEREST RATE

T

he Bank of Canada has downgraded its predictions for

economic growth in its latest interest rate announcement, and has held its target for the overnight rate at 1/2 per cent. The Bank rate is correspondingly 3/4 per cent and the deposit rate is 1/4 per cent.

The global economy is expected to regain momentum in the second half of this year and through 2017 and 2018. Meanwhile in Canada, the profile for growth is lower than projected in July, due in large part to slower housing resale activity and a lower trajectory for exports. The federal government’s new measures to promote stability in Canada’s housing market are likely to restrain residential investment while dampening household vulnerabilities. Recent export data are improving but are not strong enough to make up for ground lost during the first half of 2016, despite the effects of the Canadian dollar’s past depreciation. Growth in exports over 2017 and 2018 are projected to be slower than previously forecast, due to lower estimates of global demand, a composition of US growth that appears less favourable to Canadian exports, and ongoing competitiveness challenges for Canadian firms.

After incorporating these weaker elements, Canada’s economy is still expected to grow at a rate above potential starting in the second half of 2016, supported by accommodative monetary and financial conditions and federal

fiscal measures. As the economy continues to adjust to the oil price shock, investment in the energy sector appears to be bottoming out. Non-resource activity is growing solidly, particularly in the services sector. Household spending continues to rise, along with employment and incomes outside of energy-intensive regions. The Bank expects Canada’s real GDP to grow by 1.1 per cent in 2016 and about two per cent in both 2017 and 2018. This projection implies that the economy returns to full capacity around mid2018, materially later than the Bank had anticipated in July.

Measures of core inflation remain close to two per cent as the effects of past exchange rate depreciation and excess capacity continue to offset each other. Total CPI inflation is tracking slightly below expectations because of temporary weakness in prices for gasoline, food and telecommunications.

The Bank expects total CPI inflation to be close to two per cent from early 2017 onward, when these temporary factors will have dissipated, but downward pressure on inflation will continue while economic slack persists.

Given the downward revision to the growth profile and the later closing of the output gap, the Bank considers the risks around its updated inflation outlook to be roughly balanced, albeit in a context of heightened uncertainty. Meanwhile, the new housing measures should mitigate risks to the financial system over time. At present, the Bank’s Governing Council judges that the overall balance of risks is still in the zone for which the current stance of monetary policy is appropriate, and the target for the overnight rate remains at 1/2 per cent.

The next scheduled date for announcing the overnight rate target is Dec. 7, 2016.

ith the Canadian economy flat-lined, a recent Federal Economic Update offered no new measures specifically directed at small business. In reviewing the announcement, the Canadian Federation of Independent Business (CFIB) noted its support of several infrastructure and immigration changes, but remains concerned with the size of the deficit and the absence of measures to reduce the tax and regulatory burden on job creators.

NEED FOR A BALANCED BUDGET PLAN: While the government announced a decrease in the forecasted deficit to $25.1 billion, small business owners across the country continue to be troubled by the growing debt.“We would have liked the government to have laid out a concrete plan to get the deficit back down to zero. Middle class job creators need the predictability and confidence in the future that comes from a balanced budget,” said Dan Kelly, President of CFIB.

“Small businesses are behind well-managed infrastructure

spending, and the infrastructure bank, on the surface, looks interesting,” noted Kelly.“While CFIB is generally supportive of private/public partnerships, it would be troubling to have any links to public or public sector pension funds like CPP.” PROGRESS ON IMMIGRATION: CFIB is supportive of the government’s plan to make it easier for businesses to get the kind of workers they need from around the world. While today’s announcement streamlines the process for skilled workers, CFIB hopes there will be a similar plan in the coming months for the low-skilled workers Canada depends on as well.

PRIORITIES FOR THE 2017 BUDGET: Small business owners remain concerned about the impact of rising Canada Pension Plan premiums as a drag on the economy and a hindrance to job creation.

“To reduce the negative economic consequences of increasing CPP premiums, we urge the federal government to support small businesses by reinstating its promise to cut the small business corporate tax rate to nine percent and implement an Employment Insurance youth hiring credit,”added Kelly.“We hope that the 2017 Budget will contain some concrete measures to help small businesses, and hence the Canadian economy as a whole, succeed.”

I’m cold – I want to buy something in the south!

anadian winters being what they are, many of us flee for either short term, or long term holidays to the sun, sand and heat, at various times of the year. When we are there, we are drawn to the siren song of permanent ownership. Maybe it is the urge to plan for retirement or the certainty of having somewhere of your own to go to, year after year.

Really, what are you buying? Are you buying a timeshare, outright ownership or a long term lease? More and more questions. Here is a list of a few questions that need to be answered on a preliminary basis on a resort or new condo purchase before you dive into an in depth review:

Home ownership in another jurisdiction has a slew of considerations that are complex, and at times can be overwhelming. There are estate tax considerations that come up – especially in Florida where you may require a specially designed “Florida Trust” (that a qualified Canadian lawyer can draft for you) to avoid Uncle Sam, as a partner with your kids after death. There are issues of law if the country does not have a British system, and in fact runs on civil or Napoleanic law; Martinique and St Martins are examples. There may be issues of property ownership by foreign nationals requiring some local lawyer to hold your property as trustee.

Here is the first test. How does the resort or sales centre answer those questions?

Did they satisfy you with their knowledge and professionalism? Did they try to push you into signing something without the opportunity to consult with a lawyer?

The next issues relate to the vendor.

Are you purchasing from a reputable organisation? If condo, how are you sure the developer will be around if things go wrong? What guarantees are there on your deposits if he goes broke and does not finish?

Hmm, sounds like a lot, but it was so easy to sign up during the tour.

1. Location. Why are you choosing this location for a second home?

2. How much time will you spend in a typical year in your second home?

3. Will you typically bring friends and family, or not?

4. What are the common fees, and how are they set and controlled?

5. What are resales like for the development?

6. What is the legal structure and laws that apply in the country you are looking at purchasing?

7. Would you rent the property? If so, what are your expectations and needs on rental income?

If you have an intention to buy, make inquiries and find a lawyer referred to you by your lawyer at home, or friends, that can satisfy and protect you at each level.

You need to understand the tax implications to you, and more importantly, the implications if you sell for a profit. As an example Barbados is a Canadian tax treaty partner and you may get favourable consideration on a capital gain – or if structured properly – on rental income. There is no tax in Turks and Caicos, and therefore you would only be subject to tax as normal at home. Each country is unique and needs a lawyer or accountant to help you figure it out.

Buying a second home in the warmth is a dream many Canadians share, and properly structured, can bring years and years of happy memories and quite possibly a great return down the road. Good luck.

FEMALE ENTREPRENEURS MORE CONFIDENT THAN MEN IN MAKING RISK-RELATED DECISIONS: BMO Wealth Report

MO Wealth Management (U.S.) recently released a report which explores the similarities and differences between male and female business owners.

The report - titled Are there gender differences among entrepreneurs? - found that 77 per cent of female entrepreneurs felt very or somewhat confident in making risk-related business decisions, compared to 66 per cent of male entrepreneurs.

“We learned that for many people, regardless of gender, the main driver to become small business owners is the desire for greater freedom and flexibility,” said Jason Miller, National Head of Wealth Planning, BMO Wealth Management (U.S.).“All businesses can be volatile at some point and business owners need to plan accordingly for those times - especially when a majority of people use their own savings to start or grow the business. Nonetheless, it’s encouraging to see that entrepreneurs prudently assess and manage risks to advance their business interests.”

The report also showed that two fifths (40 per cent) of women business owners describe themselves as doing something they enjoy, compared to 35 per cent of their male counterparts. Similarly, 30 per cent of female entrepreneurs define success in business by doing something they feel passionate about, compared to 24 per cent of male entrepreneurs.

THE BIGGEST CHALLENGES HIGHLIGHTED BY ENTREPRENEURS ARE:

• Growing or expanding their business (33 per cent) • Arranging or accessing financing (9 per cent) Miller added,“It takes a lot to manage a business and what business owners need to remember is that they don’t have to do it on their own. I recommend establishing your circle of trusted advisors who can help you make critical decisions that will contribute to a flourishing business.”
