New Board of Directors for Colegio de Ingenieros

The new board of directors of the CICCJ will be presided by engineer Carlos Terán during the 2018-2020 period.

In a solemn ceremony, the new board of directors of the Colegio de Ingenieros Civiles de la Costa de Jalisco (CICCJ) (Organization of Civil Engineers of the Costa de Jalisco) officially installed its new members. With this ceremony, the organization, whose function is to assemble civil engineers for training purposes, integration with professionals in the field and support for society, began its 15th cycle, which includes the 2018-2020 period.

More than a hundred guests attended the event, highlighted by the presence of Andrés González Palomera, director of SEAPAL Vallarta, who attended as the governor of Jalisco’s representative and swore in the new board members.

Engineer Carlos Daniel Terán Saucedo was appointed as the new president of CICCJ, replacing Roberto González Belloso. The new board will include Gilberto Joya as vice president, José Arce as treasurer, Mario de la Torre as secretary, as well as members Jorge Luengas, Alberto Alonso, Filiberto Rodríguez, Alberto Stone and Ulises Uribe, in addition to commissioners Alberto Gaytán and Luis Rojas.

En acto solemne, el nuevo consejo directivo del Colegio de Ingenieros Civiles de la Costa de Jalisco (CICCJ) rindió protesta, presentando oficialmente a sus nuevos integrantes.

El colegio, que tiene como función congregar a ingenieros civiles con propósitos de capacitación, integración con profesionistas del ramo y apoyo a la sociedad; inició con esta ceremonia su XV ciclo, el cual comprende el período 2018-2020.

Al evento acudieron más de cien invitados, destacando la presencia de Andrés González Palomera, director de SEAPAL Vallarta, quien asistió como representante del gobernador de Jalisco y fungió como tomador de protesta.

El ingeniero Carlos Daniel Terán Saucedo fue nombrado como nuevo presidente del CICCJ, quien sustituye a Roberto González Belloso. En la nueva mesa directiva lo acompañarán Gilberto Joya como vicepresidente, José Arce como tesorero, Mario de la Torre como secretario, así como los vocales Jorge Luengas, Alberto Alonso, Filiberto Rodríguez, Alberto Stone y Ulises Uribe; además de los comisarios Alberto Gaytán y Luis Rojas.

Final Phase of Serena Pueblo Náutico

Serena Pueblo Náutico features 24 condos facing the Nuevo Vallarta marina.

Serena Pueblo Náutico, a new 24-unit residential tower located in front of the Nuevo Vallarta marina, begins its final construction phase, the first units expected to be delivered later this year.

The model units, which have been open to visitors for a few weeks, present some of the options available in this building that has four types of units: one-bedroom (between about 805 and 870 square feet), two-bedroom (between about 1,120 and 1,345 square feet) and two three-bedroom units (about 1,690 square feet).

Serena Pueblo Náutico is pet-friendly and offers amenities such as a swimming pool, BBQ, lounge chairs, showers, bathrooms and pergola for common use. It has an elevator, parking with automatic access and a garage for each unit. Although the window coverings, furniture and decoration are not included, the developers offer an arrangement with interior designer Anna Cuadra.

Starting prices range between $129,000 and $283,000 USD. The project has been developed by the business group Desarrollos Banderas y Desarrollos Villa 5 and is being marketed by Serena Pueblo Náutico.

Serena Pueblo Náutico, una nueva torre residencial de 24 unidades que se ubica frente al malecón de la marina de Nuevo Vallarta, afronta su fase final de construcción y se estima que los primeros departamentos se entregarán a finales de este mismo año.

Las unidades modelo, abiertas para visita desde hace unas semanas, presentan algunas de las opciones disponibles en este edificio que cuenta con cuatro tipos de departamentos: de una recámara (entre 75 y 81 m²), de dos recámaras (entre 104 y 125 m²) y dos unidades de tres recámaras (de 157 m²).

Serena Pueblo Náutico es pet-friendly y presenta amenidades como piscina, asador, camastros, regaderas, baños y pérgola de uso común. Cuenta con elevador, estacionamiento con acceso automático y una cochera por cada unidad. Aunque la cortinería, mobiliario y decoración no están incluidos, los desarrolladores ponen a disposición un convenio con la diseñadora de interiores Anna Cuadra.

Los precios de salida oscilan entre los $129,000 USD y $283,000 USD. El proyecto ha sido desarrollado por la agrupación empresarial Desarrollos Banderas y Desarrollos Villa 5 y es comercializado por Serena Pueblo Náutico.

Marítima Inaugurates Discovery Center

Marítima Playa Flamingos consists of 2 towers with 12 unit models distributed on 10 levels.

The recently opened Marítima Discovery Center, an office located in Península Nuevo Vallarta, will function as the main sales center for the development Marítima Playa Flamingos. The inauguration (which included DJs, cocktails and paella) was attended by clients and brokers, as well as Jorge del Moral, director of SI Real Estate, the agency in charge of marketing the development, who cut the ribbon and unveiled the master model.

The project consists of 2 towers with 12 models of units distributed on 10 levels. The units will range from about 1,615 to 2,765 square feet, with exclusive interior design. Amenities include a sophisticated lobby, spa and fully equipped gym, roof garden with pool and terrace, two paddle tennis courts, two common areas with swimming pool on the first level, restaurant-bar, green areas and exclusive access to the beach.

This luxury residential project was created by Arseni Varabyeu, whose design evokes the natural forms of the ocean and the wind. In addition, it enjoys a privileged oceanfront location in Nuevo Vallarta.

Sales prices per unit range between $6,200,000 MXN and $9,500,000 MXN. SI Real Estate expects the first phase to be completed in December 2019 and phase two (already started) by the end of 2020.

Recientemente se inauguró Marítima Discovery Center, oficina ubicada en Península Nuevo Vallarta, la cual funcionará como el principal centro de ventas para el desarrollo Marítima Playa Flamingos. Al evento (que incluyó DJs, cocteles y paella), acudieron clientes y brókeres, así como Jorge del Moral, director de SI Real Estate, agencia encargada de la comercialización del desarrollo; quien cortó el listón y develó la maqueta maestra.

El proyecto consta de dos torres con doce modelos de departamentos distribuidos en diez niveles. Las unidades contarán con dimensiones que van de los 150 m2 a los 257 m2 con exclusivo diseño interior. Entre las amenidades destacan un sofisticado lobby, spa y gimnasio completamente equipado, roof garden con piscina y terraza, dos canchas de paddle tenis, dos áreas comunes con piscina en el primer nivel, restaurante bar, áreas verdes y acceso exclusivo a playa.

Este proyecto residencial de lujo fue creado por Arseni Varabyeu, quien proyectó un diseño que evoca las formas naturales del océano y del viento. Además, goza de una ubicación privilegiada en primera línea de mar en Nuevo Vallarta.

Grand Opening of Puntacala Held

Puntacala consists of 63 luxury residences with six different types of facades, as well as various interior design layout options.

The grand opening of Puntacala was held recently, this new residential development of the GOVA and GOVACASA group located in the prestigious El Tigre subdivision in Nuevo Vallarta. During the inauguration, the spaces and finishes of the model house were revealed, as well as the common areas, which include terraces, walking paths, a swimming pool and a children’s area, among other amenities.

The event, hosted by the executive director of Puntacala, Brando González, and GOVACASA executives, was attended by more than 150 people, who got a first-hand look at the progress and enjoyed a pleasant evening on the spacious terrace. Among the guests were Iván Koloffon, from Domus Fine Real Estate, and Héctor González, from Paradise Village Real Estate.

The Puntacala development consists of 63 luxury residences with six different types of facades, as well as various interior layout options, including kitchen styles and customizable finishes. The houses will have a garage, terrace and BBQ area, plus most will have their own pool. Common areas include the terrace, swimming pool, children’s area and green areas. Owners will have access to El Tigre amenities, including membership and access to the golf club, clubhouse, sports club and beach club.

Recientemente se llevó a cabo el Grand Opening de Puntacala, el nuevo desarrollo residencial del grupo GOVA y GOVACASA, el cual se ubicará en el prestigioso fraccionamiento El Tigre de Nuevo Vallarta. (CICCJ) (Organization of Civil Engineers of the Costa de Jalisco, A.C.), has worked to bring together professionals from the field who live and work in the region, not only to promote training among them, but also to support the various sectors of Puerto Vallarta through social services that include opinions, technical advice and a collaborative approach with government agencies.

According to the Bank of Mexico, the mortgage interest rate during 2016-2017 was 9.6 percent, while the average term was 19 years.

Because of its tourism bent, Puerto Vallarta is also the focus of foreign investors and, year after year, the number of companies that establish themselves in the destination increases, especially in the tourism sector.

What attracts foreign investment and the establishment of new companies both in Mexico and in our destination? What are the requirements and steps to follow to establish a company? To answer these questions, we spoke with Teresa López, a specialist lawyer who works with the legal firm MexLaw. A Regulated and Very Attractive Market According to the expert, Mexico offers more than just economic, competition and market benefits. “Our country complies with the standards that international law has in favor of foreign investors, such as the Fair and Equitable Treatment Standard and Full Protection and Security. In the case of large projects with development and impact to the nation, the implementation of clauses such as the ‘Umbrella Clause,’ which provides a high degree of security to foreign investors who tend to place capital in our country.”

With respect to attractiveness, in the case of Vallarta · Nayarit, López says that it offers a balance between security, landscapes and 30

México es un país muy atractivo para los inversionistas extranjeros, tal como lo muestran las cifras de Inversión Extranjera Directa (IED) que anualmente aumentan. De acuerdo con la Secretaría de Economía, durante el 2017, la IED alcanzó los $29,695 mdd y en 2018 las cifras del primer trimestre batieron récords, con un incremento del 19.6 % con respecto al ejercicio anterior. Por su vocación turística, Puerto Vallarta también está en el foco de inversionistas extranjeros y, año con año, aumentan las empresas que se establecen en el destino, sobre todo en el sector turístico. ¿Cuáles son los motivos que atraen a la inversión extranjera y al establecimiento de nuevas empresas tanto en México como en nuestro destino? ¿Cuáles son los requerimientos y pasos a seguir para constituir una sociedad? Para contestar a estas preguntas, nos acercamos a Teresa López, abogada especialista que trabaja para la firma legal MexLaw. Un Mercado Regulado y muy Atractivo De acuerdo con la experta, México presenta beneficios más allá de los económicos, de competencia y de mercado. “Nuestro país cumple con los estándares que el derecho internacional tiene a favor del inversionista extranjero, tales como el ‘Fair and Equitable Treatment Standard’ (Trato Justo y Equitativo) y ‘Full Protection and Security’ (Protección y Seguridad Plena). All these factors substantially influence the complexity and the means of establishing a company in Mexico,”

Types of Businesses that Can Be Established According to López, the most common businesses are classified into three large groups: personal, where a Sociedad en Nombre Colectivo (general partnership) is entered and the responsibility of the partners is unlimited, that is, it affects both the assets of the company and the assets of each partner against obligations to third parties; mixed, such as the Sociedad en Comandita Simple (simple limited partnership) and Sociedad en Comandita por Acciones (limited partnership with share capital), in which some partners have unlimited liability and others have limited liability; and the most well-known, those that only commit the entity, not personal assets, of which the most used are the Sociedad Anónima (corporation) and Sociedad de Responsabilidad Limitada (limited liability corporation).

Process Regarding obtaining the statute and articles of incorporation of a company, López shares the following: “First, define the investment project with all the contents and nuances expressed.

Then, carry out the process of selection of the name of the company before the Secretaría de Economía (Ministry of Economy)—when obtaining the authorization of the name, request from the same agency the use permit and wait for its resolution. Once obtained, carry out the process to formalize and notarize before a notary or corredor público (similar to a civil law notary public, but with specialized training in commercial law). Once this process has been completed, it is submitted to the Registro Público de Comercio (Public Registry of Commerce) for registration and 32

Tipos de Sociedades que se Pueden Constituir Según Teresa López, las sociedades más comunes se clasifican en tres grandes grupos. Las personales, donde entra la Sociedad en Nombre Colectivo y cuya responsabilidad de los socios que forman parte de ella es ilimitada, es decir, afecta tanto al patrimonio de la sociedad como el patrimonio de cada socio frente a obligaciones ante terceros.

Mixtas, como la Sociedad en Comandita Simple y Sociedad en Comandita por Acciones, en las cuales algunos socios por sus facultades y calidad dentro de la sociedad tienen responsabilidad ilimitada y otros tienen responsabilidad limitada. Y las más conocidas, que son las que solo comprometen el haber social, es decir, el patrimonio social y no el personal, de las cuales, las más utilizadas son la Sociedad Anónima y de Responsabilidad Limitada.

Proceso Para obtener el estatuto y acta constitutiva de una sociedad, Teresa López explica lo siguiente: “En primer lugar, definir el proyecto de la inversión con todos los contenidos y matices expresados.

Después, llevar a cabo el proceso de selección de la denominación de la sociedad ante la Secretaría de Economía —al obtener la autorización del nombre solicitar ante el mismo organismo el permiso de uso y esperar su resolución—. Una vez obtenida, llevar a cabo el proceso para formalizar y protocolizar ante un notario o corredor público. Hecho este proceso, se somete a su inscripción ante el Registro Público de Comercio

Subsequently and with the partners’ documentation in order, register with the Servicio de Administración Tributaria (SAT) (similar to the IRS) to get the Registro Federal de Contribuyentes (RFC) (Federal Taxpayers Registry). With this, the company will be ready to start operations, although it should be clarified that once all these steps have been carried out and foreign partners are available, the Registro Nacional de Inversión Extranjera (National Registry of Foreign Investment) should be used to carry out the registration of the company and formally report that there is foreign participation in it.”

Restrictions: Types of Businesses, Participation of Partners and Immigration Quality

Con esto, la sociedad se encontraría lista para comenzar operaciones, aunque cabe aclarar que una vez realizados todos estos pasos y se cuente con socios extranjeros, se debe acudir al Registro Nacional de Inversión Extranjera para llevar a cabo el registro de la sociedad y reportar formalmente que existe participación foránea en ella”.

Restricciones: Tipo de Negocio, Participación de Socios y Calidad Migratoria

López mentions that the Ley de Inversión Extranjera (Foreign Investment Law) has reduced the economic sectors where foreigners are totally restricted or where their participation is limited. “The sectors where the foreigner cannot participate as an investor, apart from those activities reserved exclusively for the State, are the national land transport of passengers, tourism and cargo—not including parcels and courier services—, development banking institutions, where the government has a direct participation or interest and the sectors where the provision of professional services is expressly indicated by the applicable legal provisions.

Teresa López menciona que la Ley de Inversión Extranjera ha reducido los sectores económicos donde al extranjero le restringen de forma total o donde limitan su participación. “Los sectores donde el extranjero imperativamente no puede participar como inversionista, aparte de aquellas actividades reservadas exclusivamente al Estado, son el transporte terrestre nacional de pasajeros, turismo y carga —no incluye paquetería y mensajería—, las instituciones de banca de desarrollo, donde el gobierno tenga una participación o interés directo y los sectores donde se de la prestación de servicios profesionales que expresamente señalen las disposiciones legales aplicables”.

Regarding participation in the companies, López comments that the Foreign Investment Law limits participation to 10 percent in cooperative production companies and 49 percent in activities such as port services for inland navigation and port administration, as well as in printing and publication of newspapers with exclusively national circulation, broadcasting (where the principle of international reciprocity applies) and the manufacture and marketing of weapons and/or explosives.

Con respecto a la participación en las sociedades, López comenta que la Ley de Inversión Extranjera limita su participación al 10 % en sociedades cooperativas de producción y 49 % en actividades tales como servicios portuarios de navegación interior y de administración portuaria, así como en impresión y publicación de periódicos de circulación exclusivamente nacional, radiodifusión (donde rige el principio de reciprocidad internacional), fabricación y comercialización de armas y/o explosivos.

Finally, in relation to the migratory quality of the investors, the specialist indicates that “in the case of foreigners, whether individuals or corporations, our legal framework also allows their participation in a Mexican company, but always observing the limitations of the Foreign Investment Law.”

Finalmente, en relación a la calidad migratoria de los inversionistas, la especialista indica que “en el caso de los extranjeros, ya sean personas físicas o morales, también nuestro marco jurídico permite su participación en una sociedad mexicana, pero siempre observando las limitantes de la Ley de Inversión Extranjera”.

Foreign partners can be visitors or residents, but it is important to note that temporary or permanent residence allows them to be involved in the governing bodies of the company (which partners do not have as visitors/tourists). “Foreign investors enjoy the same rights and obligations set forth in the company’s bylaws, as well as secondary laws that also regulate nationals.”

Los socios extranjeros pueden ser visitantes o residentes, pero es importante señalar que la residencia temporal o permanente les permite involucrarse en los organismos gobernativos de la sociedad (facultad que no tienen los socios en calidad de visitantes/turistas). “Los inversionistas extranjeros gozan de los mismos derechos y obligaciones establecidos en el estatuto de la sociedad, así como en las leyes secundarias que también regulan a los nacionales”.
