FIBRAs Gain Strength as a Real Estate Investment Option

There are 14 FIBRAs in Mexico in various sectors, such as commercial, industrial, hotel and office.

With more than seven years in the Mexican market, FIBRAs (Fideicomiso de Infraestructura y Bienes Raíces) (Infrastructure and Real Estate Trust) have become a very interesting investment option. According to Javier Llaca, director of operations and acquisitions of FIBRA MTY, this investment vehicle is ideal for those who want to invest in real estate but do not have the capacity to purchase a building or commercial asset. There are 14 FIBRAs in Mexico in various sectors, such as commercial, industrial, hotel and office.

Introducing The Creek Residences

The new development, marketed by Applegate Realtors, will have 20 boutique units.

Recently, real estate agency Applegate Realtors presented The Creek Residences, a new low-density building that will house 20 boutique units. This project, developed by Mesa Moral (the builder behind condominiums such as Amapas 353, The Reef, Oceana Residences, Pacífica and The Park Vallarta), will be located on Olas Altas Street in the Romantic Zone, just a couple of blocks from the beach.

The architectural design and appearance of the building will be perfectly integrated to harmonize with the existing natural landscape. Some of the outstanding amenities this development will feature include a comfortable and elegant lobby, infinity pool on the roof, fully equipped gym, rooftop lounge area, pet spa, open parking, 24/7 security and direct access to Olas Altas Street.

The Creek Residences will consist of 12 three-bedroom units with three baths (about 2,240 square feet) and eight private two-bedroom residences with two and a half baths (about 1,615 square feet). All units feature first-class finishes and excellent construction materials. Delivery is planned for the end of 2020.

Currently, there is a 20 percent discount on the pre-sale price, and the starting price of these boutique residences is $333,974 USD.

Náutico Celebrates Open House

The new condominium in Marina Vallarta will consist of 88 units distributed on 11 levels, plus a penthouse.

During an event held on the building’s terrace, developers and local real estate personalities gathered to attend the official presentation of Náutico, a new 11-level residential tower located right in front of the Marina Vallarta malecón.

Currently, the work is 80 percent completed, and about 95 percent of the inventory has already been sold, with delivery of the first units planned for September 2020. Prices of the available units start at $215,865 USD. The model unit, open for visits since a few weeks ago, presents one of the eight floor plan options available in this building, which will have a total of 88 units, plus a penthouse.

Náutico offers amenities such as a lobby, fitness center, restaurant (intended to be one of the best in the destination), bar, spa, underground parking and sun decks around the pool on the ground floor.

While Interamerican Real Estate is in charge of marketing, the design and execution of the condominium is being carried out by Península Residence, a renowned group with a national presence that has developed important real estate projects in destinations such as Acapulco, Ixtapa, Mazatlán, Veracruz, Mexico City and Vallarta · Nayarit, among others.

Elengorn Realtors Presents Roma 240

CRAGSA is in charge of the construction of this development, which will have six levels and 40 units.

Recently, real estate agency Elengorn Realtors and construction company CRAGSA Developments presented Roma 240, a new condominium located in Puerto Vallarta’s Versalles neighborhood, just a few blocks from the commercial area of Fluvial Vallarta and Francisco Villa Avenue.

The development will offer 40 units with two bedrooms and one and a half or two baths, as well as three different floor plans to choose from, with prices starting at $2,740,450 MXN. The project was designed by the firm Arquitectos Asociados del Pacífico (led by renowned architect Paulo Rojo) and is currently under construction on the corner of Roma and España streets.

Among its amenities are a common-use terrace on the top level with Wi-Fi, infinity-style pool, wading pool, BBQ area, lounge chairs, restrooms, showers and a beautiful panoramic view of the city, as well as an elevator for 11 people, intercom, indoor and outdoor parking and 24/7 security.

Recientemente, la agencia inmobiliaria Elengorn Realtors y la constructora CRAGSA Developments presentaron Roma 240, un nuevo condominio que está ubicado en la colonia Versalles de Puerto Vallarta, a tan solo unas cuadras de la zona comercial de Fluvial Vallarta y la Av. Francisco Villa.

El desarrollo ofrecerá 40 unidades de dos recámaras con uno y medio o dos baños, así como tres diferentes floor plans para elegir. El precio de los departamentos comienza en los $2’740,450 MXN. El proyecto fue diseñado por la firma Arquitectos Asociados del Pacífico (liderada por el reconocido arquitecto Paulo Rojo) y actualmente se encuentra en construcción sobre la esquina de las calles Roma y España.

The great demand for investment in real estate in Mexico, due to its high profitability and resilience to economic crises, has given rise to the emergence of more financial instruments.

La gran demanda de inversión en los bienes raíces en México, por su alta redituabilidad y favorable resiliencia a las crisis económicas, ha dado pie al surgimiento de más instrumentos financieros.

Since their 2011 arrival in the Bolsa Mexicana de Valores (BMV) (Mexican Stock Exchange), FIBRAs (Fideicomiso de Infraestructura y Bienes Raíces) (Infrastructure and Real Estate Trust) have become an attractive asset to obtain capital gains from real estate, such as offices, industrial buildings, shopping centers and hotels.

Desde su llegada en 2011 a la Bolsa Mexicana de Valores (BMV), los FIBRAS (Fideicomiso de Infraestructura y Bienes Raíces) se han convertido en un atractivo activo para obtener ganancias a capital de bienes inmuebles, como oficinas, naves industriales, centros comerciales y hoteles.

There are currently 14 FIBRAs in Mexico, which are based on the US REIT (Real Estate Investment Trust) investment model, developed in the North American real estate market in 1960.

Actualmente, en México existen 14 FIBRAS que se basan en el modelo de inversión estadounidense REITs (Real Estate Investment Trusts), desarrollado en el mercado inmobiliario norteamericano en 1960.

The director of operations and acquisitions of FIBRA MTY, Javier Llaca, says that the objective of this instrument is to make real estate projects that generate income available to the investing public.

El director de operaciones y adquisiciones de FIBRA MTY, Javier Llaca, señaló que el objetivo de este instrumento es poner al alcance del público inversionista los proyectos inmobiliarios que generen renta.

“This vehicle is very good for those who are interested in investing in real estate but do not have the capacity to purchase a complete building or a commercial asset; and so, they do it through certificates.”

“Este vehículo es muy bueno para aquellos que les interesa invertir en bienes raíces, pero que no tienen la capacidad para comprar un edificio completo o un activo comercial; y entonces lo hacen a través de certificados”.

These certificates, called CBFIs (Certificados Bursátiles Fiduciarios Inmobiliarios), listed on the BMV and issued by the FIBRAs, grant the holder—owner of the certificate title—95 percent of the annual profit obtained from the real estate.

Estos certificados, denominados CBFIs (Certificados Bursátiles Fiduciarios Inmobiliarios), que cotizan en la BMV y son emitidos por los FIBRAS, le otorgan al tenedor —dueño del título del certificado— el 95 por ciento de la utilidad anual obtenida de la renta del bien inmueble.

“For us, therein lies the strength of the FIBRA; it is an asset class that is very solid, with very low risk and with a great capacity for repositioning.”

He indicates that investors can even continue to receive the value of the rent when one of their assets has been vacated for the time being.

“If you own a certificate and there are 55 properties in the FIBRA, but an office floor is vacated, your impact is minimal, even null, because you continue to receive the dividend or assets in a normal manner.”

In addition, by using this type of instrument, the investor can make new acquisitions from the FIBRA property portfolio to expand his real estate products.

He shares that this vehicle is a democratic investment option that offers possibilities to the entire market, from Millennials to Baby Boomers who want to invest their capital in real estate.

ABCs of Investing What do you need to access a FIBRA? Llaca notes that you need to have an investment account in a brokerage house that suits the investment needs and profile.

Then you submit your application by filling out a form online, in person or by phone.

The brokerage house you have chosen will provide you a contract, and once signed and deposited in your investment account, you can buy and sell in the market.

According to FIBRA MTY, it is not necessary to buy in large quantities. Finally, dedicate time and watch your investments. You can buy and sell when you see fit.

Llaca emphasizes that real estate trusts have become an attractive option for pension administrators, since it has allowed them to diversify their investment portfolios.

“It is a vehicle that AFOREs really like to invest in and manage the resources of the pensioners.”

He notes that in the case of FIBRA MTY, in the last four years (trust operation time), the accumulated return was 50 percent higher than those given by the Índice de Precios y Cotizaciones (IPC) (Price and Quotation Index) of the Bolsa Mexicana de Valores (BMV) (Mexican Stock Exchange), as well as above the FIBRAs index in the country.

As of today, FIBRA MTY has a portfolio of 55 properties, equivalent to about 7,319,460 square feet in total, distributed in nine of the country’s states.

Llaca destacó que, al invertir en una FIBRA, se puede estar seguro de que el activo tendrá una plusvalía constante y que no perderá su valor, sino que lo incrementará con mejores rendimientos de la renta.

“Para nosotros en eso radica la fortaleza del FIBRA; es una asset class, que es un bien raíz muy sólido, de muy bajo riesgo y con una gran capacidad de reposicionamiento”.

Indicó que, incluso, los inversionistas pueden seguir percibiendo el valor de la renta aún cuando uno de sus activos, por el momento, haya sido desocupado.

“Si eres dueño de un certificado y en el FIBRA hay 55 propiedades, pero se desocupa un piso de oficinas, tu impacto es mínimo, sino que, hasta nulo, pues sigues recibiendo el dividendo o activo de manera normal”.

Además, al recurrir a este tipo de instrumento, el inversionista puede realizar nuevas adquisiciones del portafolio de propiedades del FIBRA, para ampliar sus productos inmobiliarios.

Compartió que este vehículo es una opción de inversión democrática que le brinda posibilidades a todo el mercado, desde millennials hasta baby boomers que quieran invertir su capital en un bien inmueble.

ABC para Invertir ¿Qué se necesita para acceder a un FIBRA? Llaca señaló que la persona necesita tener una cuenta de inversión en una casa de bolsa que se adecúe a las necesidades y perfil de inversión.

Después formalizarás tu solicitud a través del llenado de un formato por internet, de manera presencial o vía telefónica. La casa de bolsa que hayas elegido te hará llegar tu contrato y una vez firmado y depositado en tu cuenta de inversión, podrás comprar y vender en bolsas.

Según FIBRA MTY, para invertir en el fideicomiso no es necesario comprar en grandes cantidades, sino desde un título. Finalmente, dedica tiempo y vigila tus inversiones. Tú puedes comprar y vender cuando creas conveniente.

Llaca destacó que los fideicomisos inmobiliarios se han convertido en una opción atractiva para las administradoras de pensiones, pues les ha permitido diversificar sus portafolios de inversión.

“Es un vehículo que les gusta mucho a las AFORES para invertir y administrar los recursos de los pensionados”.

Jaime Aquino talks about what motivated him to work in this exclusive sector of the real estate industry and notes some of its characteristics.

Jaime Aquino habla de las razones que lo motivaron a desempeñarse dentro de este exclusivo sector de la industria inmobiliaria y menciona algunas de sus características.

A native of Puerto Vallarta, Jaime Aquino always knew his destiny was going to be connected to service and excellent customer care. Although he initially tried his luck at our city’s airport, his first opportunity in real estate came in 2005, when Shannon Beston asked him to be her luxury vacation rental assistant at Applegate Realtors. Six months later, he was in charge of the renowned agency’s rental department and has successfully served in that position ever since.

Now, with 14 years of experience, he focuses on the luxury market and has an exclusive portfolio of villas in the downtown area, Emiliano Zapata, Amapas, Mismaloya, Conchas Chinas, Altavista and South Shore.

For this reason, he considers it important to encourage establishing parameters to protect the image of areas such as El Centro and Emiliano Zapata regarding the amount of lots where construction is developed. On the other hand, he notes that a large part of the market looking for residences in this area of the city is attracted by the traditional architectural style, so care also should be taken concerning that aspect, regarding new contemporary designs.

Speaking about his clients’ characteristics, Aquino shares that his main market is American, families who vacation in the destination for about a week, and that they can spend up to $50,000 USD per stay. They also tend to be repeat clients who return to Puerto Vallarta every year.

“In fact, you could say that 80 percent are repeat clients. Of these, 50 percent return to the same property each year, and the remaining 30 percent change villas, but only because their space requirements or needs are different for each stay,” he explains.

As far as the Mexican market, Aquino mentions that it has been a bit complicated to coordinate its needs with the way luxury vacation rentals operate. “There is no doubt that there is a high-income national segment that can afford the product we offer; however, most are not accustomed to planning their vacations well in advance.

With regard to the activity registered in 2018 and projections for the close of 2019, Aquino notes that the sector’s growth has been constant in recent years and that the future will largely depend on the global political and socioeconomic 30

Por otro lado, menciona que gran parte del mercado que busca residencias en esta área de la ciudad se siente atraído por el estilo arquitectónico tradicional, por lo que también debería cuidarse ese aspecto ante los nuevos diseños contemporáneos.

Al hablar de las características de sus clientes, Aquino comparte que su principal mercado es el estadounidense y que se trata de familias que pasan sus vacaciones en el destino por alrededor de una semana, las cuales pueden gastar hasta $50,000 USD por una estancia. Asimismo, se trata de clientes recurrentes que regresan a Puerto Vallarta cada año.

“De hecho, se puede decir que el 80 por ciento de mis clientes son recurrentes. De ellos, el 50 por ciento regresa a la misma propiedad cada año y el 30 por ciento restante cambia de villa, pero solo porque sus requerimientos de espacio o necesidades se vuelven diferentes en cada estancia”, explica.

En cuanto al mercado mexicano, Aquino menciona que ha sido un poco complicado el poder empatar sus necesidades con la manera en que operan las rentas vacacionales de lujo: “No hay duda de que existe un segmento nacional con altos ingresos que puede pagar el producto que ofrecemos. Sin embargo, la mayoría no acostumbra a planear sus vacaciones con suficiente antelación.

Since Aquino is in the process of becoming a member of the Asociación Mexicana de Profesionales Inmobiliarios (AMPI) (Mexican Association of Real Estate Professionals), he commented, “While there are many real estate agents throughout the country working informally, you need to create state and/or federal laws that motivate them to become certified to obtain a license that allows them to operate. In the end, this will generate trust among all involved.”

Before concluding our conversation, Aquino shared his enthusiasm about becoming increasingly involved in property sales and continuing to establish long-term relationships with clients. “I’ve always believed that the foremost thing is doing a good job for clients—that is, guiding and assisting them with what they are looking for. This not only contributes to breaking the ice and being in contact later, it also promotes the sale or rental of my listings.”

En relación a la actividad registrada en 2018 y las proyecciones para el cierre de 2019, Jaime Aquino menciona que el crecimiento del sector ha sido constante en los últimos años y que el futuro dependerá en gran medida del panorama político y socioeconómico global: “Aunque la industria de viajes es muy cambiante, realmente es muy grato ver cómo Puerto Vallarta está posicionándose como un destino cada vez más popular. Conforme la economía de nuestros principales mercados permanezca fuerte y nuestro país mantenga su buen equilibrio, tiene mucho sentido que seamos uno de los principales destinos del mundo”.

Puesto que Aquino está en proceso de convertirse en miembro de la Asociación Mexicana de Profesionales Inmobiliarios (AMPI), comentó que “aunque a lo largo del país existen muchos agentes de bienes raíces que trabajan en la informalidad, se necesitan crear leyes estatales y/o federales que los motiven a certificarse para obtener una licencia que les permita operar. Al final, esto generará confianza entre todos los involucrados”.

Antes de finalizar nuestra conversación, Aquino compartió su entusiasmo por involucrarse cada vez más en la venta de propiedades y continuar estableciendo relaciones a largo plazo con sus clientes: “Siempre he creído que lo primero es hacer un buen trabajo con los clientes, es decir, asistirlos y guiarlos en lo que están buscando. Esto no solo contribuye a romper el hielo y a estar en contacto posteriormente, sino que también propicia la venta o renta de mis listings”.

SCROW IN MEXICO: A GENERAL OVERVIEW Escrow en México: Descripción General y Preguntas Comunes

Put simply, escrow is used to make sure the funds of a real estate transaction change hands at the moment of a closing. That is not its legal definition, but it is the underlying reason to use it. If you are a buyer, you want your funds in the seller’s account only once the deal closes, not before. If you are a seller, you want your money when the deal closes, not later. An escrow company is the neutral entity that holds the funds until the closing is completed and disburses the funds.

En pocas palabras, el escrow se utiliza para garantizar que los fondos de una transacción de bienes raíces cambien de manos al momento del cierre. Imported from the United States, it is a safe and efficient manner to transfer funds between a buyer and seller. Prior to the use of escrow, it had been common in Mexico for buyers to directly give sellers down payments on property of between 10% and 30% of the total sales price upon the signing of a simple preliminary purchase and sales agreement. These down payments would go right into the seller’s account, prior to the beginning of any closing procedures or any due diligence being conducted. This business practice works, as long as there are no issues or problems with the transaction. However, when problems arise during a closing procedure and the seller has the buyer’s money, a request for a return of funds can become problematic.

Importado de Estados Unidos, es una manera segura y eficiente de transferir fondos entre un comprador y un vendedor. Antes del uso del escrow, era común en México que los compradores les pagaran directamente a los vendedores el anticipo de propiedad entre el 10 y 30 % del precio total de venta al momento de firmar un simple acuerdo preliminar de compra-venta. Estos pagos iniciales iban directamente a la cuenta del vendedor, antes del comienzo de cualquier procedimiento de cierre o de cualquier diligencia debida que se fuera a llevar a cabo. Esta práctica comercial funciona, siempre y cuando no haya conflictos o problemas con la transacción. Sin embargo, cuando surgen problemas durante un procedimiento de cierre y el vendedor tiene el dinero del comprador, la solicitud de devolución de fondos puede ser un lío. El escrow elimina este riesgo de la ecuación. Cualquier pago inicial se coloca en una cuenta escrow que ninguna parte controla de forma unilateral. Los compradores y vendedores que lo utilizan están más motivados para cerrar un trato y, por lo tanto, están más atentos para resolver los detalles que podrían retrasar el cierre. Escrow takes this risk out of the equation. Any down payments are put into an escrow account which no party unilaterally controls. Buyers and sellers using escrow are more motivated to close a deal and therefore more attentive in getting any details resolved that could hold up the closing.

When escrow is not used and a seller has 10% to 30% of buyer’s money, a seller can be less motivated to clear any title or closing issues.

Unfortunately, we have often seen buyers having to clean up a seller’s title issues when escrow is not used. The options of the buyers in these cases are to 1) pay to clean up the seller’s title issues, 2) walk away from the down payment, or 3) file a lawsuit.

In most cases, buyers find that is more economical to clean up the title. When funds are in escrow, the seller has to make sure his title is in good standing and the deal closes prior to receiving any funds.

Sellers also like to see that buyers are serious by depositing funds with a reliable escrow company, which often goes towards the purchase of a property, or in the case of default, serve as a contractual penalty. Buyers also do not have to worry about sellers remaining with the down payment and then not selling the property. The use of escrow in Mexico is relatively new and until recently was not commonly accepted by real estate professionals. In recent years, brokers and agents have seen the benefits, as its use motivates both the buyer and seller to move efficiently through the closing process. Furthermore, brokers and agents know that when a deal closes, their clients will get the deal they agreed to, and importantly, the agents will get their fees. Prior to use it, brokers and agents had real risks of non-payment when funds went directly from the buyer to the seller. Too often sellers would want to renegotiate the agent fees after the deal was closed, which left the agent having to either agree to take a lower fee, or file a lawsuit and come out of pocket for the legal costs.

Since escrow is not regulated in Mexico, what should a buyer and seller be looking for in selecting an escrow company for their purchase and sale of real estate in Mexico?

The following are the most common questions regarding its use: 1. How do I know if an escrow company is trustworthy? Make sure that it has been in the market for years and be willing to provide you with references.

2. Are the escrow companies in Mexico regulated and insured? Mexico-based escrow companies are not regulated by Mexican law. US based escrow companies that provide services in Mexico are usually regulated by the laws of the State of domicile. Regardless of using a Mexico-based or US-based escrow company, ask to see their insurance policies for error and omissions, crime and cyber fraud coverages. Call

the insurance provider and confirm that the policy is valid and up-to-date. If the company is not insured or you cannot verify their insurance, this should be a red flag.

3. What information does a buyer and seller have to provide to the escrow company? The company will ask you to fill out a “KYC” (Know Your Client) form. US and Mexico escrow companies will each have different forms and requirements, and usually the Mexico KYC form is more extensive than the US form due to strict and complicated anti-money laundering laws in Mexico. Besides the KYC, the escrow company will want to see the identifications of the parties and also have a copy of the purchase and sales agreement between the parties.

4. Can I ask the escrow company to modify the terms of the escrow agreement for specific conditions or terms? Most companies prefer to use their standard forms, but should be willing to make minor changes to clarify the terms and conditions of the release/disbursement of the escrow funds. Escrow companies do not negotiate the terms of purchase and sales agreement between a buyer and seller. The escrow agent’s job is to verify that a deal closes and disburses the funds per the instructions of the parties.

3. ¿Qué información deben proporcionar un comprador y un vendedor a la compañía escrow? La compañía le pedirá que complete un formulario llamado “Conozca a su Cliente” (KYC, Know Your Client). El trabajo del agente escrow es verificar que un trato se cierra y desembolsa los fondos según las instrucciones de las partes.

5. What happens if a buyer and seller have a dispute regarding the sale agreement? If a dispute arises between buyer and sellers over the terms of the sale agreement, most escrow companies will try to assist with dispute resolution to the extent legally possible. This is not its obligation, but if they cannot reach an agreement, an escrow company may “interplead” the escrow funds assuming that the escrow agreement is governed by US law. In short, the escrow company will turn over to a court the escrowed funds and when the dispute is resolved, the funds will be released from the court.

5. ¿Qué sucede si un comprador y un vendedor tienen una disputa con respecto al acuerdo de venta? Si surge una disputa sobre los términos del acuerdo de venta, la mayoría de las compañías escrow intentarán ayudar con la resolución de la disputa en la medida en que sea legalmente posible. 6. Does the escrow company provide a closing statement? If you have bought real estate in the US or Canada, you are familiar with receiving a closing statement from the agent or escrow company. This is not common in Mexico, however ask your escrow company to provide a closing statement.

7. Will the escrow company assist in exchanging currency if disbursements have to be made in different currency than the funds in escrow? Often an escrow in Mexico will be held in US dollars, but some companies provide exchange services.
