Trustees of University of the Ozarks have the distinction of governing a truly special institution of higher education. The lives of young men and women pursuing their educational dreams have been changed for the better by this institution since our founding in 1834. True to our mission of Christian educational service, Ozarks has been a leader in terms of access to education throughout her history, and we are poised to lead on many fronts as we prepare students for the opportunities and challenges of the future.

Corporate Status:

University of the Ozarks is a 501(c)(3) private, charitable, non-profit corporation, incorporated in the State of Arkansas as an institution of higher education. The University’s Articles of Incorporation and Bylaws are registered with the State of Arkansas.

Location:

University of the Ozarks is located in Clarksville, Arkansas, about 100 miles west of Little Rock and 60 miles east of Fort Smith on I-40, exit 58. Situated in scenic west-central Arkansas, Ozarks is flanked by the Ozark Mountains to the north and the Arkansas River and Ouachita Mountains to the south.

Church Affiliation:

The University is related to the Presbyterian Church U.S.A. through covenant with the Synod of the Sun.

Capital Assets:

The University has 57 academic, co-curricular and support facilities on its 50-acre campus with an insured value of $90.5 million. The University’s endowment value is about $138 million.

Budget:

The University’s annual operating budget is $23 million. The University’s Fiscal Year (FY) is July 1 through June 30.

University Ownership and Governance:

University of the Ozarks is owned by a volunteer Board of Trustees with a membership ranging from 21–27. As owners of the corporation, the Board and its individual trustees are considered fiduciaries, committed to act prudently, in good faith, with care and loyalty, in their work to support and promote the mission of the University.

Board Officers:

The officers of the Board are the Chair, the Chair-Elect and the Secretary.

TERMS OF OFFICE

Trustees are elected to three-year terms of office and may be eligible for election to a second, consecutive three-year term. Trustees who have served for two consecutive terms must sit out for at least one year before becoming eligible for election to a new term on the Board, unless duly elected to serve as an officer of the Board (Chair, Chair-Elect, or Secretary), or as a committee chair or vice-chair, in which case the Trustee may serve until the term of office has expired.

Responsibilities of Trustees:

The responsibilities of the Board are consistent with those recommended by the Association of Governing Boards of Universities and Colleges (AGB): 1. Establish, disseminate, and keep current the institution’s mission.

2. Select a chief executive to lead the institution.

3. Support and periodically assess the performance of the chief executive and establish and review the chief executive’s compensation.

4. Charge the chief executive with the task of leading a strategic planning process, participate in that process, approve the strategic plan and monitor its progress.

5. Ensure the institution’s fiscal integrity, preserve and protect its assets for posterity, and engage directly in fundraising and philanthropy.

6. Ensure the educational quality of the institution.

7. Preserve and protect institutional autonomy and academic freedom.

8. Ensure that institutional policies and processes are current and properly implemented.

9. In concert with senior administration, engage regularly with the institution’s major constituencies.

10. Conduct the board’s business in an exemplary fashion and with appropriate transparency, adhering to the highest ethical standards; ensure the currency of the board governance policies and practices; and periodically assess the performance of the board, its committees and its members.

BOARD OVERVIEW

Board Meetings:

The full Board of Trustees holds three regular meetings each fiscal year. Two of these meetings occur on campus, typically in early October and again in late April. The other regular meeting of the Board happens in early February and alternates between a Board-retreat format (in even-numbered years), and a teleconference (in odd-numbered years). At on-campus meetings, gatherings of the trustees usually begin with a Thursday evening dinner, followed by full-Board informational sessions and committee meetings on Friday. The Board’s formal business meeting on campus is held on Saturday morning. Accommodations and meals for trustees are provided by the University.

The Endowment Sub-Committee meets quarterly (on campus with teleconferencing available) to review the endowment’s performance and asset allocations, receive reports from the University’s endowment consultants and fund managers, and make prudent adjustments within the endowment.

The Governance Committee meets regularly during the year and as necessary to prepare for governance matters under consideration at upcoming Board meetings. Other Board committees may meet face-to-face or by teleconference to perform their duties in a timely fashion. Information about specific Board meetings, and about/for the Board in general are now provided to the trustees through a digital, password-protected Board Portal.

Insurance:

University of the Ozarks trustees are insured through United Educators Insurance of Chevy Chase, Maryland. The Arkansas Volunteer Immunity Act protects “qualified volunteers” from civil liability for personal injury or property damage in instances where the volunteer was working within the scope of his or her duties.

Status of University of the Ozarks Trustees as Volunteers: All trustees of the University serve as volunteers in that capacity. No compensation is provided for this voluntary service, however, direct costs that trustees incur through their service to the University (e.g. travel, housing, food, etc.) may be tax deductible as provided by law. The University will provide written confirmation of a trustee’s participation in Board meetings and Board-related activities.

Philanthropy and the Board:

Because the University is a 501(c)(3) nonprofit, charitable institution that encourages and receives philanthropic support from many, many individuals, families, and organizations, the Board does ask that each trustee donate to the University annually and to Board-approved extraordinary campaigns according to his or her ability.

The Board’s Relationship to the University President and CEO:

The Board is responsible for the establishment and maintenance of effective governance and financial policies for the University and for oversight of the office of president.

HISTORY University of the Ozarks has a tremendously long and rich history. Founded in 1834 by Cumberland Presbyterians two years before Arkansas became a state, Ozarks is the oldest institution of higher education in the Arkansas-Oklahoma Territory and one of the oldest west of the Mississippi River. As an institution born literally on the frontier of education in America, necessary hallmarks of her history and of Ozarks today include large doses of courage, resiliency and a steadfast dedication to young men and women seeking an education.

Across this sweep of time Ozarks has found herself an active participant in many aspects of American history, and a maker of history in both Arkansas and our nation. Her existence spans not only Arkansas’ statehood, but the Civil War, World Wars I and II, and the Korean and Vietnam Wars, not to mention the many economic and social upheavals that have played a part in the shaping of America. She has borne witness to women’s suffrage, the Great Depression, the Civil Rights Movement and the Great Recession.

In the face of all these things, Ozarks’ frontier spirit has shone brightly. The College was burned once during and once after the Civil War, and was occupied at various times by either Union or Confederate troops. Yet only ten years after Lee’s surrender at Appomattox, she rebounded to become the first school in Arkansas to admit women in 1875. During World War II, Ozarks served as a training center for the U.S. Navy and Air Force. In 1957, at the same time the Central High Crisis was tearing the Little Rock school system apart just 90 miles to the southeast, Ozarks became the first college in Arkansas to admit AfricanAmericans as undergraduates. Ozarks doubled-down on her commitment to diversity just six years later when she became the first predominantly white institution of higher education in Arkansas to integrate varsity athletics. In 1971, two decades before the Americans with Disabilities Act (ADA) became law and began to balance the playing field for students with learning disabilities, Ozarks led the way by establishing the Ben D. Caudle Learning Center (known today as the Harvey and Bernice Jones Learning Center), the first program of its kind in the nation for students working to achieve their educational dreams while coping with learning disabilities.

Today Ozarks is again setting the pace by modeling the delivery of high quality higher education while holding down the cost for students and families. Clearly, the principled pursuit of her Mission has always been Ozarks’ guidestar. Today, Trustees of Ozarks proudly, yet humbly, carry on this legacy of educational service, striving always to pass a brightly burning torch to the next generation of leadership.
