Inheritance tax: it’s not toolate to protect your familybusiness and wealth

The recentchangestotheUK inheritancetax(IHT) regimehave understandablycausedconcer nfor manybusinessownersandfarmers.

Fordecades,BusinessPropertyRelief(BPR) andAgriculturalRelief(APR)havebeen fundamentaltosuccessionplanning,allowing qualifyingbusinessesandfarmstotransfer withouttriggeringsignificantIHTliabilities.

FromApril6,2026,thatlandscapehas changedbutitisnottoolatetoplan,andwith professionaladvice,thereare stilleffective waystoprotectyourbusiness.

Areminderofthe‘old’BPRrules

Undertheprevious regime,qualifying businessescouldbenefitfromupto100%BPR forIHTpurposes.Thismeantthat,provided certainconditionsweremet,sharesinan unquotedtradingcompany(oraninterestina qualifyingpartnershiporsoletrade)couldpass ondeathfreefromIHT.

Formanyfamilybusinesses, this relief formedthebackboneoftheirsuccessionplan, allowingthefamilybusinesstopasstothe nextgenerationwithnoIHTliability.Thisalso allowedforanupliftinthebasecostofthe businessassetforcapitalgainstaxpurposes.

WhathaschangedfromApril2026 Thenewrules,whichtookeffectonApril6, 2026,restricttheavailabilityofBPR.Whilethe conditions remainunchanged,theamount of reliefwillbecapped:thefirst£2.5mof qualifyingassetswillbeexemptfromIHTand theexcesswillattract50% relief(resultingin a20%effectivetaxrate)postApril5,2026. The£2.5mcapwillbesharedacrossassets qualifyingforBPRandAPRon apro-ratabasis andanyofthe£2.5munusedatdeathwillbe transferableto asurvivingspouse.

DespitethenewUKinheritancetaxrulesimpacting bothtradingandfarmingbusinesses, Nicola Averell, taxdirectorat Raven, providessomewelcomed reassurancethatefficientplanningisstillpossible

WhilstBPRhasnotbeenabolished,itis nolongersafetoassumethat abusinesswill automaticallyqualifyforfull relief,andthiswill bringmanyfamily-ownedbusinesseswithin theIHTnet.

Anillustrativeexample –thepotential exposure

Consider atradingcompanyownedbya husbandandwife,with avalueof£8m.Under the‘old’rules,providedthecompanyqualified forBPR,thevalueofthesharescouldtransfer withouttriggeringIHT.

Underthenew regime,thereislikelytobe anIHTliabilityof£600,000afterutilisingthe £5m(£2.5meachforhusbandandwife)IHT exemption.

IHTisnormallyduebytheendofthesixth monthafterthepersondies. However,HMRC willgenerallyallow ataxpayertopayanIHT liabilityofthisnatureover a10-yearperiod interestfee.

Thisstillraises acriticalquestion:Where doesthecashcomefromtopaythe inheritancetax?

FundingtheIHTbill

Formanyfamilies, thebusiness representsthe majorityoftheirwealth. Therefore, withouta plan, theonlyoptionstofund alargeIHTbill maybetoextractfundsfromthecompany, sellpart(orall)ofthebusiness, ortake onborrowingat atimeofemotionaland commercialpressure.

Advanceplanningallowsfamiliestoconsider fundingstrategies,includingliquidityplanning, insurancesolutions,and restructuringwell beforetheyareneeded.

Whywillsandhistoricsuccessionplanning shouldbe reviewednow

Oneofthemostimportantstepstotakeis areviewofexistingwillsandanyhistoric planning.Manycurrentwillsweredraftedon theassumptionthatfullBPRwouldapplyand maynolongerachievetheintendedoutcome. Insomecases, theycaninadvertentlyincrease thetaxexposureorrestrictflexibilityforthe survivingfamilymembers.

Keyplanningconsiderations

Althoughtheruleshavetightened,therestill remain arangeofoptionsthatcanbeeffective whentailoredtotheindividualcircumstances.

•Lifetimegiftingisoneoption.Giftstofamily memberscan removevaluefromtheestate, providedtheindividualsurvivessevenyears fromthedateofthegift.Thereisalsoa reducedrateofIHTapplicablewherethe individualmakingthegiftsurvivesbetween threeandsevenyearsfromthedateof thegift.Carefulconsiderationisneeded tobalancetaxefficiencywithcontroland incomeneeds.

•Truststructurescontinuetoplayan important roleinsuccessionplanning. Whiletherulesaroundtrustsarecomplex, theycanofferprotection,flexibility,and long-termplanningbenefitswhenused appropriately.

•Potentialsaleofthebusinessmaybeworth exploring.Forsomeowners,itmaybetime toconsiderwhether retainingthebusiness remainstherightoption.Wherethereare no naturalsuccessors,anorderlyexitcanform partof awidersuccessionplan.Options mayinclude amanagementbuy-out(MBO),

saletoanemployeeownershiptrust(EOT), or athirdpartysaleofthebusiness –each withdifferentimplicationswhichshouldbe carefullyexplored.

•Finally,lifeassurancecanbe apracticaland effectivewayoffundinganIHTliability, providingcertaintyandliquidityatexactly thetimeitisneededmost.

Theimportanceofcommunication betweenprofessionaladvisers

Itisvitallyimportantwhenconsidering anyformofsuccessionplanningthatyour

professionaladvisersarealignedandin communicationwithoneanother.

Thisincludes:

•Yoursolicitortoconsiderthelegalaspects ofanytransaction.Theywillalsobetasked withupdatingyourwill,andpotentially yourfamilymembers’willsto reflectany planning.

•Youraccountantand/ortaxadvisercan provideyouwiththetaximplicationsof anytransactionbothfrom abusinessand personalperspective.

•Yourfinancialadviserwillconsiderany

planningfrom acashflowperspectiveand ensureitdoesnotjeopardiseyourfamily’s requirements.

Inheritancetaxplanningisnolonger a‘one off’ exercise –itisanongoingprocessthat needsto reflectchangesinlegislation, family circumstances, andcommercial realities.

WhilsttheApril2026 reforms represent asignificantshift,theydonotspelltheend ofeffectivesuccessionplanning. Withearly engagementandtherightadvice,family businessescanstillbeprotected,andwealth preservedforfuturegenerations. ■

As aresult,manyemployersarebeginning to revisittheircontributionstructures.Some areconsideringwhethertoincreaseemployer contributionsgradually,aheadof regulatory change.Othersarereviewingage-related orgrade-basedstructurestoensurefairness acrosstheworkforce.Thereisalsogrowing interestinflexibility,allowingspendabove theminimumtobeusedindifferentways dependingonemployees’lifestages.
