TERMS AND CONDITIONS
1. General
1.1ThefollowingTermsandConditionsareattachedwithEstimateand/orInvoiceandshallform partofthecontractbetweenTREDIINTERIORSLLC(hereinafter“Supplier”)andCustomer.
1.2CustomerunderstandsandagreesthatallproductsdescribedinthisInvoicearespecially designedandcustommanufacturedandonceplacedtheorderisnotsubjecttocancellationby Customerforanyreasonwhatsoever.
1.3FailureofCustomertopickupproductswithinhundredeighty(180)daysshalltriggerSupplier's righttoreselltheproductsunderapplicablelawandCustomerandSupplierherebyagreethat wheneverSupplierispermittedtoreselltheproductsunderapplicablelawitmaydosoeitherby privateorpublicsale.CustomerfurtheragreesthatSupplier'splaceofbusinessisareasonableplace, butnottheonlyreasonableplaceforsuchsale.
1.4Customershallberesponsibleforanyapplicablestoragecostsforfailuretopickupproductsina timelymanner.
2. Exclusions
2.1ThisInvoiceand/orEstimateisforthepurchaseoftheproductssetforthhereinanddoesnot includeproductsinstallation,purchaseorinstallationofappliances;materialand/orlaborin connectionwithanyexcavation,sitework,plumbing,electrical,masonry,flooring,floorcovering, painting,decoratingwork,and/ordemolitionofexistingproductsunlessspecificallyprovided.
2.2Supplierisnotresponsibleforanyproblemsresultingfromunevensurfacesorincorrect measurementssuppliedbyCustomer,including,butnotlimitedtofloororwalls.
3. Conformance with Plans, Specifications, and Addenda
3.1Allproductsareguaranteedtobeinaccordancewithsubmittedandapproveddrawingsand specifications.
3.2NochangeordermaybeauthorizedunderthisInvoiceunlessinwritingandsignedbyCustomer andSupplier.Additionalmaterialcostmayapplyandmustbepaidbeforeanychangescanbemade pursuanttothisInvoice.
3.3TrediInteriorsprovidesinstallationplansandelevationsforthecontractorstoplaceplumbing, electricalandwoodblocks,etc.
3.4TrediInteriorswilldoONEfreewalkthroughbeforeinstallationtocheckifinstallationplans havebeenfollowedandspaceisreadyforinstallation.
3.5TrediInteriorscanprovidea FOLLOW UP contractwhichincludes5on-sitevisitsduring construction.VisitsshouldbescheduledbytheGCtocheckframing,plumbing,electrical,etc.Each visitwillbefollowedbyareportsentbye-mailtotheGCand/orarchitectandcustomer. FlatfeeforsuchcontractwillbedeterminedbyTrediInteriorsdependingonsizeandcomplexityof thekitchendesign.Forextravisits,referto3.6.
3.6Ifthejobsitedoesn’tmeetrequirementsforaproperinstallation,a30%increaseofastandard installationwillbeapplied.
3.7TrediInteriorscanprovideon-demandon-siteconsultationtocheckframing,plumbing, electrical,etc.Eachvisitwillbecharged$300.
3.8TrediInteriorscanprovideaKITCHENDESIGNSUPPLEMENTcontractincludingcountertop choice,bids,andfollow-uptemplateandinstallation;appliancechoiceandinstallationfollow-up; designconsultation,backsplash,lighting,flooringandfurniture,colorpalette,walldécor.
4. Delivery and Payment
4.0Adownpaymentequaltofiftypercent(50%)ofthetotalpurchasepriceisrequiredatthetime theorderisplaced.Thispaymentsecurestheorderandinitiatestheproductionprocess.Orderswill notbeprocessedormanufactureduntiltherequireddownpaymenthasbeenreceivedbythe Supplier.
4.1Thedeliverydate,whengiven,shallbedeemedapproximateandSuppliershallnotbeliablefor anydelaysindeliverycausedbyfactorsbeyondSupplier'scontrolincludinglabordisputes,fire, accidents,floods,storms,actsofGod,Covid,defaultsorcarrierissues,materialshortages,orUnited StatesCustomsdelays.Undernormalcircumstances,deliverytimewillbe14-18weeksfromthelater ofsigningthisagreementorthedaySupplierreceivesthefirstpayment.
4.2SuppliershallnotifyCustomerofthereceiptoforderedgoodsatUnitedStatesCustoms.If Customercannotreceivethegoodswithin10-21daysofthenoticeofscheduleddelivery,the materialswillbestoredbySupplierforafeeof$450.00permonthforakitchen-and/or$35per cubicmeterforothergoods - orportionthereof,chargedanddueondelivery.
4.3Theremaining50%balanceisdueuponarrivalofthegoodsattheSupplier’swarehouseand aftercustomsclearance.FinalpaymentshallbedueatthetimeSuppliergivesnoticeassetforthin Section4.2above.FinalpaymentisaconditionprecedenttoSupplier'sobligationtodeliverthe material.Iffinalpaymentisnotmadepriortodelivery,thematerialwillnotbedelivered,andthe storageandredeliverychargessetforthinSection4.6shallapply.
4.4Iftheremainingbalanceisnotpaidinfullwithinten(10)daysfromthedateofthenotice providedunderSection4.2,afinancechargeof2.5%permonthwillbeappliedtotheoutstanding balance.Thisfinancechargewillbeaddedtothetotalamountdueandmustbepaidpriortodelivery.
4.5Atthetimeofdelivery,Customershallinspectthematerialforanyvisualdamageonpackaging andprovideSupplierwithanitemizedlistofanydamagedmaterial.However,ifnoexternal packagingdamageisobservedorreportedatthetimeofdelivery,anyinternaldamagesdiscovered uponunpackingshallbetheresponsibilityofTrediInteriors. Unpackingmustbeperformed exclusivelybyaTrediInteriorsemployeeorauthorizedcontractor.Anyunpackingconductedby otherswillvoidanyliabilityofTrediInteriorsfordamages
4.6ScheduledDeliveryCancellation:IftheCustomercancelsorreschedulesaconfirmeddelivery appointmentwithoutprovidingatleastseventy-two(72)hours’priorwrittennotice,aredeliveryfee of$300shallapply.Thisfeewillbeduebeforetherescheduleddelivery.Repeatedcancellationsor reschedulingmayresultinadditionalstoragefeesasoutlinedinSection4.2.
4.7ReturnofDeliveredGoodsDuetoNon-PaymentorCancellation: Ifgoodsaredeliveredbutpaymentisnotcompletedduetocancellationorfailuretopaythe remainingbalanceasspecifiedinSections4.3and4.4,theCustomershallbefullyresponsible forall costsassociatedwiththereturnofthemerchandisetotheSupplier’swarehouse.Thisincludes,butis notlimitedto,transportation,handling,storage,andrepackagingfees.Inaddition,anindemnity equalto15%ofthetotalinvoiceamount,plusanyapplicablepenaltiesandlegalcollectionfees,shall
bepayablebytheCustomer.OwnershipofthegoodsshallremainwiththeSupplieruntilfull paymentisreceived,andtheSupplierreservestherighttoreclaimthegoodsattheCustomer’s expense.
5. Job site Waste Disposal
Deliveryandinstallationservicesdonotincludetrashremovalordumpingofpackagingmaterials.It isassumedthatasuitablewastecontainer(e.g.,dumpster)willbeavailableon-siteforthedisposalof ourcardboards,woodcratepanels,andothernon-hazardousdebris.Thiscontaineristypically managedbythegeneralcontractorandmustbemadeaccessibleforouruse.Intheeventthatno appropriatecontainerisavailable,wewillrequestquotesfromlicensedwasteremovalcompanies, andanyassociatedcostswillbebilledasanadditionalchargetothecustomer.
6. Damages, Warranties and Claims
Allwarrantiesbecomeeffectiveonlyuponfullpaymentofthepurchaseprice.
5.1Materialswillbewarrantedagainstdefectsforfive(5)yearsafterdelivery.Supplier’sliabilityis limitedtorepairingorreplacingdefectivepartsanddoesnotcovercommercialuse,normalwear,or damagesnotcausedbySupplier.
5.2Supplierisnotresponsibleforconsequentialdamagesincludingdelaysorincompatibilitywith othertrades.
5.3Supplierisnotresponsiblefordamagescausedbyunevenfloors,wallsoutofplumb,orvariations inappliancesorsiteconditions.
5.4Supplierbearsriskoflossordamageintransitandwillfileanyinsuranceclaims.
5.5Anyclaimsfordefectsmustbemadeinwritingatthetimeofdelivery.Supplier’sliabilityis limitedtorepairorreplacementwithinareasonabletime.
5.6Customerassumesriskoflossortheftafterdelivery.
5.7Supplierisnotresponsibleforvariationsingrain,color,orpatternswithinindustrystandards.
5.8Supplierisnotresponsibleforproblemscausedbythird-partyinstallation.
5.9Appliancewarranties,ifapplicable,arelimitedtomanufacturer’sspecificationsandclaimsmust bemadedirectlywiththemanufacturer.
5.10Nomodificationofwarrantyisvalidunlessinwritingandsignedbybothparties.
7. Miscellaneous
6.1Allnoticesandcommunicationsmustbeinwritingandareeffectiveuponconfirmedreceipt.
6.2Ifanyprovisionisheldinvalidorunenforceable,theremainingprovisionsremainineffect.
6.3Theprevailingpartyinanydisputeisentitledtorecoverreasonableattorneyfeesandcosts.
6.4ThisagreementisgovernedbythelawsoftheStateofCalifornia.
6.5ArbitrationClause:Anydispute,claim,orcontroversyarisingoutoforrelatingtothisAgreement, includingthebreach,termination,enforcement,interpretation,orvaliditythereof,shallberesolved exclusivelythroughfinalandbindingarbitrationadministeredbytheAmericanArbitration Association(AAA)underitsCommercialArbitrationRules.Thearbitrationshallbeconductedin RiversideorSantaClaraCounty,California,unlessotherwiseagreedinwriting.Judgmentonthe awardrenderedbythearbitratormaybeenteredinanycourthavingjurisdiction.Eachpartyshall bearitsowncosts,exceptthattheprevailingpartyshallbeentitledtorecoverreasonableattorneys’ feesandarbitrationexpensesinaccordancewithSection6.3ofthisAgreement.
