As New Hampshire’s school boards pre pare for the school year, local planning boards faced a different action dead line: Aug. 23. That’s the day towns and cities were supposed to start adhering to a package of new zoning and planning laws passed by the Legislature this year. There are new deadlines. There are require ments for better explanations for approvals and denials. And there are mechanisms for towns to approve and help finance workforce housing, a key aim of the bill.  Towns and cities are already rushing to get up to speed. An Aug. 10 online webinar pre sented by the New Hampshire Municipal As sociation and the state’s Office of Planning and Development saw 400 town officials, planning board members, and zoning board members log on for a detailed briefing – eight times the standard attendance.  Some municipalities, such as Keene, have already incorporated many of the required changes voluntarily.

It also requires that land use boards issue written reasons for an approval or a disap proval. Exactly how much detail the boards must give is determined by how controver sial the application was, the law states. If a board fails to release written findings of fact supporting its refusal, the move will be grounds for automatic reversal in superior court.Natch Greyes, government affairs counsel for the New Hampshire Municipal Associa tion, noted that the land use boards should be acting in a “quasi-judicial capacity.” “You have to explain what you’re doing, just like a judge would,” he said. Those decisions might later be relied upon if a developer decides to appeal the decision, he noted.

Zoning boards will now have up to 90 days to make a decision on an application.

New Opportunities, Better Training Beyond new requirements, the law also creates incentives for towns to build more housing. Itexpands the definition of “public use” and allows the municipality to buy or acquire land for workforce housing through any exist ing process other than eminent domain. And it allows towns to create “municipal economic development and revitalization dis tricts” and apply them to workforce housing. That designation would allow municipalities to create a “tax increment financing” district, a mechanism that allows towns to help subsidize the construction of the development using fu ture tax revenues generated by the property.

Incremental Changes As towns and cities align their practices with the new law, new developments are still likely to be approved on a case-by-case basis.

AManchester apartment complex has traded for $164 million. The 640-unit Halstead Manchester is lo cated on Country Club Drive, on the west bank of the Merrimack River near Southern New Hampshire University’s main campus. The Boston-based DSF Group sold the property to Florida-based Priderock Capi tal Partners. CBRE Capital Markets repre sentedSpreadDSF.out over nearly 41 acres, the com munity is comprised of 16 three-story resi dential buildings and two single-story ame nity buildings with two swimming pools. Originally built between 1981 and 1985, two of the buildings were completely rebuilt between 2013 and 2014. In February 2020, DSF completed work to give the complex a new amenity package that, CBRE said in a statement, “rivals” newer apartment com plexes in the region in addition to highefficiency boilers and other green building systems.“This sale represents the largest total consideration for a single apartment trans action in the state’s history and marked the successful conclusion of our investment strategy for the asset. The New Hampshire market continues to be the top performing market in all of New England,” Josh Solo mon, president of The DSF Group, said in a statement.

A Superior Court judge dismissed Cathartes’ attempts to end residents’ efforts to stop the project, which included turning the parcel’s waterfront into a publicly-accessible park. A proposed, two-building hotel-apartment project by XSS Hotels and Procon on a trio of parcels around the corner from the Cathartes project is still waiting for a Superior Court judge to rule in its suit that city officials acted “in bad faith” when they first rejected the project. The project has since been granted a rehearing. The wait means the project’s second try at getting its permits is on hold, the Herald re ported.

That means any developer submitting an application under the workforce housing stat ute can rely on the same provisions the town offers to older residents in its zoning ordi nances, whether they are dimensional incen tives or density incentives. That change will not take effect until next year – July 1, 2023. Towns that want to change their zoning ordi nances will need to do so during town meet ings next spring.

Manchester Apartments Trade for $164M

Noah Hodgetts, municipal and regional as sistance principal planner at the state Office of Strategic Initiatives, said “it wouldn’t hurt” for towns to update their ordinances to clarify that the same incentives apply to both types of developments. The requirement affects zoning ordinances but does not apply to tax incen tives.

In Keene, city leaders are supportive of in creasing workforce housing, Rounds said. The city is continuing to update its zoning district code to do so; it recently allowed mixed-used properties offering multifamily housing in its commercial district, according to Rounds.

Consistent Housing Incentives  Towns that offer more relaxed zoning conditions for housing for older persons are about to face a choice. The new law requires any incentives in zoning laws that apply to housing for older persons to also apply to workforce housing.

Part of the new law intends to increase awareness of existing zoning laws among planning and zoning board members across theThestate. Office of Planning and Development has created two 30-question multiple choice tests – one for zoning boards and one for planning boards – that will allow municipal employees and board members to demon strate their knowledge of zoning laws. The tests allow those board members to receive a certificate for passing the test, and they also allow others to carry out the test anony mously, without credit.  There are no legal ramifications for not tak ing the test; if a planning board member doesn’t take a test, it will not be held against them in a lawsuit against the board, Hodgetts said.

The FDIC will also consider how a bank’s management team assesses risks related to the pandemic, while keeping in mind the bank’s size, complexity and risk profile.

“We’re now going back through the code looking for opportunities for: ‘Okay, can we provide additional incentives to develop inno vative solutions, like putting workforce hous ing on the second and third floors of com mercial buildings?’” Rounds said. “‘Are there other opportunities like that throughout the city that we can take advantage of?’”  But even with new deadlines and tools, the approvals will depend on the project, Rounds said. Even updating the code will likely con tinue to be piecemeal.

The FDIC said CRE loan delinquencies are at historically low levels, while loan losses have been nominal, partly because of government aid during the pandemic and low borrowing costs. Banks have also worked with borrowers expe riencing stress during the pandemic, the FDIC said, likely limiting losses as borrowers had time and flexibility to address issues. But bank examiners have noted concerns during recent examinations. Some concerns involve underwriting, including using outdated financial information that might include pan demic aid when assessing capacity to repay a loan. Other observations included banks with risk-rating frameworks that lacked objective criteria, insufficient tracking of policy excep tions, and insufficient risk analysis when stresstesting loan portfolios. As the FDIC moves into the 2022-23 exami nation cycle, the agency said it would continue to recognize factors such as the effects of the pandemic.“Examiners will consider the unique, evolv ing, and potentially long-term nature of the is sues confronting banks in developing their su pervisory response,” the FDIC said.

Banks ended 2021 with record CRE loans totaling more than $2.7 trillion, the FDIC said, and community banks had $795.7 billion in CREMassachusettsloans. had 5,084 commercial mort gages from January through June of 2022 worth $44.2 billion, a 65 percent increase in loan vol ume compared to the 5,107 loans worth $26.6 billion made in the first six months 2021, ac cording to The Warren Group, publisher of Banker & Tradesman. More banks at the end of 2021 also reported higher concentrations in CRE loans, including those with a certain concentration in construc tion, land development and other land, as well as banks with a certain concentration of CRE loans that have also seen the portfolio increase by 50 percent or more during the prior 36 months.TheFDIC said lending concentrations are “not by definition problematic,” and noted that these concentrations are sometimes necessary for smaller banks. “The majority of banks with CRE loan con centrations are satisfactorily rated,” the FDIC said. “Nevertheless, CRE loan concentrations add dimensions of risk that necessitate contin ued attention from banks and their regulators, especially as the pandemic lingers and uncer tainties remain.”

The existing statute already requires pro viding written findings of fact, but the poten tial for automatic reversal if a town fails to do so is new.

The Office of Planning and Development is currently developing new training materials that it can offer to municipal employees and land use board members, Hodgetts said.

One Portsmouth development seems to have lost an important court case while a neighboring one is still in a holding pattern waiting for its case to be resolved. A Cathartes proposal for a 44-apartment mixed-use building facing the city’s North Mill Pond could be re-heard by the Ports mouth Planning Board after a group of resi dents sought to overturn its approval, the Portsmouth Herald reports. The board, the city’s Conservation Com mission and the city’s Historic District Com mission OK’d the project on the site of a sin gle-story office-and-retail building in 2021.

With banks holding record volumes of com mercial real estate loans, the FDIC plans to increase its focus on CRE transaction testing during its next cycle of bank examinations. In its Supervisory Insights bulletin last week, the FDIC pointed to effects on CRE loans from “the uncertain long-term impacts of changes in work and commerce in the wake of the pan demic, the effects of rising interest rates, infla tionary pressures, and supply chain issues.”

The law also effectively grants planning boards up to 95 days to make a decision; it eliminates the ability for planning boards to get a 90-day extension. Any extension is now possible only if the applicant agrees to waive theMeanwhile,deadline.  appeals have more require ments. If the board acted with gross negli gence, bad faith, or malice, then attorney’s fees may be awarded to the applicant. But if there was malice in appealing to the court, attorney’s fees could be awarded to the board. That latter case could happen if an applicant proceeded with an appeal even if they knew there was no reasonable basis for it, Greyes said. The former case could happen if a board demonstrated bias or prejudice against the applicant.

The new law attempts to speed up the deci sion-making process, potentially allowing for more approvals than usual.  Zoning boards will now have up to 90 days to make a decision on an application, unless the applicant agrees to an extension. If the zoning board doesn’t have enough informa tion to make a decision, the board may deny that application. That 90-day clock starts upon the board’s receipt of the application.
