LEARNING TO PLAY NICELY F
rom the very beginning, our lives are governed by rules, whether we’re on playgrounds, in classrooms or at home. The practical – look both ways before you cross the street – and the moral – don’t bite your fellow toddlers – are the building blocks of becoming a functional member of the greater society.
Those early rules, though most children don’t realize it (and those who do chafe against it), are also an early introduction to a world brimming with laws and regulations, “guidelines” and “best practices.” Wherever life takes those kids, whether it’s behind a computer, a sketchpad, a scalpel or a production line, there are rules and regulations to learn and obey. Nothing is certain but death, taxes and visiting inspectors. Lenders and real estate agents, of course, know all too well the crushing burden of complying with rules and regulations someone else created and imposed. The governmental reaction to the Great Recession was to bury the problems in paperwork, leaving smaller banks struggling to not only understand new regulations, but also implement changes and keep re-
cords showing they have met new requirements. The list of the rules and regulations to which banks must bow, and of the regulatory agencies they must obey, are long enough to fill the pages of this magazine – to say nothing of the length of the actual content of those rules and regs and their attendant guidelines and clarifications. And despite the odds – and reams of paper – stacked against them, many lenders and agents continue to thrive. This year’s list of Top Loan Originators illustrates that beyond a doubt. And sometimes, the authorities recognize the truth in the old adage about flies, honey and vinegar, and offer more charm than punishment. Such is the case with housing incentive programs, and renewed interest in 2008’s incentive housing zone
program may bring more developers – and sorely needed housing – to towns across the state. Perhaps regulators will eventually realize that punishing those who were not responsible for creating a nationwide recession – and contributing to a worldwide recession – only results in angry resentment. It’s unwise to anger the people who control the country’s financial system. Money, particularly in the form of lobbying dollars, really does talk – and this is an election year, after all. At times it seems the sheer number of rules, laws and regulations that govern nearly every aspect of our lives is unmanageable and out of control. Laws are of course important – to punish the bad guys, to compensate the good guys, and the whole “don’t bite your fellow toddler” thing really can’t be overstated – but perhaps it’s time to consider the risks and the opportunity for much greater rewards. n

NEW FASB RULE WILL PUT LEASES ON THE BALANCE SHEET Experts Say Reg Could Impact Lending And Leasing Alike
BY LAURA ALIX | COMMERCIAL RECORD STAFF
A
new rule approved in February by the Financial Accounting Standards Board (FASB) could have wideranging consequences for banks, from the branch to the balance sheet. FASB’s new rule would require all businesses and nonprofits to book all longterm leases (anything over 12 months) as both assets and liabilities on their balance sheets. Right now, many companies disclose those leases in the footnotes to their financial statements, and unless they’re “lease-to-own” transactions, they typically aren’t recorded as liabilities. For financial institutions, which not only lease property but also lend money to busi-
nesses that lease property, the implications are numerous. “It really affects all industries,” Giuseppe “Joe” Femia, vice president and director at the accounting firm G.T. Reilly & Co., said of the rule. “But with banks and credit unions, it’s going to affect them if they have branches. If they lease branch locations, they’re going to have to record an asset and a liability, which could potentially hurt their capital ratios.”
6 | THE COMMERCIAL RECORD | JUNE 2016
That rule is anticipated to have an outsized effect on financial institutions that have a large branch network, particularly those that lease, rather than own, many of their locations. Donald J. Musso, president and CEO of the New Jersey-based consulting firm FinPro, said the rule could effectively eliminate long-term leasing and, naturally, a business that leases a property for just three years isn’t going to get the same rate as a business that might lease that property for 10 years. “It’s more than just the balance sheet. We’re going to have to book these leases and hold them on the balance sheet. More importantly, we’re going to have to book capital against that,” he said. “All of a sudden, leasing isn’t the advantage it was two years ago.”
“
It’s more than just the balance sheet. We’re going to have to book these leases and hold them on the balance sheet. More importantly, we’re going to have to book capital against that. All of a sudden, leasing isn’t the advantage it was two years ago.” — Don Musso, president, FinPro
Meanwhile, Dan Morrill, a principal in Wolf & Co.’s professional practice, said the rule could have an impact on banks’ commercial borrowers – particularly professional service firms. “Say you look at a professional services firm based out of Boston or Hartford; they might have total assets of $1 [million] to $2 million, but everything’s in their revenues because they’re a service firm,” he said. Requiring that firm to list out a threeyear lease as both an asset and a liability on its balance sheet will throw off its debt-toequity ratio, Morrill said. “It sort of grosses up the balance sheet, which hurts the capital ratio and debt ratio,” Femia said. “It hurts your capital ratio when you’re a financial institution and your debt ratio when you’re a commercial borrower. It’s basically like bringing debt onto the books.” Musso had harsher words, however, arguing that the rule would at least make sense if FASB had applied it to all types of long-term contracts and not strictly real estate leases. He still wouldn’t like it, he said, but it would make sense. Alluding to FASB’s current expected credit losses model, yet another headache for bankers, he said, “You’ve really got to wonder what’s motivating FASB in the financial sector.”
Taking A Proactive Approach The rule won’t take effect until 2020, but experts say financial institutions need to be proactive in how they approach it. “The big story for banks is, analyze the impact this may have on your bank and plan accordingly,” Musso said. “Don’t wake up and be reactive. We need to proactively analyze it and figure out how we’re going to address it.” When working with commercial borrowers, Femia suggested that perhaps banks might exclude the commercial borrower’s capital lease obligations from their debt ratios.
Morrill meanwhile said that banks’ accounting departments will need to prepare now, creating schedules for each of a given bank’s leases. “What will be big is the administrative cost of doing this,” he said. “From an accounting standpoint, it’s still a pain.” The rule may also impact banks’ decisions concerning their branch networks. Experts say it may pique questions about whether it’s better to buy or lease – or whether it’s worth it to expand your branch network at all. “Let’s say for example, a bank is thinking of opening a new branch. If it’s really in a prime location they know they’re going to be in forever, they may be better off buying the building instead of leasing it. That way you get an asset on your books instead of
a liability,” Femia said. “But that’s for the long haul, so if it’s an area you’re not sure about, that doesn’t make sense because then you’re stuck with a building you can’t do anything with afterwards.” Musso thinks the new FASB rule will only accelerate the current trend of the shrinking branch network. “I do think it’s going to force people to look at their networks, and it is going to force continued change in the way we deliver our products and services to customers,” he said. “We’ve been telling people that the delivery network of the future is going to be digital, people and a limited branch network and I think this is going to accelerate and exacerbate it.” n Email: lalix@thewarrengroup.com

NEWS ROUNDUP GROUND BREAKS ON MAJOR HOUSING DEVELOPMENT IN STAMFORD’S SOUTH END
TD BANK PUTS PENNY ARCADE OUT TO PASTURE
Co-developers Jonathan Rose Cos. and Malkin Holdings last month broke ground on their Metro Green III housing development in Stamford with a ceremony that brought local and state leaders to the site. The 131-unit green housing development will feature an 11-story high-rise apartment building with studio, one- and two-bedroom units. Fifty-eight of the apartments will be rented at competitive market rates and seventy-three of the apartments will be restricted to reduced income households with incomes ranging from 50-60 percent of area median income. Financing for the $52 million Metro Green III development was arranged through an innovative mix of public and private sources, including Housing Trust Funds from the state of Connecticut Department of Housing; “feein-lieu” funds contributed by private developers to the city of Stamford as part of the city’s Inclusionary Housing program; HOME funds from the U.S. Department of HUD; a low-interest subordinate loan from Citi; construction and permanent financing from Citi; tax-exempt financing issued through a collaboration with Charter Oak Communities for the benefit of the Stamford community; and 4 percent low-income housing tax credits allocated by the Connecticut Housing Finance Authority and purchased by J.P. Morgan Chase through First Sterling Financial. Metro Green III is the third and final phase of a 231-unit mixed-income development completed over the past 10 years by the partnership of Jonathan Rose Cos. and Malkin Holdings. Malkin acquired the 5.2-acre former brownfield site over 30 years ago. The project has an expected completion date of June 2017.
TD Bank is retiring its Penny Arcade coin-counting machines after several news reports outed some of the machines as faulty. “Offering free coin-counting to our customers has been a long-standing service at TD,” Michael Rhodes, TD’s head of consumer banking, said in a statement. “However, recent accounts regarding the performance of our Penny machines have led us to reassess this offering. We have determined that it is difficult to ensure a consistently great experience for our customers. In addition, the usage of our coin-counting machines has declined steadily over the past few years. For these reasons, we have decided to retire the fleet and provide alternative coin-counting solutions to our customers. We will continue to assess the Penny experience and intend to appropriately address customer impact.” TD Bank said that its protocol included daily testing of each Penny Arcade machine, but a “Today” show report early in April showed the machines sometimes shortchanged customers. Late last month, a New York business customer filed a proposed class action suit in federal court over the machines. TD Bank said it would continue to offer other coincounting solutions for its customers, including offering free coin wrappers and accepting pre-rolled coins from its retail, business and nonprofit customers at no charge. The bank also said it would launch a digital learning experience for children specifically and would roll out a summer reading and savings program later this year.

Single-family home sales in Connecticut climbed 20.9 percent in March, according to the latest report from The Warren Group, publisher of The Commercial Record. A total of 2,139 single-family homes were in the month, in comparison with 1,768 sold in March 2015. This marked the highest number of sales in March since 2007, when 2,636 homes were sold. Year-to-date, sales were up 25.6 percent, with 5,652 transactions compared to 4,501 during the same time last year. The median price of a single-family home fell 3 percent in March to $225,000 compared with $232,000 a year ago. Median sales continue to slide modestly, marking the 12th consecutive month of price drops year over year. Year-to-date, prices are down 1.1 percent to $227,000 in comparison to $229,475 a year ago. Condominium sales statewide posted a double-digit increase in March, up 11 percent to 564 condos sold, an increase from 507 the same time a year ago. Year-to-date, condo sales increased 14.7 percent with 1,493 condo sales compared with 1,301 last year. The median sale price for condos in March showed a slight decrease of 3.3 percent, falling to $145,000 from $150,000 in March 2015. Year-to-date, prices were down by 3.8 percent to $149,000 compared with $155,000.
STATE ENTERS INTO $784.6M GLOBAL SETTLEMENT WITH PFIZER SUBSIDIARY
Connecticut will participate in a global $784.6 million settlement with the drugmaker Wyeth to resolve allegations that the company knowingly underpaid rebates owed under the Medicaid Drug Rebate Program for sales of the drug Protonix, according to a statement from the attorney general’s office. The program was enacted as a cost-saving measure, requiring participating pharmaceutical manufacturers to pay quarterly rebates to state Medicaid programs for each of its drugs sold to pharmacies that were reimbursed by Medicaid. The states and federal government alleged that, between 2001 and 2006, Wyeth sold Protonix oral tablets and Protonix IV to hospitals at discounted prices. They alleged that Wyeth’s contracts with the hospitals created a bundled sale under the terms of the Medicaid Drug Rebate Agreement by linking discounts to available to participating hospitals for Protonix IV to discounts on Protonix Oral tablets. However, it’s alleged that Wyeth did comply with the program to treat the sales as bundled. As a result, the states and federal government allege that the discounts were not properly allocated and that the “best price” was falsely reported, causing the rebates paid to the states to be significantly lower than required. The settlement portion attributable to the state and federal shares of the state’s Medicaid program is slightly more than $10 million, of which nearly $5 million represents the net state share. The state’s net share of the settlement will be deposited into the state’s general fund. Wyeth is a wholly-owned subsidiary of Pfizer since 2009.

Hard Sell
T
here’s no shortage of data indicating that Connecticut residents and the state’s housing stock have a mismatch.
INCENTIVES FOR MULTIFAMILY DEVELOPMENT Communities Consider Affordable Housing Program BY STEVE ADAMS | COMMERCIAL RECORD STAFF
Nearly 70 Connecticut communities have accepted state grants to study incentive housing zone programs, but only two developments have been completed under the program since its enactment in 2008. 10 | THE COMMERCIAL RECORD | JUNE 2016
Single-family home prices have been stagnant for nearly a decade. Apartment rents are the nation’s eighth highest, with an estimated salary of $24 an hour needed to afford the price of a typical two-bedroom apartment at 30 percent of income. Connecticut’s incentive housing zone program (IHZ) was supposed to help address the supply shortage. Enacted in 2008, it gives technical assistance grants and incentive payments to communities that permit multifamily developments that include affordable units. Along with moderating housing costs, the program is designed to encourage smart-growth projects near public transit. Housing production has been sluggish under the program, a reflection of high land costs and the still-fragile real estate recovery. A pair of developments in Old Saybrook and Sharon generated 28 units after the communities enacted incentive zones and developers responded. “We do have fairly good interest in doing a study, but then the participation drops significantly,” said Evonne Klein, Connecticut’s housing commissioner. “The number of units that have been produced is very low.” New projects now in the pipeline are set to add hundreds of units in a handful of towns, which housing advocates say could serve as models for its more widespread adoption. Demolition began in December of a former motel site in Old Saybrook to make way for a 186-unit rental complex called Post and Main. In Branford, officials are reviewing an application by developer Alex Vigliotti to convert two office buildings into 35 apartments, including seven with income restrictions. The planning and zoning commission approved an Incentive Housing Overlay District in January.
Less Stick, More Carrot Suburban land-use policies have been resistant to change in many Connecticut communities, with the market weighted heavily toward detached homes. In 114 of the state’s 169 communities, at least 70 percent of the housing stock is single-family homes. All but 17 municipalities saw stagnant or declining grand lists between 2008 and 2013, according to data from the state Office of Policy and Management. That’s probably not a coincidence, says Kathryn Shafer, deputy director of the Hartfordbased Partnership For Strong Communities. “Their populations are aging, their school population is decreasing and their grand lists are falling,” Shafer said. Despite demand for multifamily housing from Millennials and empty-nesters, projects remain a hard sell in many areas. There are 23 towns with no zoning for multifamily housing, while 122 require developers to go through a special permit process. The incentive housing zone program gives communities $20,000 technical assistance grants, and 69 towns have taken up the offer. It grants payments of $2,000 for each building permit issued under the program. Developers also have the option of pursuing multifamily development through a 24-year-old state law known as 8-30g. That gives them the power to sue communities with less than 10 percent affordable housing, as long as they included affordable units in a development. The threat of that option, along with increased state subsidies, has helped generate 7,900 units of affordable housing since 2013, with another 2,700 under construction, Klein said. Approximately half of those units are in the state’s urban areas, where multifamily housing is already concentrated. The IHZ, by contrast, is designed to spread the supply more equitably and encourage a cooperative relationship between local officials and developers. “We know affordable housing adds to the vibrancy of the community and certainly the economic stability of the community,” Klein said. Gov. Dannel Malloy also has sought to leverage public transit expansion to promote development. A 2014 program offers predevelopment
loans of up to $3 million for properties located near public transit stations. The program was originally designed to spur development near the CTfastrak dedicated bus line, but was expanded to include any site within a half-mile of any stop on the Shoreline East, MetroNorth and the CTrail Hartford line. The first loan was awarded to Mutual Housing Association of Greater Hartford for a multifamily project on Park Street in Hartford. Six other developers have begun the underwriting process for loans, said Garrett Eucalitto, undersecretary for transportation policy and planning at the state Office of Policy and Management.
Density Key To Profitability Robert Fusari Sr., president of Old Saybrook-based Real Estate Service of Connecticut, developed housing for six decades and is well-versed in the obstacles facing developers in the suburbs. Now semi-retired, he serves on the board of directors of the HOPE Partnership, an Old Saybrook-based affordable housing nonprofit that built 16 rental town-
houses in the first IHZ project statewide. Called Ferry Crossing, the project was designed to provide housing for military veterans and families who were previously homeless. Reflecting the demand for such housing, the developers received more than 200 applications for the units. HOPE produced a video designed to head off community opposition. “There’s always the concern of who’s going to live there,” Fusari said. “Is it going to be the bikers or the undesirable types? If you don’t educate the public, the projects are doomed to failure and endless arguments and lawsuits.” Even with a favorable community process, financial and environmental considerations limit the list of buildable sites outside of larger cities. A density of at least 10 multifamily units per acre is needed to achieve profitability, Fusari said, requiring sites on public sewers that can be hard to find in smaller communities. n Email: sadams@thewarrengroup.com

Credit Availability
JUMBO LOAN AVAILABILITY CONTRACTING NATIONWIDE, BUT NOT IN CONNECTICUT
Lenders Competing For Jumbo Loan Business BY JIM MORRISON | COMMERCIAL RECORD STAFF
T
he availability of jumbo loans across the country dropped 1.4 percent in April, but lenders are still competing hard to make jumbo loans in the Nutmeg State. Conventional mortgage availability increased slightly, but overall mortgage credit availability decreased largely due to the decreased availability of jumbo loans, according to the Mortgage Bankers Association’s (MBA’s) Mortgage Credit Availability Index (MCAI).
On that index, a score of 100 is where the market was in 2012. At the height of the boom in June 2006, the MCAI scored an 859. The MCAI decreased 0.89 percent to 122.4 in April 2016. According to the MCAI, mortgage credit has become gradually more available since 2012.
12 | THE COMMERCIAL RECORD | JUNE 2016
“Mortgage credit became less available in April as a result of two opposing trends, resulting in a net decrease to the index,” Lynn Fisher, MBA’s vice president of research and economics, said in a statement. “Investors continued to roll out Fannie Mae and Freddie Mac’s low down payment loan programs, which had a loosening effect on credit availability. However, this was more than offset by tightening among high balance and jumbo loan programs.” In a telephone interview, Fisher said the

index tracks the supply of the loans, not the demand. “We’re tracking both the number of programs, as well as the relative riskiness of those programs,” Fisher said. “The index is a combination of how many offerings there are, and there were simply fewer offerings nationwide.”
Larger Lenders Compete For Jumbos According to Inside Mortgage Finance, a mortgage industry newsletter, “One of the biggest factors limiting the issuance of jumbo mortgage-backed securities is the strong appetite banks have to hold jumbos in portfolio.” Larger lenders have more assets and can afford to hang on to jumbo mortgages, which is more profitable than securitizing them. Because lenders aren’t selling the loans, they’re also able to ease the loan requirements without having to be concerned about making potential buyers nervous. Still, demand is steady and competition is heating up in the jumbo market. In August 2015, J.P. Morgan Chase announced it was streamlining its jumbo loan requirements. The mortgage giant lowered its minimum FICO score from 740 to 680 and lowered the 20 percent minimum down payment to 15 percent for jumbo mortgages on homes up to $3 million. “We want to make sure homebuyers can easily understand the benefits of financing with Chase,” Steve Hemperly, J. P. Morgan Chase’s head of mortgage loan originations, said in a statement. Wells Fargo, another heavy-hitter, which had loosened its jumbo requirements about a year prior to that announcement, loosened them even more after it. Lenders are quick to point out that this is not a return to the “bad old days” of highrisk loans, including those to borrowers without income verification. They say ensuring the borrower’s ability to repay the loan remains a high priority. Jumbo loans are generally less risky, al-
though also less profitable, than conforming loans, especially as competition in the marketplace has increased over the last few years.
Community Banks Want Jumbos Too “We are seeing more purchases than refinance customers, which is not a surprise,” said Daniel L. Berta, president of Fairfield County Bank. “Interest rates have been low for so long that most people who can refinance already did.” Because of the generally higher home prices in Fairfield County, he sells a lot of jumbo mortgages, especially as the number of home sales continue to increase. Fairfield County Bank is fairly conservative about which loans they keep and which ones they sell, he said.
“For us, the decision to sell has less to do with it being a jumbo loan or a conforming loan, but the structure of the loan,” Berta said. “We keep more of the adjustables in our portfolio. It has to do with appetite for interest rate exposure.” He views national lenders as competition, but for community banks it’s often more complicated than that. “There’s a funny relationship we have, because we’re competitors, but in many cases community banks will sell to those larger banks. While they’re competition they’re also an outlet for us. We may generate a lot of mortgages because of what we do, but we also sell some loans to them.” n Email: jmorrison@thewarrengroup.com

IN PERSON A Commercial Record online exclusive, the In Person features in-depth interviews with top talent in finance and real estate, from CEOs to nonprofit leaders, entrepreneurs to industry veterans. Excerpts from these interviews appear in the print version of The Commercial Record; to see the complete stories, please visit www.commercialrecord.com.
MARY ANN HEBERT, BROKER/PARTNER, BANNON HEBERT, BETTER HOMES & GARDENS REAL ESTATE Mary Ann Hebert was pregnant and less than thrilled with her homebuying experience, so she decided to get her real estate sales license and help other people have a better experience. Have buyers changed over the years? Today the problem is they spend a lot of time online looking at pictures. We have to be sure to get the online pictures right or they won’t ever bother to see the house [in person]. That’s where 90 percent of buyers start. Buyers’ expectations have changed, too. Because interest rates are so low, they’re not willing to do sweat equity. They’d rather roll the cost of improvements into the mortgage and not spend their savings. How does the Middlebury market compare to the rest of the state? In Connecticut, the market is not as hot as the rest of the country. We’re seeing good, well-priced properties moving quickly. We get a lot of families wanting to live in Middlebury because of the school system. Prices here are a little higher than in Waterbury. We used to have people commuting to New York City, but when gas prices went crazy after the crash, people started re-evaluating their time. People made lifestyle decisions and commuting time was part of that.
FRED BERTINO, CO-FOUNDER, PRESIDENT, MMB From the outset, Fred Bertino’s destiny would have seemed to be in the medical world. After all, his whole family works in that field. But during college, he changed course. From your point of view, how can community banks differentiate themselves in their marketing from both the big banks and other community banks? I think people are realizing there is an alternative to bigger banks. I think for most people, they ended up with the bank they have, they didn’t necessarily choose it. Now they’re realizing [their] community bank has all the services that the big banks have, which wasn’t maybe the case five or 10 years ago. I think they’ve gradually come up to speed on that. Where do you see banks go wrong in their advertising and messaging? Again, it’s just answering one question of “What are you buying?” and forgetting “What are you buying into?” It’s forgetting the personality of your bank or your overall brand and getting caught up in things like, “your checking account or my checking account” or “your CD or my CD.” That’s a waste of money.
BILL CHECKOSKY, VICE PRESIDENT, COMMERCIAL LENDING, GREATER HARTFORD MARKET MANAGER, CHELSEA GROTON BANK Believe it or not, Bill Checkosky got into the banking business because of regulation. You’ve been working in the Greater Hartford market for more than 25 years; when you think back on your career, what observations jump out at you about the market? We’ve seen consolidation, competition, certainly regulation and technology. You’d think maybe with less banks, there’d be less competition, but it’s hypercompetitive these days, in particular in the Greater Hartford market – especially in small business area and in commercial real estate lending. The regulatory environment and the increase in reporting requirements and compliance costs, that’s been substantial. I guess the end result is that we’ve all got, particularly in New England, stronger and better capitalized banks. The banks in Connecticut and in New England in general are much better capitalized than when I started. What kind of companies have you been working with at Chelsea Groton? I’ve been working with privately held, small to mid-sized businesses in various industries – fiber optics, several commercial property owners, manufacturers, contractors. Many of the small to mid-sized businesses, most of them are looking for basic things: working capital lines of credit, term loans for equipment or vehicles, commercial real estate mortgages, investment and owner occupied properties.

Top Of The List
THE COMMERCIAL RECORD’S SECOND ANNUAL TOP LOAN ORIGINATORS
I
n the course of its collection of public record real estate data, The Warren Group, publisher of The Commercial Record, has compiled a list of the top loan originators of the past 12 months. The originators are ranked by number of loans and loan volume statewide and in Fairfield County, and by the institution with which they are most closely affiliated (credit unions, banks and mortgage companies). Though home price gains have slowed in the state over the past year, and refinances have dropped as well, the number of homes sold has skyrocketed. These LOs have worked hard to achieve their positions in the rankings; they are to be congratulated for their well-deserved success and their contributions to the Nutmeg State’s housing recovery.

Keynote Speaker: Mary Barneby, Chief Executive Officer, Girl Scouts of Connecticut Mary Barneby has demonstrated leadership and a strong commitment to helping others through many facets of her life, including her successful career, where she has held senior roles for more than 30 years, and in not-for-profit organizations promoting women’s empowerment. She began her career in Girl Scouts as a girl in Brooklyn, New York. She attributes her drive for achievement in her adult life to the challenge of earning badges when she was young. In 2012, she became CEO of Girl Scouts of Connecticut.
