II. Program Participation Agreements A. Program Contingencies - I understand that my participation in a study abroad program ("Program") organized by CULTURAL EXPERIENCES ABROAD, INC., an Illinois corporation ("CEA") is contingent on CEA's review and acceptance of my CEA Application Form (“Application�) and on my completion of predeparture program requirements. B. Representations, Warranties and Covenants - I represent, warrant and covenant to CEA as follows, which representations, warranties and covenants will survive the termination of this Application: A) The information I have submitted on this Application to participate in a Program is complete and correct. I will notify CEA of any changes to or errors in the information provided in the Application within five (5) calendar days of any such change or discovery of an error. I have read and agree to the terms and conditions in CEA's Program Policies (the "Policies") provided to me and available on CEA's website at www.GoWithCEA.com, which are incorporated herein by reference and which constitutes part of this Application, including, without limitation, provisions in the Policies setting forth responsibility, payment of fees, status changes, refunds, accommodations and courses. In the event of any conflict between the terms of this Application and the Policies, the terms of this Application will control. B) I understand that I will be traveling to a foreign country, with different customs, standards, laws, and risks than I am accustomed to in the United States. I understand and acknowledge that (i) I may become sick or injured while participating in a Program; (ii) I may be arrested or imprisoned if I do not conform to local laws; (iii) there exists crime in foreign countries and that I may be a victim of crime; and (iv) I may not agree with local customs and standards. I accept the above-described risks and other risks associated with travel in, to and among foreign countries. I will not hold CEA or its Representatives (defined below) responsible for any such problems I encounter participating in a Program. C) I understand that I am responsible for any expenses incurred while traveling independently on weekends or academic holidays during my period of study at a Program site. I also understand that CEA does not provide support during periods of independent travel. D) I will comply with CEA's policies, including its rules, standards, and instructions for Program participant behavior. I agree that CEA will have the right to enforce its policies, rules and appropriate standards of conduct and that it may at any time terminate my participation in the Program for failure to maintain CEA's standards. I agree that CEA may change, modify or amend its policies, rules, standards, and instructions for any Program and I will be bound by and will abide by any such changes. If my participation in a Program is terminated for any reason, I consent to being academically withdrawn from the Program host institution at my own expense and will not receive a refund of any amounts paid by me. C. Waiver and Release - In consideration for being allowed to participate in any way in the Program and related events and activities, I acknowledge that I may engage in activities that involve risk of loss of property, personal injury, illness or death, and other risks not known, any of which may be caused by my own action or inaction or caused in whole or in part by the negligence of others. I hereby assume all of the foregoing risks and I release, waive, discharge and agree to hold harmless CEA and its officers, directors, employees, agents and representatives against any claim, demand, cause of action, damages or judgment for any injury of any kind, including that caused or alleged to be caused in whole or in part by the negligence of others, including CEA, its officers, directors, employees, agents and representatives. I HAVE READ THE ABOVE WAIVER AND RELEASE, AND UNDERSTAND THAT BY SIGNING THIS APPLICATION I AM AGREEING TO WAIVE, RELEASE AND OTHERWISE FOREGO SUBSTANTIAL RIGHTS THAT I OTHERWISE MAY HAVE HAD. I HEREBY AGREE AND ACKNOWLEDGE THAT I AM ENTERING INTO THIS APPLICATION VOLUNTARILY.
D. Authorization of Action by CEA - If I am sick or injured while participating in a Program, I authorize any representative of CEA to take whatever actions they may consider necessary or advisable to secure any necessary treatment at my own (or my parents' or guardians') expense, including, without limitation, arranging for the administration of an anesthetic, surgery and/or transportation back to the United States. I agree to provide the name of an Emergency Contact whom CEA may contact should CEA deem it necessary. I hereby acknowledge that this Application does NOT create any affirmative duty or responsibility for CEA to take any action should I become either sick or injured while participating in a Program. E. License - I understand that CEA occasionally uses statements by its students and/or their photographs. I hereby grant to CEA a nonexclusive, worldwide, non-transferable, royalty-free, irrevocable license to use, copy, display and distribute my name, photograph, likeness and any statements made by me about a Program in CEA's web site, advertising, marketing, promotions and printed materials thereof. I agree that CEA may distribute my name and email address to other past, present and future Program participants and applicants, unless I notify CEA in writing otherwise. I authorize CEA to release my Application and supporting references and documentation to Program host institutions, my home institution(s), their personnel, and CEA staff. F. Consent to Program Changes - I understand that CEA or the sponsoring academic institution may cancel any program or any course for insufficient enrollment or otherwise and that CEA may alter transportation arrangements, programs, itineraries and departure dates, and may make program changes or substitutions (collectively, "Program Changes"). I consent to any Program Changes and agree to pay CEA any additional fees charged by CEA due to Program Changes. I also understand that, if I leave a Program for any reason, there will be no refund of program fees or any expenses already paid. G. Indemnification - I will indemnify, defend and hold CEA harmless for, from and against any and all expenses, liabilities and losses (including, without limitation, investigation expenses and expert witnesses' and attorneys' fees and expenses, costs of court, judgments, penalties, fines and amounts paid or to be paid in settlement) actually incurred by CEA, in connection with any action, suit or proceeding, whether civil, criminal, administrative, or investigative, to which I am a party or is threatened to be made a party (any "Proceeding") based upon, arising from, relating to, or by reason of (i) my actions or failure to act while taking part in a Program or traveling as part of a Program; (ii) any misrepresentation or breach by me of any representation, warranty, covenant or agreement made or contained in this Application; (iii) my participation or involvement in a Program; and (iv) any action taken by an agent of CEA pursuant to Section IV ("Authorization of Action by CEA") above. H. Limitation of Liability - CEA OR REPRESENTATIVES WILL NOT BE LIABLE TO ME FOR ANY LOSS OF USE, INTERRUPTION OF BUSINESS OR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS), REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF CEA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER ANY AND ALL CIRCUMSTANCES, THE CUMULATIVE LIABILITY OF CEA TO ME WILL NOT EXCEED THE FEES PAID BY ME TO CEA. I. Survival - In the event of the termination or expiration of this Application, the representations, warranties, covenants and obligations of this Application will survive and will continue to bind the parties. J. Governing Law; Jurisdiction; and Venue - This Application will be governed by, and construed in accordance with, the laws of the State of Arizona (without given effect to conflicts of law principles). Any action, suit or arbitration proceedings brought relating to this Application must be commenced and maintained in the appropriate state court of Arizona located in Phoenix, Arizona or a Federal district court located in Phoenix, Arizona, as applicable. The parties irrevocably consent to jurisdiction and venue in such courts for such purposes and agree not to seek transfer or removal of any action commenced in any such court in accordance with the terms of this Section. K. Definitions - If this Application is signed by the parent or guardian of a Program Participant, the terms "I," "me," and "my" used herein will mean and refer to both the Program Participant and the undersigned parent or guardian. L. Attorneys' Fees and Expenses - In the event either party hereto institutes an action or other proceeding to enforce any rights arising under this Application, the party prevailing in such action or other proceeding will be paid all reasonable costs and attorneys' fees (including, without limitation, expert witness fees and costs) by the other party, such fees to be set by the court and not by a jury and to be included in any judgment or award entered in such proceeding. M. Merger; Modification; Assignment; Enforceability - This Application sets forth the entire understanding between the parties relating to the subjects addressed herein, and merges all prior discussions between the parties concerning such subjects. No modification of, or amendment to, this Application, nor waiver of any rights that arise from this Application, will be effective unless it is in writing and is signed by both parties. This Application will bind and inure to the benefit of the successors, legal representatives and permitted assigns of the parties. No assignments of the rights and obligations by you hereunder will be valid or binding absent the written consent of CEA. If any of the provisions of this Application are deemed to be unenforceable, the remaining provisions of this Application shall remain in full force and effect.
III. Applicant Authorization I (or if I am a minor, my undersigned parent or legal guardian) represent and covenant to CEA that all of the information I have provided on this Application is true and accurate to the best of my knowledge and that I have an affirmative responsibility and duty to inform CEA as soon as I learn of any error or change to the information that I have provided to CEA. I acknowledge that, in making its acceptance decision, CEA may rely on the information that I have provided. I understand that any misrepresentation may result in rejection of my application or dismissal from the CEA program. I agree to all of the terms and agreements of this Application.
