Staff Members Present: David L. Jones Executive Director Susan Richards Associate Director of Community Relations Call to Order: Roll call was performed. With quorum being met, the meeting was called to order by President Frank Mizner at 7:00 p.m.

Guest Speaker: Howard Grace with W.M. Grace Companies gave a presentation on the “Fiesta Village Apartments” concept.

HOMEOWNER COMMENTS: Homeowner Patricia Smith, 2457 S Gaucho, commented on landscaping along Lake 7 & 8, the Residential Guidelines requirement of 1 tree and 2 bushes, and homeowner comments during Board of Director meetings.

Homeowner Joan Long, 1803 W Kiowa, commented on the Association budget and annual voting for the Board of Directors.

Homeowners Marianne Fritzen 1914 S Cottonwood, Daryl Morgan 1906 S Cottonwood, and Nancy Pearson 1928 S Cottonwood, all commented on halfway houses in the community.

PRESIDENTS REPORT: President, Frank Mizner gave a report.

APPROVAL OF THE MINUTES: MOTION: Susan Powers motioned to approve the August meeting minutes. Laurie Moe seconded.

Motion carried.

DIRECTORS REPORT: Executive Director, David Jones gave the Directors Report.

COMMITTEE REPORTS: Marketing Committee: Stacy Holmstedt gave a report.

Finance Management Committee: Treasurer, Bob Radisich gave a report.

Master Planning Committee: George Tihanyi gave a report.

Water Management Committee: Jeff Brosman gave a report.

Recreation Committee: Susan Powers gave a report.

Architectural Control Committee: Committee Chair, Laurie Moe gave a report.

AdHoc Document Committee: Frank Mizner gave a report.

NEW BUSINESS: Bylaws 2017 Amendment: MOTION: Frank Mizner motioned to approve the Bylaws as presented, as recommended by the AdHoc Committee, with the word “Individual” added as the first word in the last sentence of section 6.2 Elections. Susan Powers seconded. Motion carried.

AMENDED MOTION: Jeff Brosman motioned to include his proposed language for section 6.5 Board Vacancies. Ricci seconded. Motion failed with Jeff Brosman, Sandra Murray, and Ron Ricci voting for the motion and Frank Mizner, Susan Powers, Bob Radisich, Laurie Moe, Stacy Holmstedt, and George Tihanyi voting against the motion.

AMENDED MOTION: Jeff Brosman motioned to include his proposed language for section 7.4 Quorum, disallowing proxy voting. Sandra Murray seconded. Motion failed with Laurie Moe, Jeff Brosman, Sandra Murray, and Ron Ricci voting for the motion and Frank Mizner, Susan Powers, Bob Radisich, Stacy Holmstedt, and George Tihanyi voting against the motion.

AMENDED MOTION: Frank Mizner motioned to include in section 7.4 Quorum, “No more than two proxies will be in effect for a Board meeting, on a first come first serve basis.” Stacy Holmstedt seconded. Motion passed with Jeff Brosman, Laurie Moe, and Ron Ricci voting against the motion and Frank Mizner, Susan Powers, Bob Radisich, Stacy Holmstedt, Sandra Murray and George Tihanyi voting for the motion.

AMENDED MOTION: Jeff Brosman motioned to include his proposed language for section 9.3 Term, limiting officer terms. Ron Ricci seconded. Motion failed with Jeff Brosman, Sandra Murray, and Ron Ricci voting for the motion and Frank Mizner, Susan Powers, Bob Radisich, Laurie Moe, Stacy Holmstedt, and George Tihanyi voting against the motion.

AMENDED MOTION: Ron Ricci motioned to delete the third sentence from section 6.4 Resignation, A Director who is absent, without prior notice, from three (3) consecutive regular meetings of the Board is deemed to have resigned from the Board, since it is in conflict with Arizona Statute 33-1813.

Stacy Holmstedt seconded. Motion failed with Jeff Brosman, Stacy Holmstedt, Sandra Murray, and Ron Ricci voting for the motion and Frank Mizner, Susan Powers, Bob Radisich, Laurie Moe, and George Tihanyi voting against the motion.

AMENDED MOTION: Ron Ricci motioned to add to section 9.1 Enumeration of Officers, that Each Officer shall be a member of the Board, a homeowner, a resident, and domiciled in the home. Jeff Brosman seconded. Motion failed with Jeff Brosman and Ron Ricci voting for the motion and Frank Mizner, Susan Powers, Bob Radisich, Laurie Moe, Stacy Holmstedt, Sandra Murray, and George Tihanyi voting against the motion.

Common Area Guidelines 6.10 MOTION: Ron Ricci motioned to remove the expedited fee from section 6.10 Common Area Guidelines and include the new proposed language. Bob Radisich seconded. Motion carried.

2018 Budget: Deferred to the October Board meeting.

Human Resources: Deferred to the October Board meeting.

DISCUSSION: Dobson Ranch United: Frank Mizner discussed the Dobson Ranch United concept and meetings, and elicited ideas for increasing attendance.

MOTION: Bob Radisich motioned to move cost items (theft $5,257 and storm damage $17,000) in an amount of $22,000 from operating to contingency, as recommended by the Budget and Finance Committee. Ron Ricci seconded. Motion carried.
