Dear Supporter, Cancer has touched all our lives and it has certainly impacted my family, which is the very reason I choose to support The Cancer Foundation. This year, I am serving on their second annual Fire and Ice event committee. Fire and Ice will take place on September 24, 2020 in Monroe. I, along with my fellow committee members, am looking forward to a memorable evening that brings us together to support an incredible local cause. In celebration of this special occasion, I am asking that you become a sponsor. Last year’s inaugural Fire and Ice event raised over $20,000 for local cancer patients!

The Cancer Foundation helps local cancer patients pay for mortgages, utilities, nutrition, medication and transportation while they are undergoing chemotherapy and/or radiation treatment. They are a one-of-a-kind charity as 87% of their funding goes directly to patients living in our community. The Foundation has provided over $185,000 to 340 patients living in Walton County.

Sponsors of the Fire and Ice event will receive tickets as a part of their benefits. Additional tickets for the event can be purchased online at www.cfnega.org or checks can be mailed to P.O. Box 49309, Athens, GA 30604. Your $40 (per person) ticket includes heavy hors d'oeuvres, beer, wine and a specialty cocktail. The event will also include a silent auction.

Your sponsorship of The Cancer Foundation shows our community that you believe no cancer patient must choose between lifesaving treatment and basic life needs. Since 2009, the Foundation has provided over $2 million to 3,400 cancer patients living in northeast Georgia. To further its tax-exempt purposes, The Cancer Foundation (TCF) conducts the program/event described in Exhibit A (the “Program”). The parties have agreed to enter into this Agreement to set forth the terms of Sponsor’s sponsorship of the Program in exchange for certain contributions to TCF. TCF is sincerely appreciative of Sponsor’s assistance of TCF’s Program. In the interest of protecting both TCF and Sponsor over the course of preparing for and hold this Program, the specifics of the Agreement are detailed below.

I.

Term.

A. Unless earlier terminated pursuant to Section VI, the term of this Agreement shall begin as of the Effective Date, and shall continue through December 31, 2020 (the “Term”).

II.

Sponsorship

The elements of the sponsorship between TCF and Sponsor shall include the following: A. In consideration for the right to sponsor Program and to be acknowledged by TCF as a sponsor of the Program during the term of this Agreement, Sponsor agrees to make a [Cash/Check/Card] contribution to TCF. $__________ to be paid in a single lump-sum within thirty (30) days of the commencement of the Term of the Agreement. Further, Sponsor will work with TCF to identify and provide optional promotional items.

B. In consideration of its sponsorship of Program, TCF will provide all benefits as outlined in the 2019 Fire & Ice sponsorship benefits as additional benefit to Sponsor.

C.

The parties will publicize the Program sponsorship between TCF and Sponsor both internally and externally as detailed in

Exhibit B. D. Except as specifically stated herein, Sponsor personnel will be responsible for the implementation and coordination of Program sponsorship. Sponsor shall also be responsible for all costs associated with the production of approved materials to be distributed on and off site, as well as any costs associated with Sponsor approved activities related to the Program and for the Term of the Agreement.

III.

Grant of License

A. TCF hereby grants to Sponsor the non-exclusive right and license to use the “TCF Marks” to promote Sponsor’s commitment to and support Program. It is understood and agreed that any and all use of materials containing TCF Marks or any reference to TCF must be submitted to TCF prior to publication for review and approval.

B. Sponsor hereby grants to TCF the non-exclusive right and license to use the “Sponsor Marks” in TCF’s materials for Program. It is understood and agreed that any and all use of materials created by TCF which uses the Sponsor Marks or any reference to Sponsor must be submitted to Sponsor prior to publication for review and approval.

IV.

Termination

A. If either party fails to perform any of the terms, conditions, agreements or covenants in this Agreement and such default continues uncured for thirty (30) days after written notice has been received by the party so failing, the other party may terminate this Agreement by written notice. However, such right of termination shall be suspended if the default is one that cannot be cured within thirty (30) days and if the defaulting party has begun good faith efforts to cure such default within the thirty (30) days and has continued such efforts without interruption.

B. Termination of this Agreement for any reason provided in this Agreement shall not relieve either party from its obligation to perform up to the effective date of such termination or to perform such obligations as may survive termination.

C. If the reputation of either party should be become publicly damaged, the other party may terminate this Agreement upon thirty (30) days written notice.

V.

Event Cancellation A.

The Cancer Foundation shall not be responsible for damages that results from delays or cancellations of the events due to

circumstances beyond our reasonable control. In the event that the event does not take occur, sponsorship fee as set forth shall be treated as a donation to The Cancer Foundation and shall not be refunded.

VI.

Notice

A. Any notices or other communications required or permitted by this Agreement or by law to be served on or given to either party by the other party will be in writing and delivered or sent to: The Cancer Foundation P. O. Box 49309 Athens, GA 30604 llowery@cfnega.org VII.

Miscellaneous A.

Nothing in this Agreement creates an agency, joint-venture, or partnership relation between the parties.

B. This Agreement constitutes the entire agreement and understanding of the parties regarding this subject matter and combines and supersedes all prior discussions, negotiations, understandings and agreements between the parties regarding this subject matter.

C.

This Agreement will be interpreted and construed in accordance with the laws of the State of Georgia and the United

This Agreement may be amended only by a written document signed by both parties.

TCF shall provide all benefits as outlined in the 2019 annual sponsorship program.

EXHIBIT B Publication of Sponsorship Relationship A. TCF acknowledges the importance of recognizing the Sponsor’s contribution. Accordingly, throughout the Term of this Agreement, TCF will fully recognize Sponsor commensurate with its contribution and thank the Sponsor for Sponsor’s generosity by providing all benefits as outlined in the 2019 Fire & Ice benefits description.

B. The Sponsor also recognizes that this sponsorship relationship is philanthropic in nature, rather than cause marketing, and will not use TCF Marks for advertising or commercial purposes unless otherwise provided for in writing signed by the two parties. Sponsor will proudly promote its sponsorship of TCF by displaying any TCF promotional materials.

C. TCF may use the Sponsor’s name, logos, slogans, or contact information, or announce the type of business Sponsor is in, or publicize the type of products Sponsor makes. However, TCF will not promote or market the Sponsor’s business. TCF will not provide positive endorsements of Sponsor, statements about the quality of Sponsor’s products or services, comparisons of Sponsor’s products or services to those of competitors, price information for Sponsor’s products and services including indications of savings, or any other language meant to cause others to do business with Sponsor. TCF will not distribute advertising information on behalf of Sponsor. TCF will not use a slogan of Sponsor that contains advertising information. TCF will not restrict products made by Sponsor’s competitors from its events. TCF will not provide links to Sponsor’s website that goes beyond neutral information and includes advertising or endorsements.
